SIXTH AMENDMENT <br /> TO BUILDING LEASE AGREEMENT <br /> THIS SIXTH AMENDMENT TO THE BUILDING LEASE AGREEMENT <br /> ("Amendment") by and between the CITY OF RANCHO PALOS VERDES ("Lessor") and <br /> LOS ANGELES SMSA LIMITED PARTNERSHIP, DBA VERIZON WIRELESS <br /> ("Lessee") is effective as of the 1st day of July, 2016. <br /> RECITALS <br /> A. On February 16, 1988, Lessor and Lessee entered into that certain Building Lease <br /> Agreement ("Agreement") whereby Lessor agreed to lease certain real property and grant an <br /> irrevocable, non-exclusive easement to Lessee for ten (10) years in exchange for payment by <br /> Lessee. On November 4, 2015, Lessor and Lessee executed the Fifth Amendment to the <br /> Agreement, which extended the term of the Agreement until June 30, 2016. <br /> B. Lessor and Lessee now desire to amend the Agreement to extend the term until <br /> either June 30, 2019, or until Rancho Palos Verdes City Hall, located at 30940 Hawthorne <br /> Boulevard,Rancho Palos Verdes, California 90275, is reconstructed, as defined below,whichever <br /> occurs first. <br /> TERMS <br /> 1. Extension of Term. The term of this Agreement is hereby extended until either <br /> June 30, 2019, or until Rancho Palos Verdes City Hall, located at 30940 Hawthorne Boulevard, <br /> Rancho Palos Verdes, California 90275,undergoes reconstruction,whichever occurs first. For the <br /> purposes of this Agreement,"reconstruction"includes any discretionary or necessary construction, <br /> demolition, repair, remodeling, or retrofitting activity that interferes with the Lessee's use of its <br /> wireless telecommunications facilities or any accessory equipment such that the facilities or <br /> equipment require removal or replacement. The decision to engage in such reconstruction shall be <br /> in the sole discretion of the Lessor, and Lessor shall provide Lessee at least sixty (60) notice of <br /> commencement of such reconstruction, at which commencement the term shall terminate. <br /> 2. Continuing Effect of Agreement. Except as amended by this Agreement, all <br /> provisions of the Agreement shall remain unchanged and in full force and effect. From and after <br /> the date of this Amendment, whenever the term "Agreement" appears in the Agreement, it shall <br /> mean the Agreement, as amended by this Amendment to the Agreement. <br /> 3. Affirmation of Agreement; Warranty Re Absence of Defaults. Lessor and <br /> Lessee each ratify and reaffirm each and every one of the respective rights and obligations arising <br /> under the Agreement. Each party represents and warrants to the other that there have been no <br /> written or oral modifications to the Agreement other than as provided herein. Each party represents <br /> and warrants to the other that the Agreement is currently an effective,valid,and binding obligation. <br /> Lessee represents and warrants to Lessor that, as of the date of this Amendment, Lessor is <br /> not in default of any material term of the Agreement and that there have been no events that, with <br /> 01203.0015/304312.1 <br />
