• • <br /> CITY OF RANCHO PALOS VERDES <br /> PROFESSIONAL SERVICES AGREEMENT <br /> THIS AGREEMENT ("Agreement") is made and entered into this 19thday of June, <br /> 2013, <br /> byand between the City of Rancho Palos Verdes ("CITY") and MDG Associates, <br /> Inc. ("CONSULTANT"). <br /> IN CONSIDERATION of the covenants hereinafter set forth, the parties agree as <br /> follows: <br /> ARTICLE 1 <br /> SCOPE OF SERVICES <br /> 1.1 Project Description <br /> The Project is described as follows: <br /> The CITY's Home Improvement Program provides grants and zero percent <br /> (0%)deferred loans to eligible homeowners for interior and exterior housing improvements. <br /> CONSULTANT will provide professional services necessary to administer the CITY's Home <br /> Improvement Program, includingbut not limited to the tasks as described in the CITY's <br /> p g <br /> Request For Proposals, which is attached hereto as Exhibit"A"and incorporated herein by <br /> this reference, and in CONSULTANT's Proposal, which is attached hereto as Exhibit"B" <br /> and incorporated herein by this reference ("Project"). <br /> 1.2 Schedule of Work <br /> Upon receipt of written Notice to Proceed from the CITY, CONSULTANT <br /> p p <br /> shallerform with due diligence the services requested by the CITY. Time is of the <br /> p g <br /> essence in this Agreement. CONSULTANT shall not be responsible for delay, nor shall <br /> g <br /> CONSULTANT be responsible for damages or be in default or deemed to be in default by <br /> reason of strikes, lockouts, accidents, or acts of God, or the failure of CITY to furnish timely <br /> information or to approve or disapprove CONSULTANT's work promptly, or delay or faulty <br /> performance byCITY, other consultants/contractors, or governmental agencies, or any <br /> beyond other delaysY and CONSULTANT's control or without CONSULTANT's fault. <br /> 1.3 Term of Agreement <br /> This Agreement shall commence on July 1, 2013 and shall expire on June <br /> 30, 2014, unless terminated earlier pursuant to Article 4 of this Agreement. <br />
