AMENDMENT NO. 2
TO AGREEMENT FOR PROFESSIONAL SERVICES
THIS AMENDMENT TO THE AGREEMENT FOR PROFESSIONAL SERVICES
("Amendment No. 2") by and between the CITY OF RANCHO PALOS VERDES, a California
municipal corporation ("City") and YUNEX, LLC, a Delaware limited liability company
("Consultant") is effective as of the ___ day of _______ , 2026 ("Effective Date").
RECITALS
A. City and Consultant entered into that certain Agreement for Professional Services
dated June 20, 2023 ("Agreement") whereby Consultant agreed to perform services related to the
maintenance of the City's traffic signal system (the "Services") for an initial Term ending June 30,
2026 and a not-to-exceed Contract Sum of $420,000, with the option to extend the Term by one
additional three-year term.
B. City and Consultant previously approved Amendment No. 1 to the Agreement,
effective May 20, 2025, to increase the Contract Sum by an additional $60,325 in order to cover
costs of work already performed and work to be performed in the future for a new total not-to
exceed Contract Sum of $480,325.
C. City continues to require traffic signal maintenance services and desires to exercise
the option to extend the Term of the Agreement by one additional, three-year tenn.
D. City and Consultant now desire and agree to: ( 1) extend the Tenn by an additional
three (3) years; and (2) increase the Contract Sum by up to an additional $110,000 for each year
of the extension for a new total not-to-exceed Contract Sum of $810,325.
TERMS
1. Contract Changes. The Agreement is amended as provided herein (new text is
identified in bold italics, deleted text in strike through).
A. Section 2.1, Contract Sum, is hereby amended as follows:
"Subject to any limitations set forth in this Agreement, City agrees to pay
Consultant the amounts specified in the "Schedule of Compensation"
attached hereto as Exhibit "C" and incorporated herein by this reference.
The total compensation, including reimbursement for actual expenses, shall
not exceed $480,325 (Four Hundred Eighty Thousand Three Hundred
Tv,renty Five Dollars) Eight Hundred Ten Thousand, Three Hundred
Twenty-Five Dollars ($810,325) (the "Contract Sum"), unless additional
compensation is approved pursuant to Section 1.8."

B. Section 3.4, Term, is hereby amended as follows:
Unless earlier terminated in accordance with Article 7 of this Agreement,
this Agreement shall continue in full force and effect until completion of
the services but not exceeding June 30, 2-0±€,2029, except as otherwise
provided in the Schedule of Performance (Exhibit "D"). The City may, in
its discretion, extend the Term by one additional three year term.
C. Exhibit "C", Schedule of Compensation, is hereby amended as follows:
Exhibit "C" is hereby replaced in its entirety with a revised Exhibit "C",
attached hereto and incorporated herein by reference.
2. Continuing Effect of Agreement. Except as amended by this Amendment No. 2,
all provisions of the Agreement shall remain unchanged and in full force and effect. From and
after the date of this Amendment No. 2, whenever the tenn "Agreement" appears in the Agreement,
it shall mean the Agreement, as previously amended by Amendment No. I and as amended by this
Amendment No. 2 to the Agreement.
3. Affirmation of Agreement; Warranty Re Absence of Defaults. City and
Consultant each ratify and reaffinn each and every one of the respective rights and obligations
arising under the Agreement. Each party represents and warrants to the other that there have been
no written or oral modifications to the Agreement other than as provided herein. Each party
represents and warrants to the other that the Agreement is currently an effective, valid, and binding
obligation.
Consultant represents and warrants to City that, as of the date of this Amendment No. 2,
City is not in default of any material term of the Agreement and that there have been no events
that, with the passing of time or the giving of notice, or both, would constitute a material default
under the Agreement.
City represents and warrants to Consultant that, as of the date of this Amendment No. 2,
Consultant is not in default of any material tenn of the Agreement and that there have been no
events that, with the passing of time or the giving of notice, or both, would constitute a material
default under the Agreement.
4. Adequate Consideration. The parties hereto irrevocably stipulate and agree that
they have each received adequate and independent consideration for the performance of the
obligations they have undertaken pursuant to this Amendment No. 2.
5. Authority. The persons executing this Amendment No. 2 on behalf of the parties
hereto warrant that (i) such party is duly organized and existing, (ii) they are duly authorized to
execute and deliver this Amendment No. 2 on behalf of said party, (iii) by so executing this
Amendment No. 2, such party is formally bound to the provisions of this Amendment No. 2, and
(iv) the entering into this Amendment No. 2 does not violate any provision of any other agreement
to which said party is bound.

6. Counterparts. This Amendment No. 2 may be executed in any number of
counterparts and each of such counterparts shall for all purposes be deemed to be an original,

together constitute but one and the same Amendment No. 2.
7. Incorporation of Recitals. The recitals stated above are hereby incorporated by
reference and made a part of this Agreement as if fully restated herein.

I. The following budgets shall apply for each task for the period commencing June 20, 2023

For the period commencing July 1, 2026 and ending June 30, 2029, the cost of Monthly Routine
Maintenance and Emergency Response services shall not exceed the following amounts:

Monthly Routine Maintenance:
Consultant shall perform all inspection, testing, checking, verification, examination, confirmation;
cleaning; associated set-up and traffic control; associated con-ections; and associated record
keeping and reporting at the lump sum price in the budget table.
Extraordinary Maintenance and Emergency Response:
Consultant shall provide the City with a proposal for the cost of extraordinary maintenance and
any repairs identified during routine monthly maintenance. The proposal shall include all labor,
equipment, and materials costs using the rate tables. Consultant shall not proceed with work until
approved by the City, except in the case of an emergency in which case the Consultant shall
immediately proceed with all necessary repairs and record all labor, equipment, and materials used;
and provide a report of such to the City.
Illuminated Street Names Signs:
Consultant shall provide the City with a proposal for the cost of installed illuminated street name
signs. The proposal shall include all labor, equipment, and materials costs using the rate tables.
Consultant shall not proceed with work until approved by the City, except in the case of an
emergency in which case the Consultant shall immediately proceed with all necessary repairs and
record all labor, equipment, and materials used; and provide a report of such to the City.

II. Within the budgeted amounts for each Task, and with the approval of the Contract Officer,
funds may be shifted from one Task subbudget to another so long as the Contract Sum is
not exceeded per Section 2.1, unless Additional Services are approved per Section 1.9.
III. The City will compensate Consultant for the Services perfonned upon submission of a
valid invoice. Each invoice is to include:
A. Line items for all personnel describing the work performed, the number of hours
worked, and the hourly rate.
B. Line items for all materials and equipment properly charged to the Services.
C. Line items for all other approved reimbursable expenses claimed, with supporting
documentation.
D. Line items for all approved subcontractor labor, supplies, equipment, materials, and
travel properly charged to the Services.
IV. The total compensation for the Services shall not exceed the Contract Sum as provided in
Section 2.1 of this Agreement.
V. The Consultant's billing rates for all personnel materials, and equipment are attached as
Exhibit C-1. NOT APPLICABLE

the extension for a new total not-to-exceed Contract Sum of $405,000.

SCHEDULE OF COMPENSATION
(AS AMENDED BY AMENDMENT NO. l)
I. For the period commencing June 20, 2023 through June 30, 2026, Consultant shall
perform the following tasks at the following rates:

For the period beginning July 1, 2026 amt ending June 30, 2029, the cost of Regular
Maintenance & Operations and Extraordinary, Emergency, and After-hours Maintenance
services shall not exceed the following amounts:

Fiscal Year 2027-2028 $70,000
Fiscal vear 2028-2029 $70,000
Total $210,000
II. Within the budgeted amounts for each Task, and with the approval of the Contract Officer,
funds may be shifted from one Task subbudget to another so long as the Contract Sum is
not exceeded per Section 2.1, unless Additional Services are approved per Section 1. 9.
III. The City will compensate Consultant for the Services performed upon submission of a
valid invoice. Each invoice is to include:
A. Line items for all personnel describing the work performed, the number of hours
worked, and the hourly rate.
B. Line items for all materials and equipment properly charged to the Services.
C. Line items for all other approved reimbursable expenses claimed, with supporting
documentation.
D. Line items for all approved subcontractor labor, supplies, equipment, materials, and
travel properly charged to the Services.
IV. The total compensation for the Services shall not exceed the Contract Sum as provided in
Section 2.1 of this Agreement.

Hi Teri!
We have a series of slides we want to present in our appeal dissertation at the
May 19th City Council meeting. They are in order of appearance in a MS
PowerPoint v16.109 format. This is the same format we submitted for the
Planning Commission appeal hearing. May I send them to you, or should I
bring the file to the meeting on a USB stick? I would prefer to send them so
you can make sure they are readable before the council meeting.
Also, like in the Planning Commission appeal hearing, we would like to hand out hard
copies of reference photos to City Council members to make it easier to follow along .
How many sets do we need to provide? These will be available for handout on the
evening of the 19th.

I have also gathered the information regarding the Hearing procedures for the appeal item.
Following Staff's presentation of the project to the City Council, the item will go into public
testimony. During public testimony, Principal Parties will get 1 O Minutes each to speak. The
appellant or their representative speaks first and will generally be allowed ten minutes. If the
applicant is different from the appellant, the applicant or their representative will speak following
the appellant and will also be allowed ten minutes to make a presentation. The General Public will
also be allowed 3 Minutes each to speak as well. Thereafter, there will be rebuttal in which the
Mayor will invite the Appellant and Applicant to make a rebuttal of 3 minutes each . Following that is
deliberation . Additionally, the Council can grant additional time to speak should they find it
necessary.

Staff has consulted with the City Attorney's office to best determine when a hearing date
can be scheduled. As you have noted in earlier email correspondence, it seems you may

be unavailable for a hearing date on May 5, 2026. As such, Staff is now looking to have a
hearing scheduled for the next regularly scheduled City Council Meeting on May 19, 2026.
As this date lands just outside of the time window as clarified under RPVMC §17 .80.070 ,
Staff would need your written approval to go ahead and schedule this hearing outside of
that time window.
So please let me know if you would be willing to schedule outside of the time window as
clarified under that code section and we can try to get that hearing date established .
Please let me know if you have any questions or concerns.
In the meantime, I will get written documentation on the hearing procedures regarding

This updated letter and the updated email confirmation PDF file attached are
a formal notice to the city clerk, as instructed in the RANCHO PALOS
VERDES MUNICIPAL CODE Title 17 CHAPTER 17.80. -HEARING NOTICE
AND APPEAL PROCEDURES SEC. 17.80.070, we are filing an appeal to the
Rancho Palos Verdes City Council on the subject matter Planning
Commission Decision PLHV2024-0007 -Notice of Decision 7355 Berry Hill of
January 27, 2026. We are the Appellants in this case. We will mail a hard
copy of this email, the PDF files, and payment receipt on or before Thursday,
February 12, 2026, at 5:30 pm.
The grounds for the appeal are as follows :
A. While the Decision of January 27, 2026, did substantiate our claims of
multiple privacy intrusions by the proposed addition at 7355 Berry Hill, the
Planning Commission Decision still does not comply with the City's existing
municipal codes regarding privacy and decks, specifically City Ordinance 355
Section 7 Part D Roof Decks Item 3.a.

"The following standards shall apply to al l permitted roof decks:
a. A deck shall not create an infringement of privacy, as defined by the
height variation findings discussed in Section 17.02.040.C.1.e .ix.
Per this Section the following findings use be met:
b. The proposed new structure that is above 16 feet in height or addition to
an existing structure that is above 16 feet in height does not result in an
unreasonable infringement of the privacy of the occupants of abutting
residences".
B. The decision to plant foliage on the Applicants' property to screen our
bedrooms and courtyard from visual intrusion from the deck is not a
satisfactory solution, as it gives us no control over the height, health, or
efficacy of the screening.
The Applicants have a poor track record of maintaining existing foliage on
their property.
Furthermore, the conditions that violate the Code will still exist.
While the Applicants were given the opportunity to accept or reject this
condition during the hearing, we, the Appellants, were given no further chance
to speak.
C. The Planning Commission decision PLHV2024-0007 -Notice of Decision
7355 Berry Hill of January 27, 2026, does not meet Neighborhood
Compatibility Guidelines set forth in the Neighborhood Compatibility
Handbook, Page 26:
"A new structure or an addition to an existing structure should be designed in
a manner that does not dominate the side and rear yards of a lot, as well as
respects the side and rear yards setbacks of the neighboring properties."
The current design of the proposed addition actually maximizes imposition on
our home and property.
D. The proposed deck is oversized, far exceeding any other such structure
in the neighborhood by 163%, setting a bad precedent for the future.
E. Our backyard privacy concerns have been addressed in the applicant's
updated plans supplied to the Planning Staff and, subsequently, to us on the
afternoon of February 11, 2026. We find the 10 window
solutions somewhat comply, in spirit, with the Commission's and our
suggestions letter dated 02-02-2026; however, the 8 "clerestory" windows do
not designate the limiting opening angle required by the Commission, nor do
they describe the definition of "obscured". They also state only the bottom
half the window is obscured which seems contrary to the Commission's
directive. This needs to be clearly defined
F. The Planning Commission decision PLHV2024-0007 -Notice of Decision
7355 Berry Hill of January 27, 2026, offered suggested remedies for privacy to
the entertainment deck into our protected private courtyard. The February 11,
2026, amended plans supplied to City Planning completely failed to address
the municipal code non-compliance and Neighborhood Compatibility
Guideline infractions offering no changes. Our RPV Letter 02-02-2026 would
most likely remedy our concerns.

We will provide our detailed written appeal to City Council and specify the
action being requested on or before February 27, 2026.
All previous communications between ourselves, the Appellants, and Planning
regarding our concerns about this project should be provided to the City
Council and be part of this appeal. In Jeffrey Kim's 2/9/2026 @ 4:41 pm email,
point 6, he states that staff will prepare a report that includes all information
that was presented to the Planning Commission.
We ask the City Council to deny the application at 7355 Berry Hill until
redesigns are made that meet the City Codes and Neighborhood Compatibility
Guidelines.
Should detailed revised entertainment deck design plans be available for
review before February 27, we reserve the right to rescind this appeal notice
with a full refund of $3193.00. Any costs incurred by the city beyond a full
refund must be paid by the applicant as part agreement to rescind this appeal.

Please see my response to your emails dated 2/9.
In addition, Staff kindly asks that you refrain from copying all Planning Commission members in
your messaging as having 3 or more Commission members in communication outside of a public
meeting conflicts with the Brown Act requirements related serial meetings. If you wish to
communicate with them and keep them updated on the appeal proceedings, Staff recommends
that you message them individually. As such, Staff has removed the Commission members from
this email chain .
The refund request is currently being processed and reviewed by the City 's Finance Department. It
should be available to be sent out with the City's next check run in a couple of weeks . I can provide
you with an update when the review is completed.
The City 's official procedure regarding project appeals can be found in the City of Rancho Palos
Verdes Municipal Code Section §17.80.070. Please see the link to that information

The Applicants have not submitted revised plans for staff's review at this time.
There is no requirement for the applicant to submit revised plans to staff before Thursday, February
12 at 5:30pm for review or your review. The project 's compliance with the Planning Commission's
established Conditions of Approval will be evaluated by staff prior to the issuance of a Planning
Clearance form that allows the applicant to submit plans to the City's Building & Safety Div ision for
building plan -check and permitting. Staff relayed your project revision requests to the applicant on
February 4, 2026. The applicant has not withdrawn the approved application or asked staff to put
the application on hold while revisions are considered. As such, the appeal period for the Planning
Commission approved project, as outlined in the Notice of Decision, remains in effect .
If you file an official appeal to the City Council, which includes a formal letter and declaration of the
appeal along with an official payment for the appeal fee established by City Council, you may
rescind your appeal. However, the refund amount may not be in full depending on the amount of
time Staff took to process and evaluate your appeal request.
As part of a City Council appeal, staff will prepare a report that includes all information that was
presented to the Planning Commission as part of their review of the appeal. You can submit
additional/new information as part of your appeal request to the City Council.
