Thank you for yo~1r dssistance t1nd coop<:::ration, 1 AMENDMENT NO. 1 TO AGREEMENT FOR PROFESSIONAL SERVICES THIS AMENDMENT to that certain AGREEMENT FOR PROFESSIONAL SERVICES ("Amendment No. 1") by and between the CITY OF RANCHO PALOS VERDES ("City") and JEFF KOVEN, an individual ("Consultant") is effective as of June 17, 2025. RECITALS A. City and Consultant entered into that certain Agreement for Professional Services dated August 16, 2022 ("Agreement") whereby Consultant agreed to provide professional television production services (the "Services") for three years for a Contract Sum of $120,000. B. City and Consultant now desire to amend the Agreement ("Amendment No.1 ") to extend the Term of the Agreement by one year and 15 days through August 31, 2026, update hourly rates, and increase the Contract Sum by $40,000 for a maximum Contract Sum of $160,000. TERMS 1. Contract Changes. The Agreement is amended as provided herein. Deleted text is indicated in strikethrough and added text in bold italics. (a) Section 2.1, Contract Sum, is hereby amended to read: Subject to any limitations set forth in this Agreement, City agrees to pay Consultant the amounts specified in the "Schedule of Compensation" attached hereto as Exhibit "C" and incorporated herein by this reference. The total compensation, including reimbursement for actual expenses, shall not exceed $120,000 (One Hundred Twenty Thousand Dollars) $160,000 (One Hundred Sixty Thousand Dollars) (the "Contract Sum"), unless additional compensation is approved pursuant to Section 1.9. (b) Section 3.4, Term, is hereby amended to read: Unless earlier terminated in accordance with Article 7 of this Agreement, this Agreement shall continue in full force and effect until completion of the services but not exceeding three (3) years from the date hereof August 31, 2026, except as otherwise provided in the Schedule of Performance (Exhibit "D"). (c) Section I of Exhibit "C" Schedule of Compensation shall be amended to include: I. Consultant shall perform the following professional services at the following rates: -1- • Scheduled Video Coverage/ Programming -$6-2-$85 per hour for the first 8 hours 1.vithin a 24 hour period and $75 per hour for every HOUR BEYOND 8 HOURS IN /\ 24 HOUR PERIOD • Non-Emergency Phone or Remote Consulting Services-$6± $85 per hour • Emergency and After-Hours Consulting Services -$~ $85 per hour A. Mileage. There will be no charge for mileage to/from City Hall with the exception of immediately after filming for the purpose of dropping off equipment or footage or editing after filming. Mileage to other locations at the standard IRS rate. B. Telephone calls no charge unless it is a phone consult exceeding 15 minutes C. Postage no charge D. Overnight delivery at cost 2. Continuing Effect of Agreement. Except as amended by Amendment No. 1, all provisions of the Agreement shall remain unchanged and in full force and effect. From and after the date of this Amendment No. 1, whenever the term "Agreement" appears in the Agreement, it shall mean the Agreement, as amended by Amendment No. 1. 3. Affirmation of Agreement; Warranty Re Absence of Defaults. City and Consultant each ratify and reaffirm each and every one of the respective rights and obligations arising under the Agreement. Each party represents and warrants to the other that there have been no written or oral modifications to the Agreement other than as provided herein. Each party represents and warrants to the other that the Agreement is currently an effective, valid, and binding obligation. Consultant represents and warrants to City that, as of the date of this Amendment No. 1, City is not in default of any material term of the Agreement and that there have been no events that, with the passing of time or the giving of notice, or both, would constitute a material default under the Agreement. City represents and warrants to Consultant that, as of the date of this Amendment No. 1, Consultant is not in default of any material term of the Agreement and that there have been no events that, with the passing of time or the giving of notice, or both, would constitute a material default under the Agreement. 4. Adequate Consideration. On July 1, 2022 City and Consultant entered into that certain Agreement for Professional Services ("Agreement") whereby Consultant agreed to provide on-call environmental consulting services for the Planning Division of the Community Development Department for a Contract Sum of $30,000, for a Term of two years with an option to extend one additional year. B. On July 1, 2024 City and Consultant amended the Agreement to exercise the option to extend the Agreement one year without increasing the Contract Sum to continue to provide on- call Consulting Services related to biological field surveys through June 30, 2025. C. City and Consultant now desire to enter into Amendment No. 2 to extend the Agreement two year without increasing the Contract Sum to continue to provide on-call Consulting Services related to biological field surveys through June 30, 2027. RECITALS A. City and Consultant entered into that certain Agreement for Professional Services dated July 1, 2022 ("Agreement") whereby Consultant agreed to provide on-call plan check and review services for the Planning Division of the Community Development Department for a Contract Sum of $12,000 for the term of two years with an option to extend one additional year. On July 1, 2024 City and Consultant amended the agreement and exercised the option to extend the Agreement by one year without increasing the contract sum to continue to provide on-call Consulting Services through June 30, 2025. City and Consultant now desire to enter into Amendment No. 2 to extend the Agreement two additional years and increase the contract sum by $30,000 for a total of $42,000 for on-call Consulting Services through June 30, 2027. My husband, Jim Maclellan and I both support the Rancho Palos Verdes City Council adopting the updated 2025 Cal Fire map which is based on more accurate data than the current map that dates back to 2008. The updated map keeps the areas of Rancho Palos Verdes more susceptible to wildfires in the Very high fire zone. We support the newly updated Fire Severity Zone map and we would oppose adding areas back into a fire hazard zone. We support all new construction following City of RPV codes to use Fire Safe materials, such as Class A roofing, tempered glass windows, etcetera. Again, we reiterate our support for you to adopt the Cal Fire updated 2025 Fire Hazard Severity Zone map as drafted by Cal Fire with no changes. The older and last update from 2007 -2011, is now incorrect and this fire zon e model was used by all insurance agencies to raise the prices of homeowner fire insurance . We expect this new, updated information to be incorporated into th e future cost and billing of our homeowner insurance, clearly we are no t in a fire zone. On March 24, 2025, Cal Fire published the recommended zone updates for local jurisdiction review. The updates incorporate the new modeling methods Cal Fir e is using, which allows for hyperlocal simulations. A 2 km grid of climate data covering the years 2003-2018 is being used in the update. The previous model used stock weather inputs across the state to calculate wildland fire intensity scores. The updated model will adjust fire intensity scores based on the most extreme fire weather at a given location, considering temperature, humidity, and wind speed. In addition, ember transport is being modeled based on local distributions of observed wind speed and direction values instead of using a generic buffer distance for urban areas adjacent to wild lands.
