AGENDA TITLE:
Consideration and possible action to approve agreements with the American National
Red Cross and Salvation Army for emergency services during a disaster event.
RECOMMENDED COUNCIL ACTION:
(1) Authorize the City Manager to sign a Shelter Operations Facility Use Agreement
with a Pet Addendum between the City and the American National Red Cross (Red
Cross) for their use of City facilities during a disaster event for emergency services;
and,
(2) Authorize the City Manager to sign a Memorandum of Understanding (MOU)
between the City and the Salvation Army for the City’s use of Salvation Army
facilities and services during a disaster event.
FISCAL IMPACT: None. There are no costs with either the agreement or MOU. However,
during a federally declared disaster or other forms of a state of emergency, the Red Cross
or Salvation Army may seek reimbursement through any federal Public Assistance funds
or other disaster recovery reimbursement funds that are made available to the City for
emergency sheltering services.

BACKGROUND:
A key aspect of emergency planning and disaster readiness is identifying local partners
who can play critical roles in the City’s emergency relief efforts and effectuating
agreements with them to facilitate their collaboration in an emergency. The City Council
is being asked to consider agreements with the Salvation Army and Red Cross for shelter
and relief services during a declared emergency.
DISCUSSION:
The proposed Shelter Operations Facility Use Agreement with the Red Cross and MOU
with Salvation Army and are structured specifically to stand up emergency housing
operations and other emergency relief support for the public and first responders. Both
the Salvation Army and Red Cross are recognized non-profit leaders in these areas who
will likely be leaned upon for support during any major emergency occurring in the City.
The Red Cross has over a century of disaster relief experience and manages most of the
emergency sheltering operations in the United States. The attached Shelter Operations
Facility Use Agreement with Red Cross (Attachment A) allows them to utilize Ladera
Linda Community Park, Fred Hesse Jr. Community Park, and Point Vicente Interpretive
Center, as needed, to conduct emergency disaster-related activities including emergency
sheltering and information and resource centers. The Agreement includes a Pet
Addendum that allows pets to be housed in these City Facilities during a declared
disaster.
Their use of these City Facilities will depend on the circumstances surrounding the
disaster. The City has already worked with the Red Cross to inspect all three locations in
late 2024 as approved shelter locations, and this Agreement will complete the process of
adding these facilities to the Red Cross’s approved emergency shelter list. This
Agreement, along with emergency shelter Red Cross training that City staff receive
annually, helps ensure that the City is ready to quickly stand up emergency shelters and
facilities to support the public during disaster
The Salvation Army’s Campus at 30840 Hawthorne Blvd in Rancho Palos Verdes
provides numerous services and facilities, including a commercial kitchen, meeting
space, and apartments for staff undergoing training. The attached Salvation Army MOU
(Attachment B) would allow the City to utilize any available apartments at the Salvation
Army’s campus for temporary emergency sheltering of the public or first responder s
during a declared disaster or emergency. Criteria for individuals who may utilize the
apartments for emergency sheltering will be decided by the City’s Emergency Operations
Center (EOC) in coordination with the Salvation Army based on the circumstances
surrounding the disaster. The location is adjacent to the Ken Dyda Civic Center site
where the EOC is situated, making it an ideal location for supporting response efforts.
The MOU also stipulates the provision of meals, spiritual or religious guidance (when
requested by individuals), and other emergency services and supplies, such as donation
management, by the Salvation Army where feasible and appropriate during an

emergency. This Agreement allows the City to more easily access disaster relief services
and facilities from the Salvation Army during an emergency response.
The attached Agreements outlined in this staff report come at no cost to the City. During
a federal disaster declaration, and potentially during a state emergency proclamation,
public assistance may become available that can reimburse part or all of the City,
Salvation Army, and/or Red Cross costs related to disaster relief services and facilities
described in these agreements.
CONCLUSION:
If deemed acceptable, the City Council is being asked to authorize the City Manager to
sign agreements with the Red Cross and Salvation Army for emergency shelter and relief
services as described in detail in the attached agreements (Attachments A and B).
ALTERNATIVE:
In addition to the Staff recommendation, the following alternative actions are available for
the City Council’s consideration:
1. Direct Staff to make specific changes to one or both Agreements and continue the
matter to a date uncertain to be sure the changes are acceptable to the other party.
2. Take other action as deemed appropriate.

The American National Red Cross (“Red Cross”), a non -profit corporation chartered by the United States Congress,
provides services to individuals, families and communities when disasters strike. The disaster relief activities of the
Red Cross are made possible by the American public who support the Red Cross with generous donations. The Red
Cross’s disaster services are also supported by facility owners who permit the Red Cross to use their buildings as
shelters and other service delivery sites for disaster victims. This agreement is between the Red Cross and a facility
owner (“Owner”) so the Red Cross can use the facility to provide services during a disaster. This agreement only
applies when Red Cross requests use of the facility and is managing the activity at the facility.

Terms and Conditions
1. Use of Facility: Upon request and if feasible, Owner will permit the Red Cross to use and occupy the Facility on
a temporary basis to conduct emergency, disaster-related activities. The Facility may be used for the following
purposes (both parties must initial all that apply):

2. Facility Management: The Red Cross will designate a Red Cross official to manage the activities at the Facility
(“Red Cross Manager”). The Owner will designate a Facility Coordinator to coordinate with the Red Cross
Manager regarding the use of the Facility by the Red Cross.
3. Condition of Facility: The Facility Coordinator and Red Cross Manager (or designee) will jointly conduct a survey
of the Facility before it is turned over to the Red Cross. They will use the first page of the Red Cross’s
Facility/Shelter Opening/Closing Form to record any existing damage or conditions. The Facility Coordinator
will identify and secure all equipment in the Facility that the Red Cross should not use. The Red Cross will
exercise reasonable care while using the Facility and will not modify the Facility without the Owner’s express
written approval.
4. Food Services (This paragraph applies only when the Facility is used as a shelter or service center.): Upon
request by the Red Cross, and if such resources are available, the Owner will make the food service resources
of the Facility, including food, supplies, equipment and food service workers, available to feed the shelter
occupants. The Facility Coordinator will designate a Food Service Manager to coordinate meals at the direction
of and in cooperation with the Red Cross Manager. The Food Service Manager will establish a feeding schedule
and supervise meal planning and preparation. The Food Service Manager and Red Cross Manager will jointly
conduct a pre-occupancy inventory of the food and food service supplies before the Facility is turned over to the
Red Cross. When the Red Cross vacates the Facility, the Red Cross Manager and Facility Coordinator or Food
Service Manager will conduct a post-occupancy inventory of the food and supplies used during the Red Cross’s
activities at the Facility.
5. Custodial Services (This paragraph applies only when the Facility is used as a shelter or service center.): Upon
request of the Red Cross and if such resources are available, the Owner will make its custodial resources,
including supplies and workers, available to provide cleaning and sanitation services at the Facility. The Facility
Coordinator will designate a Facility Custodian to coordinate these services at the direction of and in cooperation
with the Red Cross Manager.
6. Security/Safety: In coordination with the Facility Coordinator, the Red Cross Manager, as he or she deems
necessary and appropriate, will coordinate with law enforcement regarding any security and safety issues at the
Facility.
7. Signage and Publicity: The Red Cross may post signs identifying the Facility as a site of Red Cross operations
in locations approved by the Facility Coordinator. The Red Cross will remove such signs when the Red Cross
concludes its activities at the Facility. The Owner will not issue press releases or other publicity concerning the
Red Cross’s activities at the Facility without the written consent of the Red Cross Manager. The Owner will refer
all media questions about the Red Cross activities to the Red Cross Manager.

8. Closing the Facility: The Red Cross will notify the Owner or Facility Coordinator of the date when the Red Cross
will vacate the Facility. Before the Red Cross vacates the Facility, the Red Cross Manager and Facility
Coordinator will jointly conduct a post-occupancy inspection, using the second page of the Shelter/Facility
Opening/Closing Form, to record any damage or conditions.
9. Fee (The Red Cross does not pay fees to use facilities as shelters.): Both parties must initial one of the two
statements below:
a. Owner will not charge a fee for the use of the Facility.

10. Reimbursement: Subject to the conditions in paragraph 10(e) below, the Red Cross will reimburse the Owner
for the following:
a. Damage to the Facility or other property of Owner, reasonable wear and tear excepted, resulting
from the operations of the Red Cross. Reimbursement for facility damage will be based on
replacement at actual cash value. The Red Cross, in consultation with the Owner, will select from
bids from at least three reputable contractors. The Red Cross is not responsible for storm damage
or other damage caused by the disaster.
b. Reasonable costs associated with custodial and food service personnel and supplies which would
not have been incurred but for the Re d Cross’s use of the Facility. The Red Cross will reimburse at
per-hour, straight-time rate for wages actually incurred but will not reimburse for (i) overtime or (ii)
costs of salaried staff.
c. Reasonable, actual, out-of-pocket costs for the utilities indicated below, to the extent that such costs
would not have been incurred but for the Red Cross’s use of the Facility . (Both parties must initial all

d. The Owner will submit any request for reimbursement to the Red Cross within 60 days after the
occupancy of the Red Cross ends. Any request for reimbursement must be accompanied by
supporting invoices. Any request for reimbursement for personnel costs must be accompanied by a
list of the personnel with the dates and hours worked.
e. If the disaster is a Federally declared disaster and Owner is a municipal, county, parish, or state
government entity, then the Owner will work with appropriate emergency management agencies to
seek cost reimbursement through the Federal Emergency Management Agency’s program for
administering Public Assistance Category B under the Robert T. Stafford Act. The Red Cross is not
obligated to reimburse the Owner for costs covered by Public Assistance Category B.

11. Insurance: The Red Cross shall carry insurance coverage in the amounts of at least $1,000,000 per occurrence
for Commercial General Liability and Automobile Liability. The Red Cross shall also carry Workers’ Compensation
coverage with statutory limits for the jurisdiction within which the facility is located and $1,000,000 in Employers’
Liability.
12. Indemnification: The Red Cross shall defend, hold harmless, and indemnify Owner against any legal liability,
including reasonable attorney fees, in respect to claims for bodily injury, death, and property damage arising from
the negligence of the Red Cross during the use of the Facility.
13. Term: The term of this agreement begins on the date of the last signature below and ends 30 days after written
notice by either party.

or encrypted) is expressly intended to authenticate this AGREEMENT and to have the same force and effect as manual

This Pet Addendum to Facility Use Agreement (“Addendum”) is hereby annexed to and made a part of the Facility
Use Agreement (“Agreement”) and entered into between the (“Owner”) and (“Red Cross”) The American National
Red Cross, a nonprofit corporation, a Federally chartered instrumentality of the United States, and a body corporate
under the laws of the United State (36 U.S.C. §§ 300101-300111 (2007). Owner and Red Cross are each sometimes
referred to herein as a “Party” and collectively, as “Parties”, as the context requires. Capitalized terms used, but not
defined herein have the meanings set forth in the “Agreement”.

Terms and Conditions
Owner hereby grants permission to the Red Cross to permit its clients while occupying a portion of the Premises
(“Client”) to keep only those pet(s) described below upon the terms and conditions in this Addendum.
All pets are subject to the following general policies:
1. Clients’ household pets, including assistance/therapy animals (each as defined by applicable law) are permitted to
be kept on and in the area of the Facility designated on Exhibit A of this Addendum (“Pet Area”), or other areas
(designated by Owner) in the building.
2. Clients’ service and/or guide animals (as defined by applicable law) are permitted to be kept in the same area of
the Facility as the Client.
3. At all times when a client’s pet is outside the Pet Area, the pet must be secured by either a leash, or in a carrier or
other container and restrained in such a way so as not to cause any damage to people or the Facility. Except for
service and/or guide animals, no pet is permitted in any part of the Facility, other than the Pet Area, or other areas
designated and approved by Owner.
4. Owner’s personnel shall avoid physical contact with any pet and shall enter the Pet Area only accompanied by the
Red Cross Representative (identified in the Agreement) or Animal Welfare Organization (AWO) providing care and/or
support of the pet.
5. Red Cross agrees that it, acting through the AWO, shall be responsible for sheltering, feeding, maintaining, and
overseeing the welfare of the pets in compliance with all applicable laws and regulations, including but not limited to
all state law and local ordinances regarding pet ownership and liability.
6. The Parties may execute and deliver this Addendum in counterparts.
7. Except as otherwise set forth in this Addendum, the terms of the Agreement remain in effect.
8. The term of this Addendum shall be coterminous with the term of the Agreement. The Parties have executed and
delivered this Addendum as of the Effective Date.

MEMORANDUM OF UNDERSTANDING
BETWEEN THE CITY OF RANCHO PALOS VERDES
AND THE SALVATION ARMY FOR TEMPORARY HOUSING
AND OTHER EMERGENCY DISASTER SERVICES
This Memorandum of Understanding (MOU), effective as of ("Effective Date"), establishes
a cooperative framework between the CITY OF RANCHO PALOS VERDES ("CITY"), a
general law city & California municipal corporation, and The SALVATION ARMY
("SALVATION ARMY") a non-profit 501(c)(3) organization located at 30840 Hawthorne
Blvd, Rancho Palos Verdes, CA 90275. (These entities may be referred to collectively or
individually as "Parties" or "Party.")
RECITALS
A. The CITY, vulnerable to natural hazards, is committed to mitigating potential loss
of life, property, and economic and public health challenges through effective
disaster preparedness and response.
B. Recognizing that emergency situations, whether natural or man-made, require
comprehensive professional management, the CITY values the significant
contributions of community organizations like the SALVATION ARMY in enhancing
public safety and response capabilities.
c. This collaboration aims to harness local resources and knowledge, fostering a
comprehensive approach to disaster resilience, inclusive of the wider community's
contribution.
D. The SALVATION ARMY, owning a key asset at 30840 Hawthorne Blvd, Rancho
Palos Verdes, CA 90275, brings strategic value to this partnership, significantly
bolstering emergency management capacities.
E. Consistent with its mission, the CITY is dedicated to ensuring the safety and
protection of life, property, and the environment in the face of emergencies,
through effective and timely response strategies.
F. The CITY seeks to collaborate with the SALVATION ARMY in building a culture of
preparedness within the community, thereby enhancing the overall resilience and
security of Rancho Palos Verdes.
G. The Parties have identified a mutually beneficial opportunity to deliver essential
disaster response and emergency services to the community. The SALVATION
ARMY will provide temporary housing and/or other emergency disaster services
to the CITY, as detailed in the , accompanying Scope of Services, to be
operationalized upon the CITY's request.

NOW, THEREFORE, in consideration of the mutual benefits to be derived by the Parties,
and of the promises contained in this MOU, the Parties agree as follows:
SECTION 1. RECITALS. The recitals set forth above are incorporated into this MOU .

TERM. Subject to Section 5 (Termination) below, this MOU will remain in
effect on a year-to-year basis from the Effective Date, subject to any Party's
right to withdraw from this MOU by notifying the other Parties in writing of
its decision not to renew the MOU for the next year at least 30 days prior to
the anniversary of the Effective Date.
SERVICES TO BE PERFORMED. SALVATION ARMY shall provide to the
CITY and its residents the services detailed in the Scope of Services
attached as Exhibit A and B to this Agreement. The CITY shall not be
required to compensate the SALVATION ARMY for any of the services
provided as set forth in the Scope of Services unless the CITY and
SALVATION ARMY enter into a separate written agreement regarding
compensation or reimbursement. If State or Federal reimbursement funding
specific to these Scopes of Services become available to the CITY, the
CITY will remit appropriate funds to SALVATION ARMY for services
rendered during emergency response and relief efforts.
COMPLIANCE WITH CIVIL RIGHTS AND ANTI-DISCRIMINATION LAWS.
In providing the services set forth in the Scope of Services the SALVATION
ARMY agrees to comply with all relevant federal and state civil rights and
anti-discrimination laws, as well as all other federal, state and local laws,
ordinances and regulations applicable to services provided, and shall
furnish to the CITY, if requested, any certification required by any federal,
state or local laws, ordinances and regulations applicable to these services
and shall furnish any certification required by any federal, state or local
governmental agency in connection therewith. In addition, the SALVATION
ARMY agrees that it shall not mandate the recipient of any of the services
set forth in the Scope of Services to participate in any inherently religious
activities or condition the receipt of any of such services on participation in
inherently religious activities.
SECTION s. TERMINATION: WITHDRAWAL. This MOU may be terminated upon the
express written agreement of the Parties. Additionally, a Party may
withdraw from the MOU by a notice of non-renewal in accordance with
Section 2 (Term) above and the MOU will remain in effect for the remaining
Parties.

SECTION 6. GENERAL PROVISIONS
NOTICES. Any notices, invoices, or reports relating to this MOU, and
any request, demand, statement, or other communication required or
permitted hereunder must be in writing and be delivered to the
representatives of the Parties at the addresses set forth below. The
Parties shall promptly notify each other in writing of any change of
contact information, including personnel changes.

RELATIONSHIP OF THE PARTIES. The Parties are, and will at all times
remain as to each other, wholly independent entities. No Party to this MOU
will have power to incur any debt, obligation, or liability on behalf of any
other Party unless expressly provided to the contrary by this MOU. No
employee, agent, or officer of a Party will be deemed for any purpose
whatsoever to be an agent, employee, or officer of another Party.
AMENDMENT. The terms and provisions of this MOU may not be amended,
modified, or waived, except by an instrument in writing signed by all Parties.
LAW TO GOVERN. This MOU is governed by, and will be interpreted,
construed and enforced in accordance with the laws of the State of
California.
SEVERABIUTY. If any provision of this MOU is be determined by any court
of competent jurisdiction to be invalid, illegal, or unenforceable to any
extent, then the remainder of this MOU will not be affected, and this MOU
will be construed as if the invalid, illegal, or unenforceable provision had
never been contained in this MOU.
ENTIRE AGREEMENT. This MOU constitutes the entire agreement of the
Parties with respect to the subject matter of this MOU.

WAIVER. Waiver by any Party to this MOU of any term , condition , or
covenant of this MOU will not constitute a waiver of any other term,
condition, or covenant. Waiver by any Party to any breach of the provisions
of this MOU will not constitute a waiver of any other provision, nor a waiver
of any subsequent breach or violation of any provision of this MOU.

COUNTERPARTS. This MOU may be executed in counterparts, each of
which will be an original, but all of which taken together will constitute one
and the same instrument.
The Parties have been represented by counsel in the preparation and
negotiation of this MOU. Accordingly, this MOU will be construed according
to its fair language. Any ambiguities will be resolved in a collaborative
manner by the Parties and may be rectified by amending this MOU as
described in Section 8(c).
IN WITNESS WHEREOF, the Parties hereto have caused this Second Amendment to be

EXHIBIT A
SCOPE OF SERVICES: TEMPORARY HOUSING
OVERVIEW
SALVATION ARMY will provide a temporary emergency shelter as described in the
Scope of Services. SALVATION ARMY will only activate the temporary emergency
shelter pursuant to the request by the CITY in response to disaster or emergency incident.
SALVATION ARMY can be requested to activate at any time and any day on 24 hours a
day 365 days a year basis, provided SALVATION ARMY has the sufficient resources and
housing units available during the disaster event.
COMMUNICATION PROTOCOLS
A disaster or emergency can happen at any time or any day, effective line of
communication is critical for initial response. CITY and SALVATION ARMY shall appoint
primary and secondary emergency contacts respectively to coordinate the services
required during the emergency.
ACTIVATION OF SERVICES
CITY will notify the SALVATION ARMY emergency contact regarding an emergency or
incident requiring activation of shelter. The CITY emergency contact shall provide the
following incident details: number of persons impacted, facility need, anticipated duration
of activation, and urgency level.
SERVICES SALVATION ARMY WILL PROVIDE
Upon communication from the CITY, SALVATION ARMY will activate the following
services immediately or when sufficient resources and housing units can be made
available:
1 . TEMPORARY EMERGENCY SHELTER:
Based on the incident details provided by the CITY, SALVATION ARMY will
activate temporary emergency sheltering based on the following parameters:

FACILITIES. SALVATION ARMY will activate SALVATION ARMY on
site apartments to be used as emergency shelters in response to the
emergency. Availability of apartments and length for which they can be
used will depend on the vacancy status at the time of the request, as
these facilities are often used to temporarily house SALVATION ARMY
cadets and their families during training. Facilities will not be asked to
stop normal SALVATION ARMY business, such as training, to support

emergency operations . SALVATION ARMY will provide toilets, sinks,
showers, and kitchens on-site .
. COMPLIANCE WITH CODE. SALVATION ARMY will comply with all
applicable local and state health and safety codes such as, but not
limited to, the California Building Code, ADA regulations, California Fire
Code, California Health and Safety Code, as well as any applicable
zoning standards for the development and use of the property on which
the emergency shelter is located.
STAFFING. SALVATION ARMY will provide on-site staffing at their
property 24 hours a day, seven days a week. The CITY will ensure that
any CITY volunteers sent to support shelter operations have gone
through a general background check. Clients of the shelter shall not
provide on-site management. SALVATION ARMY will designate a
liaison to coordinate with CITY officials, police, fire, local businesses,
and residents on issues related to the operation of the emergency
shelter.
ON-SITE CHECK-IN. SALVATION ARMY will provide a designated
check-in area for on-site personnel located near the main entry to the
facility, for the purpose of controlling admittance into the facility.
SITE RULES. SALVATION ARMY will prohibit any weapons, smoking,
alcoholic beverages or storage of any type of illegal substances, drugs,
and/or firearms of any kind in the shelter. The shelter manager shall
conduct routine inspections of each on-site client's personal space to
verify compliance with this Chapter.
HOURS OF OPERATION. SALVATION ARMY will post and maintain
set hours of operation for client intake and discharge. These hours shall
be clearly displayed at the entrance to the shelter at all times.
SLEEPING AREAS. SALVATION ARMY will provide an area for
temporary beds and other support equipment for adequate building
occupancy clearance by the local Fire Department.
PETS. Nonservice animals are prohibited from entering the facility.

2. SPIRITUAL OR RELIGIOUS GUIDANCE SALVATION ARMY has Christian staff on
site at emergency facilities that can offer religious or spiritual guidance to disaster
survivors and emergency workers. This guidance is not mandated in order to receive
services and is only provided by individual request.
SERVICES SALVATION ARMY WILL NOT PROVIDE
SALVATION ARMY will not provide the following services . The CITY will be responsible
for coordinating the services and resources not provided by SALVATION ARMY:
• Communications systems
• Counseling services for mental and emotional support.
• Translation and interpretation services
• Specialized care for people with disabilities
• Clothes distribution
• Medical services
• Security
• Transportation

SHOWER AND TOILET FACILITIES. SALVATION ARMY will provide
toilets, sinks, and showers on-site for evacuation sheltering.
EMERGENCY FOOD SERVICE. The SALVATION ARMY will provide
food services through its commercial kitchen. SALVATION ARMY will
guarantee that all food service and on-site meal preparation areas
adhere strictly to the relevant regulations set forth by the County Health
Department.
HOURS OF OPERATION . SALVATION ARMY will post and maintain
set hours of operation for emergency centers and points of distribution
and hours of operation for client intake and discharge for emergency
shelters. These hours shall be clearly displayed at the entrance to the
facility at all times.

PETS. Only service animals will be allowed in emergency facilities. All
other animals are prohibited from entering the facilities.
2. MOBILE FEEDING. SALVATION ARMY will provide hot meals and/or snacks for
disaster survivors and emergency workers where and when appropriate and feasible.
3. SPIRITUAL OR RELIGIOUS GUIDANCE SALVATION ARMY has Christian staff on
site at emergency facilities that can offer religious or spiritual guidance to disaster
survivors and emergency workers, however this service is only provided by individual
request.
4 . OTHER EMERGENCY SERVCES AND SUPPLIES SALVATION ARMY will provide,
when available, any needed emergency relief supplies from the SALVATION ARMY
disaster warehouses, gift cards and vouchers for disaster survivors, and/or support
with donation management that is requested by the CITY.
SERVICES SALVATION ARMY WILL NOT PROVIDE
SALVATION ARMY will not provide the following services. The CITY will be responsible
for coordinating the services and resources not provided by SALVATION ARMY:
• Communications systems.
• Counseling services for mental and emotional support
• Translation and interpretation services .
• Specialized care for people with disabilities.
• Clothes distribution.
• Medical services.
• Security.
• Transportation.
