MEMORANDUM OF UNDERSTANDING
BETWEEN THE CITY OF RANCHO PALOS VERDES AND THE SALVATION ARMY FOR TEMPORARY HOUSING
AND OTHER EMERGENCY DISASTER SERVICES
This Memorandum of Understanding (MOU), effective as of (“Effective Date”), establishes
a cooperative framework between the CITY OF RANCHO PALOS VERDES (“CITY”), a
general law city & California municipal corporation, and The SALVATION ARMY
("SALVATION ARMY") a non-profit 501(c)(3) organization located at 30840 Hawthorne
Blvd, Rancho Palos Verdes, CA 90275. (These entities may be referred to collectively or
individually as “Parties” or “Party.”)
RECITALS
A. The CITY, vulnerable to natural hazards, is committed to mitigating potential loss
of life, property, and economic and public health challenges through effective
disaster preparedness and response.
B. Recognizing that emergency situations, whether natural or man -made, require
comprehensive professional management, the CITY values the significant
contributions of community organizations like the SALVATION ARMY in enhancing
public safety and response capabilities.
C. This collaboration aims to harness local resources and knowledge, fostering a
comprehensive approach to disaster resilience, inclusive of the wider community's
contribution.
D. The SALVATION ARMY, owning a key asset at 30840 Hawthorne Blvd, Rancho
Palos Verdes, CA 90275, brings strategic value to this partnership, significantly
bolstering emergency management capacities.
E. Consistent with its mission, the CITY is dedicated to ensuring the safety and
protection of life, property, and the environment in the face of emergencies,
through effective and timely response strategies.
F. The CITY seeks to collaborate with the SALVATION ARMY in building a culture of
preparedness within the community, thereby enhancing the overall resilience and
security of Rancho Palos Verdes.
G. The Parties have identified a mutually beneficial opportunity to deliver essential
disaster response and emergency services to the community. The SALVATION
ARMY will provide temporary housing and/or other emergency disaster services
to the CITY, as detailed in the accompanying Scope of Services, to be
operationalized upon the CITY’s request.

NOW, THEREFORE, in consideration of the mutual benefits to be derived by the Parties,
and of the promises contained in this MOU, the Parties agree as follows:
SECTION 1. RECITALS. The recitals set forth above are incorporated into this MOU.
SECTION 2. TERM. Subject to Section 5 (Termination) below, this MOU will remain in
effect on a year-to-year basis from the Effective Date, subject to any Party’s
right to withdraw from this MOU by notifying the other Parties in writing of
its decision not to renew the MOU for the next year at least 30 days prior to
the anniversary of the Effective Date.
SECTION 3. SERVICES TO BE PERFORMED. SALVATION ARMY shall provide to the
CITY and its residents the services detailed in the Scope of Services
attached as Exhibit A and B to this Agreement. The CITY shall not be
required to compensate the SALVATION ARMY for any of the services
provided as set forth in the Scope of Services unless the CITY and
SALVATION ARMY enter into a separate written agreement regarding
compensation or reimbursement. If State or Federal reimbursement funding
specific to these Scopes of Services become available to the CITY, the
CITY will remit appropriate funds to SALVATION ARMY for services
rendered during emergency response and relief efforts.
SECTION 4. COMPLIANCE WITH CIVIL RIGHTS AND ANTI-DISCRIMINATION LAWS.
In providing the services set forth in the Scope of Services the SALVATION
ARMY agrees to comply with all relevant federal and state civil rights and
anti-discrimination laws, as well as all other federal, state and local laws,
ordinances and regulations applicable to services provided, and shall
furnish to the CITY, if requested, any certification required by any federal,
state or local laws, ordinances and regulations applicable to these services
and shall furnish any certification required by any federal, state or local
governmental agency in connection therewith. In addition, the SALVATION
ARMY agrees that it shall not mandate the recipient of any of the services
set forth in the Scope of Services to participate in any inherently religious
activities or condition the receipt of any of such services on participation in
inherently religious activities.
SECTION 5. TERMINATION; WITHDRAWAL. This MOU may be terminated upon the
express written agreement of the Parties. Additionally, a Party may
withdraw from the MOU by a notice of non-renewal in accordance with
Section 2 (Term) above and the MOU will remain in effect for the remaining
Parties.

SECTION 6. GENERAL PROVISIONS
. NOTICES. Any notices, invoices, or reports relating to this MOU, and
any request, demand, statement, or other communication required or
permitted hereunder must be in writing and be delivered to the
representatives of the Parties at the addresses set forth below. The
Parties shall promptly notify each other in writing of any change of
contact information, including personnel changes.

. RELATIONSHIP OF THE PARTIES. The Parties are, and will at all times
remain as to each other, wholly independent entities. No Party to this MOU
will have power to incur any debt, obligation, or liability on behalf of any
other Party unless expressly provided to the contrary by this MO U. No
employee, agent, or officer of a Party will be deemed for any purpose
whatsoever to be an agent, employee, or officer of another Party.
. AMENDMENT. The terms and provisions of this MOU may not be amended,
modified, or waived, except by an instrument in writing signed by all Parties.
. LAW TO GOVERN. This MOU is governed by, and will be interpreted,
construed and enforced in accordance with the laws of the State of
California.
. SEVERABILITY. If any provision of this MOU is be determined by any court
of competent jurisdiction to be invalid, illegal, or unenforceable to any
extent, then the remainder of this MOU will not be affected, and this MOU
will be construed as if the invalid, illegal, or unenforceable provision had
never been contained in this MOU.
. ENTIRE AGREEMENT. This MOU constitutes the entire agreement of the
Parties with respect to the subject matter of this MOU.
. WAIVER. Waiver by any Party to this MOU of any term, condition, or
covenant of this MOU will not constitute a waiver of any other term,
condition, or covenant. Waiver by any Party to any breach of the provisions
of this MOU will not constitute a waiver of any other provision, nor a waiver
of any subsequent breach or violation of any provision of this MOU.

. COUNTERPARTS. This MOU may be executed in counterparts, each of
which will be an original, but all of which taken together will constitute one
and the same instrument.
. The Parties have been represented by counsel in the preparation and
negotiation of this MOU. Accordingly, this MOU will be construed according
to its fair language. Any ambiguities will be resolved in a collaborative
manner by the Parties and may be rectified by amending this MOU as
described in Section 8(c).

EXHIBIT A
SCOPE OF SERVICES: TEMPORARY HOUSING
OVERVIEW
SALVATION ARMY will provide a temporary emergency shelter as described in the
Scope of Services. SALVATION ARMY will only activate the temporary emergency
shelter pursuant to the request by the CITY in response to disaster or emergency incident.
SALVATION ARMY can be requested to activate at any time and any day on 24 hours a
day 365 days a year basis, provided SALVATION ARMY has the sufficient resources and
housing units available during the disaster event.
COMMUNICATION PROTOCOLS
A disaster or emergency can happen at any time or any day, effective line of
communication is critical for initial response. CITY and SALVATION ARMY shall appoint
primary and secondary emergency contacts respectively to coordinate the services
required during the emergency.
ACTIVATION OF SERVICES
CITY will notify the SALVATION ARMY emergency contact regarding an emergency or
incident requiring activation of shelter. The CITY emergency contact shall provide the
following incident details: number of persons impacted, facility need, anticipated durati on
of activation, and urgency level.
SERVICES SALVATION ARMY WILL PROVIDE
Upon communication from the CITY, SALVATION ARMY will activate the following
services immediately or when sufficient resources and housing units can be made
available:
1. TEMPORARY EMERGENCY SHELTER:
. Based on the incident details provided by the CITY, SALVATION ARMY will
activate temporary emergency sheltering based on the following parameters:
. FACILITIES. SALVATION ARMY will activate SALVATION ARMY on
site apartments to be used as emergency shelters in response to the
emergency. Availability of apartments and length for which they can be
used will depend on the vacancy status at the time of the request, as
these facilities are often used to temporarily house SALVATION ARMY
cadets and their families during training. Facilities will not be asked to
stop normal SALVATION ARMY business, such as training, to support

emergency operations. SALVATION ARMY will provide toilets, sinks,
showers, and kitchens on-site.
. COMPLIANCE WITH CODE. SALVATION ARMY will comply with all
applicable local and state health and safety codes such as, but not
limited to, the California Building Code, ADA regulations, California Fire
Code, California Health and Safety Code, as well as any applicable
zoning standards for the development and use of the property on which
the emergency shelter is located.
. STAFFING. SALVATION ARMY will provide on-site staffing at their
property 24 hours a day, seven days a week. The CITY will ensure that
any CITY volunteers sent to support shelter operations have gone
through a general background check. Clients of the shelter shall n ot
provide on-site management. SALVATION ARMY will designate a
liaison to coordinate with CITY officials, police, fire, local businesses,
and residents on issues related to the operation of the emergency
shelter.
. ON-SITE CHECK-IN. SALVATION ARMY will provide a designated
check-in area for on-site personnel located near the main entry to the
facility, for the purpose of controlling admittance into the facility.
. SITE RULES. SALVATION ARMY will prohibit any weapons, smoking,
alcoholic beverages or storage of any type of illegal substances, drugs,
and/or firearms of any kind in the shelter. The shelter manager shall
conduct routine inspections of each on-site client's personal space to
verify compliance with this Chapter.
. HOURS OF OPERATION. SALVATION ARMY will post and maintain
set hours of operation for client intake and discharge. These hours shall
be clearly displayed at the entrance to the shelter at all times.
. SLEEPING AREAS. SALVATION ARMY will provide an area for
temporary beds and other support equipment for adequate building
occupancy clearance by the local Fire Department.
. PETS. Nonservice animals are prohibited from entering the facility.

2. SPIRITUAL OR RELIGIOUS GUIDANCE SALVATION ARMY has Christian staff on
site at emergency facilities that can offer religious or spiritual guidance to disaster
survivors and emergency workers. This guidance is not mandated in order to receive
services and is only provided by individual request.
SERVICES SALVATION ARMY WILL NOT PROVIDE
SALVATION ARMY will not provide the following services. The CITY will be responsible
for coordinating the services and resources not provided by SALVATION ARMY:
• Communications systems
• Counseling services for mental and emotional support.
• Translation and interpretation services
• Specialized care for people with disabilities
• Clothes distribution
• Medical services
• Security
• Transportation

request by the CITY in response to disaster or emergency incident. SALVATION ARMY
can be requested to activate at any time and any day on 24 hours a day 365 days a year
basis provided SALVATION ARMY has the sufficient resources and housing units
available during the disaster event..

toilets, sinks, and showers on-site for evacuation sheltering.
. EMERGENCY FOOD SERVICE. The SALVATION ARMY will provide
food services through its commercial kitchen. SALVATION ARMY will
guarantee that all food service and on-site meal preparation areas
adhere strictly to the relevant regulations set forth by the County Health
Department.
. HOURS OF OPERATION. SALVATION ARMY will post and maintain
set hours of operation for emergency centers and points of distribution
and hours of operation for client intake and discharge for emergency
shelters. These hours shall be clearly displayed at the entrance to the
facility at all times.

. PETS. Only service animals will be allowed in emergency facilities. All
other animals are prohibited from entering the facilities.
2. MOBILE FEEDING. SALVATION ARMY will provide hot meals and/or snacks for
disaster survivors and emergency workers where and when appropriate and feasible.
3. SPIRITUAL OR RELIGIOUS GUIDANCE SALVATION ARMY has Christian staff on
site at emergency facilities that can offer religious or spiritual guidance to disaster
survivors and emergency workers, however this service is only provided by individual
request.
4. OTHER EMERGENCY SERVCES AND SUPPLIES SALVATION ARMY will provide,
when available, any needed emergency relief supplies from the SALVATION ARMY
disaster warehouses, gift cards and vouchers for disaster survivors, and/or support
with donation management that is requested by the CITY.
SERVICES SALVATION ARMY WILL NOT PROVIDE
SALVATION ARMY will not provide the following services. The CITY will be responsible
for coordinating the services and resources not provided by SALVATION ARMY:
• Communications systems.
• Counseling services for mental and emotional support
• Translation and interpretation services.
• Specialized care for people with disabilities.
• Clothes distribution.
• Medical services.
• Security.
• Transportation.

To request paper copies from City of Rancho Palos Verdes
To request delivery from us of paper copies of the notices and disclosures previously provided
by us to you electronically, you must send us an email to terit@rpvca.gov and in the body of
such request you must state your email address, full name, mailing address, and telephone
number. We will bill you for any fees at that time, if any.
To withdraw your consent with City of Rancho Palos Verdes
To inform us that you no longer wish to receive future notices and disclosures in electronic
format you may:
i. decline to sign a document from within your signing session, and on the subsequent page,
select the check-box indicating you wish to withdraw your consent, or you may;
ii. send us an email to terit@rpvca.gov and in the body of such request you must state your
email, full name, mailing address, and telephone number. We do not need any other information
from you to withdraw consent.. The consequences of your withdrawing consent for online
documents will be that transactions may take a longer time to process..

Acknowledging your access and consent to receive and sign documents electronically
To confirm to us that you can access this information electronically, which will be similar to
other electronic notices and disclosures that we will provide to you, please confirm that you have
read this ERSD, and (i) that you are able to print on paper or electronically save this ERSD for
your future reference and access; or (ii) that you are able to email this ERSD to an email address
where you will be able to print on paper or save it for your future reference and access. Further,
if you consent to receiving notices and disclosures exclusively in electronic format as described
herein, then select the check-box next to ‘I agree to use electronic records and signatures’ before
clicking ‘CONTINUE’ within the DocuSign system.
By selecting the check-box next to ‘I agree to use electronic records and signatures’, you confirm
that:
You can access and read this Electronic Record and Signature Disclosure; and
You can print on paper this Electronic Record and Signature Disclosure, or save or send
this Electronic Record and Disclosure to a location where you can print it, for future
reference and access; and
Until or unless you notify City of Rancho Palos Verdes as described above, you consent
to receive exclusively through electronic means all notices, disclosures, authorizations,
acknowledgements, and other documents that are required to be provided or made
available to you by City of Rancho Palos Verdes during the course of your relationship
with City of Rancho Palos Verdes.
