FOR ENTRY ATID STORAGE AGREEMENT
THIS FIRST AMENDMENT TO THE LIMITED LTCENSE TO ENTER AND STORE
BITILDING MATERLALS AGREEMENT ('Agreernenf'), dated as of June 24,2024
("Agreement Date") is made and entered into by andbetween the CITY OF RANCHO PALOS
VERDES, a municipal corporation organized under the laws of the State of Catifornia ("City")
and General Convention of the New Jerusalem in the United States of Americq a non-profit
corporation forrred in the state of lllinois and authorized to operate in California., dlblz
Wayfarers Chapel ("Wayfarers"). Crty and Wayfarers are sometimes hereinafter individually
referred to as a "ParQ/" and jointly as the'?arties".
RECITALS
A. The Parties have previousty entered into that certain Limited License for Entry
4nd Storage Agreement ("Agreemenf'), on June 24,2024. Unless otherwise defrned in this First
Amendment, all initially capitalized terms willhave the meaniqg set forth in the Agreement.
B. After the Parties entered into the Agreement the Panies determined it was
necessary to amend Section 8 of the Agreement entitled "Insurance" to reflect the insurance
coverage that Wayfarers was able to obtain.
TERMS
l. Contract Changes. The Agreement is amended as provided herein. Deleted text
is indicated in strit<ethreugh and added text in bold italics.
8. Insurance. During the term of this Agreement, Wayfarers shall maintain in full
force, at its own expense, and deliver to City (i) evidence of workers' compensation
insurance (br state approved setf-insurance) on all persons entering City Property in the
amounts required by ttre State of California; and (ii) a certificate of insurance from a
reputable insurer lieenscd te de businees in Fe Serc ef Califeraia with minimum rating
of A by the insurance ratingJirm AM Best evidencing frtatWayfarers has procured and
paid premiums for an all-risk public liability insurance policy written on a per occurence
and not claims made basis in a combined single timit of not less than TWO MILLION
DOLLARS ($2,000,000) which insuance names the City and its employees, oficials,
oflicers, agents, representartves anil volunteers as an additional insureds.
2. Continuing Effect of Agreement Except as amended by this Amendment, all
provisions of the Agreement shatt remain unchanged and in full force and effect. From and after
the date of this Amendment, whenever the temr "Agreement" appears in the Agreement, it shall
mean the Agreement, as amendedby this Amendment to the Agreement.
3. Alfrrmation of Agreementl 'Warranty Re Absence of Defaults. City and
Wayfarers each ratiff and reaffirm each and every one of the respective rights and obligations
arising under the Agreernent- Factr party represeate ond vYcrrorts to trc othcr that thef0 have bgen
no written or oral modifications to the Agreement other than as provided herein. Each parly
represents and warrants to the other that the Agreement is currently an effective, valid, and
binding obligation.
Wayfarers represents and warrants to City that, as of the date of this Amendment, City is
not in default of any materiat term of the Agreement and that ttrere have been no events that,
widh ttre passing of time or the giving of notice, or both, would constitute a material default
under the Agreement.
City represents and warrants to Wayfarers that, as of the date of this Amendment,
Wayfarers is not in default of any matertal term of the Agreement and that there have been no
events that, with the passing of time or the giving of notice, or bottr, would constitute a material
default under the Agreement.
4. Adequate Consideration. The parties hereto irrevocably stiputate and agree that
they have each received adequate and independent consideration for the perforrnance of the
obligations they have undertakenpursuant to this Amendment.
5. Authority. The persons executing ftis Amendment on behalf of the parties hereto
warrant that (i) such party is duly organized and existing (ii) they are duly authorized to execute
and deliver this Amendment on behalf of said parly, (iii) by so executing this Amendment, such
parly is formally bound to the provisions of this Amendment, and (iv) the entering into this
Amendment does not violate any provision of any other agreement to which said party is bound.
