It is our wish and intention to discontinue the agreement between Wayfarer's Chapel and the City of
Rancho Palos Verdes dated October 1, 1989 for use of the small parking lot on Palos Verdes Drive South
in Rancho Palos Verdes (former parking lot for flower stand at 5970 Palos Verdes Drive South)effective
May 2023. Additionally, the October 1, 1989 agreement references the Conditions of Approval for Site
Plan Review No.4710. Both agreement and Conditions of Approval are attached to this correspondence.
In April 2023, we sold Wayfarers Center West (former administration offices)and we no longer have
need to continue the parking agreement.
We appreciate having access to this additional parking in the past.

AGREEMENT
This agreement is made this second day of August, 1989, by
the WAYFARERS CHAPEL, (Herein "Undersigned" ) for the ex-
press benefit of the CITY OF RANCHO PALOS VERDES (herein
called the "City" ) .
RECITALS:
(a) undersigned has applied to the City for
permission to use City property (parking lot of flower stand
at 5970 Palos Verdes Drive South) for the purpose of public
parking in connection with Undersigned' s scheduled
activities at it's Chapel West location.
(b) The City has set forth, as conditions to approval
the following:
(1) The term of this agreement shall be year-
to-year, commencing on October 1 , 1989.
( 2 ) The Undersigned shall provide payment to
the City in an amount of $75 monthly, payable
quarterly in advance, effective upon execution of
this agreement. For subsequent years, if
renewed, the monthly rental payment shall be
adjusted upward by the percentage increase each

year in the consumer price index for the Los
Angeles/Long Beach area (Consumer Price Index,
All Urban Consumers, CPI-U) published by the
United States Department of Labor, Bureau of
Labor Statistics for the most recent twelve month
period available in the month that the agreement
is renewed. Payment is to be made to the City
of Rancho Palos Verdes, and directed by mail or
in person to: Facility Use Coordinator

( 3 ) Undersigned will limit hours of use of the
parking lot to those when the flower stand is not
in operation. Permitted hours of use shall be:
Mondays 7 : 00 a.m. - 11: 00 p.m.
Tuesday - Sunday: dusk - 11: 00 p.m.
( 4 ) Undersigned will comply with conditions
specified in Site Plan Review 4710, conducted in
connection with Undersigned's construction at
6118 W. Palos Verdes Drive South, as is related
to parking lot use and improvements.

(c ) The City has further required, as a condition to
granting permission, that it be properly indemnified
against all liability, cost and expense arising from the
granting of the permit or the use, misuse or improvement of
City property.
Now, therefore, in consideration of and in order to
induce the City to permit Undersigned to take the action re-
ferred to in the original proposal , Undersigned hereby
covenants and agrees to indemnify and hold the City, its
officers, agents, and employees free and harmless from any
liability or claim of liability for loss , damages, injury or
death to persons or damage to or loss of property including
City property arising out of any one or more of the
following, that is:
( 1) Undersigned' s use of subject premises for the
purpose of public parking in connection with use of
their facilities at
6118 Palos Verdes Drive South.
( 2) Removal of all equipment from the City's property
upon the termination of the use thereof and the
property to be left in the manner in which it was
found excepting authorized and agreed upon
improvements.

The undersigned shall not be liable for injury or death to
any person or damage to any property for use of the subject
premises when such use is specifically authorized by the
City, its officers, agents or employees as a part of the
City' s normal use or for purposes other than Undersigned' s
activities under this agreement.
The undersigned shall keep in full force and effect during
the term of this agreement a public liability insurance
policy insuring and protecting the City, its officers,
agents, and employees from and against any and all liability
arising out of or connected with the use by the Undersigned
of the subject premises or any buildings, facilities or
equipment located thereon. All public liability insurance
required hereunder shall be in the minimum of $1, 000,000
personal injury, and $25 , 000 property damage, each
occurance.
The undersigned agrees to maintain the subject property in
good condition during the term of this Agreement.

officer or administrator, on the day and year set forth

EXHIBIT 'A'
Conditions of Approval for Site Plan Review No. 4710 :
1 ) The Planning Commission action is a conceptual approval
only . Final approval is subject to the Director of
Environmental Services' review and approval of a detailed
parking lot plan for the City owned property proposed for
off-site parking. The parking lot plan shall be prepared
by the applicant in conformance with Section 17 .44 . 070 of
the Development Code.
2 ) Final approval is also subject to negotiation and approval
of a lease and hold harmless agreement between the City
wand the applicant governing the use of the City owned
property to be used for off-site parking .
3 ) Low intensity, shielded , ground-oriented parking lot
lighting shall be provided on the City owned property by
the applicant . Such lighting shall be subject to the
approval of the Director of Environmental Services and the
Director of Public Works.
4 ) Directional signage shall be provided on the City owned
property subject to the approval of the Director of
Environmental Services and the Director of Public Works .

5 ) Parking space striping for the City owned property may be
required by the Director of Environmental Services,

initially or at a future tire, upon reviewof the
applicant ' s parking lot plan and actual use of the site .
6 ) The applicant shall submit a detailed operating statement
for the Wayfarer ' s West facility , including hours of
�--- operation, employees , maximum occupancy, and intended use,
- �� to the Director of Environmental Services prior to final
approval of this permit . Any intensification or change of
use is subject to advance review and approval by the
Director of Environmental Services.
7 ) The conference facility shall not be used during the hours
that parking at the City owned property is not available
= ( these hours will be determined in the lease between the
applicant and the City ) unless additional off-site parking

6 ) This approval is subject to review, modification and/or
revocation by the Planning Commission if it is determined
that the conference facility is being used contrary to the
