SPECIAL MEETING
MARCH 23, 2022
CALL TO ORDER:
The Special meeting of the Rancho Palos Verdes City Council for the purpose of a
Closed Session was called to order by Mayor Pro Tem Ferraro at 5:36 P.M. at
McTaggart Hall in Fred Hesse Community Park, 29301 Hawthorne Boulevard. This
meeting took place remotely in accordance with Government Code Section 54953(e) et
seq. (AB 361), and pursuant to Resolution No. 2021-59, as adopted by the City Council
on November 16, 2021, and as renewed by subsequent,resolution(s) thereafter.
Members of the public could observe and participate using the zoom participation
feature, and with options called out in the public participation form provided under
separate cover with the agenda. Notice having been given with affidavit thereto on file.
City Council roll call was answered as follows:
PRESENT: Alegria, Cruikshank, Dyda, and Mayor Pro Tem Ferraro
ABSENT: Bradley (excused, connected virtually in Fireside Room)
Also present were Ara Mihranian, City Manager; Karina Banales, Deputy City Manager;
William Wynder, City Attorney; and Teresa Takaoka, City Clerk.
PUBLIC COMMENTS FOR CLOSED SESSION:
None.
CLOSED SESSION ITEMS ANNOUNCED:
City Attorney Wynder announced the item to be discussed in Closed Session.
1. CONFERENCE WITH LEGAL COUNSEL —ANTICIPATED LITIGATION
A closed session will be held, pursuant to Government Code § 54956.9 (d)(4)
because the City is considering whether to initiate litigation in one (1) case.
RECESS TO CLOSED SESSION (FIRESIDE ROOM):
At 5:37 P.M., the Council recessed to Closed Session.
RECONVENE TO SPECIAL MEETING:
At 6:18 P.M., the Council reconvened to Open Session.
CLOSED SESSION REPORT:
City Attorney Wynder reported that the City Council was considering whether to initiate
litigation in one case. All five members of the Council participated in the Closed
Session. Mayor Bradley participated virtually via Zoom as authorized by AB361 and by
the City's resolution to implement the same. The City Attorney's office provided a
privileged and confidential briefing on facts and circumstances that could give rise to the
exposure to litigation. There was also a discussion on a recommended method of
settling the potential litigation. Questions were asked and answered, and the matter was
discussed and deliberated. The City Attorney's office made a recommendation for
settlement in principle, subject to being formally documented and executed by the
parties. The Council approved the City Attorney's recommendation with a vote of 4-1,
with Councilmember Dyda voting No.
ADJOURNMENT:
At 6:20 P.M., Mayor Pro Tem Ferraro adjourned the meeting.
