Revised Exhibit E showing corrected boundaries of the dedicated and accepted property (page D-1) 1 01203.0018/634466.1 BACKGROUND AND DISCUSSION: This matter involves clerical changes required to reflect the actual site boundaries of the property previously dedicated to the City for open space and park areas located at Trump National Golf Club, and provides precise legal descriptions for the boundaries of the property in order to accurately reflect the property in the Los Angeles County Registrar-Recorder’s Office. On August 21, 2018, the City Council adopted Resolution No. 2018-57 accepting an offer to dedicate certain open space lots (the “OTD”) located on the Trump National Golf Club property to the City. A Certificate of Acceptance (Attachment B) was approved by the City Council in August 2018, which was recorded in November 2018 (“COA”) for the open space and park area property dedicated to the City by VH Property Corp. and VPHS, LLC (the owners of the Trump National Golf Course property (“Owners”)) pursuant to the OTD. Following the recordation of the COA, the title company and Los Angeles County Assessor’s Office (“Assessor”) determined that the property description contained in the COA and OTD were unclear and the office was unwilling to confirm the exact boundaries of the property that was conveyed to the City under the COA, since the OTD only contained a simple map depiction and description and appeared to contain possible discrepancies between the actual boundaries of the property conveyed to the City as shown in the Final Map for Vesting Tentative Tract Map (“VTTM”) No. 50667 and the VTTM No. 50666 governing the development of Trump National Golf Club. The issue came up in 2019 when the Owners sought a Subdivision Guarantee/Report from the title company which is necessary for the recordation of the Final Map for VTTM No. 50666. To address this issue, the City Attorney’s office has worked with the City Engineer, the California Coastal Commission, the Owners, the title company, and the Assessor, to prepare the attached Amendment (Attachment C), which modifies the OTD and the COA previously executed by the City. Coastal Commission staff, the Owners, title company and the Assessor have signed off on this Amendment, since it includes the specific legal descriptions of the open space areas that were intended to be dedicated to the City under the OTD and conforms to the boundaries set forth in VTTM Nos. 50666 and 50667. The Amendment provides that the discrepancies under the OTD were simply clerical errors and that the Amendment is required in order to provide for a more detailed legal description and depiction (Attachment D) of the dedicated property under the OTD. Following the Council’s approval of the Amendment, the Coastal Commission would take the matter up for approval and thereafter, the Amendment would be recorded against Trump National Golf Club to accurately reflect the boundaries of the open space and public park areas that were intended to be dedicated to the City in fee title. ALTERNATIVES: 2 01203.0018/634466.1 In addition to the Staff recommendations, the following alternative action is available for the City Council’s consideration: 1. Identify any issues of concern, provide Staff and/or the Owners with direction and continue the public hearing to April 7, 2020. 2. Take other action as deemed appropriate by the City Council. 3 RESOLUTION NO. 2020- A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF RANCHO PALOS VERDES, CALIFORNIA, APPROVING AN AMENDMENT TO FEE TITLE DEDICATION FOR THE PROPERTY PREVIOUSLY CONVEYED TO THE CITY PURSUANT TO THAT CERTAIN CERTIFICATE OF ACCEPTANCE (IRREVOCABLE OFFER TO DEDICATE FEE TITLE), WHICH WAS RECORDED IN THE OFFICIAL RECORDS OF LOS ANGELES COUNTY ON NOVEMBER 6, 2018 AS INSTRUMENT NO. 20181122132, IN ORDER TO CORRECTLY REFLECT THE BOUNDARIES OF THE PROPERTY. WHEREAS, on June 1, 1992, the City Council of the City of Rancho Palos Verdes (the "City") adopted Resolution No. 92-53, certifying Environmental Impact Report (“EIR”) No. 36, and adopted Resolution Nos. 92-54, 92-55, 92-56, 92-57, approving Vesting Tentative Tract Map (“VTTM”) Nos. 50666 and 50667, and Conditional Use Permit Nos. 162 and 163 (the "CUPs"), and the Coastal Commission adopted Coastal Development Permit No. 103 (the "CDP") for a Residential Planned Development, an 18-hole public golf course, and public open space on an approximately 261.4 acre property located in the City (the "Property") for what is now known as the Trump National Golf Club Project (the “Project”), and now owned by VH Property Corp. and VHPS, LLC (collectively, the "Developer"), who each succeeded to the interest of the prior developer and owner of the Property, Ocean Trails, L.P. (the "Original Developer"); and, WHEREAS, one of the conditions to the development of the Project under the Conditions of Approval of the CUPs and the CDP, was that the Original Developer was obligated to execute and record an irrevocable offer of dedication to the City of certain parcels of land located on the Property for public open space and park areas; and, WHEREAS, Original Developer made such irrevocable offer of dedication to the City, pursuant to a document entitled Irrevocable Offer to Dedicate Fee Title, which was recorded in the Official Records of Los Angeles County (“Official Records”) on December 19, 1997 (the "Original OTD") which consisted of a fee simple interest in certain portions of the Property for the purpose of parks, public access, recreational use, habitat enhancement, public parking, street purposes, and similar purposes (the “Dedicated Property”); and, WHEREAS, the Original OTD was subsequently amended pursuant to that certain Amended and Restated Irrevocable Offer to Dedicate Fee Title, recorded in the Official Records on October 17, 2000 and that certain Amendment to Documents, recorded in the Official Records on October 23, 2000 (as so amended, the “OTD”); and WHERAS, on August 21, 2018, the City Council adopted Resolution No. 2018-57 approving a Certificate of Acceptance for the Dedicated Property under the OTD (the “COA”), which COA was recorded in November 6, 2018, thereby effectuating the transfer of the Dedicated Property to the City; and, A-1 WHEREAS, following the recordation of the COA, the title company and County Assessor’s Office (“Assessor”) determined that the property description and depictions contained in the OTD were unclear and appeared to contain possible discrepancies with the actual boundaries of the property that was supposed to be conveyed to the City as shown in the Final VTTM No. 50667 and VTTM No. 50666 for the Trump National Golf Course, and therefore, the title company, with the advice from the Assessor, was unwilling to provide a Subdivision Report which is necessary for the Developer to record the Final Map for VTTM No. 50666; and, WHEREAS, the City Attorney’s office has worked with the City Engineer, Coastal Commission, Developer, title company, and the Assessor, to resolve the clerical errors by preparing the attached Amendment to Fee Title Dedication (the “Amendment”), which provides for actual legal descriptions and a more precise depiction of the Dedicated Property, which has been informally approved by Coastal Commission staff, the title company, and the Assessor; and, WHEREAS, the proposed Amendment is attached as Exhibit “A”, which includes the following attachments: (i) the COA, and (ii) a precise depiction of the Dedicated Property and legal descriptions of the Dedicated Property; and, WHEREAS, the Developer, as the owner of the Property is also required to execute and record the Amendment; and, WHEREAS, following the approval of this Resolution, pursuant to the conditions under the CDP, the Coastal Commission will formally consider this matter and is required to acknowledge and approve of the Amendment pursuant to the Acknowledgment attached to the Amendment; and, WHEREAS, the City Council desires to approve the Amendment for the public purposes stated therein. NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF RANCHO PALOS VERDES DOES HEREBY FIND, DETERMINE, AND RESOLVE AS FOLLOWS: Section 1: The above recitals are true and correct and are hereby incorporated into this Resolution as set forth herein. Section 2: The City Council hereby accepts and approves of the Amendment and agrees that the COA and OTD shall be amended pursuant to the Amendment to revise and more particularly define the specific Dedicated Property that was required to be transferred to the City pursuant to the CUP and CDP. Section 3: The City Clerk is hereby authorized and directed to cause this acceptance to be recorded on behalf of the City in the Official Records, and to certify the adoption of this Resolution. The Mayor, City Manager, and City Clerk are hereby A-2 authorized and directed to execute any and all other documents as may be necessary to effect the recordation and enforcement of this acceptance, including, executing any and all other documents necessary to effectuate the recordation of the Amendment and/or the transfer of the Dedicated Property to the City (pursuant to a Certificate of Acceptance or such other required instrument, as may be applicable). RECITALS A. Ocean Trails, L.P., the “original grantor”, applied to the California Coastal Commission (the “Commission”) for a coastal development permit, and on April 15, 1993, the Commission approved Coastal Development Permit Number A-5-RPV-93-005 (as amended from time to time, the “Permit”) subject to certain terms and conditions, including a condition (the “Condition”) requiring the fee title dedication of certain real property as described in the Permit. B. The original grantor elected to comply with the Condition by executing that certain Irrevocable Offer to Dedicate Fee Title, which was recorded on December 19, 1997 as Instrument Number 97-1999961 (the “Original Offer to Dedicate”) in the Official Records of Los Angeles County (the “Official Records”), by which the original grantor made an irrevocable offer to dedicate fee title of certain real property owned by original grantor to any agency of the State of California, a political subdivision, or a private association acceptable to the Executive Director of the Commission. C. The Original Offer to Dedicate was amended and restated pursuant to that certain Amended and Restated Irrevocable Offer to Dedicate Fee Title, made by original grantor, which was recorded in the Official Records on October 17, 2000 as Instrument No. 2000-1613039 (the “Restated Offer”), and was subsequently amended pursuant to that certain Amendment to Documents, made by original grantor, which was recorded in C-1 01203.0018/536882.5 2 the Official Records on October 23, 2000 as Instrument No. 00-1649980, respectively (collectively, the “Amended Offer to Dedicate”). The Commission acknowledged and agreed to the Grantee’s execution and recordation of the Certificate of Acceptance subject to certain terms and conditions as set forth in the Acknowledgment of Offer to Dedicate Fee Title Acceptance and Agreement (the “Acknowledgement”) executed by the Commission and the Grantee, which was attached to and incorporated within the Certificate of Acceptance and recorded in the Official Records together with the Certificate of Acceptance. G. Both the Amended Offer to Dedicate and the Certificate of Acceptance contained a general depiction of the Dedicated Property accepted by the Grantee, as shown on Exhibit “E” of the Restated Offer. H. A legal description/depiction sufficient to particularly describe and/or depict the currently accepted boundaries of the Dedicated Property was not attached to the Amended Offer to Dedicate or to the Certificate of Acceptance. The Grantor and Grantee have determined that a legal description of the real property intended to be dedicated to and accepted by the Grantee is necessary to more accurately depict the accepted boundaries of the property so transferred and make other agreed to adjustments, as shown on Exhibit “B” attached hereto and incorporated herein by this reference. The City Council of the City of Rancho Palos Verdes has approved this Amendment and its attached Exhibit “B” at a duly noticed public meeting of the City Council held on _____________, 2020, and the Grantee hereby acknowledges and agrees that the Certificate of Acceptance shall be amended in accordance with the terms of this Amendment.
