"Petitions")
Subject Engagement Letter
Dear Mr Wynder
This letter confirms that the City of Rancho Palos Verdes ("Client") has retained Telecom
Law Firm, PC ("TLF"), and TLF has agreed to represent the Client, in the Petitions I wish
to thank you for selecting TLF to represent you in this matter I also wish to set out the
details of our attorney—client relationship
TLF's representation extends to the filing of comments and reply comments in the
administrative rulemaking proceedings Our fee for services rendered in connection with
these filings will be a single, flat payment equal to $3,500, payable in advance within 30
days after you receive our invoice We will not bill you for any other costs related to this
scope
Our engagement also includes representation in ex parte proceedings with the FCC in
connection with the Petitions Your participation in these proceedings would be at your
option and billed on an hourly basis Hourly rates are $310 for partners, $280 for senior
associates $250 for associates and $150 for paralegals
Our representation does not extend to any appeals, petitions for judicial review or
petitions for certiorari to the United States Supreme Court While we will certainly be
willing to discuss such representation with you if the need should arise, it will require a
separate fee agreement

As we have discussed, this representation will be a "coalition" comprised of multiple other
public agencies and/or their representative associations who have a common interest in
opposing the Petitions We also work closely with other similar coalitions from around the
United States This will almost certainly result in shared information among the coalition
members and among coalitions As a result, we may ask that you enter into a "common
interest agreement" (or authorize to enter into such agreement(s) on your behalf) to
protect any privileged or confidential information from disclosure beyond the parties to
such agreements You will have the right to review any such agreements, know the
identities of all other parties, retain copies of all such agreements for your files and
withdraw at any time upon notice Although we will always exercise discretion when it
comes to any information you disclose to us, you must notify us if any information you
share with us is to be treated as privileged and confidential and not to be shared with
anyone else
Throughout the representation we will send you updates on important dates and
deadlines We will also provide you with at least one draft prior to filing any petitions,
motions, briefs or other documents We will use our best efforts to accommodate all your
comments and revisions to those drafts, and to consult with you if we believe that any
comment or revision should not be incorporated for any reason
If this letter is consistent with our understanding, please sign and return to me An
electronic copy will be sufficient If you have any concerns about this letter, please contact
me before you sign Although I know you are a practicing attorney, it's always a good idea
to have independent counsel review any agreement before execution
