RECITAL Seller desires to sell to Buyer and Buyer,desires to purchase from Seller the underdeveloped land situated in the City of Rancho Palos Verdes,County of Los Angeles,State of California,described on Exhibit "A"attached hereto (the "Property"). NOW,THEREFORE,in consideration ofthe terms and conditions of this Agreement and other valuable consideration,the sufficiency of which is hereby acknowledged,Buyer and Seller agree as follows: 1.Purchase and Sale.Seller agrees to sell Property to Buyer,and Buyer agrees to purchase the Property from Seller subject to and in accordance with the terms and conditions hereinafter set forth. 2.Opening and Closing of Escrow.The parties shall open an escrow ("Escrow") with First American Title Company ("Escrow Holder")at 5 First American Way,Santa Ana, California 92707,Escrow Officer:Brenna Ryan,Jr.(Phone:714/250-5392;Email: bryan@firstam.com),and shall deliver a copy of this fully executed Agreement to Escrow.The phrase "Close of Escrow"shall mean the date that a grant deed for Property in favor of Buyer is recorded in the Official Records of the County of Los Angeles.The Close of Escrow shall occur on or before May 3,2013 (the "Outside Closing Date"). 3.Purchase Price.The purchase price for the Property to be paid by Buyer is Four Thousand Three Hundred Seventy and No/100 Dollars ($4,370.00)(the "Purchase Price"). 4.Title and Title Insurance. Buyer's fee title to Property shall be insured at the Close of Escrow by an CLTA Standard Coverage Owner's Policy of Title Insurance in the amount of the Purchase Price at Buyer's cost,issued by First American Title Insurance Company ("Title Company")whose address is 1250 Corona Point Court,Suite 201,Corona,CA 92879,Title Officer:Hugo Tello (Phone:(951)256-5883;Email:htello@firstanl.com)(the "Title Policy"). Buyer acknowledges receipt of a title report for the Property issued by Title Company and dated March 11,2013 and copies of the title exception documents listed therein. Buyer hereby approves such report and title exceptions except the second installment of property taxes and assessments for the 2012/2013 tax year,which Seller represents has been paid by Seller. -1- R6876-0001 \1 5368 15v5.doc Seller shall not encumber the Property from the Effective Date to the earlier of the Close of Escrow or the termination of this Agreement. 5.Other Due Diligence;Right Of Entry.[INTENTIONALLY OMITTED] 6.Deposit of Documents and Funds in Escrow. (a)Seller and Buyer,as applicable,hereby covenant and agree to deliver to Escrow Holder at least one (1)business day prior to Close of Escrow the following instruments, documents,and funds. (b)Seller shall deliver: (i)A Grant Deed in the form attached hereto as Exhibit "B"duly executed and acknowledged by Seller; (ii)A Withholding Exemption Certificate Form 593-C as contemplated by California Revenue and Taxation Code §18662 (the "Withholding Affidavit") duly executed by Seller; (iii)A Certification of Non-Foreign Status in accordance with Internal Revenue Code Section 1445 duly executed by Seller; (iv)Such proof of Seller's authority and authorization to enter into this transaction as the Title Company may reasonably require in order to issue the Title Policy. (c)Buyer shall deliver: (i)The Purchase Price together with such funds as are required to pay for costs and expenses payable by Buyer hereunder; (ii)A Certificate of Acceptance in the form attached to the form of Grant Deed,duly executed; (iii)A Preliminary Change of Ownership form;and (iv)Such proof of Buyer's authority and authorization to enter into this transaction as the Title Company may reasonably require in order to issue the Title Policy. 7.Authorization to Record Documents and Disburse Funds.Escrow Holder is hereby authorized to record the documents and disburse the funds and distribute the documents called for hereunder upon the Close of Escrow,provided each ofthe following conditions has then been fulfilled: (a)The Title Company is committed to issue in favor of Buyer and Buyer shall have deposited in Escrow the documents and funds required pursuant to Section 6. 8.Prorations;Charges.The second installment of property taxes and assessments for the 2012/2013 tax year shall not be prorated;Seller may apply for a refund from the County assessor/tax collector for the period after the Close of Escrow.Buyer shall pay:(i)the cost of the premium for the CLTA Title Policy,(ii)all costs and charges for the recordation ofthe Grant Deed,(iii)any documentary or other local transfer taxes on the transfer of the Property,(iv)the escrow fees and charges;(v)title endorsements if requested by Buyer.Ifthe Escrow shall fail to close for any reason other than Seller's default,Buyer shall pay any applicable Escrow and title cancellation charges. 9.Condemnation;Damage.If at any time prior to the Close of Escrow,the Property,or any portion thereof,is appropriated through eminent domain or similar proceedings, or is condemned for any public or quasi-public use,Buyer may terminate this Agreement.If Buyer terininates this Agreement,Seller shall be entitled to receive all condemnation proceeds actually paid for that portion of the property taken.If Buyer elects to maintain this Agreement in full force and effect,then upon Close of Escrow,Buyer shall be entitled to receive all condemnation proceeds actually paid for that portion of the Property taken (or,if such proceeds have been paid to Seller,Buyer shall receive a credit against the Purchase Price equal to the amount of proceeds actually paid to Seller).Buyer shall not be entitled to any reduction in the Purchase Price. 10.Default.In the event of a breach or default under this Agreement by either Seller or Buyer that is not cured within five (5)business days after written notice to the defaulting party,the non-defaulting party shall have the right to terminate this Agreement and the Escrow for the purchase and sale of the Property by delivering written notice thereof to the defaulting party and to Escrow Holder,and if Buyer is the non-defaulting party,Buyer shall thereupon promptly receive a refund of the Deposit.Such right of termination ofthe Escrow by the non- defaulting party shall be without prejudice to the non-defaulting party's rights and remedies against the defaulting party at law or equity,and specifically the right to specific performance of this Agreement. 11.Notices.All notices and demands shall be given in writing by certified mail, postage prepaid,and return receipt requested,or by recognized national courier service or by personal delivery.Notices shall be considered given upon the earlier of (a)personal delivery or (b)two (2)business days following deposit in the United States mail,postage prepaid,certified mail,return receipt requested or the following business day if sent by overnight courier.A copy of all notices shall be sent to Escrow Holder.Notices shall be addressed as provided below for the respective party;provided with the transaction.Each party shall defend,indemnify and hold the other party harmless from and against any and all claims for any broker's commissions or similar compensation that may be payable to a Broker based on communications between the indemnifying party and any broker, salesperson or finder.The provisions of this Section shall survive the Close of Escrow. 13.Standard Escrow Instructions.Each party agrees to execute Escrow Holder's supplemental standard instructions if required by Escrow Holder in order to consummate the transactions contemplated by this Agreement,however,such instructions must be reasonable and must not materially conflict with this Agreement. 14.Time is of the Essence.The parties hereto agree that time is of the essence with respect to each term,condition and covenant hereof. 15.Successors and Assigns.The provisions of this Agreement are expressly binding upon,and shall inure to the benefit of,the parties hereto and their successors in interest and aSSIgns. 16.Entire Agreement.This Agreement,together with all exhibits hereto,integrates all of the terms and conditions mentioned herein or incidental hereto,and supersedes all negotiations or previous agreements between the parties or their predecessors in interest with respect to all or any part of the subject matter hereof. 17.Severability.Invalidation of any of the terms,conditions,covenants,or other provisions contained herein by judgment or court order shall in no way affect any ofthe other terms,conditions,covenants,or provisions hereof,and the same shall remain in full force and effect. 18.Attorneys'Fees.In the event that suit is brought for the enforcement of this Agreement or as the result of any alleged breach thereof,the prevailing party or parties in such suit shall be entitled to recover their reasonable attorneys'fees,costs,and expenses from the losing party or parties,and any judgment or decree rendered in such proceedings shall include an award thereof. 19.No Third Party Beneficiary Rights.This Agreement is entered into for the sole benefit of Seller and Buyer and no other parties are intended to be direct or incidental beneficiaries of this Agreement. The San Ramon Canyon situation is an emergency which sneaked up on us like McCarrel Canyon did and now Altamira Canyon is.Other than what has been built under modern best practices,the City owned buildings, roadways,trails,sewers and storm drains have been with us from the beginning.RPV is not 40 and Fabulous if these "assets"have been allowed to deteriorate simply because each Council Member and each City Manager hoped they would last a few years longer as in ..."Please don't fail on my watch". Infrastructure which was expected to last 30 to 50 years was already aging when the City incorporated 39 years ago.In case you had not noticed,this Staff Report indicates that we have Assets "on the books"of over a $100 million,depreciated by over $70 million and no savings account with which to maintain status quo. We don't need to buy another "Plan"to be put on a shelf.We need a Budget which eliminates spending money on social frills.Counting the Rec and Parks Dept Staff time and benefits,and the Public Works Dept's contributions,do affairs like the 4th of July,Whale of a Day and such like the Sleepover in the Museum actually cost us so much that Public Works can't afford to hire a Soils Engineer to answer an $8 to $50K bid on the Narbonne Right of Way at Sunnyside Ridge Road? It is up to the City Council.The former one got their PV Nature Preserve and 50 year agreement with the PVP Land Conservancy.Now it is your turn.Shut down the budget shell game and save our City's infrastructure. 1
