AGREEMENT BETWEEN CLIENT AND GENSLER ("STC")
Article 1—Definitions and General Provisions

BACKGROUND AND DISCUSSION:
Programming Document
The Civic Center Advisory Committee (CCAC) began the process of preparing a
program document for the Civic Center site on May 24, 2018, when it directed Staff to
request authorization from the City Council to proceed with the preparation of a request
for proposals (RFP) to find a qualified firm. Before the RFP was distributed, M. Arthur
Gensler Jr. & Associates, Inc. (Gensler), one of the largest and most esteemed
architectural and design firms in the United States, offered to perform pro bono services
for the City for civic center programming work. The CCAC voted to recommend
Gensler’s offer on June 28, 2018 and the City Council approved it on July 17, 2018.
Gensler worked with Staff and the CCAC to refine the program document and develop
draft conceptual designs.
A program document numerically and statistically depicts the size, relationships,
connections, and barriers between and among the various uses, functions and activities
within a site or building. It is created to have a specific and measurable plan for a
project against which to measure the multiple phases of design and to determine
compliance with these original specific goals. It depicts the relationships between the
functional areas within a site or building, rather than a specific arrangement of rooms,
corridors, buildings, and open areas. It also establishes the same criteria and
relationships for all outdoor spaces on a site.
In order to develop a thorough and thoughtful program document, the CCAC, staff and
Gensler undertook the following steps:
• Conducted meetings with Staff and focus groups
• Met with all City departments
• Visited the site
• Studied historical documents, past Civic Center plans, the 2016-17 citywide
survey, and other relevant documents
• Conducted an open house on August 8, 2019, which was attended by 93 people.
Attendees were afforded the opportunity to learn about the project’s history,
physical dimensions and constraints, and potential components. Attendees
indicated their preference for particular components and offered comments about
the project.
• The program document was discussed and refined at multiple CCAC meetings.
In both the survey and the open house results, active recreation components scored
relatively low. Passive elements and public safety components scored consistently high.
City facilities (City Hall, Council chambers, and maintenance yard) were only addressed
at the open house. These results played a significant role in CCAC’s decisions as to
which components to recommend.
The CCAC approved a draft Civic Center program document on July 8, 2019 which was
presented and approved by the City Council on July 22, 2019 (Att A). Below is the Civic
Center Program Document Summary:
The program document includes detailed square footage based on office space,
meeting and storage areas, and other needs for each City department: Administration,
Finance, Public Works, Community Development, and Recreation and Parks. The
recommended 32,891 gross square footage (GSF) for the existing City Hall buildings is
smaller than its current footprint of 38,700 (GSF). The program document also includes
common areas such as the lobby, conference rooms, production rooms
(copiers/scanners/printers), server room, and record storage.
The document also includes analysis and square footage estimates for a Los Angeles
County Sheriff’s Department substation, a medium fire station, and an emergency
operations center. Staff has held ongoing discussions with the Sheriff’s Department and
the L.A. County Fire Department about the possibility of locating stations at the Civic
Center site.
The report appendix includes an inventory of existing buildings on site as well as other
considered uses (pool, gym, skate park, ball fields) that were not recommended by the
CCAC. These components received low levels of support in the citywide survey and at
the public workshop.
2020 Program Document Review Regarding COVID Concerns
There was a general discussion at the May 28, 2020 CCAC meeting regarding the
potential effect of COVID-19 on building design, particularly with regards to meetings
spaces and the types and number of offices. The CCAC directed Staff to analyze the
current Civic Center Program document. Staff reached out to representatives from all
City Departments for feedback. Staff also contacted staff from Gensler for their input.
City Hall Analysis
The program document recommends reducing the size of the existing City Hall buildings
from approximately 38,000SF to 33,000SF. One of the ways that this reduction was
achieved was through a shift from a high percentage of private offices (ranging from
20x10SF to 10x10SF) to a more open floor plan approach with most Staff utilizing a 6x8
SF area. From those space savings and through a more organized, modern use layout,
the reduced footprint still managed to include a significant increase in the number and
variety of meeting rooms.
The majority of the program document was deemed to still be a valid guide for the Civic
Center Master Plan, given the uncertainty of COVID-19’s long-term impact, the
possibility of a vaccine, and the fact that this project is several years away from potential
completion. While telecommuting and rotational schedules have become much more
common in the American workplace, it is worth noting that the long-term future of this
trend is unknown.
The following potential COVID-19-related design refinements were considered.
• Maintain 33,000SF target size for City Hall
• Have the selected design consultant perform a “program validation” of the
existing program document
• Consider an increased percentage of private offices
• Consider “mini” offices, same size as cubicle spaces
• Increase separation between spaces using plexiglass and other materials
• Enhance air handling/filtration systems
• Reduction in number of meeting spaces given increased Staff and public
comfort level with remote learning possibilities
• Move towards “touchless” approaches e.g. automatic door openers, trash
receptacles, key fob access, etc.
• Locate public meeting rooms near to entrances for better air circulation
• Locate meetings between public and staff to the ground floor away from
Staff offices
• Incorporate virtual technologies into design to assist/enhance remote
meetings
It is worth noting that steps have already been taken to make City Hall more responsive
to COVID-19 concerns in the short term. These include the installation of plexiglass
dividers, hand sanitizers, social distancing and safety signage.
Review of Existing Program Document
Staff is recommending a review of the program document due to the fact that it has
been almost two years since it was approved by the CCAC and City Council. Five of
the current seven CCAC members were not part of the Committee when the Program
Document was approved in 2019. Their insights and opinions could strengthen the
existing documents.
The review of the Program Document could include, but would not be limited to the
following components:
• Review and consider incorporating the results of the afore-mentioned COVID-19
assessment performed in 2020.
• Consider additional COVID-19 related “lessons learned” since the previous
assessment.
• Consider including the Coast Guard “Battery Barnes” parcel and define
parameters for its possible use.
• Provide more detailed direction on potential uses of Nike Missile silos.
• Updated information on potential public safety involvement including Los Angeles
County Fire Department and Los Angeles County Sheriff’s Department
•
Additionally, since the Program Document was accepted by the City Council, uses not
previously considered have come up as possibly being considered at the Civic Center,
such as a performing arts center, more restaurants, the historical society, a museum on
the Vanderlip Estate, and most recently, affordable housing.
Staff would also recommend reaching out to a professional design/architecture firm
such as Gensler to review the Program Document and offer suggested modifications for
the CCAC’s review. Any changes made to the Program Document by the CCAC would
need to be approved by the City Council at a future meeting.
After reviewing the Program Document, the next step would be to begin developing a
conceptual master site plan which should align with the on-boarding of a project
manager.
Staff seeks Committee direction on the Program Document especially as it relates to
some new interest in expanding uses at the Civic Center.

MEMORANDUM OF UNDERSTANDING BETWEEN
CITY OF RANCHO PALOS VERDES & GENSLER
FOR PRO BONO ARCHITECTURAL & DESIGN SERVICES
This MEMORANDUM OF UNDERSTANDING ("Agreement") is made and entered
into this 17th day of July,2018,by and between the CITY RANCHO PALOS VERDES,a general
law city and municipal corporation ("City") and M. ARTHUR GENSLER JR. &
ASSOCIATES, INC., a California corporation ("Gensler"), collectively referred to herein as
"Parties."
RECITALS
A. Gensler is a global architecture, design, and planning firm with 46 locations and
more than 5,000 professionals networked across Asia, Europe,Australia,the Middle East, and the
Americas.
B. Gensler provides expert services at every stage of the design cycle, from initial
strategy and design planning through implementation and management.As a part of its community
out-reach efforts, Gensler has offered to provide certain community visioning, programing, and
concept design services to City on a pro bono basis.
C. City's Civic Center Advisory Committee has recommended that the City Council
accept Gensler's offer of pro bono community visioning,programing,and concept design services
for a future Civic Center project(the "Services").
THE PARTIES THEREFORE AGREE AS FOLLOWS:
1. AUTHORIZATION. City hereby accepts Gensler's offer to provide the Services
and authorizes City's staff and the Civic Center Advisory Committee to utilize the same in
visioning and concept design for a future Civic Center project.
2. PRO BONO SERVICES. The Parties understand and agree that such Services as will
be provided by Gensler will be on a no-fee basis to City. Gensler reserves the right, in its sole
discretion,to determine the amount of the Services to be provided to City on a no-fee basis.
3. SCOPE OF SERVICES. Gensler will assist City's staff and the Civic Center
Advisory Committee in holding Civic Center focus group meetings, Civic Center visioning
sessions, and providing to City with initial strategy, design planning, layouts, and imaging for a
future Civic Center project. The Services will be limited to up to four focus group meetings, one
public visioning session, a quantitative/qualitative program with three options, concept plans, 3D
Massing , and up to three architectural images.
4. NO COMMITMENT FOR FUTURE SERVICES. Gensler understands and
agrees that, in providing the Services to City on a no-fee basis, there is no commitment, express
or implied, that City will engage Gensler to render future architectural, design, or planning
services for any City project or undertakings including, but not limited to, a future Civic Center
project.

have any control over the manner, mode or means by which Gensler, its agents or employees,
perform the Services identified herein. Gensler shall perform the Services identified herein as an
independent contractor of City with only such obligations as are consistent with that role.
6. OWNERSHIP OF DOCUMENTS. All documents, layouts, images and other
materials prepared by Gensler in the performance of this Agreement shall be the property of
Gensler, who will grant a license to the City and its consultants for the purposes of this project
only. Gensler shall have no claim for future employment or compensation for the same.
7. INDEMNIFICATION. City agrees to indemnify and hold Gensler harmless from
and against any and all claims, liabilities, suits, demands, losses, damages, costs, and expenses
(including reasonable attorneys' fees and costs of defense),together with interest thereon,accruing
or resulting to any persons, firms, or other legal entities, on account of any damages or losses to
property or persons, including death or economic loss, arising out of the unauthorized use,re-use,
transfer or modification, or further modification and/or evolution of the Services, including any
work product or document, without the involvement and supervision of Gensler.
8. RELEASE OF LIABILITY. In exchange for the Pro Bono Services being
provided by Gensler, the City hereby agrees to release Gensler of any liability for any and all
injuries,claims,losses,costs,expenses,or damages whatsoever arising out of or in any way related
to the Project or this Agreement,from any cause or causes, including but not limited to,negligence
and/or breach of contract.
7. ENTIRE AGREEMENT. This document sets forth the entire agreement of the Parties
regarding its content. This Agreement may not be altered orally and may only be altered by an
agreement in writing signed by both Parties.
8. TERMINATION. This Agreement may be terminated at any time by either party upon
written notice to the other party at the address stated in the signature block below.
