RECOMMENDED COUNCIL ACTION: (1) Approve Amendment No. 2 to the Professional Service Agreement with Interwest Consulting Group to increase the annual Agreement amount for Building & Safety consulting services. FISCAL IMPACT: Increase the annual Agreement amount by $81,000, from $248,000 to $329,000, to cover costs for the staffing of a temporary Building Permit Technician during the unpaid medical leave of the City’s full time employee (FTE). The increase to the Agreement amount will not impact the Department’s budget because of Salary and Benefit savings during the temporary vacancy of this FTE position in the Building and Safety Division. Professional Service Agreement (including Amendment No. 1) with Interwest Consulting Group (page B-1) BACKGROUND AND DISCUSSION: On August 15, 2017, the City Council approved a two-year Professional Service Agreement (Agreement), with an option to renew one additional year (Attachment B), with Interwest Consulting Group (Interwest) to provide on call Building and Safety Services, such as plan check reviews or site inspections for private development projects and as-needed technician support. 1 On January 16, 2018, the City Council approved Amendment No. 1 to the Agreement increasing the contract cost to reflect the hourly increase from the original amount of $201,000 to $248,000 for a highly-qualified plan checker provided by Interwest. An additional appropriation was not needed because the proposed increase was covered by salary and benefit savings from current vacant positions in the Building and Safety Division. Since June 2017, one of the Building and Safety Division’s two Building Permit Technicians was placed on a doctor-ordered medical leave. In order to avoid any disruption to services provided to the public at the Building and Safety counter, this Staff vacancy required the Division to request a full-time temporary staff person from Interwest. This unanticipated request has resulted in the potential to reach the maximum annual Agreement amount of $248,000 sooner than the full one-year term. To avoid exceeding the annual Agreement amount, Staff is requesting that the City Council increase the amount from $248,000 to $329,000 annually. An additional budget appropriation will not be needed at this time, as the proposed increase will be covered by salary and benefit savings from the current temporary vacancy of the Building Permit Technician FTE position in the Building and Safety Division. As it is unknown when the City’s full-time employee will return to work, the increase to the annual Agreement amount is requested for the full two-year term of the Agreement (with an option to extend one additional year). ALTERNATIVES: In addition to the Staff recommendation, the following alternative action is available for the City Council’s consideration: 1. Identify any issues of concern that may require further study and direct Staff to provide additional information at a subsequent meeting. 2 AMENDMENT NO. 2 TO AGREEMENT FOR CONTRACTUAL SERVICES THIS AMENDMENT TO THE AGREEMENT FOR CONTRACTUAL SERVICES (“Amendment”) by and between the CITY OF RANCHO PALOS VERDES (“City”) and INTERWEST CONSULTING GROUP, a California corporation (“Consultant”) is effective as of the day of April, 2018. RECITALS A. City and Consultant entered into that certain Agreement for Contractual Services dated August 15, 2017 (“Agreement”), amended on January 16, 2018 as Amendment No. 1, whereby Consultant agreed to provide Building & Safety Services. B. Since June of 2017, one of the City’s two building permit technicians has been on medical leave, and the City has had the need to increase Consultant’s workload to ensure continued service. C. City and Consultant now desire to amend the Agreement a second time to increase the Contract Sum from $248,000 annually to $329,000 annually to cover the expanded services provided by Consultant. TERMS 1. Contract Changes. The Agreement is amended as provided herein. Deleted text is indicated in strikethrough and added text in bold italics. a. Section 2.1, Contract Sum, is amended as follows: Subject to any limitations set forth in this Agreement, City agrees to pay Consultant the amounts specified in the “Schedule of Compensation” attached hereto as Exhibit “C” and incorporated herein by this reference. The total compensation, including reimbursement for actual expenses, shall not exceed Seven Hundred Forty Four Thousand Dollars ($744,000) Nine Hundred Eighty-Seven Thousand Dollars($987,000) (the “Contract Sum”), unless additional compensation is approved pursuant to Section 1.8. b. Section I of Exhibit “C”, Schedule of Compensation, is amended as follows: I. Consultant shall perform the following tasks at the following rates: RATE/HR TIME SUB-BUDGET A. Except as amended by this Amendment, all provisions of the Agreement shall remain unchanged and in full force and effect. From and after the date of this Amendment, whenever the term “Agreement” appears in the Agreement, it shall mean the Agreement, as amended by this Amendment to the Agreement. 3. Affirmation of Agreement; Warranty Re Absence of Defaults. City and Consultant each ratify and reaffirm each and every one of the respective rights and obligations arising under the Agreement. Each party represents and warrants to the other that there have been no written or oral modifications to the Agreement other than as provided herein. Each party represents and warrants to the other that the Agreement is currently an effective, valid, and binding obligation. Consultant represents and warrants to City that, as of the date of this Amendment, City is not in default of any material term of the Agreement and that there have been no events that, with the passing of time or the giving of notice, or both, would constitute a material default under the Agreement. City represents and warrants to Consultant that, as of the date of this Amendment, Consultant is not in default of any material term of the Agreement and that there have been no events that, with the passing of time or the giving of notice, or both, would constitute a material default under the Agreement. The parties hereto irrevocably stipulate and agree that they have each received adequate and independent consideration for the performance of the obligations they have undertaken pursuant to this Amendment. 5. Authority. The persons executing this Agreement on behalf of the parties hereto warrant that (i) such party is duly organized and existing, (ii) they are duly authorized to execute and deliver this Agreement on behalf of said party, (iii) by so executing this Agreement, such party is formally bound to the provisions of this Agreement, and (iv) the entering into this Agreement does not violate any provision of any other Agreement to which said party is bound.
