DISCUSSION
In a letter dated May 25,2010,to Mayor Stefan Wolowicz,Marymount College
President Michael Brophy wrote:
"In just over a month's time,4876 Rancho Palos Verdes residents signed an
initiative petition requesting that The Marymount Plan be placed on the November
2010 ballot.This ballot was chosen to give the greatest number of Rancho Palos
Verdes residents the chance to express their opinion on this important issue.
More than 15,000 voters cast ballots in the last Governor's election in Rancho
Palos Verdes versus just over 6,200 in the last City election.A November 2010
election means that the most voices will be heard ...
"The residents of Rancho Palos Verdes have spoken and they support the
Marymount Plan.We strongly recommend that you adopt the initiative as
presented.However,if you want the voters of our City to decide,we urge the City
Council to consolidate the [City's special election on the]Marymount Plan with the
November 2010 ballot to provide the greatest participation of the greatest number
of voters.
"To show our commitment to this City that I,and the entire Marymount
College family,call home,we will pay all the City's costs associated with
placing the initiative on the November 2010 ballot.We want to do our part to
ensure that the challenge of limited public funds does not stand in the way of the

broadest participation possible."
On June 15,2010,the City Council called the special election on Measure P and
requested that the County of Los Angeles conduct the City's Special election and
that it be consolidated with the statewide general election held on November 2 nd
,
as requested by Dr.Brophy.
Prompted by the Council's subsequent inquiry about the status of the College's
reimbursement to the City,Dr.Brophy responded by requesting clarification on the
status of his "offer"of reimbursement.The City Manager sent a letter on
September 20,2010,which outlined several options for payment methods,and
asked that he advise her of his preference so that the City could make the
arrangements as appropriate.
On November 12,2010,the City Manager wrote another letter to Dr.Brophy
asking for confirmation of the payment method,along with an attached invoice of
expenses incurred by the City to date,and a request for a trust deposit for the full
estimated amount of the election expenses expected to be incurred by the City.
The City Manager asked for a response by December 3,2010.
Dr.Brophy left a voice mail message for the City Manager on Wednesday,
December 1,2010,which indicated that the College needs to secure the minutes
of the meeting when the City Council accepted his offer to have Marymount pay
for the election expenses.He explained that they do not have any record of the
Council accepting this offer,and asked that I email the document so that they can
consider it.
The City Clerk emailed several documents to Dr.Brophy later that same day:two
sets of meeting minutes,an article in the newspaper reporting on the College's
commitment to pay for the election expenses,and the letter to Mayor Wolowicz
dated May 25th stating that the College will pay all City costs related to the ballot
initiative.
Dr.Brophy's email to the City Clerk,as well as his voice message to the City Manager,
seemed to imply that Council action is needed in response to his letter of May 25th •
However,the City Attorney advises that the City Council already took action in response
to his letter,when the Council called the special election on Measure P and requested
that the election be consolidated with the statewide general election on November 2nd ,
as requested by Dr.Brophy.
Accordingly,on that same day,the City Manager sent an email to Dr.Brophy
reminding him of these ~oints,but offering that this item could be placed on the
agenda for December 7 h,if the College requires another formal action by the
Council in addition to calling the election to be held on November 2nd .The City
Manager had not received a reply from Dr.Brophy as of 5:30 pm Thursday,
December 2,2010.

The Council may reaffirm that it had accepted the College's commitment to
provide reimbursement for the expenses related to the special election or take
other action as it deems appropriate.

Marymount College has been a proud member ofthe Rancho Palos Verdes Corpmunity for 50
years.
For the past decade,we have worked with the City,our neighbors and the residents of Rancho
Palos Verdes to find the best way to sustain Marymount College as a vibrant educational
institution while respecting our neighbors and the entire City.
After a decade of starts and stops,we made the decision that the voters of our City should have
the chance to weigh in on our plans to preserve the college and offer new and enhanced
educational and recreational benefits for our community.MarymoUI1t does its part,as our entire
community does,paying over $150,000 annually in property,sales,utility and other taxes that
help fund vital public services.We are not cQmmercial developers seeking special favors -we
have been a partner and community resource since before Rancho Palos Verdes was even a City.

The MarymoUI1t Plan,which was signed by about 15%of our City's Voters,or you can put The
Marymount Plan on our next ballot.
The residents of Rancho Palos Verdes have spoken and they support The Marytnount Plan.We

offers to foot bill for
special election on
expansion

Marymount College told the city of Rancho Palos
Verdes on Tuesday that the school would pay for
the cost of a special election allowing voters to
weigh a proposed oampus expansion.
The private Catholic college last month
submitted signatures in support of a ballot
initiative that would approve neW faciHties,
including dormitories for 250 students.
Marymountofficials first announced their
expansion plans more than a decade ago,but
the project has been bogged down by revisions
and bureaucratic red tape.

comparative analysis of the Council approved Marymount Project and the Marymount
Initiative;and complimented staff on the thorough preparation of excellent staff reports
regarding the Marymount Project.He stated that CCC/ME has identified 36 significant
differences between the Council approved Marymount Project and the Marymount
Initiative in the following categories:removal of requirements;increase of negative
impacts on the neighborhood environment;elimination or reduction of City oversight;
deletion of compliance;and reduction of safety requirements.
Mayor Pro Tem Long moved,seconded by Councilman Stern,to receive and file the

Certification of Petition -Marymount College
City Clerk Morreale provided a brief staff report regarding the item.
Discussion ensued between Council and City Attorney Lynch.
Mark Wells,Rancho Palos Verdes,stated that Marymount College does not want the
residents to be able to make informed decisions and requested that the Council call for
the Special Election.He asserted that Marymount College must have dormitories in
order to attract foreign parents'dollars for the education of their children,noted that a
$40,000 tuition fee was charged this past year,and that 60 percent of the college
population is made up of non-local students.
Dr.Michael Brophy,President,Marymount College,stated that it would be best for
Marymount College and the community for the Marymount Initiative to be placed on the
November 2,2010 Ballot.He stated that little new information has been presented and
noted that Marymount College would adhere to any financial commitment that was
made to the Council,such as the median along Palos Verdes Drive East.He stated
that a great deal of the conditions in the Marymount Initiative were mitigations presented
in the Environmental Impact Report or by the Planning Commission.He noted that the
voters when considering high density housing will look at Terranea Resort,senior
housing,apartment buildings,and Crestmont College.
Council,staff and applicant discussion ensued.
Ken Dyda,Rancho Palos Verdes,noted that Terranea Resort is in a commercial zone
and has less of an impact on traffic than MarineIand did;and that Crestmont College is

planning to vote on the matter should carefully read the materials to obtain a very clear
picture,noting that the comments expressed by the previous speakers were absolutely
true.
Kyle Nelson,Ladera Linda Homeowners Association (HOA),Rancho Palos Verdes,
stated that the Ladera Linda HOA recently held a meeting where they discussed the
beautification grants which they have used in the past to help maintain and landscape
the medians and City parkland adjacent to their neighborhood.He inquired as to the
City's plans regarding moving forward with the establishment of the proposed
neighborhood beautification committee.
City Manager Lehr stated that no meetings have been held yet with the Council
Subcommittee regarding the neighborhood beautification grant program and noted that
staff would be available to discuss the particulars of the Ladera Linda HOA.
CITY MANAGER REPORT:
City Manager Lehr announced that the City of Rancho Palos Verdes has in cooperation
with EDCO organized a free City-wide brush removal event to allow property owners to
dispose of excess vegetation and brush and trim trees.She noted that residents would
be receiving an informational postcard in the next week advertising the upcoming event.
Councilman Campbell inquired of City Attorney Lynch as to the status of the Council
report regarding the possibility of extending legal protections to past Committee,
Commission,and Council Members in case of malicious or frivolous lawsuits.
City Attorney Lynch stated that the report should be ready for the next meeting in
October or the first meeting in November.
Councilman Campbell inquired as to the plans on the part of the City to request of
Marymount College reimbursement for the legal fees spent in defeating the lawsuit by
Michael Brophy which was funded by Marymount College.
City Attorney Lynch stated that Councilman Stern led the defense of the authors who
drafted the Argument Against Measure P,while her firm was primarily responsible to
defend the City Clerk.She noted that her firm candidly does not see a viable
mechanism to recover defense costs of defending the City Clerk where the plaintiff is
entitled to file a lawsuit challenging the language in Ballot Arguments or the Impartial
Analysis.
Councilman Campbell inquired if the City has received a definitive response from
Marymount College regarding payment for the upcoming November 2,2010 Election.
rCity Attorney Lynch explained that Dr.Brophy wrote a letter several months ago 7
committing to paying for the election expenses;Dr.Brophy more recently asked for I

clarification about the status of his offer;City Manager Lehr wrote a letter to Dr.Brophy
in response providing several options for payment either by the City providing invoices
or through the establishment of a Trust Deposit.
City Manager Lehr stated that she was not aware of having received a response to this
letter as to which of any of the mechanisms Marymount College has planned to utilize to
reimburse the City for the election expenses.

Dear Dr.Brophy:
On May 25,2010,the City received a copy of a letter from you addressed to Mayor Wolowicz in
which you stated:"To show our commitment to this City ...we will pay all the City's costs
associated with placing the initiative on the November 2010 ballot."First of all,thank you for the
commitment that you made to the City to pay all costs associated with the Special Municipal
Election on the Marymount Initiative.The College can reimburse the City in one of two ways;by
reimbursement of individual invoices or through a Trust Deposit account.
One option for reimbursement to the City would be through the issuance of periodic invoices.We
can create an invoice listing all of the City's costs to date associated with the placement of the
Marymount College Measure (Measure P)on the November 2,2010 Ballot.On September 17,
2010,the City received its first invoice from the Los Angeles Registrar-Recorder/County Clerk
(LARR/CC)for the Signature Verification of the Petitions in the amount of $2,748.73.Other
reimbursable expenses will include,but are not limited to,the LARR/CC's cost of the Election
(estimated at $78,000);the City Attorney's expenses for the preparation of the Ballot Title and
Summary and the Impartial Analysis;publication of the Notice of Election in required newspapers;
translation expenses (estimated at approximately $12,000);courier expenses for transmittal of
documents to the LARR/CC,and other related expenses.Many of the costs associated with the
Election will not be invoiced to us by the LARR/CC until more than 3 months after the Election.
A second option for reimbursement to the City would be through the establishment of a Trust
Deposit in the initial amount of $20,000,to facilitate payment of the City's expenditures related to
the Election.The City would provide you with an explanation of all expenses that are charged
against the Trust Deposit,as that occurs.If you decide that you would like to open a Trust
Deposit,please advise me of that decision,and I will contact the Finance Department to arrange
to have one'opened for that purpose.

The purpose of this letter is to follow up with you regarding the College's commitment to pay the

Please see the enclosed list of expenses incurred to date with the associated invoices pertaining
to the Measure.The City anticipates receiving additional invoices for other expenses which will
include,but are not limited to,the Los Angeles Registrar-Recorder/County Clerk's (LARRlCC)
cost of the Election (estimated at $78,000);and the City Attorney's expenses for the preparation
of the Ballot Title and Summary and the Impartial Analysis.Many of the costs associated with the

I received your voice mail today,asking me to forward to you minutes from the Council meeting when the City Council "accepted"
the College's commitment to pay for election expenses.I had asked the City Clerk to email you the several documents in our files
that pertained to Marymount College stating its intent to reimburse the City for election expenses relating to Measure P,and as
you can see,there are several references to the commitment to pay,but no request from the College that the City Council vote to
"accept"an offer.Thus,I am confused as to why you phrased your message the way you did.
Because your letter of May 25,2010 to Mayor Wolowicz committed to have Marymount College pay for the expenses incurred
by the City relating to that election,responsive action by the City Council was not required.Indeed,other than requesting that
the Council either adopt Measure P as proposed,or schedule the election on Measure P on the November 2nd election date,you
did not request any other response from the City Council in your letter.
As you know,the City Council scheduled the election on November 2nd ,as you requested.Nonetheless,if you need another
formal action by the City Council to facilitate Marymount's payment of the election expenses,we surely can accommodate your
request.
Please advise me by the close of business day tomorrow,if you would like me to place your request for formal Council action on
the agenda for the upcoming Council meeting on December 7,2010,and I will do so.I expect to receive an inquiry from the
Council about the status of this matter,so it would be very helpful to be able to apprise them of the status of Marymount's
forthcoming payment to the City.
