RECOMMENDATION
1.Approve the attached agreement allowing the conditional use of City Right of Way
and easements at Menominee Place,and authorize the Mayor and City Clerk to
execute the agreement.
2.Authorize property owner to perform grading within easements following Planning and
Building approval.
3.Authorize the City Clerk to record the agreement with the County Recorder following
Planning approval of the improvements.
BACKGROUND/ANALYSIS
Menominee Place was created when Tract Map 21353 was recorded October 1,1959.The
map defined parcels,roadways,covenants/restrictions etc.Easements were established
reserving the use of land for a Future Street and for Storm Drain purposes across the
property located at 26603 Menominee Place.
This property owner on Menominee Place is pursuing an after-the-fact planning entitlement
and building permit for outdoor patio improvements,retaining walls,and grading to his
property.The easement for Future Street purposes,a storm drain easement,and sewer
easement traverse the locations where the improvements are located.All of the after-the-
fact improvements that encroach into easements which were given to Los Angeles County
and subsequently assumed by the City of Rancho Palos Verdes have been identified and
included in the attached documents for your consideration.

The specific areas being considered through the Agreement are described in Exhibits A and
B of the Agreement (Plat Maps and Legal Descriptions).They include an easement for
Future Street purposes,a storm drain easement and a sewer easement.
Staff has visited the site,reviewed the location of the improvements and discussed the
potential future use of the easements with the property owner,including potential trail
requirements and maintenance access requirements.Staff has the opinion that,from an
engineering perspective,the easement for Future Street purposes is not viable to be used
for vehicular purposes due to the extreme slope to the north of the designated easement.
As described in the Agreement (Attachment A),the City is not forfeiting any rights and
maintains full easement rights.The Agreement allows the property owner to temporally keep
in place only those improvements identified in the agreement,until the City notifies the
property owner of the need to remove the improvements.Staff feels the current
encroachments are minor and will not hinder or inhibit the construction of a trail or the
performance of maintenance work within the easements.The Easement for Future Street
purposes is a 30 foot wide easement located along the north-west property boundary.
Parcels 1 and 2 are located within the easement for Future Street purposes and contain
improvements identifies as a chain link fence,metal fence,retaining wall,block wall,brick
pavement and trees.
Staff envisions that if a trail were constructed in the Future Street Easement area,the trail
would be designed to meander from within the easement on associated with 26603
Menominee PI.into the future Street Easement on the adjacent property.The trail would
occupy approximately 20 feet of land (10 feet on each property).If the designers determined
more land was needed for the trail,the attached agreement preserves the City's right to
compel the property owner to remove improvements.The agreement identifies the
improvements and allows for their removal without cause at any time.
A storm drain easement is located along the western property boundary.It is a 10 foot wide
easement for drainage purposes.Parcels 3 and 4 are located within the storm drain
easement and contain improvements identified as a block wall,brick pavement,and cement
pavement.The City owns an 18"Corrugated Metal Pipe storm drain line which is located
within the storm drain easement and was recently lined.This storm drain provides a
drainage path for runoff from Menominee Place to Malaga canyon.
A sewer line is located within the 6 foot wide sewer easement which is located along the
north-east property boundary.Parcels 5 and 6 are located within the sewer easement and
contain improvements identified as a chain link fence,brick pavement,block wall and
retaining wall.An 8"sewer line is located within the sewer easement.
The after-the fact improvements occupy the easement for Future Street purposes,the storm
drain easement and the sewer easement (parcels 1,2,3 and 6).The remaining
encroachments (parcels 4 and 5)have been in-place for many years.The older
encroachments were identified and are being included in the proposed agreement to
facilitate the City's right to require any improvements installed within an easement to be
removed at the owner's expense if required by the City in the future.
The property and easement areas are shown in the Agreement as Exhibits A and B (Plat
Maps and Legal Descriptions).In the future,if the City needs to access or replace facilities
located in the easements or needs to develop the Future Street easement,or if additional
land is reqUired to develop a trail within the easement area,the Agreement reqUires the

property owner to remove the improvements at the property owner's expense following
notification by the City of the need to do so.
Currently the City does not have a specific agreement regarding use of the easements with
this or most other property owners in the City.The proposed agreement between this
property owner and the City will protect the City by requiring the property owner to remove
his improvements at any time following a request from the City (for any or no reason)and to
pay the cost to remove the improvements.The agreement is structured to "run with the land"
and will be recorded by the County recorder,so a new property owner would inherit the
terms and conditions of the agreement.
The agreement allows the property owner to maintain or modify the after-the-fact
improvements on his property within easement areas as depicted and called out in the six (6)
parcels identified in the Agreement.As part of the request before the City Council,the
property owner is requesting Council permission to peruse approval of a grading application
which will include grading within the easements.In order to process a grading application
whereby a portion of the grading would be conducted within a private easement,easement
holder (the City)permission is required.It is important to note that the property owner must
receive the proper Planning Entitlement(s)and Building permission from the easement
holder (the City)to conduct grading within the easement areas to restore the slope to its
original condition.As such,Staff has included a recommendation authorizing the property
owner to perform grading within easements following Planning and Building approval.If
approvals are received,~he Easement Agreement will then be recorded.
Unlike other circumstances where city has vacated an easement,this agreement maintains
the City's easements,identifies encroachments into the easements,allows the property
owner to passively use the easement land,and requires the property owner to completely
remove any improvements constructed within the easements if directed to do so by the City.
Because these encroachments into the easements are small and because the easement
agreement requires the improvements to be removed by the property owner at City request,
staff does not recommend payment for these minor encroachments.
ALTERNATE RECOMMENDATION
As an alternative to the recommendations provided above,the City Council may wish to deny
the request to approve the attached agreement and require the property owner to remove
improvements installed within the easement areas.
CONCLUSION
The property owner's use of the easements is fully revocable and all costs associated with
removing improvements shall be borne by the property owner.Therefore,Staff is
recommending approval of the agreement as presented above.Following Planning approval
of the improvements the City Clerk will forward the Agreement to the County for recordation.
FISCAL IMPACT
The recommended action has no direct fiscal impact.

This Easement Agreement is exempt from Recording Fees pursuant to California Government
Code Section 27383.
EASEMENT AGREEMENT
THIS AGREEMENT ("Agreement")is entered into effective this _day of
______,2011,between the CITY OF RANCHO PALOS VERDES,a municipal
corporation organized and existing under the laws of the State of California ("City"or
"Grantor")and JOSEPH WONG,JR.("Grantee").
RECITALS
WHEREAS,Tract Map 21353,recorded on October 1,1959 ("Map"),created and
granted to the County of Los Angeles ("County")a thirty (30)foot easement on the burdened
property for the purposes of building a future street ("Future Street Easement"),a ten (10)foot
easement on the western portion for the purposes of maintenance of a currently existing storm
drain and/or possibly installing a new storm drain ("Storm Drain Easement"),and a six (6)foot
wide easement on the north eastern portion for a sanitary sewer line ("Sewer Easement");and
WHEREAS,the City was incorporated in 1973,and thus assumed all County property
rights within its jurisdiction,including the Future Street Easement,the Sewer Easement and the
Storm Drain Easement;and
WHEREAS,Grantee is the sole owner in fee simple of the property legally described in
Exhibit "A-I,"attached hereto,commonly known as 26603 Menominee Place,Rancho Palos
Verdes,California 90275-5351 ("Burdened Property");and
WHEREAS,Grantee has submitted a plan for improvements to the Burdened Property
to the Planning Department of the City,Planning Case No.ZON2008-00004 ("Improvement

Plan"),which include improvements constructed within the Future Street Easement,the Sewer
Easement and the Storm Drain Easement ("Improvements").
AGREEMENT
NOW,THEREFORE,in consideration of the mutual promises,covenants and
conditions hereinafter contained,the parties do hereby agree as follows:
1.GRANT OF EASEMENT.Subject to the other terms of this Agreement,
Grantor hereby grants to Grantee a non-exclusive,perpetual easement over six specific areas
described as Parcels 1 through 6,as more particularly described in Exhibits "A"and "B,"
which are attached hereto and incorporated herein by this reference,over the Future Street
Easement,the Sewer Easement and the Storm Drain Easement for the purposes of constructing
and maintaining the Improvements ("Grantee's Easement")for the benefit of the remainder of
the Burdened Property.
2.GRANTOR'S USE OF EASEMENT.Grantor reserves the right to use and to
grant to others rights in,under and to the Future Street Easement and/or the Storm Drain
Easement and/or the Sewer Easement.Upon written notice from Grantor,Grantee must
promptly and diligently,at Grantee's sole cost and expense,remove the Improvements
described in Grantor's notice from the Future Street Easement,the Sewer Easement and/or the
Storm Drain Easement and completely restore those areas to their condition prior to the
construction and installation of the Improvements,including the original grade and topography.
If Grantee does not remove the Improvements from the Future Street Easement,the Sewer
Easement and/or the Storm Drain Easement and provide complete restoration within thirty (30)
days after the City gives such notice,the City shall have the right (but not the obligation)to
enter onto the Burdened Property,remove all or a portion of the Improvements,and restore the
areas to their original conditions,and Grantee shall then reimburse City for all costs incurred by
City in connection therewith within thirty (30)days after written demand by City.In the event
of an emergency or due to an urgent need of Grantor (including any matter adversely affecting
health,safety or welfare of the community or any member thereof),the City shall have the right
(but not the obligation)to immediately enter onto the Burdened Property without notice,
remove all or a portion of the Improvements,and restore the Burdened Property to its original
condition,and Grantee shall reimburse the City for all costs incurred by City in connection
therewith within thirty (30)days after written demand by City.
3.RUNNING WITH THE LAND.All terms,covenants and restrictions in this
Agreement shall burden,encumber,be appurtenant to and run with the Burdened Property and
shall bind all successors-in-interest to the Burdened Property or any interest therein.
4.TERMINATION.Notwithstanding the foregoing,in the event the Improvement
Plan is disapproved by the Planning Department of the City,or all ofthe Improvements are
removed under Section 2 above,then this Agreement shall automatically terminate and be of no
further force or effect,and Grantee shall promptly execute,acknowledge and deliver such
instrument(s)for recordation as Grantor may request to evidence such termination.
Additionally,if the City vacates the future street easement at any time,the City's street

easement will become null and void;this action will have no effect on the Storm Drain
Easement or the Sewer Easement.
5.REVOCATION.Grantor reserves the right to revoke Grantee's Easement
without cause at any time.Upon written notice of revocation from Grantor,Grantee must
promptly and diligently,at Grantee's sole cost and expense,remove the Improvements
described in Grantor's notice from the Future Street Easement,the Sewer Easement and/or the
Storm Drain Easement and completely restore those areas to their condition prior to the
construction and installation of the Improvements,including the original grade and topography.
If Grantee does not remove the Improvements from the Future Street Easement,the Sewer
Easement and/or the Storm Drain Easement and provide complete restoration within thirty (30)
days after the City gives such notice,the City shall have the right (but not the obligation)to
enter onto the Burdened Property,remove the Improvements,and restore the areas to their
original conditions,and Grantee shall then reimburse City for all costs incurred by City in
connection therewith within thirty (30)days after written demand by City.
6.INDEMNITY.Grantee shall indemnify, defend and hold harmless Grantor and
its officers,contractors,agents and employees from and against any and all actions,demands,
claims,liabilities,damages,losses,costs and expenses of every kind,nature and character,
including but not limited to reasonable attorneys'and experts'fees,that arise in whole or in
part from,or out of or in connection with,the installation,maintenance,repair or operation of
the Improvements by or on behalf of Grantee.
7.ATTORNEYS'FEES.If either party institutes any action or proceeding to
enforce this Agreement,or for damages by reason of any alleged breach of this Agreement,or
for a declaration of rights hereunder,then the prevailing party in any such action or proceeding
shall be entitled to receive from the non-prevailing party all costs and expenses,including,
without limitation,reasonable attorneys'and experts'fees incurred by the prevailing party in
connection with such action or proceeding.
8.GOVERNING LAW AND VENUE.The validity,interpretation,and
performance of this Agreement shall be controlled by and construed under the laws of the State
of California.Venue for any action relating to this Agreement shall be in the Los Angeles
County Superior Court.
9.ENTIRE AGREEMENT;AMENDMENTS.This Agreement contains the entire
agreement between the parties hereto pertaining to the subject matter hereof and fully
supersedes all prior written or oral agreements and understandings between the parties hereto
pertaining to such subject matter.This Agreement cannot be amended,supplemented or
modified orally or by course of conduct,and no modification or amendment of this Agreement
shall be effective unless it is in writing and executed by the parties hereto or their successors-
in-interest.
10.COUNTERPARTS.This Agreement may be executed in any number of
counterparts,each of which shall be deemed an original,but all of which when taken together
shall constitute one and the same instrument.

11.CONSTRUCTION.In the event of any asserted ambiguity in,or dispute
regarding the interpretation of any matter herein,the interpretation of this Agreement shall not
be resolved by any rules of interpretation providing for interpretation against the party who
causes the uncertainty to exist or against the party who drafted the Agreement or who drafted
that portion of the Agreement.
12.SUCCESSORS-IN-INTEREST.This Agreement shall be binding upon,and
inure to the benefit of,the parties hereto and their respective successors-in-interest to all or any
parties of the Burdened Property.This Agreement may not be assigned by Grantee to any
person or entity except to a person or entity that acquires fee title to the Burdened Property.
13.NOTICES.Any notice,request,direction,demand,consent,waiver,approval or
other communication required or permitted to be given hereunder shall not be effective unless it
is given in writing,in person or by certified mail,postage prepaid and return receipt requested,
and addressed to the parties at the addresses stated below:
