BACKGROUND All General Plans must contain a Housing Element that addresses existing and projected housing needs,along with goals,policies,objectives and programs for the preservation, improvement and development of housing.Unlike other elements of the City's General Plan,pursuant to State Law a Housing Element must be updated every five years.The last update for the City was certified by the California Department of Housing and Community Development (HCD)in 2010.The next Housing Element update for all cities is due to HCD by October 15,2013. Similar to the approach taken in 1992,2001 and 2008,Staff is proposing to use an outside consultant to prepare the City's Housing Element update.As such,Staff has selected a professional consultant and is now recommending authorization to enter into an agreement with the consultant to begin preparation of the Housing Element update. N-1 DISCUSSION STATE HOUSING ELEMENT REQUIREMENT: The current Housing Element cycle requires cities to plan for needed housing for the period between October 2013 and 2021.State Law requires Housing Elements to include certain components including: • A Housing Needs Assessment:1)Existing Needs -The number of households overpaying for housing,living in overcrowded conditions,or with special housing needs,the number of housing units in need of repair,and assisted affordable units at-risk of converting to market rate;and 2)Projected Needs -The City's share of the regional housing need as established in the RHNA (Regional Housing Needs Assessment),adopted by the Regional Council.The allocation establishes the number of new units needed,by income category,to accommodate expected population growth over the planning period of the housing element. • A Sites Inventory and Analysis:An estimate of the number of housing units that can be accommodated on each site identified in the land inventory within the planning period,including a description of the methodology used to estimate the realistic capacity,with consideration of all applicable land-use controls and site improvement requirements,existing uses and small sites less than one acre in size. •An Analysis of Constraints on Housing:Governmental -Includes land-use controls,fees and exactions,on-and off-site improvement requirements,building codes and their enforcement,permit and processing procedures,and potential constraints on the development or improvement of housing for persons with disabilities. •Housing Programs:Identify adequate sites to accommodate the locality's share of the regional housing need;assist in the development of housing for extremely low, lower-and moderate-income households;remove or mitigate governmental constraints;conserve and improve the existing affordable housing stock;promote equal housing opportunity;and preserve the at-risk units identified. •Quantified Objectives:Estimates on the maximum number of units,by income level,to be constructed,rehabilitated,and conserved over the planning period of the element. Once prepared,a draft of the Housing Element update will be presented to the Planning Commission and City Council for review and approval.Once approved by the City Council it will then be forwarded to Department of Housing and Community Development (HCD)for review and approval.The Housing Element update to be produced under this contract must be submitted to HCD for its review by October 15,2013. N-2 PROJECT SCOPE: The consultant will conduct an analysis of the City's housing needs and future development capacity,taking into account any revisions to the Zoning Code that occurred since the last Housing Element update,and other City policies that affect housing.The consultant will utilize information obtained through the on-going comprehensive update of the City's General Plan,including any data that has been collected and any relevant information from the General Plan Update Steering Committee's review of housing goals and policies. Lastly,the consultant will provide statistical data and narratives to assist Staff in completing the required environmental analysis for the Housing Element update,as preparation of the necessary CEQA document is not included in the scope of work.Thus,the environmental review,which Staff currently anticipates being the preparation of a Negative Declaration, will be conducted by Staff. Staff envisions that the first draft of the updated Housing Element will be presented to the Planning Commission in March 2013.Once the Planning Commission reviews and approves its contents,the updated Housing Element will be provided to the City Council for its review and approval.The City Council approved document will then be submitted to HCD.The City's consultant will monitor the HCD review process,as it is anticipated that HCD will have comments on the City's submittal.The consultant will incorporate and address any HCD's comments and present the final version of the Housing Element update back to the Planning Commission and City Council by August 31,2013 for final review and approval. CONSULTANT SELECTION: A Request for Proposals (RFP)was distributed to 15 firms with experience in housing element preparation.The City received proposals from the following four firms:Castaneda &Associates ($17,950),Hogle-Ireland,Inc.($31,800),RBF Consulting ($25,318)and Sapphos Environmental Inc ($48,220.50).After reviewing the proposals,Staff believes that Castaneda &Associates would be the best firm to complete the project based on their familiarity with the City and the current Housing update,time constraints to conduct the amendment and the lowest fee estimate. Staff believes that Castaneda &Associates is highly qualified to complete the project based on their professional experience with housing analysis in a variety of jurisdictions,their ability to work flexibly with Staff,and Staff's assessment of their capacity to complete the project in a timely manner.Examples of Housing Elements or housing analysis projects that Castaneda &Associates has produced include the cities of Carpinteria,Bellflower,and Artesia.Further,Castaneda &Associates prepared the City's last three Housing Element updates,including the most recent 2008 Housing Element,which was approved by the State. N-3 CONCLUSION For the reasons noted above,Staff recommends that the Council authorize Staff to execute a professional services agreement for the Mayor's signature in an amount not to exceed $17,950 with Castaneda &Associates. FISCAL IMPACT Municipal Code section 2.44.060 provides an exemption from bid procedures for licensed professionals.As such,Staff is requesting that the City Council approve retention of Castaneda &Associates as qualified professionals. RECITALS WHEREAS,CITY is required by California State Law to update its General Plan Housing Element;and, WHEREAS,CONSULTANT represents that it is professionally qualified and able to prepare the Housing Element Update in compliance wth the applicable state lavvs and in a format consistent with the California State Department of Housing and Community Development (HCD)requirements. NOW,THEREFORE,the parties agree as follows: Section 1.CONSULTANT'S Services.Consultant shall perform professional services by preparing the General Plan Housing Element Update as set forth in the "Proposal", attached hereto as Exhibit "A"and made a part hereof by this reference,including the following services: (a)When requested,CONSULTANT shall attend and participate in meetings with CITY staff as well as Public Hearings,which are necessary for the preparation and completion of the General Plan Housing Element Update.Included wthin the compensation provided pursuant to Section 3 of this Agreement,are attendance by CONSULTANT at a total of two (2)meetings of the Planning Commission or City Council as determined by City Staff.The Planning Commission or City Council meeting may be structured as a "public hearing", "workshop"and/or "study session".For additional meetings,which CONSULTANT is requested to attend by CITY,CONSULTANT shall be compensated at the rates set forth in Exhibit "A", which is attached hereto and incorporated herein by reference. (d)CONSULTANT shall respond to those comments raised by CITY staffs review and/or HCD's review of the documents in order to facilitate"Cdl'npletion thereof. Consultant shall also respond to all comments from the public,responsible agencies,and/or other interested parties regarding the Draft Housing Element. (e)This agreement and the scope of work to be performed by CONSULTANT may only be amended in a written document executed by both of the parties to this agreement. Section 2.Time of Performance.CONSULTANT shall timely perform the services described above as shown in the Draft schedule within the attached Exhibit "A".If the State Legislature approves an extension of the deadline for the CITY to file the Updated Housing Element,then a revised Draft Schedule may be submitted by the CONSULTANT for review and approval by CITY. Section 3.Compensation.CITY agrees to compensate CONSULTANT,and CONSULTANT agrees to accept in full satisfaction for the services provided for hereunder,a fixed fee not to exceed $17,950 for the Housing Element Update, which includes all labor and subconsultant costs,as described in the attached Exhibit "A".In addition,this fixed fee shall include all expenses for delivery,fax,phones,mileage,etc. Not included in this fixed fee are expenses incurred for attending meetings beyond those specified in Section 1.(b)of this contract;analysis of key issues in addition to those identified in attached Exhibit "A",changes in the project scope of work requiring additional work beyond the estimated cost allotted for copies as specified in Exhibit "A". The actual costs of CONSULTANT'S services and expenses shall be itemized on an N-7 Contract for Services·Castaneda and Associates November 20,2012 Page 3 of8 Invoice form,and CITY shall pay CONSULTANT for said undisputed services and expenses. Five percent (5%)of each bill submitted by CONSULTANT shall be held by CITY in a retention account.The retained funds will be released to CONSULTANT upon successful completion of the project as determined by City Staff. If CONSULTANT is requested by CITY to revise or supplement the Housing Element with additional data,information or analysis beyond the work described in Work Task 6 of Schedule 1 above,solely as a result of the CONSULTANT'S failure to comply with the requirements of State Law,or based upon comments from HCD on the Draft Housing Element, CONSULTANT shall provide such revision or supplement at no additional cost to the CllY. If changes to existing laws,rules,regulations or policies of any state,federal or local governmental authority having jurisdiction over the project occur,or new,unforeseen issues arise,CONSULTANT will perform such additional services on a time-and-materials basis,at the rates set forth in Exhibit "A". N-8 Contract for Services·Castaneda and Associates November 20,2012 Page 4 of8 Section 4.Independent Contractor.CONSULTANT will act hereunder as an independent contractor.This Agreement shall not and is not intended to constitute CONSULTANT as an agent,servant,or employee of the CITY and shall not and is not intended to create the relationship of partnership,joint venture or association between the CITY and CONSULTANT. Section 5.Assignment.This agreement may not be assigned in whole or in part, without the prior written consent of CITY. Section 6.Consultant.The CONSULTANT shall have.a Responsible Principal who shall be principally responsible for the CONSULTANT'S obligations under this Agreement and who shall serve as principal liaison between CITY and CONSULTANT.The name of the Responsible Principal is Ralph Castaneda.Designation of another Responsible Principal or Project Manager by CONSULTANT shall not be made without the prior written consent of CITY. Section 7.Personnel.CONSULTANT represents that it has,orshall secure at its own expense,all personnel required to perform CONSULTANT'S services under this Agreement.CONSULTANT may associate with or employ associates or subconsultants in the performance of its services under this Agreement,but at all times shall be responsible for their services. Section 8.City:Liaison.CONSULTANT shall perform under the general supervision of the Director of Planning,Building and Code Enforcement of CITY ("Director")or his or her designee,and all communications,instn.Jctions and directions on the part of the CITY shall be communicated exclusively through the Director or his or her designee. Section 9.Data and Services to be Furnished by CITY.All information,data, records,reports and maps as are in possession of CITY and necessary for the carrying out of this work shall be available to CONSULTANT without charge. Section 10.Interests of CONSULTANT.The CONSULTANT affirms that it presently has no interest and shall not have any interest,direct or indirect,which would conflict in any manner with the performance of the services contemplated by this Agreement.No person N-9 Contract for Services·Castaneda and Associates November 20,2012 Page 50f8 having any such interest shall be employed by or be associated with the CONSULTANT or any subconsultant. The parties agree: (a)CITY has sole discretion to direct the work and evaluate the performance of CONSULTANT and CITY retains the right to terminate this Agreement or replace CONSULTANT at any time,in accordance with the provisions of Section 13 herein. (b)CITY has sole discretion to determine the amount of compensation paid to CONSULTANT,in accordance with the provisions of this agreement. (c),CITY shall pay CONSULTANT from a CITY account under the exclusive control of CITY.j}" Section 11.Insurance.CONSULTANT shall submit to CITY certificates indicating compliance with the following minimum insurance requirements,to be maintained during the term of this agreement,not less than one (1)day prior to the beginning of performance under this Agreement. 1.Worker's Compensation Insurance to cover its employees as required by the California Labor Code. The CONSULTANT shall require all subcontractors similarly to provide such compensation insurance for their respective employees. 2.Automobile liability protecting CONSULTANT in an amount not less than the greater of:$500,000 per accident for bodily injury and property damage or the amount required by state law.Such policies of insurance shall: (a)Be issued by an insurance company which is admitted to conduct business in the State of California and which is rated in Best's Insurance Guide with a rating of A VII or better. (b)Be acceptable to the City Attomey,and failure to comply with these insurance requirements shall be a material breach of the Agreement. 3.CONSULTANT shall not commence the performance of its services under this contract until the above insurance has been obtained and appropriate Certificates of Insurance have been filed with CITY.CONSULTANT further agrees that a clause substantially similar to this Section 11 will be included in any subcontract executed under this contract. N-10 Contract for Services·Castaneda and Associates November 20,2012 Page 6 of8 Section 12.Indemnification.CONSULTANT agrees to defend and indemnify the City,its officers,employees,and agents against,and '-'\111 hold and save them and each of them harmless from damages to persons or property,penalties,obligations,liabilities,and costs, including but not limited to reasonable costs of defense,that may be claimed by any person, firm,entity,corporation,political subdivision or other organization to the extent caused by the negligent acts or intentional tortious acts,errors or omission of CONSULTANT or those for whom CONSULTANT is legally responsible.However,if any information or data prepared or provided by consultant is misused by an agent of the City,consultant shall not be responsible for such misuse of data. ,,- Section 13.Termination.The executory provisions of this Agreement may be terminated by CITY upon five (5)days written notice to the CONSULTANT without further action by CITY.The executory provisions of this agreement may be terminated by the CONSULTANT upon thirty (30)days written notice to the CI1Y.In the event of such termination by the CITY,the CITY shall pay the CONSULTANT for work satisfactorily completed to date of such termination, but in no event to exceed the compensation described in Section 3 of this agreement,based on the percentage of completion of CONSULTANT's work on the date of termination,provided such work is in a form usable by CITY. Section 16.Litigation Costs.Should any dispute under this Agreement lead to litigation,the prevailing party shall be entitled to reasonable attomeys'fees for the prosecution of the action. Section 17.Applicable Law.This Agreement and any dispute arising hereunder shall be governed and interpreted in accordance with the laws of the State of California.Venue for any action arising from this Agreement,including but not limited to mattelS concerning validity,construction,performance or enforcement shall be exclusively in the state of federal courts located in Los Angeles County. Section 18.Business License Reguired.Consultant shall obtain a City Business License prior to commencing preparation of the documentation as outlined in this agreement. Section 19.Merger Clause.This Agreement and its Exhibits are the entire understanding of the parties,and there are no other terms or conditions,written or oral, controlling this matter.In the event of any conflict between the provisions of this Agreement and N-12 Contract for Services -Castaneda and Associates November 20,2012 Page 8 of 8 any of its Exhibits,the provisions of this agreement shall prevail. Section 20.Provisions Cumulative.The foregoing are cumulative and in addition to and not in limitation of any other rights or remedies available to the CITY. Section 21.Anti-Waiver Clause.None of the provisions contained herein shall be waived because of previous failure to insist upon strict performance,nor shall any provision be waived because any other provision has been waived in whole or in part. "CITY"City of Rancho Palos Verdes By _ Anthony M.Misetich,MAYOR "CONSULTANT" ATTEST: CITY CLERK Attachments: Exhibit A (Addendum &Original Proposal) Ralph Castaneda and Associates By _ (NamelTitle) N-13 Memorandum Date:October 24,2012 To:So Kim Associate Planner From:Ralph Castaneda,Jr. Housing Consultant Re:Addendum -Housing Element Proposal Reduced Costs The letter dated October 15,2012 states "this effort should be less than what occurred prior."Our proposal considered that some components of the update would not take thee same level of effort as the prior Housing Element.However,the cost estimate for the Update was $18,950 while the prior element cost was $25,700.Thus,in our view,the proposal had already considered reduced costs by 26%. Completeness Checklist and Streamlined Review Process HCD had prepared a "completeness checklist"and "streamlined review process."Earlier this week and this morning I checked the HCD website and could not find either the draft or final version. HCD indicated that they planned to use the "completeness checklist"as a means to confirm that a draft element contained all the mandated components.If the "completeness checklist"did not so demonstrate, then HCD would mail back the element and not review it.This - I thought -was a precarious position because the statute does not allow HCD to do this.Per the statute,HCD is obligated to review drafts and submit its written findings in 60 days. Redlining an Existing Document Assuming the "completeness checklist"and "streamlined review process"process are finalized,the idea of redlining an existing document is not a practical idea.Even if an element were so prepared,it would be exceedingly confusing for the reader to understand,particularly the general public.It also is not practical for the following reasons: Housing Needs Assessment -all of the data and analysis needs to be updated and revised according to the best possible data sources.Our previous discussions with HCD staff indicated that in Department's opinion Housing Elements do not need to be as lengthy as they have been in the past.We have taken this advice to heart and we recently completed a needs assessment update for another city that reduced the content from about 30 pages to 18. 1 N-14 Housing MarkeUNon-governmental Constraints -all of the data and analysis needs to be updated such as land costs,construction costs,and financing costs.It will be much easier to just update the entire analysis (and reduced the number of pages)than to redline an existing document and insert new data. Governmental Constraints -this analysis could be the easiest to update if the same constraints existed. However,the City adopted Development Code amendments which eliminated the constraints.So the analysis has to be updated to account for the amendments and to document that few,if any,governmental constraints exist. Progress Report:this analysis cannot be redlined.The report covers the 2006-2014 planning period. Goals and Policies:these statements may not change dramatically.If so,we can inform the HCD reviewer of th is fact. Housing Programs:the programs for the 2014-2021 planning period may be significantly different from the current planning period.The City already has adopted code amendments';'for example.Other programs may be eliminated or have reduced objectives because of the RDA dissolution and CDBG funding cutbacks. HCD Coordination The proposal includes coordination with HCD primarily after the City has received written findings and comments on the Draft Housing Element.What we usually accomplish is to prepare written responses to each comment and review those with Staff.Following this step,we submit the responses to the HCD reviewer and over an exchange of e-mails reach an understanding of the adequacy of the responses.We then incorporate the responses in a revised Draft for HCD review. The main effort in coordination is to discuss the responses via e-mails or telephone conversations. Thus far,I have made no budget adjustment for HCD coordination.Staff may want to handle the coordination after the responses have been prepared and during the HCD review of the revised Draft Housing Element.If staff wishes to do this,I can make a slight reduction to the hours and costs. Revised Estimated Cost Table 1 shows the revised budgeUestimated cost.Reproduction was included because the RFP requested the "number of copies"for the draft and final elements. Second units will probably accommodate the moderate income housing need.The above moderate income housing need can be accommodated by the Crestridge Senior Housing Project and the Highridge Condominium Project. Work Task 3.2 -Housing Needs Assessment We will prepare an updated analysis for the housing need categories identified in the Housing Element Law: ,.Existing housing needs ,.Special housing needs ,.Projected housing needs In preparation for the 2014~2021 planning period,we have completed research on data sources for the housing needs assessment.We have identified the most current and reliable data sources and have already prepared sample tables for each of the existing and special needs categories.A summary is presented below: ,.Table 1 in Attachment A lists the data sources that will be consulted during the preparation of the existing housing needs assessment. ,.Table 2 lists the data sources that will be used in the completion of the special housing needs assessment. HCD has recently published its most recent guidance in Updating the Housing Element - Planning for California's Future 2010.The new HCD guidance indicates that housing elements must comply with the provisions of S8 812 (Ashburn)2010 which requires an analysis of the needs of persons with developmental disabilities.HCD summarizes this new requirement as follows: 4 N-25 PROPOSAL CITY OF RANCHO PALOS VERDES HOUSING ELEMENT UPDATE Requires the analysis of the disabled to include an evaluation of the special housing needs of persons with developmental disabilities.The analysis should include a quantification of the number of persons with developmental disabilities,an analysis of the housing need,and a discussion of resources. "Developmental disability"means a disability that originates before an individual attains age 18 years,continues,or can be expected to continue,indefinitely,and constitutes a substantial disability for that individual.This includes mental retardation,cerebral palsy, epilepsy,and autism.-Section 4512 of the Welfare and Institutions Code We have considerable experience in assessing the needs of the developmentally disabled. Castaneda &Associates is the housing consultant to Mentally and Educationally Retarded Citizens,Inc.(MERCI),a non-profit 501 (c)(3)organization who has served the needs of developmentally disabled persons for more than 55 years.We helped MERel acquire RDA and HOME funds for the development of an SRO housing development. Work Tas'k 3.3 -Analysis of Governmental Constraints ~. The City has adopted the Development Code amendments recommended by the current Housing Element which include density bonus ordinance;SRO,transitional and supportive housing;emergency shelters;and a reasonable accommodation procedure.As a reSUlt,the analysis of governmental constraints will require only a minor update.However,the analysis will need to describe the adopted amendments and should provide information on applications,if any,for density bonus units and reasonable accommodations. Additionally,the analysis of governmental constraints should include information on the Western Avenue Vision/Strategic Plan.As noted in the current Housing Element,this planning effort contributes to achieving a variety of housing types. We have included a Timeline for Implementation and Beneficial h;;npacts in the description of each individual program.Failure to adhere to timelines and to produce beneficial impacts is a basis for a law suit.Therefore,it is very important that what is described in the Housing Program can actually be accomplished during the planning period. Work Task 6 -HCD ReView,Revised Draft Housing Element and HCD Review of the Revised Draft Work Task 5 probably will be completed over a 5-month period (February 2013 thru June 2013). The Draft Housing Element will be transmitted to HCD,which will commence the 50-day review period.HCD then will submit its written findings/comments.Upon receipt of the HCD written findings/comments,we will prepare responses to each comment.Usually,the process we employ is to summarize each HCD comment that requires an action (the City must,the City should,etc).We then develop a brief description of how the City could respond to each HCD comment.The brief descriptions are then reviewed with City staff in order to decide on nature of the detailed response. The detailed responses agreed to between consultant and staff will then be included in the Revised Draft Housing Element which will be transmitted to HCD.HCD will then commence a second 50-day review period.At the end of that period,HCD also will have written findings/comments.We,and the staff,will work with the HCD reviewer to address the few remaining comments. It is important to note that HCD has never approved a housing element based on its first submittal.However,if there are few comments and none adversely affect fundamental policies of the City,then it may be possible to work informally with the HCD reviewer to address the comments.The responses then would be incorporated in the Final Housing Element instead of in the revised Draft. 7 N-28 PROPOSAL CITY OF RANCHO PALOS VERDES HOUSING ELEMENT UPDATE Work Task 7 -Public Hearing Draft Housing Element and Public Hearings The Public Hearing Draft Housing Element will be completed in close coordination with City staff.This Work Task includes the Public Hearings before the Planning Commission and City Council,adoption of the Final Housing Element,and transmittal to HCD of the adopted Housing Element. 2.SCHEDULE Table 3 on the next page describes the schedule for completion of the Housing Element Update.The schedule includes two submittals to HCD,which means that about 5 months are expended on review by that Department and preparation of responses to written findings and comments.However,as previously discussed,it may be possible to address HCD comments on the Draft Housing Element during the preparation of the Public Hearing Draft. The goal is to receive a letter from HCD by late June 2013 that states the "draft element will comply with the State housing element law (Article 10.6 of the Government Code)when adopted and submitted to the Department,pursuant to Government Code Section 65585(g)." CEQA documentation then can be accomplished in July and August 2013 with the Public Hearings being conducted in September and October 2013. In addition to his planning and housing experience,Mr.Castaneda also has extensive nonprofit housing experience.He served as the Executive Director of Western Developments for Affordable Housing,Inc.for a three-year period.During his tenure with Western Developments the nonprofit completed the acquisition and rehabilitation of three affordable rental housing developments.Western Developments also was the original nonprofit sponsor of the City of Avalon's :37-unit affordable housing development,which is a low income housing tax credit project.The project developer was Thomas Safran &Associates.". Government Code (GC)65588(e)(4)requires a local government to adopt the housing element no later than 120 days from the date the housing element is due to avoid the consequence of a four-year housing element update as referenced in the code section. The 120 day deadline does not mandate the adopted housing element to have been (a)submitted to HCD,(b)reviewed by HCD or (c)found in compliance lJy HCD. GC 65585(b )-(f)helps define what constitutes adoption of a housing element.The statute specifies that 90 days prior to adoption of the housing element,a draft of the element shall be submitted to HCD for the jurisdiction to consider HCD's findings before adopting the element.Thus,adoption of a housing element constitutes completing these steps:(1)submitting a draft element,(2)addressing HCD's findings on the draft element by (a)making appropriate revisions to the element or (b)providing appropriate explanations regarding HCD's findings in the resolution of adoption,and (3)adopting the element. In summary,compliance regarding adoption of a housing element means a jurisdiction should submit a draft element and then adopt the element before expiration of the 120 day timeframe from the element due date (18 months from the adoption date of the Regional Transportation Plan).Submittal of the adopted housing element to the Department (which should occur very soon after adoption)and HCD review and approval of the adopted element are not subject to the 120 day timeframe and can occur after the 120 day timeframe.
