RECOMMENDATION
Adopt Resolution No.2012-_,authorizing the City Manager or Community Development
Director to execute an easement agreement dedicating to the City a public access and
recreation easement over a portion of the property owned by the Salvation Army located at
30840 Hawthorne Blvd.
BACKGROUND
In February 2008,the Planning Commission considered an application for a dormitory
addition at the Salvation Army property.At that time,Staff and the public raised questions
about the Salvation Army's interest in providing a public trail easement along Palos Verdes
Drive South in order to connect existing trails on the Upper Point Vicente property with the
remainder of the Preserve trail system.Since there was no nexus between the proposed
dormitory expansion and the need for a public trail easement,that project was not
conditioned to require a public trail easement dedication.The Salvation Army indicated
that it was willing to dedicate the sought-after trail easement to the City even without the
condition,but eventually communication between the Salvation Army and Staff ceased.
In September 2011,the Planning Commission approved Case No.ZON2011-00152,
allowing the Salvation Army to construct second story additions to seven separate
residential structures on its property.At the public hearing,the Planning Commission

expressed its disappointment with the inability of the City to obtain a trail easement from
the Salvation Army in 2008.As a result,Staff noted that since the City cannot require the
Salvation Army to dedicate the trail easement,it was up to the Salvation Army to uphold its
previous commitment to dedicate a public trail easement.In response,Captain Nolan,a
Salvation Army representative,stated that Salvation Army would proceed with a trail
easement dedication to the City and requested a formal and more detailed documentfrom
the City in order to move the matter forward.The Salvation Army and the City have worked
together to draft an easement agreement,which was reviewed and approved by the City
Attorney and the Salvation Army.
DISCUSSION
The City's Conceptual Trails Plan (CTP)identifies a continuous trail along Palos Verdes
Drive South (PVDS)leading from the City Hall property extending eastward through the
Salvation Army property and the adjacent Peninsula Pointe residential development and
into the City's Nature Preserve.Currently,there is an existing trail on the City's Upper
Point Vicente property along PVDS (City Hall Segment -CTP AS)that leads to the
Salvation Army property,and there is a trail to the east of the Salvation Army property
along the Peninsula Pointe residential tract that connects to the City's Nature Preserve
(Seahill Segment -CTP A7).However,because there is no trail easement or improved
trail along the Salvation Army property,there is a gap in the trail.Accepting the Salvation
Army's public trail easement (Salvatipn Army Segment -CTP A6)would provide the
opportunity for the City to construct a trail that would allow trail users to traverse from the
City Hall trails to the core area of the RPV Nature Preserve,as identified in the CTP.In
addition,such a trail would allow Terranea guests to traverse from the coastal trails on the
resort to the preserve areas around City Hall to the northwest or to the preserve areas
around Portuguese Bend to the northeast.
The CTP notes that the Salvation Army trail segment should be kept as far from the road
as possible with a provision for crossing Crestmont Lane (the private access roadway to
the Salvation Army from PVDS).The CTP further states that the preferred route for this
trail is on the southern edge of the Salvation Army parcel on the bank above PVDS with an
alternative location being within the street right-of-way.One of the contingencies for the
Salvation Army to dedicate a trail easement on its property to the City at no cost was that
the trail location not create security or privacy concerns for the Salvation Army.For all
these reasons,the trail location that has been agreed upon by the Salvation Army
minimizes the amount of easement needed on the Salvation Army's property and
maximizes the use of the City's street right-of-way.
As shown in the attached aerial map,the public trail will be within the public right-of-way of
PVDS along the easterly portion of the Salvation Army property.The reason for this is to
facilitate a connection to the existing improved trail fronting the adjacent Peninsula Pointe
residential development,to provide a signalized pedestrian crossing of Crestmont Lane,as
called out in the CTP,and to adhere to the Salvation Army's request of keeping the trail
easement as far away from the cadets'residences as possible.Moving westward,the trail
will leave the right-of-way and enter onto a small portion of easement on the Salvation
Army property to go around a large existing drainage outlet.As the trail approaches the

western side of the Salvation Army property,the trail will veer onto the main portion of the
new trail easement,leading up to a viewing node,which will then lead onto the existing
trails on the City's Upper Point Vicente Park property.The location of the public trail along
PVDS will allow the trail users a view of the Rancho Palos Verdes coastline and of Catalina
Island.The viewing node,which will be located on the City property,adjacent to the
westerly edge of the Salvation Army property,will allow trail users to capture an even better
view,given its high elevation relative to PVDS.
FISCAL IMPACT
Typically,dedication of a public trail easement to the City by a private entity must be
compensated by the City at the fair market value of the easement area.However,in this
situation,the Salvation Army has agreed to dedicate the public trail easement to the City
for no compensation.In exchange,the City has agreed to pay for all of the costs of
preparing the easement documents,surveying the easement location and recording the
public easement.The cost of said City tasks is estimated at $7,200.These costs have
been paid for from the existing Community Development and Public Works Department
budgets.Additionally,the City has agreed to construct the trail,including relocating a
portion of the fence on the Salvation Army's property.Staff does not yet have estimates of
how much this construction work will cost.
ADDITIONAL INFORMATION
Once the public easement is recorded,the City will initiate construction of the trail.The
City's Public Works Department is currently working with a City consultant in putting
together the trail construction plans.It is anticipated that the trail construction will
commence sometime in early 2013.

WHEREAS,at a Planning Commission public hearing on September 27,2011
regarding a revision to the Salvation Army's Conditional Use Permit,the SalvatiQn Army
stated that it was interested in dedicating to the City of Rancho Palos Verdes ("City")a
public trail easement over a small portion of its property located at 30840 Hawthorne
Boulevard,Rancho Palos Verdes,California (APN 7573-002-013)along Palos Verdes
Drive South to connect existing trails on the Upper Point Vicente property with the
remainder of the Preserve trail system;
WHEREAS,the City Staff and Salvation Army have drafted an easement
agreement therefore,which is attached hereto as Exhibit "Au and incorporated herein by
this reference;and,
WHEREAS,Government Code Section 27281 allows the City to authorize by
resolution one or more of its officers to accept such easements upon real estate for
public purpose on behalf of the City and consent to the recording of these documents.
NOW,THEREFORE,THE CITY COUNCIL OF THE CITY OF RANCHO PALOS
VERDES DOES HEREBY FIND,DETERMINE AND RESOLVE AS FOLLOWS:
Section 1.The City Council hereby specifically finds that all of the facts set
forth in the recitals of this Resolution are true and correct and hereby incorporates these
facts into this Resolution by this reference.
Section 2.The City Manager or the Community Development Director of the
City are hereby duly authorized to accept the above-referenced easement agreement
and record it on behalf of the City by executing Exhibit "A.".

EASEMENT AGREEMENT
THIS EASEMENT (the "Easement Agreement")is made and entered into as of

corporation ("Grantee"),and THE SAL V,A TION ARMY ("Grantor").
RECITALS:
A.Grantor is the owner of certain land located at 30840 Hawthorne Boulevard in the
City of Rancho Palos Verdes,County of Los Angeles,State of California,(the "Burdened
Property");
B.Grantee is the owner of a public street,Palos Verdes Drive South (the "Benefitted
Property"),which abuts the Burdened Property.
B.Grantee has requested tllat Grautor convey to Grantee,for the benefit of Grantee,
the Benefitted Property,and the public,and in order to facilitate and effectuate Grantee's public
trails plan,an access and recreation easement over the portions of Grantor's propetty that are
generally adjacent to the southerly property line of the Burdened Property,which are described
and depicted on Exhibit "A"(the "Easement Property");
AGREEMENT
NOW,THEREFORE,for and in consideration of the foregoing recitals,the covenants
and agreements contained herein,and other good and valuable consideration,the receipt and
sufficiency of which are hereby acknowledged,Grantor and Grantee hereby agree as follows:
I.Easement.Subject to the terms and conditions oftltis Agreement,Grantor hereby
grants to Grantee a perperual easement (the "Easement")over the Easement Property for public
access and recreational use.The Easement granted herein shall be deemed to include such

incidental rights as are reasonably necessary to improve,use and maintain the Easement Area for
such purposes.
2.Compliance With Law.The Grantee shall not use the Easement Property in any
way that will conflict with any law,statute,ordinance,rule,regulation or requirement of any
duly constituted public authorities with jurisdiction,whether now in force or hereafter enacted or
promulgated.
3.Improvements:Maintenance.Grantee,at its sole cost and expense,shall be
permitted to improve the Easement Property for the purposes permitted under Section I,
including the removal of portions of Grantor's fence that currently are located within the
Easement Property,which Grantee shall replace on the northern boundary of the Easement
Property.Grantee,at its sole cost and expense,shall repair and maintain the Easement Property
and Grantee's improvements thereon in a safe,sanitary and passable condition for public use in
compliance with all applicable governmental laws,ordinances,rules and regulations.Grantee
shall give Grantor reasonable prior written notice to Grantor of the commencement of any work
on the Easement Property.
4.Indemnitv.Grantee shall protect,indemnify,defend and hold Grantor free and
harmless from and against any and all claims,causes of action,demands,damages,liens,
liabilities,losses,costs and expenses (including,without limitation,attorneys'fees)to which
Grantor may become exposed or which Grantor may incur in connection with Grantor exercising
its rights hereunder and any use of the Easement Property by the public or the Grantee.
5.Runs with the Land for Benefit of City.All lights and obligations in this
Easement Agreement shall bind and "run with"the Burdened Property,and this Easement
Agreement shall be binding upon all persons and entities who acquire right,title or interest in all
or any portion of the Burdened Property.
6.Notices.All notices and communications (each a "Notice")required or permitted
to be given under this Easement Agreement shall be in writing and may be sent in the following
manner:(a)by personal delivery",(b)by certified mail,or (c)by ovemight courier service for
next business day delivery.All Notices shall be deemed given and delivered as follows:(i)if
sent by personal delivery,when delivered to the address of the receiving party,(ii)if sent by
certified mail,three (3)business days after deposit of the Notice in the United States mail,
postage prepaid,with return receipt requested,addressed to the receiving party,and (iii)if sent
by overnight courier service,one (I)business day after deposit of such Notice with such courier
service addressed to the receiving party.All Notices shall be addressed as follows (except that a

7.Governing Law.Should either party to this Agreement bring legal action against
the other,the validity,interpretation,and perfonnance of this Agreement shall be controlled by
and constmed under the laws of the State of California,excluding California's c.hoice oflaw
rules.Venue for any such action relating to this Agreement shall be in the Los Angeles County
Superior Court.
8.Countemarts.This Agreement may be executed in counterparts,each of which
shall be deemed an original,and all of which together shall constitute one and the same
instrument.
9.Complete Agreement.This Agreement supersedes any prior negotiation,
discussions or communications by and between Grantor and Grantee and constitutes the entire
agreement between Grantor and Grantee with respect to the subject matter hereof.
10.Attorneys'Fees.Should Grantee or Grantor institute any action or proceeding to
enforce this Agreement,or for damages,by reason of any alleged breach of this Agreement,or
for a declaration of rights hereunder,the prevailing party in any such action or proceeding shall
be entitled to receive from the non-prevailing party all costs and expenses,including,without
limitation,reasonable attorneys'fees,incurred by the prevailing party in connection with such
action or proceeding.
II.Further Assurances.Each party hereto agrees to execute any and all docunlents
that are reasonably necessary or expedient to carry out the intent of this Agreement,to do such
other reasonable acts as will further the purposes hereof,and to refrain from any actions which
would inlpede or otherwise interfere with the other party with respect to the perfonnance of its
duties and obligations hereunder:The City Manager of the Grantee shall have the authority to
approve and execute such documents,as well as non-material amendments to this Easement
Agreement.
12.Severability.[fany tenn oftb.is Agreement shall be deemed to be invalid or
unenforceable to any extent,the remainder of this Agreement will not be affected thereby,and
each remaining tenn of this Agreement will be valid and be enforced to the fullest extent
pennitted by law.
13.Change.Discharge.Termination or Waiver.No provision of this Agreement may
be changed,discharged,tenninated or waived except in writing signed by the parties.No failure
on the part of a party to exercise,and no delay by a party in exercising,any right or remedy
hereunder or under law or in equity shall operate as a waiver thereof.
