SUBJECT: AUTHORIZE AN AMENDMENT TO THE AGREEMENT
BETWEEN THE CITY OF RANCHO PALOS VERDES
AND GREAT CLEANING SERVICES, INC.

RECOMMENDATION
Authorize the Mayor and City Clerk to execute the Third Amendment to the Agreement
between the City of Rancho Palos Verdes and Great Cleaning Services, Inc. allowing a
name change for the Contractor to Golden Touch Cleaning, Inc. and to increase the
monthly amount of the contract by $407 for additional scheduled cleaning services.
BACKGROUND
Great Cleaning Services, Inc. (GCS) performs custodial maintenance services for City
Hall and other City buildings. GCS was awarded a contract for these services in March
2010 by the City Council. There have been two amendments to that contract, each
extending the initial three-year contract for an additional year. The First Amendment,
approved February 19, 2013, also increased the contract value from $69,264 to $77,000
annually (to about $6,417 per month) to account for additional services that were
requested by the City. The Second Amendment, approved April 15, 2014, maintained
that price and extended the contract until June 30, 2015.
DISCUSSION
Recently, GCS sent the City a letter informing of the transfer of ownership to Golden
Touch Cleaning, Inc., effective November 1, 2014. The letter stated that Golden Touch
Cleaning, Inc. will take over the contract now held by GCS. The requested change is in
name only and will not affect the Contractor's operations or maintenance services.
(There is actually an error regarding the name on the letter but that has been cleared up

through phone calls and the W-9 IRS form submitted by the new owner.)
Staff is also taking this opportunity to request authorization for needed additional
scheduled cleaning services, increasing the monthly amount to $6,824 per month. With
the continued popularity and public use of the City's park facilities, such as Eastview
Park and the Point Vicente Interpretive Center, additional cleaning services have been
needed to keep up with the increased level of use. In addition, this amendment
includes an option for non-scheduled cleaning up to $5,000, which is typically used, in
part, for deep cleaning over the City's holiday closure.
Staff has verified that Golden Touch Cleaning, Inc. will be providing a new City business
license, payment bond and the requisite insurances that reflect the change in ownership
prior to implementation of the contract.
FISCAL IMPACT
Adopting staff's recommendation will not result in an impact to the FY 2014-2015
budget program for building maintenance.

Third Amendment to Agreement between
the City of Rancho Palos Verdes
and Great Cleaning Services, Inc.
This agreement is an amendment ("Amendment") to the Custodial Services
Maintenance agreement between the City of Rancho Palos Verdes ("City") and Great
Cleaning Services, Inc. ("Contractor"), dated March 16, 2010 ("Agreement"). This
Amendment to the Agreement is effective as of November 4, 2014 and is being made to
change the name of the Contractor because the Contractor is transferring ownership to
another company.
Section 1. The introductory paragraph of the Agreement is hereby amended to
read as follows:
"This Custodial Services Agreement ("Agreement") is made and entered this 1st
day of November, 2014, by and between the City of Rancho Palos Verdes (hereinafter
referred to as "City") and Golden Touch Cleaning, Inc. (hereinafter referred to as
"Contractor")."
Section 2. The Contractor's compensation as described in Article 3, is hereby
amended to read as follows:
"In consideration of the services rendered hereunder, Contractor shall be paid an
amount not exceeding $54,592, based on a monthly fee of $6,824 for each of the
remaining months of the term of the Agreement, currently ending June 30, 2015.
Contractor shall issue a monthly bill of charges."
Section 3. Article 4 is hereby amended to read as follows:
"The Director of Public Works or his or her designee may authorize in writing
non-schedule cleaning up to $5,000 over the total compensation in Article 3 of this
Agreement."
Section 4. Article 5 is hereby amended to read as follows:
"The Agreement shall commence on November 1, 2014, provided that a City
Business License and Certificates of Insurance are current on that date, and shall
terminate on June 30, 2015, unless sooner terminated pursuant to Section 8 of this
Agreement. Thereafter, the agreement may be renewed for one additional year by
mutual written consent."
Section 5. The Contractor's address for purposes of notice, which is set forth
in Article 21 of the Agreement, is hereby amended to read as follows:

Section 6. The signature box of the Agreement shall remain the same, and all
signatures shall remain valid and binding, except that the Contractor's name is hereby
amended to "Golden Touch Cleaning, Inc."
Section 7. Except as expressly amended by this amendment to the
Agreement, all of the other provisions of the Agreement, including any incorporated
documents, shall remain in full force and effect as written in the Agreement.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of
the date and year first above written.
