EXECUTIVE SUMMARY GIS is one of the City's most critical systems, supporting a wide array of Land and Infrastructure Management activities. The ability to layer numerous datasets of information pertinent to a particular topic together on aerial views of the terrain provides valuable benefits in predictive analysis, effective decision making and in transparency as rational for a particular decision is made clear for decision-makers, residents and other stakeholders. System upgrades are important in insuring up to date functionality, reporting, and efficiencies, and in interconnecting systems and communicating with outside stakeholders. Robust GIS functionality is particularly important to Rancho Palos Verdes because of the varied terrain and the activities particular to the City such as preserve and open area management, infrastructure challenges and view restoration activities. Another driver in the process is the effort to uncouple critical services from PVNET in light of the ongoing IT Services RFP solicitation, this is a further motivating factor as licensing and hosting can now be clarified as City-managed services. H-1 UPGRADE OF THE GEOGRAPHIC INFORMATION SYSTEM, SPATIAL IMAGERY AND VIEWER SEPTEMBER 16, 2014 Page 2 of 7 The current City GIS System is licensed to PVNET and consists of an ESRI ArcGIS 9 server, LARIAC3 (2011) Aerial Imagery, over 275 layers of accumulated data and a proprietary PVNET developed viewer that is not compatible with newer GIS systems. The proposed purchases include the latest version of ESRI ArcGIS 10, LARIAC4 (2014) aerial imagery and Geocortex Essentials, an industry standard commercial viewer. The recommended purchases accomplish both goals of upgrading systems and obtaining sole ownership of system licensing and hosting. If approved, costs will be paid from the Equipment Replacement Fund that has been accumulating funds specifically for the upgrade of City systems at cost of $124,264 inclusive of all licensing, installation and training. BACKGROUND -GIS GIS systems have become imperative to municipalities in completing day-to-day City business, planning activities, resolving disputes and in the accomplishments of goals. Spatial imagery and layered information sets are especially critical in municipalities such as Rancho Palos Verdes because of the varied terrain and the accompanied land use, permitting and infrastructure management challenges. GIS supports view restoration activities, fire suppression management and the monitoring and management of the Portuguese Bend landslide area, as examples. Both Public Works and Community Development personnel use GIS systems as a tool in explaining proposals at City Council and Planning Commission meetings in order to best explain circumstances for the most effective management decisions. Staff offers an overview regarding the use of GIS in City day-to-day operations in "Exhibit A-Uses of GIS". New technologies and systems used in municipal government regularly include GIS integrations to facilitate land management activities. The integration of GIS with these systems supports a variety of functionality, in particular change modeling techniques used to inform decision makers in the accomplishment of City goals. A modern GIS system further allows the City to coordinate and interact with state and other local agencies related to regulations, requirements and in strategic land use planning. Palos Verdes on the Net (PVNET) has provided the City with GIS services since 2003. PVNET's hosting of the GIS system allowed the City to leverage their status as a non- profit organization in providing the City with comprehensive GIS functionality at a reasonable cost. As the City moves to uncouple services that are currently hosted by PVNET, Staff recommends obtaining the software licensing necessary to operate the City's GIS system on the City's Virtual Server Cluster and continue to receive GIS management and maintenance services from PVNET through the term of their current agreement. The IT Services RFP will include a GIS service and maintenance component that will solicit competitive bids for ongoing services. H-2 UPGRADE OF THE GEOGRAPHIC INFORMATION SYSTEM, SPATIAL IMAGERY AND VIEWER SEPTEMBER 16, 2014 Page 3 of 7 Geographic Information Systems Components GIS consists of several components that work together to "layer" data from a variety of different sources over aerial pictures of the terrain in order to give a single comprehensive situational view to decision makers. These layers of information consist of: • Aerial photographs taken by contracted aircraft that with detailed Orthographic (straight from above) images and Oblique (approximately 45 degree angle) images; • Numerous types of measured and calculated information such as elevations, contours and 30 imagery; • Layers of information that can include any information that is "geocoded" with Global Positioning Sensor (GPS) coordinates. The City has over 275 layers of informational data that has been gathered throughout many years on various aspects of the community such as zoning, street, sewer, parcel, trail, and other data. Information layers are superimposed on top of aerial imagery in the GIS system to complete a picture as depicted below. GIS is used throughout state and local government to help improve transparency, identify risk or at-risk areas of the community, and to manage many other aspects of government responsibility. GIS provides benefits such as: • Improved decision making capabilities by layering complex datasets into maps that provide information not otherwise possible; • Identify changes and trends to land resources and demographics to improve the allocation of resources to at-risk areas of the City; H-3 UPGRADE OF THE GEOGRAPHIC INFORMATION SYSTEM, SPATIAL IMAGERY AND VIEWER SEPTEMBER 16, 2014 Page 4 of 7 • Management of natural resources throughout the community which has proven useful in the many related proactive planning efforts; • Change tracking and predictive analysis activities to assist in dispute resolution or in planning for change; • Improved planning before a crisis, communications during a crisis and resolution management after a crisis; • Cost savings related to improved Public Works and Community Development project decisions, as well as the ability to easily view the area a citizen has a question about rather than traveling to the location; • Improved transparency and clearer information dissemination allowing for more convenient citizen engagement, and a more complete picture of the information that went into decisions affecting their local communities. CITY'S CURRENT GIS SYSTEM Components that make up the City GIS system are the GIS server hardware, the GIS server application, Aerial Imagery, Data Layers and the GIS viewer. Working together, these components comprehensively make up the "GIS System". The GIS System is expected to be integrated and/or linked to other specialized and business systems (permit tracking, work order management, asset and infrastructure management) to create visual pictures used for planning, design, maintenance, public inquiries and topographic, as well as 3D analysis . GIS server hardware Modern GIS software requires a server capable of supporting a huge amount of data and image processing requiring considerable hardware resources. The City's Virtual Server Cluster is capable of supporting the GIS system and will be used in this project, so no additional server hardware is required. GIS server application The GIS server application includes the core components that manage the imagery, data and viewing resources used by the GIS system. ESRI is the worldwide leader in this market and almost every vendor of Enterprise Resource Planning (ERP) and Land Management systems maintain out-of-the-box interfaces (Application Programming Interfaces or APl's) that communicate with ESRI ArcGIS server. Aerial Imagery Aerial Images are the flyover imagery taken by aircraft crisscrossing the region with very high resolution cameras. Many cities in Los Angeles County join together in the Los Angeles Region Imagery Consortium (LARIAC) in order to obtain high quality images at a much lower cost than would otherwise be possible. Data Layers The many points of data that are "tagged" with GPS coordinates and programmed into the GIS system are known as layers. These layers are then overlaid on top of the Aerial Imagery to show things like parcel lines, street assets, storm drain assets, trails, topology information and much more. The City has hundreds of "layers" that are currently available in the GIS system. Viewer A Viewer is the software that allows all the other GIS components to come together into one view on a user's computer screen creating a unified picture of the data being analyzed . A Viewer also allows the user to tag the picture with labels, lines or other information useful in explaining the comprehensive "picture" of the issue being analyzed to decision makers. PROPOSED GIS MIGRATION/UPGRADE Current GIS System Components The current City GIS server system consists of the following components: • ESRI ArcGIS Version 9; • LARIAC3 imagery (2011); and • Proprietary viewer developed by PVNET . The ESRI and LARIAC3 software are licensed by PVNET, who then sub-licenses the use of all of the GIS system components to the City under the annual Professional Services Agreement. Proposed GIS Components As described previously, most Land Use issues are heavily linked to GIS systems as is explained by Public Works and Community Development staff in "Exhibit A -Uses of GIS", and the trend of linking information through GIS is expected to accelerate as new systems are developed and more devices are capable of being connected together through the Internet. In the ongoing effort to simultaneously uncouple services hosted by PVNET in preparation for IT Services RFP Solicitation and to upgrade our GIS System to a newer versions of GIS components, Staff proposes purchasing and obtaining licensing for: • ESRI ArcGIS Version 1 O; • LARIAC4 imagery (2014); and H-5 UPGRADE OF THE GEOGRAPHIC INFORMATION SYSTEM , SPATIAL IMAGERY AND VIEWER SEPTEMBER 16, 2014 Page 6 of 7 • Geocortex industry standard viewer. ESRI ArcGIS Server 10 ESRI server system licensing consists of one ArcServer 10.2 license, one ArcGIS Desktop license, one ArcPad license and training. LARIAC4 Aerial Images The LARIAC4 consortium was formed by the County of Los Angeles and is open to member agencies in Los Angeles County to cooperatively acquire updated 2014 aerial imagery that is more comprehensive and detailed than any of the previous consortium images. LARIAC4 also includes all previous offered imagery including 2003, 2006, 2008 and 2011 image libraries as well as a simple viewer called "Pictometry", for quick aerial image rendering available from an internet browser . Resolution of the 2014 imagery is 4 inch visible while the highest resolution available in previous years is 12 inch visible. This high resolution and updated imagery is useful in many Land Management activities and decisions, including Preserve , Trails, Recreation and Parks and Infrastructure Management activities. The final cost to join LARIAC4 is dependent on the number of agencies who join the consortium. As additional agencies commit to join, the cost will be further spread and reduced for individual members. Geocortex Viewer The current City viewer is a proprietary viewer designed by PVNET to work with ESRI ArcGIS 9, and will not function with the more advanced ESRI ArcGIS version 10. Staff recommends the purchase of Geocortex Essentials, an industry leading commercial off- the-shelf viewer which in addition to working with the current ESRI ArcGIS Server 10, adds considerable end user functionality. Installation and Configuration The City has requested implementation services to configure the proposed system components and to integrate data layers that have been developed for our current ESRI ArcGIS9 implementation from our current GIS provider, PVNET. The implementation process consists of the setup and configuration of: • ESRI ArcGIS10 system components; • installation and configuration of previous and currently proposed LARIAC imagery up to and including LARIAC4 content ; • integration of all current data layer information; • installation, configuration and training on the Geocortex viewer; and • interfaces with business systems. The proposed GIS upgrades are a comprehensive redesign of City GIS systems designed H-6 UPGRADE OF THE GEOGRAPHIC INFORMATION SYSTEM, SPATIAL IMAGERY AND VIEWER SEPTEMBER 16, 2014 Page 7 of 7 to fully implement, license and configure GIS services on City servers. This migration leaves the City with a fully up-to-date GIS system with the most recent upgrades, imagery, data, integrations and functionality. Following are the costs associated with the migration and upgrade, as well as future ongoing support costs. CONCLUSIONS GIS is one of the City's most important systems, supporting a wide array of Land and Infrastructure Management activities. Upgrades to the GIS system are important in insuring compatibility with interconnected systems and to provide users with acceptable and industry standard functionality. In addition, the Information Technology Services RFP presently underway is prompting the migration of critical systems licensed to or hosted with PVNET on to City servers. The steps recommended in this staff report accomplish both goals and insure the City has a modern GIS system that will provide ongoing benefits in the accomplishments of City goals. FISCAL IMPACT The GIS System upgrade was budgeted in the Equipment Replacement Fund in FY13- 14 and included in the FY14-15 continuing appropriations approved by City Council on September 2, 2014. No additional FY14-15 budget impact is expected. Ongoing support and maintenance costs of $10,450 will be absorbed in the FY14-15 Equipment Replacement fund budget and included in future year budget proposals. While almost every municipality uses GIS information for important decision making and planning activities to various degrees, GIS plays a particularly critical role in the City of Rancho Palos Verdes in because of the wide variety of land management and use issues faced. Digital aerial imagery and topographic data provide valuable support information for decision making within agencies and it allows those decisions to be made quickly, while enhancing the "do more with less" philosophy. High quality imagery and data allows Staff to see the situation before they drive into the field to make assessments, reducing staff time and information collection costs without reducing the quality of decisions. Some examples of GIS uses at the City include: • Public Works: Reduces the need for field visits, supports traffic and pavement management, storm drain and flood protection, and enhances project planning and infrastructure management; • Planning: Allows Staff to review and give immediate feedback to residents at the public counter on proposed projects. Assists Staff in understanding impacts of proposed projects for better predictive analysis, particularly for neighborhood compatibility reviews, and is regularly used for power point presentations to the Planning Commission and City Council, as well as other City Committees and at public workshops; • View Restoration: Enables staff to determine the location of foliage, ownership of foliage, and line-of-sight analysis with a high degree of accuracy; • Public Safety: Code Enforcement personnel can "see" the location before dispatch and annual progression of the area around the incident for analysis; • Economic Development: Improves outreach to businesses by providing detailed site information for potential developments and surrounding areas; • Disaster Planning and Response: Improves disaster planning before and response during, and after disasters; • Community Outreach: Improves communication with residents by providing a comprehensive and convenient "picture" of the area of discussion and related information thus increasing citizen engagement; • Operational Efficiency: A comprehensive view across City departments allows a department that might not normally deal with a particular set of data to still view it in the GIS data to eliminate potential miscommunication issues. Importance of GIS to Daily Operations GIS improves communications throughout the organization by integrating layer information from all departments into one repository that is easily visible to decision makers across departments. Finally, GIS will integrate with new business systems H-8 compounding their power and productivity . These benefits to efficiency, communications and decision making improve City effectiveness when proposing and dealing with public infrastructure, planning and zoning matters and promote citizen engagement in the process of City infrastructure management. The benefits of GIS to City operations are clear , but to achieve these benefits, the system design and logistics "behind the scenes" are of utmost importance . GIS in particular becomes vastly more effective when the system is flexible, configurable and updates to information are timely. Dedicating resources specifically to the management of City maps, layers, data, systems support and presentation information allows for flexibility and speed when information is needed and coordinates the most relevant information quickly and accurately and reduces the duplication of efforts across the organization. Community Development GIS is currently used by Community Development for ongoing daily business processes as planners' keep GIS open to access maps and information at the public counter to answer questions from the public and to process planning applications . Code Enforcement staff regularly use GIS to deal with resident reports of unpermitted construction. View Restoration Staff regularly use GIS to assess location and ownership of foliage, terrain, and line-of-sight, view-shed surveys, which are components of a view analysis for View restoration applications. In addition to daily use, important advance planning projects such as the ongoing General Plan update, Park Improvement projects, Preserve and Non-Preserve Trails mapping and Palos Verdes Nature Preserve --· = - completion of the City's NCCP are completed with GIS mapping and layer data. Many of these critical components to City Land Use Management would not have been possible without GIS maps and the layer information that GIS contains. Public demand for instant, complete and accurate data will continue to increase and GIS allows Staff to meet this public expectation. For example, the City GIS was used to create a H-9 clearer and more precise City Zoning Map which clearly demonstrates zoning down to the parcel level with the use of color coding. In addition, the City's GIS was used to produce a number of maps and figures in support of the PUMP document for the Palos Verdes Nature. City GIS is currently being used extensively in creation of the upcoming General Plan update to display features and information that relate to: • Conservation and Open Space Elements • Land Use Elements • Circulation Elements • Visual Resources Elements • Safety Elements • Housing and Social Services Elements • Noise Elements • Fiscal Elements This new mapping will allow planners to make decisions related to one type of criteria while taking into account other unrelated information that would otherwise be hard to see. For example, circulation, safety and noise element layers can be integrated and used simultaneously on a single map screen to plan for safe paths to school and school crossings. If this information were only available as separate maps, it would be very difficult to comprehensively take all components into account. Public Works Public Works uses GIS for a wide variety of tasks and are very active in the creation of new data layers in order to view geographic information about the City. The master plan of drainage (MPD) currently being prepared for the City is heavily dependent on GIS. The MPD will use the City's GIS data to help staff store information on drainage features, including maintenance records, construction drawings, and computer flow modeling results. With this information in one place and easily accessible, staff is much more efficient in finding relevant information for a current or future projects. A recent example occurred when the City was contacted by the County Health Department after a sewer overflow had been reported. The County wanted to know if it needed to order closure of any beaches. The staff member was able to confirm from his desk that the spill location was not tributary to any beach using the draft version of GIS now available. The City uses GIS for the ongoing storm drain lining project to determine which pipes are in need of video inspection, and which pipes have been lined. It is very useful in developing maps to communicate with contractors during the bidding process to ensure bids are based on the best available information. This gives the City a much stronger position to resist change order requests stemming from "unexpected field conditions". When the contractor has provided video footage of his inspection, these can also be linked to the GIS system. Another concern in the storm water sector is for water quality. Accurate mapping of land use and drainage ways is imperative to determine the potential pollutants and any required counter measures. The ability of pollution modeling software to "read" digital terrain models and overlying land use information contained in a GIS system greatly reduces the manpower that would otherwise be needed and increases the reliability of results. Map depicting layout, access points and materials of storm drains, used to communicate clearly to contractors H-11 GIS was instrumental in the development of the City's Annual Fuel Modification Program. It helped to clearly identify to staff and to contractors the various areas within the City's preserve areas that need to have vegetation and brush cleared on an annual basis. The City has used goats as well as landscaping contractors to perform this brush clearance. Not only does it provide an indispensable visual tool, but it Areas bordered in yellow show fuel modification also aids in the calculation of acreage or square footage of the areas needing clearing for cost estimating, communication with contractors performing brush clearance work, and tracking purposes. This information was created in-house and added as a GIS layer into our system. As you can see in the map, these areas would be very difficult to show on a regular street map. GIS was used to gain an understanding of the extent of a major brush fire that occurred in the City's preserve in 2009. These GIS maps were instrumental in determining the amount of compensation to be recovered from SCE, as well as for use in the response from the Palos Verdes Peninsula Land Conservancy (PVPLC) to determine areas needing re- seeding/re-vegetation or monitoring. Maps created with GIS also helped City staff determine the trails needing temporary closure from the public until the area could be sufficiently protected and restored. H-12 Map depicting the major watersheds, city boundaries and the network of improved drainage systems on the entire Peninsula GIS is used on a day to day basis to perform tasks like determining notification areas for any given City project (within a certain radius of a location) or a differently-specified area potentially affected by a project. Staff sends out notification letters to residences and/or business owners in advance of the start of project construction in order to notify them of the upcoming work and GIS easily allows Staff to choose an area and create mailings to parcel owners from parcel data that is regularly updated in GIS. Staff uses GIS to track ongoing projects such as the maintenance and repair trends for sidewalks for example throughout the City. One of the most important tasks GIS assists with is in providing visual tools at public outreach meetings to help describe an upcoming project and obtain input and feedback from the public. In fact, most maps used in Staff Reports and demonstrations were created with City GIS. GIS assists in other areas throughout the City including Emergency Operations and Disaster Preparation and Recovery, to analyze the impact of land management decisions on emergency preparations and potential threats from natural phenomena in order to minimize risks. H-14 PARTICIPANT AGREEMENT BY AND BETWEEN THE COUNTY OF LOS ANGELES AND PARTICIPATING ENTITIES FOR THE LOS ANGELES REGION -IMAGERY ACQUISITION CONSORTIUM 4 ("LAR-IAC4"} PROJECT This Participant Agreement (Agreement) is made and entered into by and between the County of Los Angeles (County), a political subdivision of the State of California, and the City of Rancho Palos Verdes , a California city, special district, or agency. Each individual city, district, or agency is referred to herein individually as a "Participating Entity" and collectively as the "Participating Entities". The County and the Participating Entities are hereinafter referred to collectively as the "Parties" and each individually as a "Party". A. WHEREAS, County has planned to acquire new digital orthogonal and oblique aerial imagery in the winter of 2013-2014 Project; B. WHEREAS, County has become aware that various Participating Entities have similar projects currently underway or plans to undertake similar projects in the near future; C. WHEREAS, in order to avoid the duplication of efforts and costs by the Parties, the Parties desire to pool their resources to collectively undertake the Project; and D. WHEREAS, the Parties intend to participate in the Project upon the terms and conditions set forth herein below. NOW, THEREFORE, in consideration of the mutual covenants herein set forth and the mutual benefits to be derived therefrom, the Parties agree as follows: 1. Purpose The purpose of this Agreement is to provide a vehicle for the collective participation in the Project by the Parties. The Project shall focus on the acquisition of certain aerial imagery digital data which may include, but are not limited to, products listed in Attachment A ("Digital Data"). It is the intent of the Parties that Digital Data shall be acquired under this Agreement for areas within the County of Los Angeles covered by the jurisdictions of the Parties. H-15 2. Responsibilities of the County A. Identify and provide specifications for Digital Data (or their derivatives) to the contractors hired to complete the Project. B. Develop all necessary procurement documents for necessary services to be provided by one or more qualified contractors in connection with the acquisition and administration of the Digital Data. C. Select the most qualified contractor or contractors to provide the necessary services in connection with the acquisition and administration of the Digital Data and thereafter, manage the entire acquisition and administration of the Project. D. With the assistance of one or more selected contractors, provide Quality Control (QC) for all Digital Data delivered under this Agreement. E. Arrange for the delivery of the Digital Data (or portions thereof) to the Participating Entity upon Project completion. F. Provide monthly reports to the Participating Entities on the status of the Project. 3. The Participating Entity Has the Right to A. Participate in identifying and providing technical specifications for the Digital Data (or their derivatives). B. Provide currently available geodetic points (with necessary standards and accuracy) for County's QC process. D. Acquire additional digital aerial products from the contractors through this agreement, provided that a Statement of Work is attached as Exhibit A.1. County assumes no liability for the completion of these products. 4. Mutual Responsibilities; Maximum Contribution Page 12 The Parties shall be mutually responsible for the following: A. Financing the acquisition and administration of the Digital Data including, but not limited to, costs related to QC and the subsequent distribution thereof. The total cost of such acquisition and administration (Total Cost) shall be allocated among the Parties and the Participating Entities . The portion of the Total Cost allocated to a Party hereunder shall be hereinafter referred to as the Party's "Maximum Contribution." Each Participating Entity will transfer its Maximum Contribution to a special trust account which has been established by the County for this Project (Trust Account) and as further described in Paragraph 5 of this Agreement. LAR-IAC4 Participant Agreement H-16 The Maximum Contribution of the Participating Entity shall be $57,575. B. In the event the Project is terminated for any reason before the execution of any contract with a contractor for the provision of goods and/or services in connection with the Project, each Participating Entity shall be refunded its Maximum Contribution (or such portion of the Maximum Contribution as shall have been paid to the County by such Participating Entity) in its entirety. 5. Payment of Maximum Contribution; Administration of Trust Account A. A Participating Entity shall have the following options in paying its Maximum Contribution to the County hereunder: i. The Participating Entity may elect to pay its Maximum Contribution to County in its entirety upon execution of this Agreement. ii . The Participating Entity may elect to pay its Maximum Contribution to County as follows: (a) fifty percent (50%) of the Maximum Contribution upon its execution of this Agreement; and (b) fifty percent (50%) upon delivery of the Digital Data to the Participating Entity. B. The Trust Account established by the County in connection with the Project, shall be subject to the following: i. All funds held in the Trust Account shall be used solely for the payment of contractors selected by County to provide goods and services in connection with the Project. ii. Any funds held in the Trust Account not expended upon the completion of the Project or the termination of this Agreement shall be held, administered, and returned to Parties based on their prorated contribution to the total costs of the Project. 6. General Terms and Conditions Page J 3 A. This Agreement shall take effect upon execution and shall remain in effect through final delivery of all Digital Data and through the duration of the license- use term. B. The term of this Agreement may be extended by an Amendment to this Agreement. C. It is the intention of the Parties that the Participating Entity shall receive, with the delivery of the Digital Data, an unlimited irrevocable perpetual, royalty- free license. The license may be used to, modify, edit, reuse, reproduce, LAR-IAC4 Participant Agreement H-17 Page J 4 translate, create derivatives, compile, other works based upon the Digital Data, and combine the data with other contents selected by the Participating Entity in its own operation, with an unlimited number of seats; including, but not limited to Internet and intranet applications, copying, and printing. D. The Participating Entity shall have the right to transfer, sublicense, and distribute any form of media either now known or hereinafter desired the Digital Data to its subcontractors or consultants on projects which are outsourced from its own operations. In this connection, the Participating Entity shall require each subcontractor or consultant to whom the Digital Data is transferred to execute a written acknowledgement and agreement to abide by such Participating Entity's license to use the Digital Data. Such acknowledgement and agreement is provided in Attachment B (Authorized User Confidentiality and Non-Disclosure Agreement). E. Notwithstanding any prov1s1on of this Agreement to the contrary, a Participating Entity shall not have the right to sell, resell, or otherwise transfer its license to use the Digital Data to any other person or entity. F. This Agreement may be amended or modified by County only after collaboration and consultation with the Participating Entities. G. Nothing in this Agreement shall be construed to give any person or entity, other than the Parties hereto, any legal or equitable right, remedy, or claim under or in respect to this Agreement or any provision herein contained. This Agreement and the provisions hereof are intended to be and are for the sole and exclusive benefit of the Parties. H. No Party may terminate its participation under this Agreement after the execution of contract(s) for the acquisition of the Digital Data without the prior written consent of County. I. Any other California city, special district, or agency may become a Participating Entity under this Agreement if: (i) Such entity executes this Agreement, and (ii) Such entity makes its Maximum Contribution to County as provided for under this Agreement. Any such contribution shall be deposited into the Trust Account and administered in accordance with sub- paragraph 5.B of this Agreement. J. This Agreement may be executed in counterparts and the signed counterparts shall constitute a single instrument. The signatories to this Agreement represent that they have the authority to bind their respective party to this Agreement. Pictometry International Corp., a Delaware company with offices at 100 Town Centre Drive, Suite A, Rochester, NY 14623 ("Pictometry"), and the County of Los Angeles have entered into a certain agreement dated December 3, 2013 ("Agreement") for delivery of licensed digital mapping data and software ("Products") to the County. Under the agreement, certain governmental entities ("Authorized Entities") which participate in the LAR-IAC are granted copies of the Products through a Participant Agreement with the County. B. Section 11.2 of the Agreement states: "As used in this Agreement, the term "Authorized Users" shall mean: (i) the employees of Authorized Entities; (ii) employees of Authorized Entities, including County Departments and Authorized Participants, doing business with or on behalf of the Authorized Entities for those particular Authorized Entity projects; (iii) contractors and consultants using the Licensed Products at the facilities of the Authorized Entities; and (iv) any contractors and consultants of the Authorized Entities designated by Contractor to use the Licensed Products outside the facilities of Authorized Entities for those particular Authorized Entity projects." The undersigned is an Authorized User of the County or Authorized Entity and desires to use the Products solely for internal, noncommercial use and for purposes no greater than reasonably needed to achieve the objectives of an actual project undertaken in connection with the relationship with the Authorized Entity or the County ("Purpose"). 1. GRANT OF RIGHTS The undersigned understands and agrees that the Products contain trade secret and confidential information ("Confidential Information") of Pictometry. Under this Authorized User Confidentiality and Non-Disclosure Agreement, it may use the Products solely for the Purpose, which right is nonexclusive, nontransferable, and non-assignable, from the Effective Date hereof until expiration or termination. To the extent any Confidential Information is revealed through the use or operation of the Products, the Authorized User agrees that it will not make use of, disseminate, or in any way disclose Confidential Information without Pictometry's prior written consent.
