Award a professional services contract to RBF Consulting, Inc. (RBF) for development of a GIS-based master plan of drainage, for a not to exceed amount of $551,030 over the duration of the contract. 2. Authorize the Mayor and City Clerk to execute a professional services contract with RBF Consulting, Inc. EXECUTIVE SUMMARY The importance of the City's storm drain asset to the safety of its residents and visitors, and to protection of property requires that it be well managed. Proactive management will include regular condition assessments, identification of deficiencies, ongoing risk analysis, and prioritizing of the projects to make needed improvements. Over the last 15 years the City has sought to better understand and manage its storm drain asset through a combination of field investigations, engineering analysis and master plan development. It has been about 10 years since the most recent master plan was developed and changes in engineering methods and climatic assumptions, physical changes to the asset in the ground and new opportunities to leverage technology to improve management decision making now warrant an update to the City's Master Plan of Drainage. Staff has solicited several firms to provide a comprehensive and GIS based Master Plan of Drainage and has selected RBF as the top responder to provide these services for the City. BACKGROUND The first city-wide study of the storm drain system was conducted in 1998. This study F-1 Award PSA to RBF for MPD Page 2of3 October 1, 2013 inventoried existing storm drain facilities, evaluated the capacities of the existing storm drains within the City, identified capacity deficiencies, evaluated alternate solutions, and developed correction recommendations in the form of a prioritized list of improvement projects with associated construction costs. The study included approximately 75% of City-owned storm drains, as well as pertinent Los Angeles County owned facilities, and a few private storm drain systems. It found the greatest level of capacity deficiency along the Palos Verdes Drive East corridor. A limitation of the 1998 Master Plan is that it did not investigate deficiencies in the City's storm drain system other than those related to capacity (pipe size). For example it did not investigate the condition of pipes, nor did it determine if there were adequate inlets to collect drainage. It did not investigate downstream consequences of permitting increased flows. t therefore underestimated costs. In 1999 the City Council authorized an engineering investigation that focused on the storm drains along Palos Verdes Drive East. The report was more detailed than the 1998 Master Plan in that it did conduct video inspections to assess pipe conditions, and it did the necessary calculations to determine if there were an adequate number of inlets to pick up drainage. The report also proposed solutions and calculated an engineer's estimate of cost. In 2003 the City Council authorized an engineering investigation to prepare an update to the 1998 Master Plan of Drainage. The purpose of the update was to create in a single document a compensative look at the City's storm drain system, with a citywide estimate of needs and costs. The update was needed to bring the detail in the 1998 Master Plan up to a level that is comparable to the 1999-focused study. To do this, additional storm drains were video inspected and the plan was updated to reflect construction completed since the 1998 report. Finally the hydrology assumptions were updated based on revised criteria established by the County of Los Angeles. This master plan was completed in 2004 and formed the basis of the project list that influenced the formation of the Water Quality Flood Protection Program and the Storm Drain User Fee. In the years since the 2004 update was completed and through the funding made available by the Storm Drain User Fee, many of these deficiencies were investigated, studied further and corrected. During these investigations, additional deficiencies were discovered as Staff performed additional field investigations of the City's storm drain facilities. County standards that define minimum levels of design and risk were again revised in 2006, making some of the assumptions used to model the system in 2004 obsolete. Therefore, funds to develop a revised Master Plan of Drainage were programmed into the Water Quality Flood Protection Program··s five year model for FY 2011-12. These funds have been carried forward to a period when the City's GIS system and background data would be ready to take full advantage of available technology. Recent improvements to the City's GIS assets make any further delay unnecessary. DISCUSSION In 2011, Staff engaged RBF Consulting to develop a "road map" for the City's storm drain management function in order to understand what would be necessary to create a "living document" management tool. This tool was necessary for better and prompt decision making, maintenance programming and development of a capital improvement program F-2 Award PSA to RBF for MPD Page 3of3 October 1, 2013 for the storm drain asset. From the work product developed, Staff developed a comprehensive scope of work to perform assessment and analysis of the City's drainage system, create objectives of a long term maintenance program and to create a prioritization tool for projects that would be adaptable to unknown funding levels. This scope of work was sent to five consulting firms known to have related experience with a request for Statements of Qualification (SOQs) in July of 2013. The City received three SOQs in response to this request and Staff ranked highest the SQQ from RBF Consulting. Staff then negotiated fees with RBF and a final proposal was submitted for the work. The proposal includes an estimate of labor and hourly rates for the various professionals who will be working on the project. ANALYSIS Staff favored RBF to the other responders for several reasons. RBF's response demonstrated greater experience with development of GIS-based drainage master plans than the other firms. RBF's team of professionals is an "in-house" team, which will aid in communication and efficiency. RBF has more available resources than the other firms. RBF best understood the City's goal of having a "living" document, or tool, that could be continuously updated as the City completes projects, performs maintenance and becomes aware of new deficiencies. It also showed the most experience in building similar and functioning tools for other agencies. RBF has experience working in RPV and experience with and first-hand knowledge of the City's storm drain system. Finally, RBF's proposal showed a level of effort that was expected by staff for this comprehensive work and hourly rates that are well within industry norms. CONCLUSIONS To continue the important work the City has undertaken to proactively and efficiently manage its storm drain asset a new GIS based Master Plan of Drainage needs to be created. This new management tool will allow for stronger decision making based on a better understanding of the asset and its deficiencies. This is especially important as the City develops a comprehensive CIP program for this and the other assets in the City which will compete for ever stretched funding resources. Staff has solicited for consultants to perform the work required to the GIS based Master Plan of Drainage and selected RBF Consultants as its top choice. Therefore, Staff recommends awarding a professional services agreement not to exceed $551,030 to RBF Consulting for this work. FISCAL IMPACT This work will be performed as part of the Water Quality Flood Protection Program using funds made available from the Strom Drain User Fee. Sufficient funds for the work have been included in the Storm Water Quality Program of the approved FY 2013-14 budget and the continuing appropriation approved on September 17, 2013. Attachment: Professional Services Agreement F-3 Page 1 of 11 R6876-0001\1347704v1.doc CITY OF RANCHO PALOS VERDES DESIGN PROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT (“Agreement”) is made and entered into this 1st day of October, 2013, by and between the City of Rancho Palos Verdes (hereinafter referred to as the "CITY") and RBF Consulting, Inc., (hereafter referred to as "CONSULTANT"). IN CONSIDERATION of the covenants hereinafter set forth, the parties hereto agree as follows: ARTICLE 1 SCOPE OF SERVICES 1.1 Project Description The Project is described as follows: Master Plan of Drainage. 1.2 Description of Services CONSULTANT shall: develop and provide a GIS based Master Plan of Drainage, as described in the CITY’s Request For Qualifications, which is attached hereto as Exhibit “A” and incorporated herein by this reference, and in CONSULTANT’s Proposal, which is attached hereto as Exhibit “B” and incorporated herein by this reference. In the event of any conflict between the terms of this Agreement and incorporated documents, the terms of this Agreement shall control. In the event of any conflict between Exhibits “A” and “B,” the terms of Exhibit A shall control. 1.3 Schedule of Work Upon receipt of written Notice to Proceed from the CITY, CONSULTANT shall perform with due diligence the services requested by the CITY. Time is of the essence in this Agreement. CONSULTANT shall not be responsible for delay, nor shall CONSULTANT be responsible for damages or be in default or deemed to be in default by reason of strikes, lockouts, accidents, or acts of God, or the failure of CITY to furnish timely information or to approve or disapprove CONSULTANT's work promptly, or delay or faulty performance by CITY, other consultants/contractors, or governmental agencies, or any other delays beyond CONSULTANT's control or without CONSULTANT's fault. ARTICLE 2 COMPENSATION F-4 Page 2 of 11 R6876-0001\1347704v1.doc 2.1 Fee CITY agrees to compensate CONSULTANT an amount not to exceed five hundred fifty one thousand thirty dollars ($551,030) for services as described in Article 1. 2.2 Terms of Compensation CONSULTANT shall submit monthly invoices, which shall include hours worked and associated billing rates, for the work completed in the previous month. CITY agrees to authorize payment for all undisputed invoice amounts within thirty (30) days of receipt of each invoice. CITY agrees to use its best efforts to notify CONSULTANT of any disputed invoice amounts or claimed completion percentages within ten (10) days of the receipt of each invoice. However, CITY's failure to timely notify CONSULTANT of a disputed amount or claimed completion percentage shall not be deemed a waiver of CITY's right to challenge such amount or percentage. Additionally, in the event CITY fails to pay any undisputed amounts due CONSULTANT within forty-five (45) days after invoices are received by CITY then CITY agrees that CONSULTANT shall have the right to consider said default a total breach of this Agreement and be terminated by CONSULTANT without liability to CONSULTANT upon ten (10) working days advance written notice. 2.3 Additional Services CITY may request additional specified work under this Agreement. All such work must be authorized in writing by the CITY’s Director of Public Works prior to commencement. CONSULTANT shall perform such services, and CITY shall pay for such additional services in accordance with CONSULTANT's Schedule of Hourly Rates, which is within Exhibit “B.” The rates in Exhibit “B” shall be in effect through the end of this Agreement. 2.4 Term of Agreement This Agreement shall commence on October 1, 2013 and shall terminate on June 30, 2015 unless sooner terminated pursuant to Article 4 of this Agreement. ARTICLE 3 INDEMNIFICATION AND INSURANCE F-5 Page 3 of 11 R6876-0001\1347704v1.doc 3.1 Indemnification, Hold Harmless, and Duty to Defend (a) Indemnity for Design Professional Services. In connection with its design professional services and to the maximum extent permitted by law, CONSULTANT shall hold harmless and indemnify CITY, and its officials, officers, employees, agents and independent contractors serving in the role of CITY officials, and designated volunteers (collectively, “Indemnitees”), with respect to any and all claims, demands, causes of action, damages, injuries, liabilities, losses, costs or expenses, including reimbursement of attorneys’ fees and costs of defense (collectively, “Claims” hereinafter), including but not limited to Claims relating to death or injury to any person and injury to any property, which arise out of, pertain to, or relate to in whole or in part to the negligence, recklessness, or willful misconduct of CONSULTANT or any of its officers, employees, subcontractors, or agents in the performance of its design professional services under this Agreement. (b) Other Indemnities. In connection with any and all claims, demands, causes of action, damages, injuries, liabilities, losses, costs or expenses, including attorneys’ fees and costs of defense (collectively, “Damages” hereinafter) not covered by Section 3.1(a), and to the maximum extent permitted by law, CONSULTANT shall defend, hold harmless and indemnify the Indemnitees with respect to any and all Damages, including but not limited to, Damages relating to death or injury to any person and injury to any property, which arise out of, pertain to, or relate to the acts or omissions of CONSULTANT or any of its officers, employees, subcontractors, or agents in the performance of this Agreement, except for such loss or damage arising from the sole negligence or willful misconduct of the CITY, as determined by final arbitration or court decision or by the agreement of the parties. CONSULTANT shall defend Indemnitees in any action or actions filed in connection with any such Damages with counsel of CITY’s choice, and shall pay all costs and expenses, including all attorneys’ fees and experts’ costs actually incurred in connection with such defense. Consultant’s duty to defend pursuant to this Section 3.1(b) shall apply independent of any prior, concurrent or subsequent misconduct, negligent acts, errors or omissions of Indemnitees. (c) All duties of CONSULTANT under Section 3.1 shall survive termination of this Agreement. 3.2 General Liability CONSULTANT shall at all times during the term of the Agreement carry, maintain, and keep in full force and effect, a policy or policies of Commercial General Liability Insurance, with minimum limits of one million dollars ($1,000,000) for each occurrence and two million dollars ($2,000,000) general aggregate for bodily injury, death, loss or property damage for products or completed operations and any and all F-6 Page 4 of 11 R6876-0001\1347704v1.doc other activities undertaken by CONSULTANT in the performance of this Agreement. Said policy or policies shall be issued by an insurer admitted to do business in the State of California and rated in A.M. Best's Insurance Guide with a rating of A:VII or better. 3.3 Professional Liability CONSULTANT shall at all times during the term of this Agreement, carry, maintain, and keep in full force and effect a policy or policies of professional liability insurance with a minimum limit of one million dollars ($1,000,000) per claim and aggregate for errors and/or omissions of CONSULTANT in the performance of this Agreement. Said policy or policies shall be issued by an insurer admitted to do business in the State of California and rated in Best's Insurance Guide with a rating of A:VII or better. If a “claims made” policy is provided, such policy shall be maintained in effect from the date of performance of work or services on the CITY’s behalf until three (3) years after the date of work or services are accepted as completed. Coverage for the post-completion period may be provided by renewal or replacement of the policy for each of the three (3) years or by a three-year extended reporting period endorsement, which reinstates all limits for the extended reporting period. If any such policy and/or policies have a retroactive date, that date shall be no later than the date of first performance of work or services on behalf of the CITY. Renewal or replacement policies shall not allow for any advancement of such retroactive date. 3.4 Automobile Liability CONSULTANT shall at all times during the term of this Agreement obtain, maintain, and keep in full force and effect, a policy or policies of Automobile Liability Insurance, with minimum of one million dollars ($1,000,000) per claim and occurrence and two million dollars ($2,000,000) in the aggregate for bodily injuries or death of one person and five hundred thousand dollars ($500,000) for property damage arising from one incident. 3.5 Worker’s Compensation CONSULTANT agrees to maintain in force at all times during the performance of work under this Agreement worker's compensation insurance as required by the law. CONSULTANT shall require any subcontractor similarly to provide such compensation insurance for their respective employees. 3.6 Notice of Cancellation (a) All insurance policies shall provide that the insurance coverage shall not be cancelled or modified by the insurance carrier without thirty (30) days prior written notice to CITY, or ten (10) days notice if cancellation is due to nonpayment of F-7 Page 5 of 11 R6876-0001\1347704v1.doc premium. Additionally, CONSULTANT shall provide immediate notice to the City if it receives a cancellation or policy revision notice from the insurer. (b) CONSULTANT agrees that it will not cancel or reduce any required insurance coverage. CONSULTANT agrees that if it does not keep the aforesaid insurance in full force and effect, CITY may either immediately terminate this Agreement or, if insurance is available at a reasonable cost, CITY may take out the necessary insurance and pay, at CONSULTANT's expense, the premium thereon. 3.7 Entire Policy and Certificate of Insurance At all times during the term of this Agreement, CONSULTANT shall maintain on file with the CITY Clerk both a copy of the entire policy and a certificate of insurance showing that the aforesaid policies are in effect in the required amounts. The commercial general liability policy shall contain endorsements naming the CITY, its officers, agents and employees as additional insureds. 3.8 Primary Coverage The insurance provided by CONSULTANT shall be primary to any coverage available to CITY. The insurance policies (other than workers compensation and professional liability) shall include provisions for waiver of subrogation. ARTICLE 4 TERMINATION 4.1 Termination of Agreement (a) This Agreement may be terminated at any time, with or without cause, by the CITY upon thirty (30) days prior written notice or by CONSULTANT upon ninety (90) days prior written notice. Notice shall be deemed served if completed in compliance with Section 6.14. (b) In the event of termination or cancellation of this Agreement by CONSULTANT or CITY, due to no fault or failure of performance by CONSULTANT, CONSULTANT shall be paid compensation for all services performed by CONSULTANT, in an amount to be determined as follows: for work satisfactorily done in accordance with all of the terms and provisions of this Agreement as determined by the CITY, CONSULTANT shall be paid an amount equal to the percentage of services performed prior to the effective date of termination or cancellation in accordance with the work items; provided, in no event shall the amount of money paid under the foregoing provisions of this paragraph exceed the amount which would have been paid to CONSULTANT for the full performance of the services described in this Agreement. F-8 Page 6 of 11 R6876-0001\1347704v1.doc ARTICLE 5 OWNERSHIP OF DOCUMENTS 5.1 Ownership of Documents and Work Product All final documents, plans, specifications, reports, information, data, exhibits, photographs, images, video files and media created or developed by CONSULTANT pursuant to this Agreement (“Written Products”) shall be and remain the property of the CITY without restriction or limitation upon its use, duplication or dissemination by the CITY. All Written Products shall be considered “works made for hire,” and all Written Products and any and all intellectual property rights arising from their creation, including, but not limited to, all copyrights and other proprietary rights, shall be and remain the property of the CITY without restriction or limitation upon their use, duplication or dissemination by the CITY. CONSULTANT shall not obtain or attempt to obtain copyright protection as to any Written Products. CONSULTANT hereby assigns to the CITY all ownership and any and all intellectual property rights to the Written Products that are not otherwise vested in the CITY pursuant to the paragraph directly above this one. CONSULTANT warrants and represents that it has secured all necessary licenses, consents or approvals to use any instrumentality, thing or component as to which any intellectual property right exists, including computer software, used in the rendering of the services and the production of all Written Products produced under this Agreement, and that the CITY has full legal title to and the right to reproduce the Written Products. CONSULTANT shall defend, indemnify and hold the CITY, and its elected officials, officers, employees, servants, attorneys, designated volunteers, and agents serving as independent contractors in the role of CITY officials, harmless from any loss, claim or liability in any way related to a claim that CITY’s use of any of the Written Products is violating federal, state or local laws, or any contractual provisions, or any laws relating to trade names, licenses, franchises, copyrights, patents or other means of protecting intellectual property rights and/or interests in products or inventions. CONSULTANT shall bear all costs arising from the use of patented, copyrighted, trade secret or trademarked documents, materials, equipment, devices or processes in connection with its provision of the services and Written Products produced under this Agreement. In the event the use of any of the Written Products or other deliverables hereunder by the CITY is held to constitute an infringement and the use of any of the same is enjoined, CONSULTANT, at its expense, shall: (a) secure for CITY the right to continue using the Written Products and other deliverables by suspension of any injunction, or by procuring a license or licenses for CITY; or (b) modify the Written Products and other deliverables so that they become non-infringing while remaining in F-9 Page 7 of 11 R6876-0001\1347704v1.doc compliance with the requirements of this Agreement. This covenant shall survive the termination of this Agreement. Upon termination, abandonment or suspension of the Project, the CONSULTANT shall deliver to the CITY all Written Products and other deliverables related to the Project without additional cost or expense to the CITY. If CONSULTANT prepares a document on a computer, CONSULTANT shall provide CITY with said document both in a printed format and in an electronic format that is acceptable to the CITY. ARTICLE 6 GENERAL PROVISIONS 6.1 Representation The CITY representative shall be the Director of Public Works or his or her designee, and CONSULTANT shall notify CITY of CONSULTANT’s designated representative. These individuals shall be the primary contact persons for the parties regarding performance of this Agreement. 6.2 Fair Employment Practices/Equal Opportunity Acts In the performance of this Agreement, CONSULTANT shall comply with all applicable provisions of the California Fair Employment Practices Act (California Government Code Sections 12940-48), the applicable equal employment provisions of the Civil Rights Act of 1964 (42 U.S.C. 200e-217), and the Americans with Disabilities Act of 1990 (42 U.S.C. § 11200, et seq.). 6.3 Personnel CONSULTANT represents that it has, or shall secure at its own expense, all personnel required to perform CONSULTANT's services under this Agreement. Any person who performs engineering services pursuant to this Agreement shall be licensed as a Civil Engineer by the State of California and in good standing. CONSULTANT shall make reasonable efforts to maintain the continuity of CONSULTANT's staff who are assigned to perform the services hereunder and shall obtain the approval of the Director of Public Works of all proposed staff members who will perform such services. CONSULTANT may associate with or employ associates or subcontractors in the performance of its services under this Agreement, but at all times shall CONSULTANT be responsible for its associates and subcontractors’ services. 6.4 CONSULTANT’s Representations F-10 Page 8 of 11 R6876-0001\1347704v1.doc CONSULTANT represents, covenants and agrees that: a) CONSULTANT is licensed, qualified, and capable of furnishing the labor, materials, and expertise necessary to perform the services in accordance with the terms and conditions set forth in this Agreement; b) there are no obligations, commitments, or impediments of any kind that will limit or prevent CONSULTANT’s full performance under this Agreement; c) to the extent required by the standard of practice, CONSULTANT has investigated and considered the scope of services performed, has carefully considered how the services should be performed, and understands the facilities, difficulties and restrictions attending performance of the services under this Agreement. 6.5 Conflicts of Interest CONSULTANT agrees not to accept any employment or representation during the term of this Agreement or within twelve (12) months after completion of the work under this Agreement which is or may likely make CONSULTANT "financially interested" (as provided in California Government Code Sections 1090 and 87100) in any decisions made by CITY on any matter in connection with which CONSULTANT has been retained pursuant to this Agreement. 6.6 Legal Action (a) Should either party to this Agreement bring legal action against the other, the validity, interpretation, and performance of this Agreement shall be controlled by and construed under the laws of the State of California, excluding California’s choice of law rules. Venue for any such action relating to this Agreement shall be in the Los Angeles County Superior Court. (b) If any legal action or other proceeding, including action for declaratory relief, is brought for the enforcement of this Agreement or because of an alleged dispute, breach, default or misrepresentation in connection with this Agreement, the prevailing party shall be entitled to recover reasonable attorneys’ fees, experts’ fees, and other costs, in addition to any other relief to which the party may be entitled. (c) Should any legal action about a project between CITY and a party other than CONSULTANT require the testimony of CONSULTANT when there is no allegation that CONSULTANT was negligent, CITY shall compensate CONSULTANT for its testimony and preparation to testify at the hourly rates in effect at the time of such testimony. 6.7 Assignment Neither this Agreement nor any part thereof shall be assigned by CONSULTANT without the prior written consent of the CITY. Any such purported F-11 Page 9 of 11 R6876-0001\1347704v1.doc assignment without written consent shall be null and void, and CONSULTANT shall hold harmless, defend and indemnify the CITY and its officers, officials, employees, agents and representatives with respect to any claim, demand or action arising from any unauthorized assignment. Notwithstanding the above, CONSULTANT may use the services of persons and entities not in CONSULTANT's direct employ, when it is appropriate and customary to do so. Such persons and entities include, but are not necessarily limited to, surveyors, specialized consultants, and testing laboratories. CONSULTANT's use of subcontractors for additional services shall not be unreasonably restricted by the CITY provided CONSULTANT notifies the CITY in advance. 6.8 Independent Contractor CONSULTANT is and shall at all times remain, as to the CITY, a wholly independent contractor. Neither the CITY nor any of its agents shall have control over the conduct of CONSULTANT or any of the CONSULTANT's employees, except as herein set forth, and CONSULTANT is free to dispose of all portions of its time and activities which it is not obligated to devote to the CITY in such a manner and to such persons, firms, or corporations as the CONSULTANT wishes except as expressly provided in this Agreement. CONSULTANT shall have no power to incur any debt, obligation, or liability on behalf of the CITY or otherwise act on behalf of the CITY as an agent. CONSULTANT shall not, at any time or in any manner, represent that it or any of its agents, servants or employees, are in any manner agents, servants or employees of CITY. CONSULTANT agrees to pay all required taxes on amounts paid to CONSULTANT under this Agreement, and to indemnify and hold the CITY harmless from any and all taxes, assessments, penalties, and interest asserted against the CITY by reason of the independent contractor relationship created by this Agreement. CONSULTANT shall fully comply with the workers’ compensation law regarding CONSULTANT and its employees. CONSULTANT further agrees to indemnify and hold the CITY harmless from any failure of CONSULTANT to comply with applicable workers’ compensation laws. The CITY shall have the right to offset against the amount of any fees due to CONSULTANT under this Agreement any amount due to the CITY from CONSULTANT as a result of its failure to promptly pay to the CITY any reimbursement or indemnification arising under this Article. 6.9 Titles The titles used in this Agreement are for general reference only and are not part of the Agreement. 6.10 Entire Agreement F-12 Page 10 of 11 R6876-0001\1347704v1.doc This Agreement, including any other documents incorporated herein by specific reference, represents the entire and integrated agreement between CITY and CONSULTANT and supersedes all prior negotiations, representations or agreements, either written or oral. This Agreement may be modified or amended, or provisions or breach may be waived, only by subsequent written agreement signed by both parties. 6.11 Construction In the event of any asserted ambiguity in, or dispute regarding the interpretation of any matter herein, the interpretation of this Agreement shall not be resolved by any rules of interpretation providing for interpretation against the party who causes the uncertainty to exist or against the party who drafted the Agreement or who drafted that portion of the Agreement. 6.12 Non-Waiver of Terms, Rights and Remedies Waiver by either party of any one or more of the conditions of performance under this Agreement shall not be a waiver of any other condition of performance under this Agreement. The successful firm , or firms, will provide complete professional services to accomplish the scope of work presented in this RFQ. The City is particularly interested in proposals that utilize innovative cost saving project approaches and will provide a comprehensive drainage master plan program on the City's GlS platform . The primary goal is the integration of existing programs and systems to create a sustainable document wh ich will allow City staff to better understand the drainage deficiencies and more effectively utilize the limited maintenance and capita l project funds . This "liv ing " document must be able to accommodate routine updates by City staff of maintenance and capital improvement accomplishments to keep the database current. To be considered for this project, three (3) cop ies of the qualifications must be submitted to the Publ ic Works Department located at 30940 Hawthorne Boulevard , Rancho Palos Verdes , CA 90275, attention : Andy Winje, Associate Engineer, no later than 5:00 p.m . on Monday August 19, 2013. Project Background and Description 1. Setting The City is comprised of approx imately 14 square miles on the Palos Verdes Peninsula in the southwest portion of Los Angeles County. T he majority of F-16 Page 2 of 5 the City drains to natural canyon systems with direct discharge to the ocean . The current planning document for the City 's storm drain system is the Master Plan of Drainage Update prepared in November 2004 . That master plan updated the previous study which was completed in 1998. 2. Purpose The goal of the Master Plan of Dra inage is to develop a comprehensive planning effort for the City's drainage. In order to be a comprehensive plan the program will need to include ; development of a verified inventory database; update of the hydrology and hydraulic calculations ; integration of the assessment of pipe conditions and remaining service life; identification of required improvements and cost estimates ; address current and future water quality requirements; and develop a scheme for the prioritization and implementation for the recommended improvements . To be effective , the plan needs to be integrated with the City's GIS system and incorporate drainage master plan information in a user-friendly application to allow annual updates as necessary to reflect new data and completed projects. This document will review the City 's current storm drain master plan and system components to develop a program for the overhaul and implementation of a new drainage master plan and capital improvement program . 3. Drainage System Description The City's drainage makes use of City owned, County owned and private facilities . The City's portion includes City streets, reinforced concrete pipe, thick walled steel pipe, and soft bottom channels. In addition the City has an extensive system of corrugated metal pipes that are nearing or have exceeded their service life , and has adopted a program to complete on-going video inspections of the City 's ex isting storm drain systems. The goal of the inspection program is to identify facilities in need of rehabilitation and repair. As a result of the inspections , numerous storm drains were identified to be lined to repair the systems and extend their service life . The repairs focus on extending the facility service life , but do not take into account any hydraulic deficiencies within the existing facilities . The City's 5-Year model includes on- going funds for storm drain inspection and lining projects. 4. GIS System Description The City currently has a GIS system which is operated and maintained by a non-profit organization, Palos Verdes on the Net. The system includes a full range of current GIS software including ArcGIS Desktop (ArcView/Arclnfo), ArcGIS Server, and ArcSDE . Palos Verdes on the Net maintains an ArcGIS Server Intranet site using the .Net API which provides internal mapping for the layers of data which have already been created . Data layers are currently ma i ntained in version 9.3 .1 of the GIS, however, there are plans to upgrade to version 10 shortly. Licensing for this upgrade has already been secured . Any work done to support the Stormwater Master Plan should be compatible with existing C ity GIS resources as operated and maintained by the City GIS Provider. F-17 Page 3 of 5 Consultant's Scope of Services The Consultant shall be responsible for providing professional services for all phases of the project. Project Management oversight will be needed during the all phases of the project. The successful firm will be required to complete the tasks as described in Attachment A, Scope of Work. Consultant's Representative The Consultant, as deemed acceptable by the City, shall assign a qual ified primary representative and a qualified alternate to perform the services described in the scope of work. Both shall be identified in the proposal. The Consultant's representative shall remain in responsible charge of all duties from contract negotiations through project completion . If the primary representative is unable to continue with the project, then the alternate representative shall become the primary representative with the City's approval. Additional Consultant Responsibilities The successful Consultant shall be required to enter into a written contract with the City of Rancho Palos Verdes and shall be responsible for completing the specified services in Accordance w ith the City's standard "Professional Services Agreement" (Attachment B). This Request for qualification , or any part thereof, may be incorporated into and made a part of the final contract; however, the City reserves the right to further negotiate the terms and conditions of the agreement with the successful consultant. At a minimum, the agreement shall include a maximum "not to exceed" cost to the City of Rancho Palos Verdes. The primary components and provisions of the agreement shall include errors and omissions insurance coverage in the minimum amount of one m illion dollars ($1,000,000). City Responsibilities The City shall provide the following to assist the Consultant with the project and its completion: • Existing information records as available • Access to existing GIS data owned or available by license to the City, upon completion of the City's GIS Data Licensing Agreement (Attachment C) In addition, the City shall be responsible for holding a project kick-off meeting, hosting regular progress meetings, providing timely response to questions and draft documents, and providing or acquiring right of entry access to facilities (to the extent available). For scheduling purposes, it may be assumed that City staff turnaround time for review items will be five working days. F-18 Page 4 of 5 Submission of Statement of Qualifications The Statement of Qualifications shall be in letter format, and include at a minimum the following information : • Introduction and understanding of the project. • Identification of any sub -consultants . • Consultants experience with at least two projects of similar scope, including references with contact persons and telephone numbers. • Identification of the project team, including organizational chart and resumes of each team member. The Consultant's primary representative shall be available on all occasions for discussion with City staff. Specific responsibilities of each team member shall be detailed along with anticipated total effort, expressed in percentages of work hours, to be provided by each member of the team . • Project schedule , including task start and completion dates . For purposes of the proposal , it shall be assumed that the Consultant will receive a Notice to Proceed in late September 2013 , • Scope of work. Selection Procedure City staff will review the Statements of Qualifications. Qualifications will be evaluated based on the following criteria: • Experience of the firm in providing similar services. • Relevant experience of individual team members assigned to the project. • Understanding of the project and the City's drainage and GIS systems . • References from clients for whom similar services were provided . • Previous services provided to the City of Rancho Palos Verdes by the firm and/or team members assigned to the project. • Previous services provided to other clients on the Palos Verdes Peninsula . • Appropriateness of project schedule. Based on their review and evaluation, staff may prepare a short list of finalist firms and determine whether to offer the projects to a single firm , or multiple firms . The selected firm(s) needs to work with staff to finalize the scope of consultant's work. Based on the final scope of work, staff will ask for a fee proposal from the successful firm(s ). The fee will be reviewed by staff and, if necessary, may be negotiated . General Information • This Request for Qual ifications does not commit the City of Rancho Palos Verdes to pay costs incurred in the preparation of a response to this request. No work may begin until a "Professional Services Agreement" is executed and the City issues a Notice to Proceed . Attachments: A: Master Plan of Drainage Scope of Work B: Sample Professional Services Agreement C : GIS License Agreement F-20 ATTACHMENT A SCOPE OF WORK F-21 Master Plan of Drainage Scope of Work The following tasks identify a proposed scope of work to develop a comprehensive Master Plan of Drainage for the City of Rancho Palos Verdes and incorporate the recommendations from the needs assessment. Task 1 Data Collection Task 1.1 Review and Compile Existing Watershed and Drainage Facility Data CONSUL TANT will provide services to research, collect and review existing background data . Data collection includes existing City GIS drainage and watershed maps, utility index map, soils data, "as-built" construction drawings for the local storm drain facilities, existing hydraulic and master plans of drainage, previous project reports , proposed development tentative maps or hydrology studies , EIR 's, floodplain mapping, ownership data, geotechnical data, County master plans, land use data, topography, Army Corps of Engineers' reports , proposed development plans, NPDES Permits, Notice of Violations (NOVs), existing water quality facility as-builts, and receiving water TMDL listings. In addition, a field reconnaissance investigation of the project study watershed area will be performed. The field investigation will include a verification of the watershed conditions and accuracy of the existing improvement plans. Field reconnaissance of the project site and the immediate adjacent conditions of the surrounding watershed will assess flow restrictions and general surface flow patterns . A field review with ground photo inventory and analysis will be included in the final report of critical areas of interest or locations of severe flooding . Identify data gaps in GIS database and as-built plans found in the field investigation . Document data gaps for inventory in Task 2.1 and incorporation into the GIS database development (Task 3). Task 1 .2 Identification of Existing Initial Needs Assessment CONSUL TANT will prepare a qualitative assessment of the drainage constraints and conditions based upon existing data of the watershed and historical flooding problems for this area. Existing conditions and current design criteria will be evaluated to formulate initial assessment of the drainage needs. CONSULTANT will identify and summarize critical drainage related problems, including existing flood hazard zones and published floodplain and will identify existing physical or regulatory constraints based upon the baseline information researched for the watershed. Task 1.3 Establish Engineering Design Criteria CONSUL TANT will provide preliminary engineering services to establish the design criteria for hydraulic and hydrologic design requirements prior to initiating the preliminary design process . The necessary planning criteria and standards will be established to ensure that the required level of flood protection is provided A-1 F-22 to meet the various jurisdictional agency requirements , and are in conformance with the City and guidelines. All elements of the Master Plan of Drainage will be prepared in accordance with the procedures established by the LA County Department of Public Works . This work item will include establishment of the following critical design features: • Hydraulic controls • Street inlet requirements • Outlet requirements • Local drainage system hydraulic modeling • Review of master p lan design assumptions • Distribution of flows to the proposed storm drain and street section • Critical design water surfaces (committed elevations) • Allowable street flooding and storage • Deficiency upgrade requirements • Allowable design deviations (i.e., min . Flood protection levels) • Establish water quality design criteria • Evaluate Notices of Violation and/or areas of water quality concern A memo summarizing the recommended design criteria and guidelines will be prepared for review. This document will serve as an in itial reference framework for future decisions as work progresses and unique opportunities are encountered . Task 2 Existing Facilities Field Survey and Inventory Task 2.1 Field Facility Inventory CONSUL TANT will perform an "above-ground" field review and inspection of existing storm drain lines and channel facilities (laterals and private lines are excluded from this study). This inventory will include drainage facilities throughout the City. Facility inventory will also include existing facilities by other agencies, i.e. Caltrans, LA County. CONSULTANT will provide GPS land survey to determine the coordinates of the manhole covers . Depths of manholes can be measured where possible to determine accurate invert elevations where accessible, and or not clearly defined on as-built plans. Manhole locations located within heavily traveled right-of-way will be verified for location only, but invert elevations may not be field verified . These inverts will be acquired by as- built, or by evaluating the invert elevations of adjacent manholes within the same system (upstream and/or downstream). CONSUL TANT shall develop a program to acquire missing invert data as part of the City's regular maintenance program , or during CCTV inspections. The investigation will identify missing or incorrect data by field investigation, review of as-builts and interviews with City staff. CONSUL TANT will also verify the facility information in comparison to the plan data, and augment data gaps with available information . The inspection will include limited field A -2 F-23 measurements, if possible, for depth of pipe , pipe size, and pipe condition (if visible). This task does not include enclosed space work or CCTV review of pipe characteristics. Catch basins and manholes will be located based on a GPS field inventory. Information will be recorded and provided to the City for delivery into the City database, including : • Pipe materials • Pipe Size • Age of Construction • Referenced Construction Plans • GPS Location • Invert Elevation Task 3 GIS Database Development Task 3 .1 GIS Organization & Project Data Collection The success of this project will be dependent on both the expertise of the CONSULTANT Team and its teamwork with the City . Upon kickoff of the Master Plan Project, CONSULTANT's GlS Manager will enter discussions with the City to review the schedule for the GIS scope of work, review and request available data and documentation, and agree upon GIS deliverables, project milestones, and delivery dates. CONSULT ANT will present in greater detail the project approach and take the time to build the relationships with the City, its IT and GIS staff, and other contractors that will be necessary for ongoing effective communication. CONSULTANT will collect the necessary data and documents for the project. It is assumed that the City will have all the as-built drawings scanned and saved to a DVD or a portable data storage drive . CONSUL TANT to sit down with the appropriate City staff member to review approximately 10% of the as-built scans so both the CONSUL TANT and the City can discuss any potential problems identified. CONSULTANT will then take the scanned drawings for review, catalog and organization of the drawings so that they can be easily used by the engineering staff and linked to the GIS data where needed. As CONSUL TANT is reviewing and cataloging the as-built scans they will identify scans that are unreadable and send a list to the City of unreadable scans to have the City re- scan the hard copy as-builts and send new TIF or PDF images of the drawing sets. The objectives of the project initiation will be to: • Administer and coordinate work for timely and effective completion; • Document the City's project and ongoing GIS priorities; • Set up and maintain appropriate communications ; • Gather GIS data ; • Review and collect Scanned as-built drawings A -3 F-24 • Setup GIS status reports; and • Setup GIS milestone dates. Task 3.2 Complete As-built Indexing CONSUL TANT will provide as-built geocoding and indexing to incorporate the drainage as-built drawing sheets with a link to the storm drain segments retrievable from a GIS based mapping application . We understand that approximately 1100 pipes remain to be linked to the appropriate as-built drawing file . The budget for this task includes logging the as-builts from the TIF or PDF file format provided by the City. Each sheet where a pipe reference is missing and has not yet been accomplished by City staff will be reviewed to verify that the quality is sufficient for this application and to extract specific information to be used in the indexing process. From each sheet, CONSULTANT to extract attributes for the Street Name, Date of the Drawing, Drawing Number, File Number, pipe and/or structure size , material and Work Order Number where available. This vital information will be imperative for development of the facil ity mapping and data modeling to be accomplished in other tasks and for searching and displaying the attributes in the online mapping application . CONSUL TANT will create a GlS index of the drawing sheets and where necessary verify or link each image file to the appropriate stormwater facility segment or feature for retrieval either through a query or by selecting the storm drain segment graphically on the project online mapping application. Should multiple as-builts relate to the same drainage segment (very co mmon), a li st of the matching drawings will be provided in a pop-up window in the project web mapping application (task later in this scope) for the user to look through to find a desired drawing . For this as-built linking and indexing task, an estimated total of 4 minutes of Technician or Analyst time for each drawing sheet to be reviewed , the attributes gathered , the street and location to be identified and logged and to build the index . This process includes a thorough QC process to improve the accuracy of the delivered product. Task 3.3 Establish City Numbering Scheme for Storm Drain Facilities CONSUL TANT will work w ith the City to review the state of the City's current GIS Stormwater Facility numbering scheme(s) and begin implementation of a consistent and comprehensive numbering scheme which will support the City's Drainage Master Plan project needs, the City's future Asset Management application (Cityworks), and future maintenance of the GIS data . Upon gaining a thorough understanding of the City's current numbering systems, CONSUL TANT will review with City staff our recommendation on how to number the stormwater facilities so that the structures will tie to the storm drain pipes consistently and can be easily updated and maintaine d . The system will be one that will allow the City the max imum amount of flex ibility in the numbering while allowing for easy update s in the future . The City 's GIS data attributes will be updated to the new A-4 F-25 numbering scheme while the existing numbering will be archived and eliminated from the live data set and still be available for future reference if required . Task 3.4 Acquire Outside Data CONSUL TANT will work with the City to identify and gather necessary information and data that will assist in the completion of the Drainage Master Plan. Data that is anticipated to be collected includes orthorectified aerial photography and topography from the LA County LAR-IAC program , and LA County as-builts for facilities within the City . Additional data include LA County, private, and Caltrans stormwater facility data, FEMA Firm data , Land Use data , Watermaster subsurface data (if available and applicable). It is assumed that the cost of obtaining data from the various sources will be paid for by the City and CONSUL TANT will seek approval from the City before the purchase of any data . Task 3.5 Facility Mapping Tool To streamline the project production and provide City staff with a tool for over the shoulder review and comment throughout the project, CONSUL TANT will create a custom GIS based secure online interactive mapping site based on the information developed in other components of this project or as provided by the City. The interactive web mapping site will serve two purposes, one as a project management tool and two as a future data viewer to provide for a "living" master plan document. As a project management tool the viewer will allow the City to monitor the progress and results of the drainage master plan . As new data comes online the City can make comments to the web mapping tool and send an email to CONSULTANT staff to make corrections. Viewer components at a minimum will include the stormwater facility pipes and structures , water quality facilities identified in this MPD , model results, CCTV video, in pipe observation snapshots , BMP 's , drainage areas , and associated attributes such as physical characteristics and ownership . CONSULT ANT will also use County of Los Angeles base data where appropriate within licensing agreements or as provided by the City. The site will possess basic interactive mapping functionality . The site will be password protected to limit access to designated City staff, authorized contractors and consultants and CONSUL TANT team members. CONSULTANT will further develop a Project Portal Page for the Project to present the purpose and mission of the project and provide ready access in a central site to project documents and resources . The home page will present a City "branded " appearance to the project data and provide links to PDF documents such as studies, reports , and maps used in the development and execution of this project, as well as to provide ready access to the interactive mapping tool and linked as-built drawing scans . The s ite will also act as an enhanced document management application with the ability to link documents, snapshots , and studies or reports to the map for easy reference and download by City staff or other project stakeholders such as consultants or the public. Should the City desire additional functionality, A-5 F-26 documents can be easily uploaded by City staff on an on-going basis or will be included initially as provided by the City or from the other components of this project. Support for the data layers developed under this project has been included . Additional functionality is provided for the City to review the ongoing work during master plan development and to provide comments in the form of "Problem/Action" forms. These forms can be filled out by the City or CONSUL TANT staff throughout the project and will be linked to the mapped features developed in the project. Once the details of the issue have been logged, an email will be sent to the relevant project participants for follow-up and resolution . This approach provides a centralized location for both the City and CONSULTANT team members to go to for research and reference of relevant project data, as well as to view and print maps of the work in progress and completed . The site will also keep a log of identified issues and their resolution as a future reference and to be included in the final report. The scope includes a brief workshop with City staff to determine appropriate symbolization and colors for the layer's features to be displayed on the site and in the final atlas maps. For GIS data, it is assumed that the necessary or desired attributes will be complete and organized, that the feature data will be clean and ready to build any required topology (no gaps or overshoots and closed polygons) and that the data will be delivered back to the City as either an ESRI shapefile or file geodatabase. At the conclusion of the project CONSUL TANT will provide the City with all the source programming that was used to create the site. By giving the City all the source code it will allow the City to keep the site up to date into the future . The site will be hosted online by CONSUL TANT during the development of the Master Plan . After delivery of the master plan document, the City can take the application in-house for continued use of the "living " master plan, or continue to host the site at CONSUL TANT for a nominal hosting fee . Assistance in installation and implementation of the programming, data , and mapping application on City systems will be accomplished at CONSUL TANT's contracted hourly rates as needed. Task 4 Watershed Hydrology Analysis Task 4.1 Delineate Existing Watershed Characteristics CONSUL TANT will review and validate the drainage areas within the existing City of Rancho Palos Verdes Master Drainage Study dated 2004 (AKM , 2004), CONSUL TANT will update boundaries based on field investigations and modeling results based on the latest digital topography completed (or purchased) by the City. Boundaries for the Drainage Basin Areas will be determined and the minimum critical hydrologic concentration points will be established to assist in the development of the watershed model and analysis requirements for the hydraulic design. A watershed map with the delineation of the watershed Drainage Basins will be updated to document the mapping for the proposed hydrologic modeling. The watershed map will determine the average A-6 F-27 characteristic parameters associated with the modified or updated watershed subareas necessary for the application of hydrologic analysis . Obtain and review available data for parameter estimation in the precipitation-runoff model including infiltration , vegetation cover, impervious cover, hydrologic soils data, slopes, and watershed hydraulic efficiency. Field verification of watershed boundaries will be preformed for areas with conflicts or incomp lete data. Task 4.2 Rational Method Hydrology Analysis CONSULT ANT will prepare a rational method hydrology analysis for the watershed to quantitatively estimate the "ultimate" land use watershed condition surface runoff flowrates for the 10-, 25-, and 50-year (Capital Flood) storm return periods based upon full conveyance of the drainage systems for all storm events . The MODRAT hydrology model in the WMS software will be used to develop a GIS-based link-node model for critical concentration points previously identified in the mapping phase. Flowrates developed will be limited in minimum tributary drainage area size to the master plan or primary backbone facility systems only. Hydrology calculations will be completed in accordance with the LA County Hydrology Manual. Task 5 Drainage System Hydraulic Modeling/Alternatives Analysis Task 5 .1 Existing Municipal Storm Drain -Hydraulic Model Preparation CONSUL TANT will perform a hydraulic analysi s of the conveyance "capacity" of the ex isting City backbone storm drain system including large subsurface storm drains and channels . The hydraulic analysis will be based upon evaluation of the hydraulic grade line, rather than "normal depth" calculations . Hyd rau lic grade li ne (HGL) calculations will be performed utiliz ing the XP -WSPG computer program . The hydraulic model developed as part of this task will provide the baseline model to identify system deficiencies and to test the modification alternatives of the re commended storm drain improvements. (The storm dra in water surface profile models will on ly be generated for the ma in "collector" or "trunk" storm drain lines , and the private or local facilities outside of public right- of-way intercepting the lot/building surface drainage will not be analyzed). The water surface data and hydraulic information will be summarized in tabular format for each reach or element of the facility with critical areas highlighted to allow easy use and review. Task 5.2 Existing Municipal Storm Drain -Capacity Analysis and Hydraulic Deficiency Identification The hydraulic models generated fo r the "existing " mainline storm drain systems will be analyzed in a sensitivity analysis to determi ne the ma ximum hydraulic "capacity" of the system. The max imum allowable hydraulic capacity will be defined as the highest elevation of the hydraulic grade line below the street that allows the surface inlets to function . A sensitivity analysis will be performed by factoring the "design " discharges to a lower amount until the storm drain operates A -7 F-28 without causing flooding of surface inlets. The hydraulic model will be used to quantify any deficiency of hydraulic conveyance in the existing system . The hydraulic capacity will be converted to "level of flood protection " numerical value through a ratio of the capacity flowrate to the calculated design flowrate . Task 5.3 Street Flooded Width Calculations The results of the hydrology hydraulic capacity analysis will be used to perform street flooded width calculations at critical street locations to ensure conformance with City drainage design criteria. The street flooded width analysis will be based on normal depth calculations and using City of Rancho Palos Verdes standard street sections . The street flooded width calculations will be used to identify locations that do not meet City criteria and therefore , may require additional underground storm drain improvements. Task 5.4 Deficiency Removal and Alternatives Formulation I Feasibility Analysis CONSUL TANT will develop preliminary alternatives formulation for removal of hydraulic deficiencies within the existing "mainline" storm drain improvements . The conceptual assessment will focus on either: (1) increasing the hydraulic capacity through enlarged drainage facilities or new parallel system adjacent to existing facilities , (2) constructing a diversion system, or (3) constructing detention storage for flow reduction and water quality benefits . The overall watershed system will be divided into study reaches for refined analysis on a reach-by-reach basis. A list of potential design options will be identified which meet the primary flood protection objectives and major constraints associated with the alternatives will be discussed . A feasibil ity analysis will be performed to screen the alternatives and develop the recommended alternative based on selection criteria, including downstream constraints , ownership issues, minimal costs and public impacts. The proposed increased pipe sizing will be based upon water surface profile hydraulic calculations for the updated design flowrates. Preliminary horizontal and vertical alignments will be developed for the recommended facilities. The lengths and elevation data will be used for detailed hydraulic analysis and cost estimating purposes. Recommended drainage improvements to remove hydraulic deficiencies of the municipal storm drain systems will be analyzed in XP-WSPG, developed in the previous tasks to verify operation . The sizing of the modifications to the existing storm drain sizes will be adj usted using the water surface profile model to optimize the performance of the system and identify impacts and benefits associated with a recommended project. Task 6 Water Quality Program Tasks Task 6.1 Water Quality Regulatory BMP Requirements A -8 F-29 The New Development section of the new MS4 permit for Los Angeles County includes requirements associated with the Low Impact Development alternatives, Green Streets and In -lieu programs . The potential exists for the City to implement watershed-based struct ural BMPs to provide an offset to those development projects that are determined to be techn ically infeasible to implement onsite LID BMPs. CONSUL TANT will coordinate with the City Planning Department to forecast future development in the City and then evaluate the potential for implementation of watershed-based structural BMPs as part of an LID In-lieu program . CONSULTANT will evaluate the implementation of LID structural BMPs at the sub-regional and regional basis with i n the City . CONSUL TANT will also evaluate the potential retrofit and hydromodification requ irements of the new permit. CONSULT ANT will evaluate the TMDLs the City is subject to and identify subwatersheds where structural BMPs will likely be necessary. The results of the LID offset evaluation , retrofit and hydromodification evaluation, and TMDL evaluation will be incorporated into a technical memorandum identify potential future structural BMP needs in the City. T ask 6.2 BMP Retrofit Opportunities CONSUL TANT will prepare a study to identify and evaluate potential structural BMP opportunities within the City . This study will be based the technical approach that has been implemented in other BMP retrofit studies in California . The technical approach will identify structural BMP retrofit sites and assesses and potential BMP types for each site. The BMP Retrofit task will include two phases , Phase I: G IS Watershed Analysis and Phase II : BMP Assessment and Prio ritization . Phase I: GIS Watershed Analysis encompasses a desktop level analysis to identify potential structural BMP opportunities with the City. Phase I includes: • Data collection and coordination with City staff. • Identification of e xisting regional structural BMPs in the City • Desktop identification of potential BMP retrofit sites • Identification of potential s ite constraints for each potential BMP site • Initial water quality assessment • Integrated BMP needs assessment (in association with results of Task 5.1) • Identification of potentia l BMPs types (including Low Impact Development) for each site The results of Phase I will be discussed with the City prior to proceedi ng with Phase II. Phase II : BMP Assessment and Prioritiz ation encompasses a more detai led assessment of the potential BMP for each site and the development of an implementation strategy for the identified BMP retrofit sites. Phase II includes: A-9 F-30 • Field verification for each identified BMP retrofit site • Planning and constructability analysis for each site • Conceptual exhibits for each site • Life Cycle Cost (capital program and O&M) • Identification of funding opportunities (i.e . grants) • Water quality assessment • BMP implementation prioritization and BMP site selection The results of the BMP implementation prioritization will be an implementation strategy that will serve as a Water Quality BMP Facilities Plan that ca n be incorporated into the Drainage Master Plan . The results of Phase II will be provided in an overall BMP Retrofit Study ReporUWater Quality BMP Facil it ies Plan . Task 7 Capital Improvement Plan Development Task 7.1 Identification of Recommended Improvements The capital improvement program (CIP) will incorporate the results of the dra inage system pipe condition assessment (by others) and the capacity analysis. CONSULT ANT will formulate and recommend alternatives for the repair, rehabilitation , and improvements to the storm drainage system that will satisfy the established objectives. The identification of the recommended improvements will incorporate the results of the condition inspection and the capacity analysis. Consideration will be given to deficiencies in remain ing service life and hydraulic capacity. CONSUL TANT's recommendations will consider improving the water quality of the storm water runoff, addressing both operational and structural control measures in accordance with the MS4 permit and the other associated storm water quality management plans . CONSUL TANT will identify all upgrades to the dra inage system . Once the criteria for setting priorities have been established , projects will be ranked and preliminary costs will be developed . Task 7.2 Implementation Program and CIP Schedule Provide engineering services to generate a recommended prioritization and schedule for implementing the required drainage facilities to correct existing service life and hydraulic deficiencies. CONSUL TANT will develop the criteria for prioritizing system improvements. Results of the capacity analysis will be integrated with the cond ition assessment results, reports of local flooding , and maintenance records to set priorities for system improvements. A li sting of recommended improvements and their priority will be presented to the City for review. A schedule will be developed that outl ines the recommended implementation of facil ities based upon the projected fund ing availability. The recommended A-10 F-31 improvements will incorporate a phased approach based upon risk characterization, potential impacts, and prioritization . The recommended alternatives will include a plan and schedule for implementation based on a priority rating and t imeline determined in conjunction with the City. The C ity will provide CONSULTANT an estimate of the dollar amo unt that can be dedicated annually to capital improvement projects. Using this information , a plan and schedule for replacement and rehabilitation will be established over a time frame will be defined by the City. Task 7.3 Preliminary Drainage Facilities Quantity and Construction Cost Estimate Preliminary construction quantity estimates will be performed for the recommended drainage improvements. A preliminary estimated cost of construction will be generated from the quantity estimate using approved unit costs from the City . Unit costs will be based upon the most current cost information for recent similar projects in the area compiled by CONSUL TANT and approved by the City . The total project costs for each fac ility will then be estimated which include line items for project design , survey, geotechnical, admin istration and construction support. In addition , intangible costs for facilities will be investigated , such as environmental mitigation , if these are determined to be critical for a particular system . Major physical constraints will be included in the estimate such as (1) land acquisition, (2) street paving and traffic control , and (3) utility relocation or protection. Task 8 Drainage Master Plan Document Task 8.1 Draft Report-Updated Master Plan of Drainage Document CONSULTANT will p rovide engineering serv ices for the compilation of a new Master Plan of D rainage to support the proposed hydrology analysis and recommended drainage facilities . The written report will serve as the technical documentation for the preliminary engineering design and selection of the recommended watershed improvements. This report will include the background for the watershed investigation , hydrologic modeling , hydraul ics analysis, alternatives analysis, storm drain design and sizing, and flood protection requirements. This document will serve to reference the design assumptions, gu idelines, and criteria developed for the project. The text of the document will be prepared in MS WORD . The draft Report will also s erve as the initial engineering submittal package for the plan for review by the City. The engineering analysis and associated documentation will include (1) hydrology analysis, (2) watershed evaluation (3) existing systems hydraulic capacity, (4) facility design considerations, (5) requ ired systems hydraulics, (6) feasibility alternative investigation and design selection matrix, (7) facility construction costs, and (8) Water Quality Assessment. A-1 1 F-32 Task 8 .2 Final Report-Master Plan of Drainage A final report will be prepared which incorporates comments and modifications from the draft review(s) by the City. A copy of all files will also be provided on a CD . Task 8.3 Final Drainage Exhibits I Maps Provide engineering services to generate the final drainage map exhibits associated with the master plan of drainage. These drainage exhibits will consist of the following: • Updated Drainage Index Map (Drainage Basins) • Watershed Hydrology Map (Basins and Drainage Areas) The hydrology maps will be prepared on the developed base sheets, modifying the existing drainage and will include the hydrologic concentration points or nodes clearly identified and the associated design discharge. Facility maps will indicate the recommended sizes and lengths for the backbone infrastructure . The drainage index map will be prepared at a suitable scale for use by City. Maps will be created using the GlS shapefiles generated during the project and electronic copies of all maps will be provided in PDF format. Task 8.4 Atlas Map Creation At the completion of the Drainage Master Plan process, CONSUL TANT will assemble field books to provide City Engineering and Maintenance staff with hard copy maps of the entire stormwater system. CONSUL TANT will create four sets of 1" = 200' (17 x 22-inch) atlas maps of the stormwater system, once the data has been attributed into the geodatabase and quality checked. Additional sets can be produced at an additional cost. These atlas maps will represent the GIS storm water system similar to the City's existing atlas maps with the new data created under this project. CONSULTANT will utilize the City's existing grid if possible and desired by the City. The layout that will accommodate approximate 17 x 22-inch maps at this scale will be determined by the City and CONSUL TANT. This scope includes two City review cycles to approve the atlas sheet layout and content. CONSULTANT will prepare an automated "ESRI Map Book" solution that will allow the City to re-create the 17 x 22-inch atlas sheets that CONSUL TANT will provide as part of the final deliverable using ESRl's ArcGIS desktop application. The atlas maps will include industry standard symbolization; attribute labels of features and items that the City determines necessary as part of an annotation feature class suitable for 17 x 22-inch mapping. CONS UL TANT will provide the City one set of ten representative sheets at 17 x 22 inches as well as PDF files for review. CONSUL TANT will then review the City comments and make necessary changes. Atlas maps are anticipated to be black and white for ease of plotting and reduced cost to the City for future reproduction. The deliverables for this task include: A-12 F-33 • One set of 17 x 22-inch storm water utility atlas pages and PDF files (for review) • Four sets of 17 x 22-inch final color storm water utility atlas bound for converted drawings similar to water and sewer atlas books • Automated process for future atlas sheet creation Task 9 Administration and Project Management Task 9.1 Project Management, Meetings and Coordination CONSUL TANT shall conduct project management activities to ensure adherence to schedule and budget, as well as documentation of communication between the CONSUL TANT and City, as required . Coordinate and attend project meetings with City staff such as project kickoff, monthly progress meetings, design submittal reviews, and as needed to review design issues . Provide written meeting minutes for each of these meetings. CONSUL TANT shall provide written monthly updates of project progress to the City. Task 9.2 QA/QC CONSUL TANT will perform continual QNQC as part of our standard project management. The QNQC includes frequent progress checks and reviews as the project progresses. For the master plan of drainage QNQC would occur during all tasks involving calculations or deliverable products. A-13 F-34 ATTACHMENT B STANDARD FORM PROFESSIONAL SERVICES AGREEMENT F-35 CITY OF RANCHO PALOS VERDES DESIGN PROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT ("Agreement") is made and entered into this day of __ , 2013, by and between the City of Rancho Palos Verdes (hereinafter referred to as the "CITY") and (hereafter referred to as "CONSUL TANT"). IN CONSIDERATION of the covenants hereinafter set forth, the parties hereto agree as follows: ARTICLE 1 SCOPE OF SERVICES 1.1 Project Description The Project is described as follows : 1.2 Description of Services ~~~~~~~~~~~~~~~~~~~~~~~~~- , as described in the CITY's Request For Proposals , which is attached hereto as Exhibit "A" and incorporated herein by this reference , and in CONSUL TANT's Proposal, which is attached hereto as Exhibit "B" and incorporated herein by this reference. In the event of any conflict between the terms of this Agreement and incorporated documents, the terms of this Agreement shall control. 1.3 Schedule of Work Upon receipt of written Notice to Proceed from the CITY, CONSUL TANT shall perform with due diligence the services requested by the CITY. Time is of the essence in this Agreement. CONSUL TANT shall not be responsible for delay, nor shall CONSUL TANT be responsible for damages or be in default or deemed to be in default by reason of strikes, lockouts, accidents, or acts of God, or the failure of CITY to furnish timely information or to approve or disapprove CONS ULT AN T's work promptly, or delay or faulty performance by CITY, other consultants/contractors , or governmental agencies, or any other delays beyond CONSUL TANT's control or without CONSUL TANT's fault. Page 1 of 11 R6876-0001 \1347704v1 .doc Agreemen t for Des ign Professional Services F-36 2.1 Fee ARTICLE 2 COMPENSATION CITY agrees to compensate CONSULTANT an amount not to exceed __________ dollars ($ ) for services as described in Article 1. 2.2 Terms of Compensation CONSUL TANT shall submit monthly invoices for the percentage of work completed in the previous month . CITY agrees to authorize payment for all undisputed invoice amounts within thirty (30) days of receipt of each invoice . CITY agrees to use its best efforts to notify CONSUL TANT of any disputed invoice amounts or claimed completion percentages within ten (10) days of the receipt of each invoice. However, CITY's failure to timely notify CONSULTANT of a disputed amount or claimed completion percentage shall not be deemed a waiver of CITY's right to challenge such amount or percentage. Additionally, in the event CITY fails to pay any undisputed amounts due CONSUL TANT within forty-five ( 45) days after invoices are received by CITY then CITY agrees that CONSULT ANT shall have the right to consider said default a total breach of this Agreement and be terminated by CONSULTANT without liability to CONSULTANT upon ten (10) working days advance written notice. 2.3 Additional Services CITY may request additional specified work under this Agreement. All such work must be authorized in writing by the CITY's Director of Public Works prior to commencement. CONSUL TANT shall perform such services, and CITY shall pay for such additional services in accordance with CONSUL TANT's Schedule of Hourly Rates , which is within Exhibit "B ." The rates in Exhibit "B " shall be in effect through the end of this Agreement. 2.4 Term of Agreement This Agreement shall commence on and shall terminate on unless sooner terminated pursuant to Article 4 of this Agreement. In connection with its design professional services and to the maximum extent permitted by law, CONSUL TANT shall hold harmless and indemnify CITY, and its officials , officers, employees, agents and independent contractors serving in the role of CITY officials , and designated volunteers (collectively, "lndemnitees"), with respect to any and all claims , demands, causes of action, damages, injuries, liabilities, losses, costs or expenses, includ ing re imbursement of attorneys ' fees and costs of defense (collectively, "Claims " hereinafter), including but not limited to Claims relating to death or injury to any person and injury to any property, which arise out of, pertain to , or relate to in whole or in part to the negligence , recklessness, or willful misconduct of CONSUL TANT or any of its officers, employees , subcontractors, or agents in the performance of its design professional services under this Agreement. (b) Other Indemnities. In connection with any and all claims , demands, causes of action , damages, injuries , liabilities, losses, costs or expenses , including attorneys ' fees and costs of defense (collectively , "Damages" hereinafter) not covered by Section 3.1 (a), and to the maximum extent permitted by law, CONSUL TANT shall defend, hold harmless and indemnify the lndemnitees with respect to any and all Damages, including but not limited to, Damages relating to death or injury to any person and injury to any property, which arise out of, pertain to , or relate to the acts or omissions of CONSUL TANT or any of its officers , employees, subcontractors , or agents in the performance of th is Agreement, except for such loss or damage arising from the sole negligence or willful misconduct of the CITY, as determined by final arbitration or court decision or by the agreement of the parties . CONSUL TANT shall defend lndemnitees in any action or actions filed in connection with any such Damages with counsel of CITY's choice , and shall pay all costs and expenses , including all attorneys ' fees and experts' costs actually incurred in connection with such defense . Consultant's duty to defend pursuant to this Section 3 .1 (b) shall apply independent of any prior, concurrent or subsequent misconduct, negligent acts, errors or omissions of lndemnitees . ( c) All duties of CONSULT ANT under Section 3 .1 shall survive termination of this Agreement. 3 .2 General Liability CONSUL TANT shall at all times during the term of the Agreement carry, ma i ntain , and keep in full force and effect, a policy or policies of Commercial General Liability Insurance, with min i mum limits of one mill ion dollars ($1 ,000 ,000) for each occurrence and two million dollars ($2 ,000,000) general aggregate for bodily injury, death , Page 3 of11 R68 76-0 00 1\134 77 04v 1 .doc Agreem en t fo r Design Professiona l Services F-38 loss or property damage for products or co m pleted opera ti ons and any and all other activities undertaken by CONSUL TANT in the performance of this Agreement. Said policy or pol icies shall be issued by an insurer admitted to do business in the State of California and rated in A.M . Best's Insu rance Guide with a rating of A :VII or better. 3 .3 Professional Liability CONSUL TANT shall at all times during the term of this Agreement, carry, maintain , and keep in full force and effect a policy or policies of professional liabil ity insurance with a minimum limit of one million dollars ($1 ,000,000) per claim and aggregate for errors and/or omissions of CONSUL TANT in the performance of this Agreement. Said policy or policies shall be issued by an insurer admitted to do business in the State of California and rated in Best's Insurance Guide with a rating of A:V II or better. If a "claims made" policy is provided , such policy shall be maintained in effect from the date of performance of work or services on the CITY's behalf until three (3) years after the date of work or services are accepted as completed . Coverage for the post-completion period may be provided by renewal or replacement of the policy for each of the three (3) years or by a three-year extended reporting period endorsement, which reinstates all limits for the extended reporting period . If any such policy and/or policies have a retroactive date, that date shall be no later than the date of first performance of work or services on behalf of the CITY. Renewal or replacement policies shall not allow for any advancement of such retroactive date . 3.4 Automobile Liability CONSUL TANT shall at all times during the term of this Agreement obtain , ma i ntai n, and keep in full force and effect, a policy or policies of Automobile Liability Insurance, with min imum of one million dollars ($1 ,000 ,000) per cla im and occurrence and two million dollars ($2,000 ,000) in the aggregate for bodily injuries or death of one person and five hundred thousand dollars ($500 ,000) for property damage arising from one incident. 3.5 Worker's Compensation CONSUL TANT agrees to maintain in force at all times during the performance of work under this Agreement worker's compensation insurance as required by the law. CONSUL TANT shall require any subcontractor similarly to provide such compensation insurance for their respective employees . 3 .6 Notice of Cancellation (a) All insurance pol icies shall provide that the insurance coverage sha ll not be cancelled or modified by the insurance carrier w ithout t hirty (30 ) days prior written Page 4of 11 R6876-0001\1347704v1 .do c Agreement for Desig n Professional Services F-39 notice to CITY, or ten (10) days notice if cancellation is due to nonpayment of premium . Additionally, CONSUL TANT shall provide immediate notice to the City if it receives a cancellation or policy revis ion notice from the insurer. (b) CONSULTANT agrees that it will not cancel or reduce any required insurance coverage . CONSUL TANT agrees that if it does not keep the aforesaid insurance in full force and effect, CITY may either immediately terminate this Agreement or, if insurance is available at a reasonable cost, CITY may take out the necessary insurance and pay, at CONSUL TANT's expense, the premium thereon. 3 .7 Entire Policy and Certificate of Insurance At all times during the term of this Agreement, CONSULTANT shall maintain on file with the CITY Clerk both a copy of the entire policy and a certificate of insurance showing that the aforesaid policies are in effect in the required amounts . The commercial general liability policy shall contain endorsements naming the CITY, its officers, agents and employees as additional insureds. 3.8 Primary Coverage The insurance provided by CONSULT ANT shall be primary to any coverage available to CITY. The insurance policies (other than workers compensation and professional liability) shall include provisions for waiver of subrogation. ARTICLE 4 TERMINATION 4.1 Termination of Agreement (a) This Agreement may be terminated at anytime, with or without cause , by the CITY upon thirty (30) days prior written notice or by CONSUL TANT upon ninety (90) days prior written notice. Notice shall be deemed served if completed in compliance with Section 6 .14. (b) In the event of termination or cancellation of this Agreement by CONSUL TANT or CITY, due to no fault or failure of performance by CONSULTANT, CONSULTANT shall be paid compensation for all services performed by CONSULTANT, in an amount to be determined as follows: for work satisfactorily done in accordance with all of the terms and provisions of this Agreement as determined by the CITY, CONSUL TANT shall be paid an amount equal to the percentage of services performed prior to the effective date of termination or cancellation in accordance with the work items ; provided, in no event shall the amount of money paid under the foregoing provisions of this paragraph exceed the amount which would have been paid to CONSUL TANT for the full Page 5of11 R6876-0001 \1347704v1 .doc Agreement for Design Professional Services F-40 performance of the services described in this Agreement. ARTIC LE 5 OWNERSHIP OF DOCUMENTS 5 .1 Ownersh ip of Documents and Work Product All documents, plans, specifications , reports , information , data , exhibits , photographs, images , video files and media created or developed by CONSUL TANT pursuant to this Agreement ("Written Products") shall be and remain the property of the CITY without restriction or limitation upon its use , duplication or dissemination by the CITY. All Written Products shall be considered "works made for hire ," and all Written Products and any and all intellectual property rights arising from their creation , including , but not lim ited to , all copyrights and other proprietary rights, shall be and remain the property of the CITY without restriction or limitation upon their use , duplication or dissemination by the CITY. CONSUL TANT shall not obtain or attempt to obtain copyright protection as to any Written Products. CONSUL TANT hereby assigns to the CITY all ownership and any and all intellectual property rights to the Written Products that are not otherwise vested in the CITY pursuant to the paragraph directly above this one. CONSUL TANT warrants and represents that it has secured all necessary licenses , consents or approvals to use any instrumentality, thing or component as to which any intellectual property right exists, including computer software , used in the rendering of the services and the production of all Written Products produced under this Agreement, and that the CITY has full legal title to and the right to reproduce the Written Products . CONSUL TANT shall defend , indemnify and hold the CITY, and its elected officials, officers, employees , servants , attorneys , des ignated volunteers, and agents serving as independent contractors in the role of CITY officials, harmless from any loss, claim or liability in anyway related to a claim that CITY 's use of any of the Written Products is violating federal , state or local laws, or any contractual provisions , or any laws relating to trade names, licenses, franchises , copyrights, patents or other means of protecting intellectual property rights and/or interests in products or inventions. CONSUL TANT shall bear all costs arising from the use of patented , copyrighted , trade secret or trademarked documents, materials, equipment , devices or processes in connection with its provision of the services and Written Products produced under th is Agreement. In the event the use of any of the Written Products or other deliverables hereunder by the CITY is held to constitute an infringement and the use of any of the same is enjoined , CONSUL TANT, at its expense , shall : (a) secure for CITY the right to continue using the Written Products and other deliverables by suspension of any injunction , or by procuring a license or licenses for CITY; or (b) modify the Written Products and other deliverables so that they become non - Page 6of11 R6876-0001 \13 4 7704v 1 .doc Ag reement for Design Professiona l Services F-41 infringing while remaining in compliance w ith the requirements of this Agreement. This covenant shall survive the termination of th is Agreement. Upon termination , abandonment or suspension of the Project, the CONSUL TANT shall deliver to the CITY all Written Products and other deliverables related to the Project without additional cost or expense to the CITY. If CONSUL TANT prepares a document on a computer, CONSUL TANT shall provide CITY with said document both in a printed format and in an electronic format that is acceptable to the CITY. 6 .1 Representation ARTICLE 6 GENERAL PROVISIONS The CITY representative shall be the Director of Public Works or his or her designee, and CONSULTANT shall notify CITY of CONSULTANT's designated representative . These individuals shall be the primary contact persons for the parties regarding performance of this Agreement. 6.2 Fa ir Employment Practices/Equa l Opportunity Acts In the performance of this Agreement, CONSUL TANT shall comply with all applicable provisions of the California Fair Employment Practices Act (California Government Code Sections 12940-48), the applicable equal employment provisions of the C ivil Rights Act of 1964 (42 U.S .C. 200e-217), and the Americans with Disabilities Act of 1992 (42 U.S.C. § 11200, et seq .). 6 .3 Personnel CONSUL TANT represents that it has , or shall secure at its own ex pense , all personnel required to perform CONSUL TANT's services under this Agreement. Any person who performs engineering services pursuant to this Agreement shall be licensed as a Civil Engineer by the State of California and in good standing. CONSUL TANT shall make reasonable efforts to maintain the continuity of CONSUL TANT's staff who are assigned to perform the services hereunder and shall obtain the approval of the Director of Public Works of all proposed staff members who will perform such services. CONSUL TANT may associate with or employ associates or subcontractors in the performance of its services under this Agreement , but at all times shall CONS ULT ANT be respons ible for its associates and subcontractors' services. 6.4 CONSUL TANT's Representations CONSUL TANT represents, co venants and agrees that: a) CONSULTANT is Page 7of 11 R6876-0001\134770 4v1 .doc Agreem ent for Design Profess ional Services F-42 licensed , qualified, and capable of furnishing the labor, materials , and expertise necessary to perform the services in accordance with the terms and conditions set forth in this Agreement; b) there are no obligations, commitments, or impediments of any kind that will limit or prevent CONSUL TANT's full performance under this Agreement; c) to the extent required by the standard of practice , CONSUL TANT has investigated and considered the scope of services performed, has carefully considered how the services should be performed, and understands the facilities, difficulties and restrictions attending performance of the services under this Agreement. 6.5 Conflicts of Interest CONSULTANT agrees not to accept any employment or representation during the term of this Agreement or within twelve ( 12) months after completion of the work under this Agreement which is or may likely make CONSUL TANT "financially interested" (as provided in California Government Code Sections 1090 and 87100) in any decisions made by CITY on any matter in connection with which CONSUL TANT has been retained pursuant to this Agreement. 6.6 Legal Action (a) Should either party to this Agreement bring legal action against the other, the validity, interpretation , and performance of this Agreement shall be controlled by and construed under the laws of the State of California , excluding California 's choice of law rules . Venue for any such action relating to this Agreement shall be in the Los Angeles County Superior Court. (b) If any legal action or other proceeding , including action for declaratory relief, is brought for the enforcement of th is Agreement or because of an alleged dispute , breach, default or misrepresentation in connection with this Agreement, the prevailing party shall be entitled to recover reasonable attorneys ' fees , experts ' fees , and other costs , in addition to any other relief to which the party may be entitled . (c) Should any legal action about a project between CITY and a party other than CONSUL TANT require the testimony of CONSUL T ANT when there is no allegation that CONSULT ANT was negligent, CITY shall compensate CONSUL TANT for its testimony and preparation to testify at the hourly rates in effect at the time of such testimony. 6. 7 Assignment Neither this Agreement nor any part thereof shall be assigned by CONSUL TANT without the prior written consent of the CITY. Notwithstanding the above, CONSULT ANT may use the services of persons and entities not in CONSUL TANT's direct employ, when it is appropriate and customary to do so . Such persons and entities include, but are not necessarily limited to, surveyors, specialized consultants, and testing laboratories. CONSUL TANT's use of subcontractors for additional services shall not be unreasonably restricted by the CITY provided CONSUL TANT notifies the CITY in advance. 6 .8 Independent Contractor CONSUL TANT is and shall at all times remain , as to the CITY , a wholly independent contractor. Neither the CITY nor any of its agents shall have control over the conduct of CONSUL TANT or any of the CONSUL TANT's employees, except as herein set forth, and CONSUL TANT is free to dispose of all portions of its time and activities which it is not obligated to devote to the CITY in such a manner and to such persons , firms, or corporations as the CONSUL TANT wishes except as expressly provided in this Agreement. CONSUL TANT shall have no power to incur any debt, obligation, or liability on behalf of the CITY or otherwise act on behalf of the CITY as an agent. CONSUL TANT shall not, at any time or in any manner, represent that it or any of its agents, servants or employees, are in any manner agents, servants or employees of CITY. CONSUL TANT agrees to pay all required taxes on amounts paid to CONSULT ANT under this Agreement, and to indemnify and hold the CITY harmless from any and all taxes , assessments , penalties, and interest asserted against the CITY by reason of the independent contractor relationship created by this Agreement. CONSUL TANT shall fully comply with the workers ' compensation law regarding CONSUL TANT and its employees . CONSUL TANT further agrees to indemnify and hold the CITY harmless from any failure of CONSUL TANT to comply with applicable workers' compensation laws . The CITY shall have the right to offset against the amount of any fees due to CONSUL TANT under this Agreement any amount due to the CITY from CONSUL TANT as a result of its failure to promptly pay to the CITY any reimbursement or indemnification arising under this Article. 6.9 Titles The titles used in this Agreement are for general reference only and are not part of the Agreement. 6 .10 Entire Agreement This Agreement, including any other documents incorporated herein by specific reference , represents the ent ire and integrated agreement between CITY and Page 9 of 11 R6876-0001\1347704v1 .d oc Agreement fo r Design Professional Services F-44 CONSUL TANT and supersedes all prior negotiations, representations or agreements, either written or oral. This Agreement may be modified or amended, or provisions or breach may be waived, only by subsequent written agreement signed by both parties. 6 .11 Construction In the event of any asserted ambiguity in, or dispute regarding the interpretation of any matter herein , the interpretation of this Agreement shall not be resolved by any rules of interpretation providing for interpretation against the party who causes the uncertainty to exist or against the party who drafted the Agreement or who drafted that portion of the Agreement. 6 .12 Non-Waiver of Terms, Rights and Remedies Waiver by either party of any one or more of the conditions of performance under this Agreement shall not be a waiver of any other condition of performance under this Agreement. In no event shall the making by the CITY of any payment to CONSULTANT constitute or be construed as a waiver by the CITY of any breach of covenant, or any default which may then exist on the part of CONSUL TANT, and the making of any such payment by the CITY shall in no way impair or prejudice any right or remedy available to the CITY with regard to such breach or default. 6 .13 Severability If any term or portion of th is Agreement is held to be invalid , illegal, or otherwise unenforceable by a court of competent jurisdiction , the remaining provisions of this Agreement shall continue in full force and effect. 6 .14 Notice Except as otherwise required by law, any payment, notice or other communication authorized or required by this Agreement shall be in writing and shall be deemed received on (a) the day of delivery if delivered by hand or overnight courier service during CONSUL TANT's or CITY 's regular business hours or (b) on the third business day following deposit in the United States mail, postage prepaid, to the addresses listed below, or at such other address as one party may notify the other: To CITY: Responsible Person: ~~~~~~~~~~~~~~~ City of Rancho Palos Verdes 30940 Hawthorne Blvd . RECITALS A. City owns, maintains, and periodically updates Geographic Information Systems data and databases that are more specifically described in the attached Schedule 1 and that are referenced herein as "GIS Data . 8 . Licensee has requested use of the GIS Data to be used exclusively by Licensee for the specific project described as _______________ ("Project"). C . City is willing to provide the GIS Data to Licensee without charge, subject to Licensee's acceptance of the terms and conditions of this Agreement. In consideration of the mutual covenants and conditions set forth below, the parties agree as follows: AGREEMENT 1 . TERM . This Agreement is effective on the date that the last of the parties, whether City or Licensee, executes this Agreement. It is the intention of the parties that Licensee will first execute this Agreement and then submit it to the City . The City Clerk will attest to the execution of all counterparts of this Agreement by City's duly authorized representative and transmit one or more fully executed counterparts to Licensee. City hereby grants to Licensee, and Licensee hereby accepts , a nonexclusive , nontransferable, and nonassignable license to use the GIS Data from the effective date of this Agreement until the completion o r earlier termination of th e Proj ect , as provided for above in Section (1 ). F-48 3 . AUTHORIZED USE OF LICENSED GIS DATA. A. Licensee must restrict access to the GIS Data to those employees or agents assigned the responsibility for use of the GIS Data in connection with the Project. Licensee must take all commercially reasonable actions to prevent access to the GIS Data by unauthorized persons. B. Except as authorized by this Agreement, Licensee agrees that no part of the GIS Data may be reproduced , or stored in a retrieval system , or transmitted in any form, whether electronic, mechanical , or otherwise , without the City's prior written consent; provided, however, that Licensee is authorized to make backup copies of the GIS Data solely for archival purposes. C . Licensee's use of the GIS Data is authorized by City exclusively for Licensee's completion of the Project described in this Agreement, and not for additions to this Project or completion of this Project by others . D. Use of the GIS Data for any purpose not expressly authorized by this Agreement requires the execution of a separate agreement with the City, or a written modification of this Agreement. E. Licensee agrees that it shall not solicit for sale, sell , loan, rent, lease, sublicense, donate, or share with unauthorized third parties the licensed GIS Data . 4 . SPECIAL TERMS AND CONDITIONS. A. City makes no representations concern ing the compatibility of the GIS Data w ith any hardware or software used by Licensee. 8. City makes no representations concerning the accuracy or inclusiveness of the licensed GIS Data, nor their fitness for a particu lar purpose. C. All licensed GIS Data are and will remai n the City's property. D . City has no obligation to provide updates to the licensed GIS Data . The delivery of any updated GIS Data is subject to the execution of a separate agreement by the parties, or a written modification of this Agreement. E. Licensee assumes all responsibility for verifying the accuracy of the GIS Data and for safeguarding against unintended or i nappropriate use of the GIS Data . F . INDEMNIFICATION AND HOLD HARMLESS . A. To the maximum extent authorized by law, Licensee shall indemn ify, defend , and hold harmless the City, its officers, employees, agents, and contractors, from and against all claims, actions, damages, losses, expenses, penalties, and liabilities of any kind, including attorney's fees and administrative costs, attributable to or arising out of Licensee's use of the GIS Data, or their use by unauthorized third-party recipients, or from City's efforts to enforce this Agreement. 8 . Licensee hereby releases City from all claims, actions, liabilities, losses, and damages, including consequential or incidental damages, loss of profits, and indirect, special , or other damages, attributable to or arising out of Licensee's use of the GIS Data. 6 . TERMINATION OF AGREEMENT. Upon termination of this Agreement, Licensee must delete from Licensee's computer network system, and from tape and disk storage devices and individual computers , all electronic copies, backups, and archives of the GIS Data and any derivatives thereof. 7. NOTICES. The majority of the City drains to natural canyon systems with direct discharge to the ocean. The current planning document for the City's storm drain system is the Master Plan of Drainage Update prepared in November 2004. That master plan updated the previous study which was completed in 1998. The master plan had divided the City into six (6) separate drainage areas as shown on the figure to the right. RBF Consulting has been involved with the City of Rancho Palos Verdes over the last 2- years to review the City's existing drainage master plan and prepare a preliminary background study to determine what would be require to prepare an update to the Master Plain of Drainage. This has allowed RBF to work with the City to envision and Rancho Pafos Verdes 6 Drainage Areas identified in the outline a program for the development of a current master plan of drainage comprehensive integrated stormwater master plan . The primary goal of the plan is the integration of existing programs and systems to create a living document which will allow staff to better identify the drainage deficiencies and more effectively utilize the limited maintenance and capital project funds . The detailed steps to obtain this goal were outlined in the Drainage Master Plan Development Program Manual prepared by RBF in July 2011. Eight (8) recommendations were identified in the manual for the development of a comprehensive drainage master plan program for the City. The recommendations included : 1. Prepare new hydrology using the January 2006 LA County Hydrology Manual 2. Prepare detailed water surface profile hydraulic calculations for existing and recommended storm drain improvements 3. Use the WMS and XP-WSPG hydrology and hydraulic software packages to model the system hydrology and hydraulics and integrate with the City's GIS platform 4. Integrate the video inspection and storm drain lining projects with the recommended improvements in the Drainage Master Plan. Include remaining service life in the criteria for the prioritization of recommended improvements and incorporate into hydraulic models (change in effective diameter and n-value) 5. Prepare a phased BMP Retrofit Study in conjunction with the drainage master plan update. Incorporate potential BMP retrofit sites into the storm drain capital improvement plan 6. Complete storm drain data gaps in the existing GIS database 7. Develop a web-based interactive map browser to facilitate the master plan development and functionality 8. Develop and incorporate an integrated numbering system for the stormwater facilities September 19, 2013 RBF Consulting 3 F-57 Propo s al Rancho Palos Verdes / Master Plan of Drain age TE CHNICAL APPROACH Master Plans of Drainage (MPD) are comple x be cause they must be flexible enough to anticipate the future requirements of the watershed and have the ability to address changes in regulatory requirements associated with stormwater runoff. The primary intent of the MPD is to deve lop an ac curate Capital Improvement Program that provides a framework to upgrade the drainage infrastru cture so that exi sting flood hazards can be removed over time. Another function of the MPD is to provide a tool to allow the successful implementation of structural flood control features and a backbone infrastructure system to minimize existing flood hazards. The stormwater management prog ram is i ntended to be a living document that is flexible to the constantly changing conditions and needs of the City. The forecasts developed i n the MPD need to account for all the physical and environmental regulatory constra i nts that may guide the facil ities i nstalled, and this will determine the accuracy of the cost estimates gener ated . One of the key objectives is to ensure that the MPD update is a useable and working technical document that can be applied to new and redevelopment projects within the City. Currently, most documents are marginally good for budgeting co sts of storm drain infra structure, but do not go i nto enough technical depth to ass ist in providing design information for future storm drain facilities or upgrading existing fa c ilities . The lack of benefit from many storm dra i n master plans is because they are not integrated with City systems . For instance, the GIS databases used for the model development and the hydraulic ana lyses are often based on "normal depth" rather than a detailed water surface profile analysis . RBF is proposing to eliminate these deficiencies with an approach to integrate the hydrologic modeling software with a comprehensive GIS database and to accurately model all the mainline storm drain systems using advanced hydraulic modeling computer program tied to GIS databases. Thi s approach will allow the City to ma i ntain an accurate storm drain master plan system and easily update the sy stem as r ecommended storm drain improvements are implemented or as land use changes are adopted. RBF has found in past project s, that coupling the us e of advanced models, such as WMS and XPSWMM and traditional models (LA County MODRAT) can be an effective tool to save cost s to the Client, maintain hydrology and hydraulic calculations that are famil iar to the City/County, and still provide the benefits of using the advanced modeling. RBF had great success in coupling dynamic and non -dynamic model ing for the Cities of Yucaipa , Tustin , Irvine, and Laguna Woods, and the County of Orange. Our extensive ex perience in advance modeling has given us the knowledge and understanding to identify what key elements of a drainage sy stem would benefit, and would not benefit from dynamic modeling. The work plan and proposed scope of work in the Drainage Master Plan Development Program was developed by RBF to incorporate the 8 recommendations into a new drainage master plan program for the Cit y. These models can analyze surface water hydrology and hydraulics in various urban environments including coupled 1-dimensional and 2-dimensional computer models that incorporate surface and sub-surface conditions . The team has an in-depth understanding of the EPA's SWMM programs, and the experience and knowledge to identify appropriate applications for the use of the software. September 19, 2013 REF Consulting 6 F-60 Propo sa l Rancho Palos Verdes / Master Plan of Dr ainage The RBF Team includes recognized experts in the application of hydrodynamic modeling . RBF's Mr. Tom Ryan recently presented an internationally attended webinar for XP Solutions on "Urban Flood Modeling using 10, 20, and Coupled 1D/2D models in Southern California." The webinar was viewed by over 280 participants from five different countries. RBF prepared 1-and 2-D s urface and s ub surface model using the SWMM program for the Midway City project. For the Midway City Street and Storm Drain project, RBF developed a coupled 1-and 2-di mensional model of the exis ting and project conditions using the SWMM program to assess the benefits and impacts associ ated with the phased installation of the new storm dra i n system in the exis t i ng community. Thi s analysis provided the necessary documentation to show that the pha sed installation of the proposed improvements would not transfer the flooding problems to the adjacent areas, and allowed the County to move forward with the phased construction of the project without expen si ve and complicated mitigation measures. RBF identified the existing and project condition surface flooding and used GIS tools to assess the impacts and develop graphics to clearly document the change in surface flooding depths as a result of the project improvements. RBF recently completed a study for the City of Tustin to assess drainage improvements necessary for the reuse of the former Tustin Air Base . The original master plan included offsite improvements in the adjacent city to provide the required flood protection. Right-of- way and other co nstraints ass ociated with the offsite improvements would have resulted in significant schedule delays and cost m illions of dollars to construction. RBF used a coupled 1-and 2-dimensional hydrodynamic model for the ba se re-use without the offsite improvements to evaluate flooding limits and ma ximum ponding depths . The XP -SWMM program was used for the analysis. The model evaluated the proposed on -s ite storm drain system and site grading. We used the results of the analysis to modify the project grading to provide surface storage capacity at acceptable depths which eliminated the City's need to upgrade the exi sting downstream storm drain system. 01 Tustin, Hydrodynamic Surface Flow Model Re sults for maximum flooding depths RBF team members are using versions of EPA's SWMM program for a wide variety of unique and com ple x dra inage projects for hydrology, hydraulics, flood routing, storm drain sizing, floodplain mapping, and coupled 1-and 2-dimensional modeling i ncluding: Southern California Logistic Airport (SCLA) Dra i nage Master Plan (Victorville) -Ba ckbone storm drain system desi gn , SWMM hydrodynamic models were use d to minimize pipe sizes for this hig h desert area with flashy, short-duration storm events . The results of the analysis were compared with a se parate WSPG analysis and design , and saved the City over $2,000,000 in storm drain im provements (approximately 25 -3 0 % savings). Septem ber 19, 2013 RBF Consulting 7 F-61 Proposal Rancho Palos Verdes / Master Plan of Drainage City of Anaheim Drainage Master Plan, Floodplain Revisions -As part of the master plan preparation, RBF is using SWMM in conjunction with HEC-RAS to prepare updated floodplain mapping for a unique channel overflow situation in the city. SWMM is being used as a coupled 1D/2D model to analyze overflow to this existing urban area from a regional flood control channel which was modeled using HEC-RAS. Detailed 2D modeling of the overflow flood hydrograph using the existing storm drain system and surface flow resulted in the removal of over 50 structures for the current effective floodplain. City of Yucaipa Master Plan Update -A complicated regional flood control basin in the City's drainage master plan system included one flow-through and two flow-by storage areas connected via culverts and overflow weir sections. SWMM was used to effectively model the complex hydraulics to better define the basin performance and determine the flood attenuation provided by the basin. The results of the flood routing analysis were used to update regional hydrology prepared and master planning for the regional drainage facilities within the City. Naval Training Center I Liberty Station Redevelopment (San Diego I Point Loma) -SWMM model used for preparation of hydrology and hydraulic modeling for master plan development. The project is located on Mission Bay, and the SWMM analysis reviewed various tidal elevations and the impacts on the system performance. Master Drainage Plans for the Cities of Buena Park, Redlands, Santa Ana, Anaheim, Brisbane, Thermalito, Fort Ord redevelopment, and Lathrop -SWMM model was used for preparation of hydrology and hydraulic modeling and pump station and storm drain facility sizing in support of numerous storm drain master plan projects throughout California. STORMWATER QUALITY The RBF Team provides a wide variety of services to meet the challenges associated with stormwater quality. Current local projects give the RBF Team a clear understanding of the requirements the regulated community faces in developing Storm Water Management Plans {SWMP), complying with court orders, fulfilling National Pollutant Discharge Elimination System (NPDES) Permit obligations, implementing BMP retrofit programs, complying with Total Maximum Daily Loads (TMDLs), developing Watershed Management Programs (WMPs) or Enhanced Watershed Management Programs {EWMPs), creation of Coordinated Integrated Monitoring Programs (CIMPs), and other related stormwater activities . Three major areas of focus within the MS4 permit that affect storm drain master plans include developing an inventory of retrofitting opportunities for existing development as part of permit Section Vl.9.d, the alternative compliance program for new development and redevelopment projects per permit Section Vl.7.c.ii., and the development of either a Watershed Management Program (WMP) or an Enhanced Watershed Management Program (EWMP) per permit section Vl.C. Each permittee, including the City of Rancho Palos Verdes, is required to develop an inventory of opportunities to retrofit existing development stormwater conveyance systems with regional or sub- regional projects within the public right-of-way that reduce the discharges of stormwater pollutants into the MS4 and prevent discharges from the MS4 from causing or contributing to a violation of water quality standards . RBF has developed a comprehensive process for BMP retrofit studies and watershed restoration. RBF's Integrated Watershed Assessment Tool for Restoration (iWATR) is a non -proprietary tool used for identification of potential BMP opportunities, and prioritization and assessment to estimate the water quality benefits and costs of potential structural BMPs . This application can be integrated with the Master Plan of Drainage and used to help the City achieve compliance with Section Vl.9 .d of the permit. Identification of regional BMP sites that provide stormwater retention for existing development would provide needed options for new and redevelopment sites where retention of stormwater is infeasible . RBF can use iWATR to identfy and evaluate potential sites to serve as alternative compliance . The MS4 Permit allows Permittees the flexibility to develop Watershed Management Programs(WMP) to implement the requirements of the permit on a watershed scale through customized strategies, control measures, and BMPs. Participation in a Watershed Management Program is voluntary and allows a Permittee to address Receiving Water Limitations, TMDLs, Non-Storm Water Discharges and the Minimum Control Measures. The MS4 Permit includes provisions that allow permittees the flexibility to implement an Enhanced Watershed Management Program (EWMP). The EWMP is incentivized where implementation of regional projects that retain all non-stormwater runoff and all stormwater runoff from the 85th percentile, 24-hour storm event for the drainage area tributary to those projects achieve compliance . RBF understands that City of Rancho Palos Verdes has joined Palos Verdes Estates , Rolling Hills Estates, LA County, and the LA County Flood Control District, identified as the Peninsula EWMP Agencies, to develop an EWMP . The potential BMP retrofit sites identified as part of the Master Plan of Drainage can then be integrated into the EWMP to help achieve MS4 Permit compliance . September 19, 2013 RBF Consulting 17 Nov Dec - - - - - - - F-71 PROPOSED SCOPE OF WORK Proposal Rancho Palos Verdes / Master Plan of Drainage The following tasks identify a proposed scope of work to develop a comprehensive new drainage master plan and incorporate the recommendations from the needs assessment. TASK 1: DATA COLLECTION Task 1.1 Review and Compile Existing Watershed and Drainage Facility Data RBF will provide services to research, collect, and review existing background data . Data collection includes existing City GIS drainage and watershed maps, utility index map, soils data, "as-built" construction drawings for the local storm drain facilities, existing hydraulic and master plans of drainage, previous project reports, proposed development tentative maps or hydrology studies, EIR's, floodplain mapping, ownership data, geotechnical data, County master plans, land use data, topography, Army Corps of Engineers' reports, proposed development plans, NPDES Permits, Notice of Violations (NOVs), existing water quality facility as-builts, and receiving water TMDL listings. In addition, a field reconnaissance investigation of the project study watershed area will be performed. The field investigation will include a verification of the watershed conditions and accuracy of the existing improvement plans. Field reconnaissance of the project site and the immediate adjacent conditions of the surrounding watershed will assess flow restrictions and general surface flow patterns. A field review with ground photo inventory and analysis will be included in the final report of critical areas of interest or locations of severe flooding. Identify data gaps in GIS database and as-built plans found in the field investigation. Document data gaps for inventory in Task 2.1 and incorporation into the GIS database development (Task 3). Task 1.2 Identification of Existing Initial Needs Assessment RBF will prepare a qualitative assessment of the drainage constraints and conditions based upon existing data of the watershed and historical flooding problems for this area. Existing conditions and current design criteria will be evaluated to formulate initial assessment of the drainage needs. RBF will identify and summarize critical drainage related problems, including existing flood hazard zones and published floodplain and will identify existing physical or regulatory constraints based upon the baseline information researched for the watershed . Task 1.3 Establish Engineering Design Criteria RBF will provide preliminary engineering services to establish the design criteria for hydraulic and hydrologic design requirements prior to initiating the preliminary design process. The necessary planning criteria and standards will be established to ensure that the required level of flood protection is provided to meet the various jurisdictional agency requirements, and are in conformance with the City and guidelines. All elements of the Master Plan of Drainage will be prepared in accordance with the procedures established by the LA County Department of Public Works. Flood protection levels) • Establish water quality design criteria • Evaluate Notices of Violation and/or areas of water quality concern A memo summarizing the recommended design criteria and guidelines will be prepared for review. This document will serve as an initial reference framework for future decisions as work progresses and unique opportunities are encountered. TASK 2 : EXI STING FACILITIES FIELD SURVEY AND INVENTORY Task 2.1 Field Facility Inventory RBF will perform an "above-ground" field review and inspection of existing storm drain lines and channel facilities (laterals and private lines are excluded from this study). This inventory will include drainage facilities throughout the City. Facility inventory will also include existing facilities by other agencies, i.e. Caltrans, LA County. RBF will provide GPS land survey to determine the coordinates of the manhole covers. Depths of manholes can be measured where possible to determine accurate invert elevations where accessible, and or not clearly defined on as-built plans . Manhole located within heavily traveled right-of-way will be verified for location only, but invert elevations may not be field verified . These inverts will be acquired by as -built, or by evaluating the invert elevations of adjacent manholes within the same system (upstream and/or downstream). RBF will develop a program to acquire missing invert data as part of the City's regular maintenance program , or during CCTV inspections. The i nvestigation will identify miss ing o r incorrect data by field investigation, review of as -builts and interviews with City staff. RBF will also verify the facility information in comparison to the plan data, and augment data gaps with ava ilable information. The inspection will include limited field measurements, if possible, for depth of p ipe, pipe size, and pipe condition (if visible). This task does not include enclosed space work or CCTV review of pipe characteristics . Catch basins and manholes will be located based on a GPS field inventory. Information will be recorded and provided to the City for delivery into the City database, including: • Pipe materials • Pipe Size • Age of Construction • Referenced Construction Plans • GPS Location • Invert Elevation September 19, 2013 RBF Consulting 19 F-73 TASK 3: GIS DATABASE DEVELOPMENT Task 3.1 GIS Organization & Project Data Collection Proposal Rancho Palos Verdes / Master Plan of Drainage The success of this project will be dependent on both the expertise of the RBF Team and its teamwork with the City. Upon kickoff of the Master Plan Project, RBF's GIS Manager will enter discussions with the City to review the schedule for the GIS scope of work, review and request available data and documentation, and agree upon GIS deliverables, project milestones, and delivery dates. RBF will present in greater detail the project approach and take the time to build the relationships with the City, its IT and GIS staff, and other contractors that will be necessary for ongoing effective communication. RBF will collect the necessary data and documents for the project. It is assumed that the City will have all the as-built drawings scanned and saved to a DVD or a portable data storage drive. RBF will sit down with the appropriate City staff member to review approximately 10% of the as -built scans so both RBF and the City can discuss any potential problems identified. RBF will then take the scanned drawings review, catalog, and organize so that they can be easily used by the engineering staff and linked to the GIS data, where needed . As RBF is reviewing and cataloging the as-built scans, we will identify scans that are unreadable and send a list to the City to re-scan the hard copy of as-built drawings and send new TIF or PDF images of the drawing sets . The objectives of the project initiation will be to: • Administer and coordinate work for timely and effective completion; • Document the City's project and ongoing GIS priorities; • Set up and maintain appropriate communications; • Gather GIS data; • Review and collect Scanned as-built drawings; • Setup GIS status reports; and • Setup GIS milestone dates. Task 3.2 Complete As-built Indexing RBF will provide as -built geocoding and indexing to incorporate the drainage as-built drawing sheets with a link to the storm drain segments retrievable from a GIS based mapping application. We understand that approximately 1100 pipes remain to be linked to the appropriate as-built drawing file. The budget for this task includes logging the as-builts from the TIF or PDF file format provided by the City . Each sheet, where a pipe reference is missing and has not yet been accomplished by City staff, will be reviewed to verify that the quality is sufficient for this application and to extract specific information to be used in the indexing process. From each sheet, RBF will extract attributes for the Street Name, Date of the Drawing, Drawing Number, File Number, pipe and/or structure size, material and Work Order Number where available. This vital i nformation will be imperative for development of the facility mapping and data modeling to be accomplished in other tasks and for searching and displaying the attributes in the on line mapping application. RBF will create a GIS index of the drawing sheets and , where necessary, verify or link each image file to the appropriate stormwater facility segment or feature for retrieval either through a query or by selecting the storm drain segment graphically on the project on line mapping application. Should multiple as-builts relate to the same drainage segment (very common), a list of the matching drawings September 19, 2013 RBF Consulting 20 F-74 Proposal Rancho Palos Verdes / Master Plan of Drainage will be provided in a pop-up window in the project web mapping application (task later in this scope) for the user to look through to find a desired drawing. For this as-built linking and indexing task, it is estimated that a total of four minutes will be required of Technician or Analyst time for each drawing sheet to be reviewed, the attributes gathered, the street and location to be identified and logged, and to build the index. This process includes a thorough quality control process to improve the accuracy of the delivered product. Task 3.3 Establish City Numbering Scheme for Storm Drain Facilities RBF will work with the City to review the state of the City's current GIS Stormwater Facility numbering scheme(s) and begin implementation of a consistent and comprehensive numbering scheme which will support the City's Drainage Master Plan project needs , the City's future Asset Management application (Cityworks), and future maintenance of the GIS data. Upon gaining a thorough understanding of the City's current numbering systems, RBF will review with City staff our recommendation on how to number the stormwater facilities so that the structures will tie to the storm drain pipes consistently and can be easily updated and maintained . The system will be one that will allow the City the maximum amount of flexibility in the numbering while allowing for easy updates in the future. The City's GIS data attributes will be updated to the new numbering scheme while the existing numbering will be archived and eliminated from the live data set and still be available for future reference if required. Task 3.4 Acquire Outside Data RBF will work with the City to identify and gather necessary information and data that will assist in the completion of the Drainage Master Plan . Data that is anticipated to be collected includes orthorectified aerial photography and topography from the LA County LAR-IAC program, and LA County as -builts for facilities within the City. Additional data include LA County, private, and Caltrans stormwater facility data, FEMA Firm data, Land Use data, and Watermaster subsurface data (if available and applicable). It is assumed that the cost of obtaining data from the various sources will be paid for by the City and RBF will seek approval from the City before the purchase of any data. Task 3.5 Facility Mapping Tool To streamline the project production and provide City staff with a tool for over the shoulder review and comment throughout the project, RBF will create a custom GIS based secure online interactive mapping site based on the information developed in other components of this project or as provided by the City. The interactive web mapping site will serve two purposes, one as a project management tool and two as a future data viewer to provide for a "living" master plan document. As a project management tool the viewer will allow the City to monitor the progress and results of the drainage master plan. As new data comes on line the City can make comments to the web mapping tool and send an email to RBF staff to make corrections . Viewer components at a minimum will include the stormwater facility pipes and structures, water quality facilities identified in this MPD, model results, CCTV video, in pipe observation snapshots, BM P's, drainage areas, and associated attributes such as physical characteristics and ownership. RBF will also use County of Los Angeles base data where September 19, 2013 RBF Consulting 21 F-75 Proposal Rancho Palos Verdes Master Plan of Drainage appropriate within licensing agreements or as provided by the City. The site will possess basic interactive mapping functionality. The site will be password protected to limit access to designated City staff, authorized contractors and consultants and RBF team members. RBF will further develop a Project Portal Page for the Project to present the purpose and mission of the project and provide ready access in a central site to project documents and resources. The home page will present a City "branded" appearance to the project data and provide links to PDF documents such as studies, reports, and maps used in the development and execution of this project, as well as to provide ready access to the interactive mapping tool and linked as-built drawing scans . The site will also act as an enhanced document management application with the ability to link documents, snapshots, and studies or reports to the map for easy reference and download by City staff or other project stakeholders such as consultants or the public. Should the City desire additional functionality, documents can be easily uploaded by City staff on an on-going basis or will be included initially as provided by the City or from the other components of this project. Support for the data layers developed under this project has been included. Additional functionality is provided for the City to review the ongoing work during master plan development and to provide comments in the form of "Problem/Action" forms . These forms can be filled out by the City or RBF staff throughout the project and will be linked to the mapped features developed in the project. Once the details of the issue have been logged, an email will be sent to the relevant project participants for follow-up and resolution . This approach provides a centralized location for both the City and RBF team members to go to for research and reference of relevant project data, as well as to view and print maps of the work in progress and completed . The site will also keep a log of identified issues and their resolution as a future reference and to be included in the final report. The scope includes a brief workshop with City staff to determine appropriate symbolization and colors for the layer's features to be displayed on the site and in the final atlas maps . For GIS data, it is assumed that the necessary or desired attributes will be complete and organized, that the feature data will be clean and ready to build any required topology (no gaps or overshoots and closed polygons) and that the data will be delivered back to the City as either an ESRI shapefile or file geodatabase. At the conclusion of the project, RBF will provide the City with the entire source programming that was used to create the site. By giving the City all the source code it will allow the City to keep the site up to date into the future. The site will be hosted on line by RBF during the development of the Master Plan . After delivery of the master plan document, the City can take the application in-house for continued use of the "living" master plan, or continue to host the site at RBF for a nominal hosting fee. Assistance in installation and implementation of the programming, data, and mapping application on City systems will be accomplished at RBF 's contracted hourly rates as needed. TASK4: WATERSHED HYDROLOGY ANALYSIS Task 4.1 Delineate Existing Watershed Characteristics RBF will review and validate the drainage areas within the existing City of Rancho Palos Verdes Master Drainage Study dated 2004 (AKM, 2004), RBF will update boundaries based on field investigations and modeling results based on the latest digital topography completed (or purchased) by the City. Boundaries for the Drainage Basin Areas will be determined and the minimum critical hydrologic September 19, 2013 RBF Consulting 22 F-76 Proposal Rancho Palos Verdes / Master Plan o Drainage concentration points will be established to assist in the development of the watershed model and analysis requirements for the hydraulic design. A watershed map with the delineation of the watershed Drainage Basins will be updated to document the mapping for the proposed hydrologic modeling. The watershed map will determine the average characteristic parameters associated with the modified or updated watershed subareas necessary for the application of hydrologic analysis. RBF will obtain and review available data for parameter estimation in the precipitation-runoff model including infiltration, vegetation cover, impervious cover, hydrologic soils data, slopes, and watershed hydraulic efficiency. Field verification of watershed boundaries will be performed for areas with conflicts or incomplete data. Task 4.2 Rational Method Hydrology Analysis RBF will prepare a rational method hydrology analysis for the watershed to quantitatively estimate the "ultimate" land use watershed condition surface runoff flowrates for the 10-, 25 -, and SO-year (Capital Flood) storm return periods based upon full conveyance of the drainage systems for all storm events. The MODRAT hydrology model in the WMS software will be used to develop a GIS-based link-node model for critical concentration points previously identified in the mapping phase. Flowrates developed will be limited in minimum tributary drainage area size to the master plan or primary backbone facility systems only. Hydrology calculations will be completed in accordance with the LA County Hydrology Manual. TASK 5: DRAINAGE SYSTEM HYDRAULIC MODELING/ALTERNATIVES ANALYSIS Task 5.1 Existing Municipal Storm Drain -Hydraulic Model Preparation RBF will perform a hydraulic analysis of the conveyance 11 capacity" of the existing City backbone storm drain system including large subsurface storm drains and channels . The hydraulic analysis will be based upon evaluation ofthe hydraulic grade line, rather than "normal depth" calculations. Hydraulic grade line (HGL) calculations will be performed utilizing the XP -WSPG computer program . The hydraulic model developed as part of this task will provide the baseline model to identify system deficiencies and to test the modification alternatives of the recommended storm drain improvements. (The storm drain water surface profile models will only be generated for the main "collector" or 11trunk" storm drain lines, and the private or local facilities outside of public right-of-way intercepting the lot/building surface drainage will not be analyzed). The water surface data and hydraulic information will be summarized in tabular format for each reach or element of the facility with critical areas highlighted to allow easy use and review. Task 5.2 Existing Municipal Storm Drain -Capacity Analysis and Hydraulic Deficiency Identification The hydraulic models generated for the "existing" mainline storm drain systems will be analyzed in a sensitivity analysis to determine the maximum hydraulic "capacity" of the system . The maximum allowable hydraulic capacity will be defined as the highest elevation of the hydraulic grade line below the street that allows the surface inlets to function . A sensitivity analysis will be performed by factoring the "design" discharges to a lower amount until the storm drain operates without causing flooding of surface inlets . The hydraulic model will be used to quantify any deficiency of hydraulic conveyance in the existing system . The hydraulic capacity will be converted to "level of flood protection" numerical value through a ratio of the capacity flowrate to the calculated design flowrate. September 19, 2013 RBF Consulting 23 F-77 Task 5.3 Street Flooded Width Calculations Proposal Rancho Palos Verdes / Master Plan of Drainage The results of the hydrology hydraulic capacity analysis will be used to perform street flooded width calculations at critical street locations to ensure conformance with City drainage design criteria. The street flooded width analysis will be based on normal depth calculations and using City of Rancho Palos Verdes standard street sections. The street flooded width calculations will be used to identify locations that do not meet City criteria and, therefore, may require additional underground storm drain improvements. Task 5.4 Deficiency Removal and Alternatives Formulation/ Feasibility Analysis RBF will develop preliminary alternatives formulation for removal of hydraulic deficiencies within the existing "mainline" storm drain improvements. The conceptual assessment will focus on either: (1) increasing the hydraulic capacity through enlarged drainage facilities or new parallel system adjacent to existing facilities, (2) constructing a diversion system, or (3) constructing detention storage for flow reduction and water quality benefits . The overall watershed system will be divided into study reaches for refined analysis on a reach-by-reach basis . A list of potential design options will be identified which meet the primary flood protection objectives and major constraints associated with the alternatives will be discussed . A feasibility analysis will be performed to screen the alternatives and develop the recommended alternative based on selection criteria, including downstream constraints, ownership issues, minimal costs and public impacts. The proposed increased pipe sizing will be based upon water surface profile hydraulic calculations for the updated design flowrates. Preliminary horizontal and vertical alignments will be deve loped for the recommended facilities. The lengths and elevation data will be used for detaile d hydraulic analysis and cost estimating purposes. Recommended drainage improvements to remove hydraulic deficiencies of the municipal storm drain systems will be analyzed in XP-WSPG, developed in the previous tasks to verify operation. The sizing of the modifications to the existing storm drain sizes will be adjusted using the water surface profile model to optimize the performance of the system and identify impacts and benefits as sociated with a recommended project. TASK 6: WATER QUALITY PROGRAM TASKS Task 6.1 Water Quality Regulatory BMP Requirements The New Development section of the new MS4 permit for Los Angeles County includes provi sio ns associated with the alternative compliance. The potential exists for the City to implement watershed- based structural BMPs to provide an offset to those development projects that are determined to be technically infeasible to meet the new development/redevelopment requirements of the permit onsite. RBF will coordinate with the City Planning Department to forecast future development in the City and then evaluate the potential for implementation of watershed-based structural BMPs as part of an alternative compliance program . RBF will evaluate the implementation of LID and hydrodmodification structural BMPs at the su b-regional and regional basis within the City. RBF will also evaluate the retrofit requirements of the new perm it. RBF will evaluate the TMDLs the City is subject to and identify subwatersheds where structural BMPs will likely to be necessary. The results of the LID , hydromdification BMP evaluation, the retrofit requirements analysis, and TMDL evaluation will be incorporated into a technical memorandum to identify potential future structural BMP needs in the City. September 19, 2013 RBF Consulting 24 F-78 Propos al Rancho Palos Verdes / Master Plan of Drainage Task 6.2 BMP Retrofit Opportunities RBF will prepare a study to identify and evaluate potential structural BMP opportunities within the City. This study will be based on the technical approach that has been implemented in other BMP retrofit studies and will integrate RBF's iWATR process. The technical approach will identify structural BMP retrofit sites and assess potential BMP types for each site. The BMP Retrofit task will include two phases, Phase I: GIS Watershed Analysis and Phase II: BMP Assessment and Prioritization. Phase I: GIS Watershed Analysis encompasses a desktop level analysis to identify potential structural BMP opportunities with the City. Phase I includes: • Data collection and coordination with City staff. • Identification of existing regional structural BMPs in the City • Desktop identification of potential BMP retrofit sites • Identification of potential site constraints for each potential BMP site • Initial water quality assessment • Integrated BMP needs assessment (in association with results of Task 5.1) • Identification of potential BMPs types (including Low Impact Development) for each site The results of Phase I will be discussed with the City prior to proceeding with Phase 11. Phase II : BMP Assessment and Prioritization encompasse s a more detailed assessment of the potential BMP for each site and the development of an implementation strategy for the identified BMP retrofit sites. Phase II includes: • Field verification for each identified BMP retrofit site • Planning and constructability analysis for each site • Conceptual exhibits for each site • Life Cycle Cost (capital program and O&M) • Identification of funding opportunities (i.e. grants) • Water quality assessment • BMP implementation prioritization and BMP site selection The results of the BMP implementation prioritization will be an implementation strategy that will serve as a Water Quality BMP Facilities Plan that can be incorporated into the Drainage Master Plan. The results of Phase II will be provided in an overall BMP Retrofit Study Report/Water Quality BMP Facilities Plan . TASK 7: CAPITAL IMPROVEMENT PLAN DEVELOPMENT Task 7 .1 Identification of Recommended Improvements The capital improvement program (CIP) will incorporate the results of the drainage syst em pipe condition as sessment (by others) and the capacity analysis . RBF will formulate and recommend alternatives for the repair, rehabilitation, and improvements to the storm drainage system that will satisfy the established objectives. Consideration will be given to deficiencies in remaining service life and hydraulic capacity. RB F's recommendations will consider improving the water quality of the stormwater runoff, addressing both operational and structural control measures in accordance with the MS4 permit and the other associated stormwater quality management plans . RBF will identify all upgrades to the drainage system. Once the criteria for setting priorities have been established, projects will be ranked and preliminary costs will be developed. Task 7.2 Implementation Program and CIP Schedule RBF will provide engineering services to generate a recommended prioritization and schedule for implementing the required drainage facilities to correct existing service life and hydraulic deficiencies. RBF will develop the criteria for prioritizing system improvements. Results of the capacity analysis will be integrated with the condition assessment results, reports of local flooding, and maintenance records to set priorities for system improvements. A l isting of recommended improvements and their priority will be presented to the City for review. A schedule will be developed that outlines the recommended implementation of facilities based upon the projected funding availability. The recommended improvements will incorporate a phased approach based upon risk characterization, potential impacts, and prioritization. The recommended alternatives will include a plan and schedule for implementation based on a priority rating and timeline determined in conjunction with the City. The City will provide RBF an estimate ofthe dollar amount that can be dedicated annually to capital improvement projects. Using this information, a plan and schedule for replacement and rehabilitation will be established over a time frame defined by the City . Task 7 .3 Preliminary Drainage Facilities Quantity and Construction Cost Estimate Pr eliminary construction quantity estimates will be performed for the recommended drainage improvements. A preliminary estimated cost of construction will be generated from the quantity estimate using approved unit costs from the City. Unit costs will be based upon the most current cost information for recent similar projects in the area compiled by RBF and approved by the City . The total project costs for each facility will then be estimated, which include line items for project design, survey, geotechnical, administration and construction support. In addition, intangible costs for facilities will be investigated, such as environmental mitigation, if these are determined to be critical for a particular system. Major physical constraints will be included in the estimate such as {1) land acquisition, (2) street paving and traffic control, and {3) utility relocation or protection. TASK 8: DRAINAGE MASTER PLAN DOCUMENT Task 8.1 Draft Report -Updated Master Plan of Drainage Document RBF will provide engineering services for the compilation of a new Master Plan of Drainage to support the proposed hydrology analysis and recommended drainage facilities. The written report will serve as the technical documentation for the preliminary engineering design and selection of the recommended watershed improvements. This report will include the background for the watershed investigation, hydrologic modeling, hydraulics analysis, alternatives analysis, storm drain design and sizing, and flood protection requirements. This document will serve to reference the design assumpt ions , guidelines, and criteria developed for the project. The text of the document will be prepared in MS WORD . September 19, 2013 RBF Consulting 26 F-80 Proposal Rancho Palos Verdes Master Plan of Drainage The draft Report will also serve as the initial engineering submittal package for the plan for review by the City. The engineering analysis and associated documentation will include (1) hydrology analysis, (2) watershed evaluation (3) existing systems hydraulic capacity, (4) facility design considerations, (5) required systems hydraulics, (6) feasibility alternative investigation and design selection matrix, (7) facility construction costs, and (8) Water Quality Assessment . Task 8 .2 Final Report -Master Plan of Drainage A final report will be prepared which incorporates comments and modifications from the draft review(s) by the City. A copy of all files will also be provided on a CD . Task 8 .3 Final Dra inage Exhibits/ Maps RBF will provide engineering services to generate the final drainage map exhibits associated with the master plan of drainage. These drainage exhibits will consist of the following: • Updated Drainage Index Map (Drainage Basins) • Watershed Hydrology Map (Basins and Drainage Areas) The hydrology maps will be prepared on the developed base sheets, modifying the existing drainage and will include the hydrologic concentration points or nodes clearly identified and the associated design discharge . Facility maps will indicate the recommended sizes and lengths for the backbone infrastructure. The drainage index map will be prepared at a suitable scale for use by City. Maps will be created using the GIS shapefiles generated during the project and electronic copies of all maps will be provided in PDF format . Task 8 .4 Atlas Map Creation At the completion of the Drainage Master Plan process, RBF will assemble field books to provide City Engineering and Mai ntenance staff with hard copy maps of the entire stormwater system. RBF will create four sets of 1" = 200' (17 x 22 -inch) atlas maps of the stormwater system, once the data has been attributed into the geodatabase and quality checked. Additional sets can be produced at an additional cost. These atlas maps will represent the GIS stormwater system similar to the City's existing atlas maps with the new data created under this project . RBF will utilize the City's existing grid, if possible and if desired by the City. The layout that will accommodate approximate 17 x 22-inch maps at this scale will be determined by the City and RBF . This scope includes two City review cycles to approve the atlas sheet layout and content. Utilizing data drive pages RBF will prepare an automated "ESRI Map Book" so luti on that will allow the City to re -create the 17 x 22-inch atlas sheets that RBF will provide as part of the final deliverable using ESRl's ArcGIS desktop application . The atlas maps will include industry standard symbolization; attribute labels of features and items that the City determines necessary as part of an annotation feature class suitable for 17 x 22 -inch mapping. RBF will provi de the City one set of ten representative sheets at 17 x 22 inches as well as PDF files for review. RBF will then review the City comments and make necessary changes . Atlas maps are anticipated to be black and white for ease of plotting and reduced cost to the City for future reproduction . The deliverables for this task include: • One set of 17 x 22-inch stormwater utility atlas pages and PDF files (for review) September 19, 2013 RBF Consulting 2 7 F-81 Proposal Rancho Palos Verdes / Master Plan of Drainage • Four sets of 17 x 22-inch final color stormwater utility atlas bound for converted drawings similar to water and sewer atlas books • Automated process for future atlas sheet creation TASK 9: ADMINISTRATION AND PROJECT MANAGEMENT Task 9.1 Project Management, Meetings and Coordination RBF will conduct project management activities to ensure adherence to schedule and budget, as well as documentation of communication between the RBF and City, as required. RBF will coordinate and attend project meetings with City staff such as project kickoff, monthly progress meetings, design submittal reviews, and as needed to review design issues . Written meeting minutes will be provided to the City for each of these meetings and monthly updates of project progress . Task 9.2 QA/QC RBF will perform continual QA/QC as part of our standard project management. The QA/QC includes frequent progress checks and reviews as the project progresses. For the master plan of drainage QA/QC would occur during all tasks involving calculations or deliverable products. At RBF, quality service is a core principle.
