Award a professional services agreement to lteris for preparation of design plans for the Hawthorne Blvd Traffic Signal Synchronization Project for an not-to-exceed amount of $65,470; 2. Authorize the Mayor and City Clerk to execute the agreement. BACKGROUND The Capital Improvement Program includes a project to synchronize and coordinate the traffic signals along Hawthorne Blvd for improved traffic progression and increased safety. The total project cost of $790,502 is primarily funded by Federal Highway Safety Improvement (HSIP) funds and partially funded with a local match. The project will synchronize 7 signalized intersections including: • Hawthorne Blvd at Palos Verdes Drive West • Hawthorne Blvd at Vallon Drive • Hawthorne Blvd at Dupre Drive • Hawthorne Blvd at Crest Road • Hawthorne Blvd at Seamount Drive/Eddinghill Road • Hawthorne Blvd at Granvia Altamira/Ridgegate Drive • Hawthorne Blvd at Grayslake Road/Highridge Road 4-1 The intersection of Hawthorne Blvd at Indian Peak Road is not included in the project because a portion of that intersection is in the City of Rolling Hills Estates. Consequently, the intersection of Hawthorne Blvd at Blackhorse Road was not included due to the jurisdictional interruption and lack of continuity with the other intersections. A project map is included in the Appendix. Funding for the project is allocated in phases. Table 1 outlines the funding phases and corresponding amounts: Construction Table 1 Project Funding $54,450 $652,550 $707,000 $65,470 $725,032 $790,502 In an effort to improve efficiency and capitalize on construction activities, staff will include with this project, communications connectivity from Hesse Park and Ryan Park to City Hall by incorporating dedicated fiber optic lines and conduit within the project improvement alignment along Hawthorne Blvd. Including this work with the current project will enhance and improve information accessibility to our residents, provide direct communications between the City facilities and result in cost savings to the City if we implement this work now. The cost for this additional design work ($4,970) is included in the consultant's proposal and will not be reimbursed by the grant. Staff's recommendation will authorize the design phase only. DISCUSSION Staff solicited proposals from qualified Traffic Engineering and ITS Design firms that have experience with signal synchronization projects. Proposals from two firms were received and evaluated using the Quality-Based Selection (QBS) process, which entails a selection process based on qualifications and performance. As a result of the evaluation process, staff is recommending the professional services of lteris to function as consultants to the City providing technical expertise for preparation of the project plans specifications and a cost estimate. lteris has provided similar transportation engineering services to agencies including the Orange County Transportation Authority (OCTA) and Cities of Buena Park, Corona, Fountain Valley, Irvine and Newport Beach. Additionally, lteris is currently on the City's on-call list for traffic engineering services. Their experience is extensive and their work comes highly recommended. CONCLUSION Adopting staff's recommendations will authorize lteris to initiate design of the Hawthorne Blvd Traffic Signal Synchronization project. 4-2 ALTERNATIVE The alternative action is to reject the received proposals and re-solicit from other firms for the needed services. This alternative will likely result in project delays and potential increased costs. Further, the alternative action could result in loss of future federal funds. FISCAL IMPACT The recommended action will not result in an impact to the FY 2012-2013 budget. Funding for the Hawthorne Blvd Traffic Signal Synchronization Project is included in the Traffic Improvements program of the adopted budget. Attach merits: Project Limit Map lteris Professional Services Agreement 4-3 Hawthorne Boulevard Signal Synchronization Project THE CITY -Hawthorne Boulevard Start/End Points of Signal Synchronization Project OF RANCHO PALOS VERDES 4-4 CITY OF RANCHO PALOS VERDES DESIGN PROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT ("Agreement") is made and entered into this 4th day of June, 2013, by and between the City of Rancho Palos Verdes (hereinafter referred to as the "CITY") and lteris, Inc. (hereafter referred to as "CONSUL TANT"). IN CONSIDERATION of the covenants hereinafter set forth, the parties hereto agree as follows: ARTICLE 1 SCOPE OF SERVICES 1 .1 Project Description The Project is described as the Hawthorne Boulevard Traffic Signal Synchronization Project. 1.2 Description of Services CONSUL TANT shall provide traffic engineering services to synchronize seven intersections along Hawthorne Boulevard as described in the CITY's Request For Proposals, which is attached hereto as Exhibit "A" and incorporated herein by this reference, and in CONSUL TANT's Proposal, which is attached hereto as Exhibit "B" and incorporated herein by this reference. In the event of any conflict between the terms of this Agreement and incorporated documents, the terms of this Agreement shall control. . In the event of any conflict between the incorporated documents, Exhibit "A" shall control. 1.3 Schedule of Work Upon receipt of written Notice to Proceed from the CITY, CONSULT ANT shall perform with due diligence the services requested by the CITY. Time is of the essence in this Agreement. CONSUL TANT shall not be responsible for delay, nor shall CONSULT ANT be responsible for damages or be in default or deemed to be in default by reason of strikes, lockouts, accidents, or acts of God, or the failure of CITY to furnish timely information or to approve or disapprove CONSUL TANT's work promptly, or delay or faulty performance by CITY, other consultants/contractors, or governmental agencies, or any other delays beyond CONSULT ANT's control or without CONSULT ANT's fault. 1.4 Subsurface Investigations CONSULT ANT is responsible for making subsurface investigations and depicting subsurface utilities in the plans. Page 1 of 15 R6876-0001\134 7704v1 .doc Agreement for Design Professional Services 4-5 2.1 Fee ARTICLE 2 COMPENSATION CITY agrees to compensate CONSULTANT an amount not to exceed sixty- five thousand four hundred and seventy dollars and no cents ($65,470.00) for services as described in Article 1 . 2.2 Payment Address All payments due CONSULT ANT shall be paid to: Scott Carlson, Vice President of Transportation Systems lteris, Inc. 1700 Carnegie Avenue, Suite 100 Santa Ana, CA 92705 2.3 Terms of Compensation CONSUL TANT shall submit monthly invoices for the percentage of work completed in the previous month. CITY agrees to authorize payment for all undisputed invoice amounts within thirty (30) days of receipt of each invoice. CITY agrees to use its best efforts to notify CONSUL TANT of any disputed invoice amounts or claimed completion percentages within ten (10) days of the receipt of each invoice. However, CITY's failure to timely notify CONSUL TANT of a disputed amount or claimed completion percentage shall not be deemed a waiver of CITY's right to challenge such amount or percentage. Additionally, in the event CITY fails to pay any undisputed amounts due CONSULTANT within forty-five (45) days after invoices are received by CITY then CITY agrees that CONSULT ANT shall have the right to consider said default a total breach of this Agreement and be terminated by CONSULT ANT without liability to CONSUL TANT upon ten (10) working days advance written notice. 2.4 Additional Services CITY may request additional specified work under this Agreement. All such work must be authorized in writing by the CITY's Director of Public Works prior to commencement. CONSULT ANT shall perform such services, and CITY shall pay for such additional services in accordance with CONSUL TANT's Hourly Fee Schedule, which is within Exhibit "B." The rates in Exhibit "B" shall be in effect through the end of this Agreement. Page 2of15 R6876-0001\1347704v1 .doc Agreement for Design Professional Services 4-6 2.5 Term of Agreement This Agreement shall commence on June 5, 2013, and shall terminate on June 4, 2014, unless sooner terminated pursuant to Article 4 of this Agreement. ARTICLE 3 INDEMNIFICATION AND INSURANCE 3.1 Indemnification. Hold Harmless. and Duty to Defend (a) Indemnity for Design Professional Services. In connection with its design professional services and to the maximum extent permitted by law, CONSUL TANT shall hold harmless and indemnify CITY, and its officials, officers, employees, agents and independent contractors serving in the role of CITY officials, and designated volunteers (collectively, "lndemnitees"), with respect to any and all claims, demands, causes of action, damages, injuries, liabilities, losses, costs or expenses, including reimbursement of attorneys' fees and costs of defense (collectively, "Claims" hereinafter), including but not limited to Claims relating to death or injury to any person and injury to any property, which arise out of, pertain to, or relate to in whole or in part to the negligence, recklessness, or willful misconduct of CONSUL TANT or any of its officers, employees, subcontractors, or agents in the performance of its design professional services under this Agreement. (b) Other Indemnities. In connection with any and all claims, demands, causes of action, damages, injuries, liabilities, losses, costs or expenses, including attorneys' fees and costs of defense (collectively, "Damages" hereinafter) not covered by Section 3.1 (a), and to the maximum extent permitted by law, CONSUL TANT shall defend, hold harmless and indemnify the lndemnitees with respect to any and all Damages, including but not limited to, Damages relating to death or injury to any person and injury to any property, which arise out of, pertain to, or relate to the acts or omissions of CONSUL TANT or any of its officers, employees, subcontractors, or agents in the performance of this Agreement, except for such loss or damage arising from the sole negligence or willful misconduct of the CITY, as determined by final arbitration or court decision or by the agreement of the parties. CONSUL TANT shall defend lndemnitees in any action or actions filed in connection with any such Damages with counsel of CITY's choice, and shall pay all costs and expenses, including all attorneys' fees and experts' costs actually incurred in connection with such defense. Consultant's duty to defend pursuant to this Section 3.1 (b) shall apply independent of any prior, concurrent or subsequent misconduct, negligent acts, errors or omissions of lndemnitees. ( c) All duties of CONSULT ANT under Section 3.1 shall survive termination of this Agreement. Page 3of15 R6876-0001\1347704v1 .doc Agreement for Design Professional Services 4-7 3.2 General Liability CONSUL TANT shall at all times during the term of the Agreement carry, maintain, and keep in full force and effect, a policy or policies of Commercial General Liability Insurance, with minimum limits of one million dollars ($1,000,000) for each occurrence and two million dollars ($2,000,000) general aggregate for bodily injury, death, loss or property damage for products or completed operations and any and all other activities undertaken by CONSUL TANT in the performance of this Agreement. Said policy or policies shall be issued by an insurer admitted to do business in the State of California and rated in A.M. Best's Insurance Guide with a rating of A:VII or better. 3.3 Professional Liability CONSUL TANT shall at all times during the term of this Agreement, carry, maintain,· and keep in full force and effect a policy or policies of professional liability insurance with a minimum limit of one million dollars ($1,000,000) per claim and aggregate for errors and/or omissions of CONSULT ANT in the performance of this Agreement. Said policy or policies shall be issued by an insurer admitted to do business in the State of California and rated in Best's Insurance Guide with a rating of A:VII or better. If a "claims made" policy is provided, such policy shall be maintained in effect from the date of performance of work or services on the CITY's behalf until three (3) years after the date of work or services are accepted as completed. Coverage for the post-completion period may be provided by renewal or replacement of the policy for each of the three (3) years or by a three-year extended reporting period endorsement, which reinstates all limits for the extended reporting period. If any such policy and/or policies have a retroactive date, that date shall be no later than the date of first performance of work or services on behalf of the CITY. Renewal or replacement policies shall not allow for any advancement of such retroactive date. 3.4 Automobile Liability CONSUL TANT shall at all times during the term of this Agreement obtain, maintain, and keep in full force and effect, a policy or policies of Automobile Liability Insurance, with minimum of one million dollars ($1,000,000) per claim and occurrence and two million dollars ($2,000,000) in the aggregate for bodily injuries or death of one person and five hundred thousand dollars ($500,000) for property damage arising from one incident. 3.5 Worker's Compensation CONSULT ANT agrees to maintain in force at all times during the performance of work under this Agreement worker's compensation insurance as required by the law. CONSUL TANT shall require any subcontractor similarly to provide such compensation insurance for their respective employees. Page 4of15 R6876-0001\1347704v1 .doc Agreement for Design Professional Services 4-8 3.6 Notice of Cancellation (a) All insurance policies shall provide that the insurance coverage shall not be cancelled or modified by the insurance carrier without thirty (30) days prior written notice to CITY, or ten (10) days notice if cancellation is due to nonpayment of premium. Additionally, CONSUL TANT shall provide immediate notice to the City if it receives a cancellation or policy revision notice from the insurer. (b) CONSUL TANT agrees that it will not cancel or reduce any required insurance coverage. CONSUL TANT agrees that if it does not keep the aforesaid insurance in full force and effect, CITY may either immediately terminate this Agreement or, if insurance is available at a reasonable cost, CITY may take out the necessary insurance and pay, at CONSUL TANT's expense, the premium thereon. 3.7 Entire Policy and Certificate of Insurance At all times during the term of this Agreement, CONSULT ANT shall maintain on file with the CITY Clerk both a copy of the entire policy and a certificate of insurance showing that the aforesaid policies are in effect in the required amounts. The commercial general liability policy shall contain endorsements naming the CITY, its officers, agents and employees as additional insureds. 3.8 Primary Coverage The insurance provided by CONSULT ANT shall be primary to any coverage available to CITY. The insurance policies (other than workers compensation and professional liability) shall include provisions for waiver of subrogation. ARTICLE 4 TERMINATION 4.1 Termination of Agreement (a) This Agreement may be terminated at anytime, with or without cause, by the CITY upon thirty (30) days prior written notice or by CONSUL TANT upon ninety (90) days prior written notice. (b) This Agreement is funded in large part by federal Highway Safety Improvement Program funds. If that grant or any part thereof shall be cancelled for any reason, the CITY may immediately terminate the Agreement upon written notice. (c) Section 6.16. Notice shall be deemed served if completed in compliance with Page 5of15 R6876-0001\1347704v1 .doc Agreement for Design Professional Services 4-9 (d) In the event of termination or cancellation of this Agreement by CONSULTANT or CITY, due to no fault or failure of performance by CONSULTANT, CONSULTANT shall be paid compensation for all services performed by CONSULTANT, in an amount to be determined as follows: for work satisfactorily done in accordance with all of the terms and provisions of this Agreement as determined by the CITY, CONSULT ANT shall be paid an amount equal to the percentage of services performed prior to the effective date of termination or cancellation in accordance with the work items; provided, in no event shall the amount of money paid under the foregoing provisions of this paragraph exceed the amount which would have been paid to CONSUL TANT for the full performance of the services described in this Agreement. ARTICLE 5 OWNERSHIP OF DOCUMENTS 5.1' Ownership of Documents and Work Product All final documents, plans, specifications, reports, information, data, exhibits, photographs, images, video files and media created or developed by CONSUL TANT pursuant to this Agreement ("Written Products") shall be and remain the property of the CITY without restriction or limitation upon its use, duplication or dissemination by the CITY. All Written Products shall be considered "works made for hire," and all 'Written Products and any and all intellectual property rights arising from their creation, including, but not limited to, all copyrights and other proprietary rights, shall be and remain the property of the CITY without restriction or limitation upon their use, duplication or dissemination by the CITY. CONSUL TANT shall not obtain or attempt to obtain copyright protection as to any Written Products. CONSUL TANT hereby assigns to the CITY all ownership and any and all intellectual property rights to the Written Products that are not otherwise vested in the CITY pursuant to the paragraph directly above this one. CONSULT ANT warrants and represents that it has secured all necessary licenses, consents or approvals to use any instrumentality, thing or component as to which any intellectual property right exists, including computer software, used in the rendering of the services and the production of all Written Products produced under this Agreement, and that the CITY has full legal title to and the right to reproduce the Written Products. CONSUL TANT shall defend, indemnify and hold the CITY, and its elected officials, officers, employees, servants, attorneys, designated volunteers, and agents serving as independent contractors in the role of CITY officials, harmless from any loss, claim or liability in any way related to a claim that CITY's use of any of the Written Products is violating federal, state or local laws, or any contractual provisions, or any laws relating to trade names, licenses, franchises, copyrights, patents or other means of protecting intellectual property rights and/or interests in products or inventions. CONSULT ANT shall bear all costs arising from the use of patented, copyrighted, trade secret or trademarked documents, materials, equipment, devices or processes in connection with its provision of the services and Page 6of15 R6876-0001\1347704v1 .doc Agreement for Design Professional Services 4-10 Written Products produced under this Agreement. In the event the use of any of the Written Products or other deliverables hereunder by the CITY is held to constitute an infringement and the use of any of the same is enjoined, CONSULT ANT, at its expense, shall: (a) secure for CITY the right to continue using the Written Products and other deliverables by suspension of any injunction, or by procuring a license or licenses for CITY; or (b) modify the Written Products and other deliverables so that they become non- infringing while remaining in compliance with the requirements of this Agreement. This covenant shall survive the termination of this Agreement. Upon termination, abandonment or suspension of the Project, the CONSULT ANT shall deliver to the CITY all Written Products and other deliverables related to the Project without additional cost or expense to the CITY. If CONSULT ANT prepares a document on a computer, CONSUL TANT shall provide CITY with said document both in a printed format and in an electronic format that is acceptable to the CITY. 6.1 Representation ARTICLE 6 GENERAL PROVISIONS The CITY representative shall be the Director of Public Works or his or her designee, and CONSUL TANT shall notify CITY of CONSUL TANT's designated representative. These individuals shall be the primary contact persons for the parties regarding performance of this Agreement. 6.2 Fair Employment Practices/Equal Opportunity Acts In the performance of this Agreement, CONSUL TANT shall comply with all applicable provisions of the California Fair Employment Practices Act (California Government Code Sections 12940-48), the applicable equal employment provisions of the Civil Rights Act of 1964 (42 U.S.C. 200e-217), and the Americans with Disabilities Act of 1990 (42 U.S.C. § 11200, et seq.). 6.3 Statement of Compliance (a) CONSULTANT'S signature affixed herein, and dated, shall constitute a certification under penalty of perjury under the laws of the State of California that CONSUL TANT has, unless exempt, complied with, the nondiscrimination program requirements of Government Code Section 12990 and Title 2, California Administrative Code, Section 8103. (b) During the performance of this Agreement, Consultant and its subconsultants shall not unlawfully discriminate, harass, or allow harassment against any employee or applicant for employment because of sex, race, color, ancestry, religious creed, national origin, physical disability (including HIV and AIDS), mental disability, Page 7of15 R6876-0001\134 7704v1 .doc Agreement for Design Professional Services 4-11 medical condition (e.g., cancer), age (over 40), marital status, and denial of family care leave. Consultant and subconsultants shall insure that the evaluation and treatment of their employees and applicants for employment are free from such discrimination and harassment. Consultant and subconsultants shall comply with the provisions of the Fair Employment and Housing Act (Gov. Code §12990 (a-f) et seq.) and the applicable regulations promulgated thereunder (California Code of Regulations, Title 2, Section 7285 et seq.). The applicable regulations of the Fair Employment and Housing Commission implementing Government Code Section 12990 (a-f), set forth in Chapter 5 of Division 4 of Title 2 of the California Code of Regulations, are incorporated into this Agreement by reference and made a part hereof as if set forth in full. Consultant and its subconsultants shall give written notice of their obligations under this clause to labor organizations with which they have a collective bargaining or other Agreement. 6.4 Personnel. CONSULT ANT represents that it has, or shall secure at its own expense, all personnel required to perform CONSUL TANT's services under this Agreement. Any person who performs engineering services pursuant to this Agreement shall be licensed as a Civil Engineer by the State of California and in good standing. CONSUL TANT shall make reasonable efforts to maintain the continuity of CONSULT ANT's staff who are assigned to perform the services hereunder and shall obtain the approval of the Director of Public Works of all proposed staff members who will perform such services. CONSULT ANT may associate with or employ associates or subcontractors in the performance of its services under this Agreement, but at all times shall CONSUL TANT be responsible for its associates and subcontractors' services. 6.5 CONSUL TANT's Representations CONSULT ANT represents, covenants and agrees that: a) CONSUL TANT is licensed, qualified, and capable offurnishing the labor, materials, and expertise necessary to perform the services in accordance with the terms and conditions set forth in this Agreement; b) there are no obligations, commitments, or impediments of any kind that will limit or prevent CONSUL TANT's full performance under this Agreement; c) to the extent required by the standard of practice, CONSUL TANT has investigated and considered the scope of services performed, has carefully considered how the services should be performed, and understands the facilities, difficulties and restrictions attending performance of the services under this Agreement. 6.6 Conflicts of Interest (a) CONSUL TANT shall disclose any financial, business, or other relationship with CITY that may have an impact upon the outcome of this Agreement, or any ensuing CITY construction project. CONSUL TANT shall also list current clients who may have a financial interest in the outcome of this Agreement, or any ensuing CITY construction project, which will follow. CONSULT ANT hereby certifies that it does not Page 8of15 R6876-0001\134 7704v1 .doc Agreement for Design Professional Services 4-12 currently have nor shall it acquire any financial or business interest during the term of this Agreement or within twelve ( 12) months after completion of the work under this Agreement which is or may likely make CONSUL TANT "financially interested" (as provided in California Government Code Sections 1090 and 87100) in any decisions made by CITY on any matter in connection with which CONSUL TANT has been retained pursuant to this Agreement. Any subcontract entered into as a result of this Agreement, shall contain all of the provisions of this Section. (b) CONSULTANT hereby certifies that neither CONSUL TANT, nor any firm affiliated with CONSULT ANT will bid on any construction contract, or on any contract to provide construction inspection for any construction project resulting from this Agreement. An affiliated firm is one, which is subject to the control of the same persons through joint-ownership, or otherwise. Except for subconsultants whose services are limited to providing surveying or materials testing information, no subconsultant who has provided' design services in connection with this Agreement shall be eligible to bid on any construction contract, or on any contract to provide construction inspection for any construction project resulting from this Agreement. (c) CONSUL TANT warrants that this Agreement was not obtained or secured through rebates kickbacks or other unlawful consideration, either promised or paid to any CITY employee. For breach or violation of this warranty, CITY shall have the right in its discretion; to terminate the Agreement without liability; to pay only for the value of the work actually and satisfactorily performed; or to deduct from the Agreement price; or otherwise recover the full amount of such rebate, kickback or other unlawful consideration. 6. 7 Lobbying (a) CONSUL TANT certifies to the best of its knowledge and belief that: ( 1 ) No state, federal or local agency appropriated funds have been paid, or will be paid by-or-on behalf of CONSUL TANT to any person for influencing or attempting to influence an officer or employee of any state or federal agency; a Member of the State Legislature or United States Congress; an officer or employee of the Legislature or Congress; or any employee of a Member of the Legislature or Congress, in connection with the awarding of any state or federal contract; the making of any state or federal grant; the making of any state or federal loan; the entering into of any cooperative agreement, and the extension, continuation, renewal, amendment, or modification of any state or federal contract, grant, loan, or cooperative agreement. (2) If any funds other than federal appropriated funds have been paid, or will be paid to any person for influencing or attempting to influence an officer or employee of any federal agency; a Member of Congress; an officer or employee of Congress, or an employee of a Member of Congress; in connection with this federal contract, grant, loan, or cooperative agreement; CONSUL TANT shall complete and submit Page 9of15 R6876-0001\1347704v1 .doc Agreement for Design Professional Services 4-13 Standard Form-LLL, "Disclosure Form to Report Lobbying", in accordance with its instructions. (b) This certification is a material representation of fact upon which reliance was placed when this transaction was made or entered into. Submission of this certification is a prerequisite for making or entering into this transaction imposed by Section 1352, Title 31, U.S. Code. Any person who fails to file the required certification shall be subject to a civil penalty of not less than $10,000 and not more than $100,000 for each such failure. (c) CONSUL TANT also agrees by signing this document that he or she shall require that the language of this certification be included in all lower-tier subcontracts and that all such subrecipients shall certify and disclose accordingly. 6.8 Legal Action (a) Should either party to this Agreement bring legal action against the other, the validity, interpretation, and performance of this Agreement shall be controlled by and construed under the laws of the State of California, excluding California's choice of law rules. Venue for any such action relating to this Agreement shall be in the Los Angeles County Superior Court. (b) If any legal action or other proceeding, including action for declaratory relief, is brought for the enforcement of this Agreement or because of an alleged dispute, breach, default or misrepresentation in connection with this Agreement, the prevailing party shall be entitled to recover reasonable attorneys' fees, experts' fees, and other costs, in addition to any other relief to which the party may be entitled. (c) Should any legal action about a project between CITY and a party other than CONSUL TANT require the testimony of CONSUL TANT, CONSUL TANT shall make its personnel available for consultation with the CITY's staff and attorneys and for testimony, if necessary, at depositions, trial and arbitration proceedings. CITY shall compensate CONSUL TANT for its consultation and testimony at the hourly rates in effect at the time of such testimony. 6.9 Assignment Neither this Agreement nor any part thereof shall be assigned by CONSUL TANT without the prior written consent of the CITY. Any such purported assignment without written consent shall be null and void, and CONSUL TANT shall hold harmless, defend and indemnify the CITY and its officers, officials, employees, agents and representatives with respect to any claim, demand or action arising from any unauthorized assignment. Page 10of15 R6876-0001\134 7704v1 .doc Agreement for Design Professional Services 4-14 Notwithstanding the above, CONSUL TANT may use the services of persons and entities not in CONSUL TANT's direct employ, when it is appropriate and customary to do so. Such persons and entities include, but are not necessarily limited to, surveyors, specialized consultants, and testing laboratories. CONSUL TANT's use of subcontractors for additional services shall not be unreasonably restricted by the CITY provided CONSULT ANT notifies the CITY in advance. 6.10 Independent Contractor CONSUL TANT is and shall at all times remain, as to the CITY, a wholly independent contractor. Neither the CITY nor any of its agents shall have control over the conduct of CONSUL TANT or any of the CONSUL TANT's employees, except as herein set forth, and CONSUL TANT is free to dispose of all portions of its time and activities which it is not obligated to devote to the CITY in such a manner and to such persons, firms, or corporatitms as the CONSULT ANT wishes except as expressly provided in this Agreement. CONSULT ANT shall have no power to incur any debt, obligation, or liability on behalf of the CITY or otherwise act on behalf of the CITY as an agent. CONSUL TANT shall not, at any time or in any manner, represent that it or any of its agents, servants or employees, are in any manner agents, servants or employees of CITY. CONSULTANT agrees to pay all required taxes on amounts paid to CONSULT ANT under this Agreement, and to indemnify and hold the CITY harmless from any and all taxes, assessments, penalties, and interest asserted against the CITY by reason of the independent contractor relationship created by this Agreement. CONSUL TANT shall fully comply with the workers' compensation law regarding CONSUL TANT and its employees. CONSUL TANT further agrees to indemnify and hold the CITY harmless from any failure of CONSULT ANT to comply with applicable workers' compensation laws. The CITY shall have the right to offset against the amount of any fees due to CONSUL TANT under this Agreement any amount due to the CITY from CONSUL TANT as a result of its failure to promptly pay to the CITY any reimbursement or indemnification arising under this Article. 6.11 Titles The titles used in this Agreement are for general reference only and are not part of the Agreement. 6.12 Entire Agreement This Agreement, including any other documents incorporated herein by specific reference, represents the entire and integrated agreement between CITY and CONSUL TANT and supersedes all prior negotiations, representations or agreements, . either written or oral. This Agreement may be modified or amended, or provisions or breach may be waived, only by subsequent written agreement signed by both parties. Page 11 of 15 R6876-0001\134 7704v1 .doc Agreement for Design Professional Services 4-15 6.13 Construction In the event of any asserted ambiguity in, or dispute regarding the interpretation of any matter herein, the interpretation of this Agreement shall not be resolved by any rules of interpretation providing for interpretation against the party who causes the uncertainty to exist or against the party who drafted the Agreement or who drafted that portion of the Agreement. 6.14 Non-Waiver of Terms, Rights and Remedies Waiver by either party of any one or more of the conditions of performance under this Agreement shall not be a waiver of any other condition of performance under this Agreement. In no event shall the making by the CITY of any payment to CONSUL TANT constitute or be construed as a waiver by the CITY of any breach of covenant, or any default which may then exist on the part of CONSUL TANT, and the making of any such payment by the CITY shall in no way impair or prejudice any right or remedy available to the CITY with regard to such breach or default. 6.15 Severability If any term or portion of this Agreement is held to be invalid, illegal, or otherwise unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall continue in full force and effect. 6.16 Notice Except as otherwise required by law, any notice or other communication authorized or required by this Agreement shall be in writing and shall be deemed received on (a) the day of delivery if delivered by hand or overnight courier service during CONSUL TANT's or CITY's regular business hours or (b) on the third business day following deposit in the United States mail, postage prepaid, to the addresses listed below, or at such other address as one party may notify the other: To CITY: Les Jones, Interim Director of Public Works City of Rancho Palos Verdes 30940 Hawthorne Blvd. Rancho Palos Verdes, CA 90275 To CONSUL TANT: Bernard Li lteris, Inc. 1700 Carnegie Avenue, Suite 100 Santa Ana, CA 92705 Page 12of15 R6876-0001\1347704v1 .doc Agreement for Design Professional Services 4-16 6.17 State or Federal Restrictions This contract is valid and enforceable only, if sufficient funds are made available to the City for the purpose of this Agreement. In addition, this Agreement is subject to any additional restrictions, limitations, conditions, statutes, rules or regulations enacted by the United States Congress or the California State Legislature that may affect the provisions, terms or funding of this Agreement in any manner. 6.18 Cost Principles CONSULT ANT agrees that the Contract Cost Principles and Procedures, 48 CFR, Part 31.000 et seq., shall be used to determine the cost allowability of individual items. CONSULT ANT also agrees to comply with federal procedures in accordance with 49 CFR, Part 18. Any costs for which payment has been made to CONSULT ANT that are determined by subsequent audit to be unallowable under 49 CFR Part 18 and 48 CFR, Part 31.000 et seq., are subject to repayment by CONSUL TANT to CITY. 6.19 Disadvantaged Business Enterprises (DBE) Participation CONSULT ANT must give consideration to DBE firms as specified in 23 CFR §172.5(b), 49 CFR, Part26. If the Agreement has a DBE goal, CONSULTANT must meet the goal by using DB Es as subconsultants or document a good faith effort to have met the goal. If a DBE subconsultant is unable to perform, CONSUL TANT must make a good faith effort to replace him/her with another DBE subconsultant if the goal is not otherwise met. A DBE may be terminated only with written approval by the CITY and only for the reasons specified in 49 CFR 26.53(f). Prior to requesting the CITY's consent for the proposed termination, CONSUL TANT must meet the procedural requirements specified in 49 CFR 26.53(f). 6.20 Retention of Records/ Audits (a) For the purpose of determining compliance with Public Contract Code 10115, et seq. and Title 21, California Code of Regulations, Chapter 21, Section 2500 et seq., when applicable and other matters connected with the performance of the Agreement pursuant to Government Code 8546.7; CONSUL TANT, subconsultants, and CITY shall maintain and make available for inspection all books, documents, papers, accounting records, and other evidence pertaining to the performance of the Agreement, including but not limited to, the costs of administering the Agreement. All parties shall make such materials available at their respective offices at all reasonable times during the Agreement period and for three years from the date of final payment under the Agreement. (b) The State, State Auditor, CITY, United States Department of Transportation -Federal Highway Administration ("FHWA"), or any duly authorized representative of the Federal Government shall have access to any books, records, and documents of CONSUL TANT that are pertinent to the Agreement for audit, examinations, Page 13of15 R6876-0001\1347704v1 .doc Agreement for Design Professional Services 4-17 excerpts, and transactions, and copies thereof shall be furnished if requested. Subcontracts shall contain this provision. 6.21 Audit Review Procedures CONSULT ANT and subconsultants' contracts, including cost proposals and indirect cost rates (ICR), are subject to audits or reviews such as, but not limited to, a Contract Audit, an Incurred Cost Audit, an ICR Audit, or a certified public accountant ("CPA") ICR Audit Workpaper Review. If selected for audit or review, the Agreement or a contract, cost proposal and ICR and related workpapers, if applicable, will be reviewed to verify compliance with 48 CFR, Part 31 and other related laws and regulations. In the instances of a CPA ICR Audit Workpaper Review, it is CONSUL TANT's responsibility to ensure federal, state, or local government officials are allowed full access to the CPA's workpapers. This Agreement or any other contract, cost proposal, and ICR shall be adjusted oy CONSULT ANT and approved by CITY to conform to the audit or review recommendations. CONSUL TANT agrees that individual terms of costs identified in the audit report shall be incorporated into the Agreement by this reference if directed by CITY at its sole discretion. Refusal by CONSUL TANT to incorporate audit or review recommendations, or to ensure that the Federal, State, or local governments have access to CPA workpapers, will be considered a breach of Agreement terms and cause for termination of the Agreement and disallowance of prior reimbursed costs. 6.22 Inspection of Files CONSUL TANT and any subconsultant shall permit CITY, the State and the FHWA to review and inspect all files related to this Agreement at all reasonable times during the term of the Agreement, including on a daily basis. 6.23 National Labor Relations Board Certification In accordance with Public Contract Code Section 10296, CONSUL TANT hereby states under penalty of perjury that no more than one final unappealable finding of contempt of court by a federal court has been issued against CONSULT ANT within the immediately preceding two-year period, because of CONSUL TANT's failure to comply with an order of a federal court that orders CONSULT ANT to comply with an order of the National Labor Relations Board. PROJECT MANAGEMENT AND QUALllY ASSURANCE lteris strongly believes that excellent project management is essential in the successful completion of any project. Successful completion does not only mean finishing the project, but also completing the project to the client's satisfaction within budget and schedule. Our proposed Project Manager, Mr. Bernard Li, will ensure an efficient and coordinated project development process, delivery of a high quality product, and deployment of the project components within budget and on schedule. This can be - achieved by good initial planning at the onset of the project, followed by close monitoring the progress of each task and sub-task on a regular basis, and making necessary corrective actions should issues arise. As part of the Project Management task, Mr. Li will schedule and attend regular meetings with City staff and prepare and present status reports. The purpose of this meeting is to introduce team members, establish communication protocol, present project schedule, review scope of work and obtain pertinent data from the City. The meeting will also ensure that participants understand and support the goals of the project and the plan to achieve them. In addition to the kickoff meeting, lteris will discuss the project progress monthly or during regular meetings with the City -the forum for this meeting will be at the discretion of the City Project Manager. Katella is a main artery to many land uses, including Disneyland theme parks, Los Alamitos Race Track, Angel Stadium, and the Honda Center. Traffic signal synchronization plans are developed, implemented and fine-tuned for 68 intersections, including Siemens EPAC controllers using a Siemens ACTRA system in the City of Anaheim. Many intersections along the corridor received new controllers (various agencies), GPS units (Caltrans intersections), Econolite Centracs ACS-Lite expansion (City of Anaheim). In addition, wireless IP communications were installed to bring additional intersections on line. Client Reference: Ron Keith, OCTA, 550 Main Street, Orange, CA 92863, Tel: 714-560-5990, rkeith@octa.net Project Budget: $674,000 (Design/Build) Corona ATMS Master Plan, Design, Integration, Signal Timing, Synchronization, Operations, Maintenance and Monitoring Projects -City of Corona, CA lteris has served as the traffic I ITS consultant to the City of Corona since 2000 to provide design, integration, construction support, traffic signal timing, traffic signal synchronization, operations, maintenance and monitoring services for four separate ATMS projects: Corona ATMS Master Plan and Phase 1 Design Project (2000 to 2006) Corona ATMS Phase 2 Design and Integration Project (2008 to 2010) Corona ATMS Phase 2 Traffic Signal Timing and Synchronization Project (2010-2011) Corona ATMS Operations, Maintenance and Monitoring Project (2011 to 2015) The types of services lteris provided for each of these four projects are described below: Corona ATMS Master Plan and Phase 1 Design Project T/1e Corona A TMS Project was awarded tile APWA 2006 PROJECTOF THE YEAR A WARD TRAFFIC CONGESTION/MIT/GA TION The ATMS Master Plan outlined the phased deployment of the Corona ATMS to aid the City in pursuing project funding. This Master Plan developed by lteris followed a system engineering approach that employed an iterative process in assessing the City's need and mapping those needs to system solutions. As part of the Master Plan effort, lteris researched technologies for IP-addressable cameras, changeable message signs, system detectors, traffic management centers, traffic signal systems, video detection and Gigabit Ethernet network. lteris also assisted the City in obtaining $2.8M in funding to support the design and construction of the Phase 1 project. The Phase 1 design project upgraded over 60 City-intersections and 14 Caltrans-intersections to Model 2070 controllers; implemented 13 IP CCTV cameras; integrated the existing Vantage video detection system to IP network; and implemented a Gigabit Ethernet communication system supported by new fiber optic cable. The City manages the ATMS system from the new Corona TMC which was also designed and implemented as part of this project. The TMC implementation included the procurement and integration of QuicNet/4 as the traffic signal system that places both City and Caltrans signals on the same system for regional traffic responsive operation, a first in California. The project also involved institutional coordination to integrate the Caltrans traffic signals into the City's traffic responsive signal system. lteris was instrumental in the consensus building efforts that include a MOU between the two agencies. {Project Budget: $527,399) Corona ATMS Phase 2 Design and Integration Project Exhibit "B" The primary focus of the Phase 2 project was to fill in gaps or enhance the Phase 1 ATMS, and to expand the existing ATMS to support the integration of additional City of Corona signalized intersections and corridors, .as well as signalized intersections from other neighboring agencies including Caltrans District 8, Riverside County and the City of Norco. The design was completed on schedule and within budget. --~ --. ~~==~~~~-~:~.~~:~~~~;~~=:~~~=:-~:.~~~:=~~J The scope for the Phase 2 project included the design of over 14 miles of fiber optic cable, traffic signal controller and communication upgrades at a total of 114 signalized intersections, 20 CCTV cameras and eight OMS, and also expanded the City's Gigabit Ethernet network to include upgrade of four existing and the implementation of five new communication hubs. During the construction phase of the Phase 2 project in September 2010, lteris acted as the City's system integrator responsible for procurement and integration of hardware including 100 Ethernet switches, 9 Gigabit Ethernet hub switches, CCTV cameras, ENCOM Ethernet radios, and OMS including poles. lteris also developed the IP/VLAN schema, and configuration and bench testing of the hardware prior to installation by the contractor. lteris was also responsible for overall systems integration and acceptance testing. {Project Budget: $456,640 Design; $2.8M System Integrator) Corona ATMS Phase 2 Traffic Signal Timing and Synchronization Project lteris developed 50 optimized signal timing plans and 30 emergency detour flush plans for use along ten major arterials in the City. The optimized signal timing plans were developed, implemented and fine-tuned for five peak periods, including weekends and school specific plans. In addition, ten flush plans for emergency detour routing were developed for three levels of traffic related incidents. The project area includes 148 traffic signals owned and maintained by the Cities of Corona and Page I 5 4-30 Proposal to Provide Engineering Design Services Hawthorne Boulevard Signal Synchronization Project Exhibit "B" Norco, Riverside County and Caltrans and operating a combination of NTCIP compliant 170 Coldfire and 2070 ATC controllers with McCain firmware. Timing plans were modeled with Synchro 7.0 and implemented into the City's QuicNet system and into various Agency controllers and field fine-tuned. Timing effectiveness was determined through various operational and emissions measures of effectiveness calculated through travel time and delay studies. (Project Budget: $449,988) Corona ATMS Operations, Maintenance and Monitoring Project In August 2011, the City of Corona selected lteris to provide on-call operations, maintenance and monitoring support for the Corona ATMS. Already having the experience in staffing TMCs during major planned and unplanned events, lteris will provide these services, as-needed, 24 hours a day, seven days a week. The services will center on providing technical support to operate, maintain and monitor the entire Corona ATMS systems, including: QuicNet Pro traffic signal system, traffic signal controllers, CCTV Camera system, video detection system (VDS), DMS system, Ethernet Network and TMC Hardware. lteris will provide these services through a combination of staffing the Corona TMC during key events as well as remote staffing from lteris' TMC (inset), located in lteris' Santa Ana headquarters. lteris has implemented a VPN connection to the Corona TMC that allows lteris to provide key support services from lteris' office, resulting in costs savings to the City. When necessary or warranted, lteris will provide on-site services at the Corona TMC or the field to conduct maintenance and operations services aimed at minimizing downtime. As identified in the EIR for the development of the Douglas Park area, the adaptive system was deployed along four major east-west corridors and four major north-south corridors; and about 20 freeway on/off ramp intersections in and around the Douglas Park campus covering r~= o''"'" 0 ..,.,,~ ... : . ...,,,,,,, .. ,., ..... 165 signalized intersections. This COTS adaptive traffic control system replaced the existing traffic signal control system supervising these eight corridors with an upgraded system that provided adaptive traffic signal timing control, for the expressed purpose of achieving lessened traffic delays caused by traffic signals. lteris was selected to provide the following services: Page I 6 4-31 Proposal to Provide Engineering Design Services Hawthorne Boulevard Signal Synchronization Project Exhibit"B" • Deployment and integration of the Adaptive Traffic Control System {ATCS) developed by the City of Los Angeles at 165 intersections in the City of Long Beach • Coordination with six agencies: o City of Long Beach o Caltrans o Los Angeles County o City of Bellflower o City of Signal Hill o City of Lakewood • Design, integration and testing of a system detection network to support the "Adaptive" algorithms of the ATCS • Design and integration of a new communication system to meet the bandwidth requirements of the ATCS, CCTV cameras and changeable message signs • Design and integration of a hybrid traffic signal controller deployment with over 50 new 2070 traffic controllers and 114 legacy 170 controllers • Deployment of 2070 controllers at Caltrans Diamond Ramp locations along three different freeways -91, 605 and 405 Freeway • Improved traffic operations through design of new traffic signal phasing and efficient use of detection operations • Review and repair of all detection operations to ensure efficient traffic signal operations The complexity of this project involved the state-of-the-practice traffic control system integrated on a hybrid communication infrastructure of new single-mode fiber optics communication ring and back- bone, Ethernet on existing twisted-pair interconnect, analog serial communication on existing twisted- pair interconnect, and wireless communications. This required extensive expertise on the lteris Team and a close working relationship with both the communications contractor and the City of Long Beach maintenance staff. Throughout the deployment of the project, many communication issues were identified and resolved through close collaboration of the lteris Staff, the contractor and the City of Long Beach maintenance. Communication faults with the existing twisted-pair interconnect were identified and repaired by the lteris Integration Team. The problems encountered actually existed before the project began but were unknown to the City staff and the lteris design team. The assumption was made during the design of the project that all existing communication cables that were being used by the existing traffic system were in good working order. However, not all communication pairs were required for the legacy traffic system and thus, not all pairs were maintained which was identified during the integration phase of the project. Additionally, design improvements were identified with the new fiber network deployment and implemented resulting in improved communication network performance and construction cost savings. These improvements resulted in providing connectivity to additional City departments and outside agencies which provided cost savings to the City. These departments and agencies included: 1. Phase 3-5 includes the design of 42 additional CCTV locations, and integration into the TMC. lteris is .currently completing Phase 2 which included complete design of the City-wide Gigabit Ethernet communications system, as well as design/integration of the TMC with McCain Quicnet/2006, 64 2070 controller changeouts, 13 CCTV, and 13 video detection units. Phase 3-5 will complete full deployment of the CCTV plan throughout the City, and provide surveillance at every signalized intersection within the City. Once design is complete, lteris will then fully integrate control and operation into the TMC which will be deployed as part ofthe Phase 2. Phase 2 of the project expands on the Phase 1 improvements with the installation of approximately eight miles of new fiber optic communications, 12 new video detection systems and 12 new CCTV camera systems. The project also involves Citywide Ethernet upgrades, the replacement of existing 820 and 820A traffic signal controllers with Model 2070 traffic signal controller upgrades at 58 of the City's 64 signalized intersections, new signal timing plans for all 64 City-owned signalized intersections, and the replacement of the City's existing VMS-330 system with a new QuicNet traffic signal system. As part of this Phase, lteris is also assisting the City with the complete upgrade and relocation of the existing TMC. The new TMC will be located in a larger area of the Westminster City Hall and will house a new video wall, new workstations and new computer hardware. The construction and integration of the TMC equipment will be completed by lteris. Phase 1 involved the installation of fiber optic communications along three major arterials in the City, install additional video detection systems and install CCTV camera systems. lteris is responsible for all project components, including design, procurement, installation, testing and integration of the needed equipment, and training of the City staff for operation of the new system. The Communications Master Plan detailed the upgrade of the current leased Tl lines and VMS-330 traffic signal system with 820 traffic signal controllers to a combination of fiber optic cable and microwave radio supported by a new CenTracs traffic signal system and ASC/3 traffic signal controllers. The Communications Master Plan also detailed the deployment of ITS strategies including CCTV cameras and a new Traffic Management Center. Based on the details of the Master Plan, lteris has completed the PS&E for four ITS projects. The projects replace the existing twisted pair cable with fiber optic cable, upgrade the 820 traffic signal controllers with ASC/3 controllers, and deploy Cohu CCTV cameras. To date, approximately 90 of the City's 120 signalized intersections have been upgraded as part of the four ITS Projects and approximately 23 CCTV cameras have been deployed. In addition to the design, the project also includes the analysis of signalized intersections encompassing each phase {95 signals total for all phases) for coordination timing during the AM, midday, PM and Saturday {Phase 1 only) peak periods. This analysis includes data collection (average daily traffic and peak period turning movement counts with pedestrian and bicycle); review of the. existing conditions; review of the existing actuated settings for coordinated and non-coordinated periods; and generating the optimum cycle lengths, offset and splits for each study intersection. Implementation is conducted by lteris staff during off-peak hours at the City's Traffic Management Center {TMC) in the CenTracs central system. Fine-tuning of the proposed coordination plans is completed in the field during the hours of coordination. Any modifications made during fine-tuning are documented for the final report. Furthermore, lteris has conducted two days of signal timing training, including basic phasing to implementation and fine-tuning using Centracs and Synchro, to City staff. KDM Meridian is <1 · a professional Land Surveying and Civil Engineering consulting firm specializing in GPS, conventional land surveying, and project mapping. Established in February of 2000, KDM Meridian has rapidly built a growing clientele by offering professional and technical services to public and private clients ranging from local, regional, state, and federal agencies, to utility agencies, development groups, private consulting firms, construction firms, professional and landscape architects, and attorneys. KDM Meridian is a California corporation located in the City of Lake Forest. The firm is currently fielding two survey crews on a regular basis to perform conventional and GPS land surveying, with the ability to provide up to four two-man crews on short notice. In-house personnel provide boundary, mapping, right-of-way, topographic, construction calculation, legal description, and related functions. There are twelve (12) regular full-time employees of whom three are California licensed surveyors and two certified LSIT. The KDM Meridian staff functions as an extension of its client's staff to provide management, technical, and professional services in a responsive, cost effective, and professional manner, meeting their schedules and project goals. PROJECT APPROACH AND WORK SCOPE This project will provide a new fiber-optic communications system at seven (7) intersections along Hawthorne Boulevard between Highridge Road and Palos Verdes Drive West (PVDW), and upgrade the pedestrian signal heads to "countdown" type at three (3) intersections. Once completed, not only will this project serve as the first step for the City of Rancho Palos Verdes to possess its own state-of-the-art fiber optic communications network to connect 50% of the City's traffic signals (7 out of 14), but it will also provide future connections to two of the City's parks, Fred Hesse Community Park and Robert E. Ryan Community Park, adjacent to Hawthorne Boulevard within the project limits. Existing Roadway Characteristics Hawthorne Boulevard is the main arterial in the City of Rancho Palos Verdes, covering 4.8 miles from the City's northeastern boundary (just north of Blackhorse Drive) to PVDW. Seven of the City's 14 traffic signals are located along the proposed project area of Hawthorne Boulevard. The Average Daily Traffic (ADT) along Hawthorne Boulevard ranges from 13,600 to 35,000 vehicles. The primary traffic along this route is comprised of residents traveling to and from work, school and other daily activities. Hawthorne Boulevard is surrounded by neighborhoods and housing developments; serves as the main route to the 405 and 110 freeways; and provides the primary point of access to four schools, two parks, and one of the City's major shopping centers. Existing Hardware lteris has conducted a thorough pre-proposal field review to identify existing conditions along the corridor. Table 3 provides a summary of the existing controller and communication infrastructure. However, while five intersections have the standard Type 332 cabinets, two currently have the smaller Type 337 cabinets that may need to be upgraded to Type 332 to house the additional fiber equipment. Page I 13 4-38 Proposal to Provide Engineering Design Services Hawthorne Boulevard Signal Synchronization Project Exhibit "B" The scope for this project is to design a new 48-strand fiber-optic communications system along Hawthorne Boulevard between Highridge Road and Palos Verdes Drive West (PVDW), and upgrade the pedestrian signal heads to "countdown" type at three (3) intersections. The following Scope of Work was developed based on lteris' understanding of the City's existing infrastructure and field equipment, requirements as set forth in the RFP, discussions with City staff, and experience on similar projects. Task 0. Project Management lteris strongly believes that excellent project management is essential in the successful completion of any project. Successful completion does not only mean finishing the project but also completing the project to the client's satisfaction within budget and on schedule. During the course of this project, lteris will follow the project management methodology and maintain the proposed meetings as detailed in the sections below. Project Management Methodology lteris has a strong history of successful projects. Through many years of experience, lteris has developed a methodology that has proven effective in measuring progress, anticipating problems, reacting quickly to changes in the requirements and maintaining schedule integrity. lteris' project management is designed with checks and balances that have resulted in an impressive track record of successful projects. Project management objectives are developed to: • Provide a complete and comprehensive technical description and work definition for the entire project; • Develop a viable, comprehensive cost and schedule plan that reflects the planned performance of the work; • Establish a comprehensive control system that provides the necessary status information to the lteris project team and the City of Rancho Palos Verdes; • Identify risk areas early and initiate corrective action; • Communicate information to the City of Rancho Palos Verdes on a regular and timely basis; and • Ensure thorough documentation through an effective Quality Assurance/Quality Control (QA/QC) process. Performance Monitoring: Monitoring of technical performance, schedules and costs using a combination of automated and manual techniques provides an early indication of any deviation from planned performance. The earlier a deviation from the plan can be identified, the easier it is to implement the required corrective actions. The following activities are performed: • • Monitor and control performance with respect to schedule performance and analyze the impact of delays and cost alternatives. Actual project performance is periodically compared to planned project performance to identify deviations or areas of concern. Facilitate the assessment of work progress in terms of project milestones, work completed, percent in process and dependence on future project tasks. The Project Manager, Mr. Scott Carlson, will frequently hold informal discussions with individual project personnel on specific tasks in addition to the regularly scheduled project team meetings. Project Kick-Off & Coordination Meetings: Shortly after receipt of the Notice to Proceed, a project kick-off meeting will take place, which will be attended by representatives from the lteris team, the City of Rancho Palos Verdes and other Stakeholder Partners as appropriate. The purpose of this meeting will be to ensure that participants understand and support the goals and the plan to achieve them. The design schedule and items that may expedite the design process will also be discussed at the kick-off meeting. Progress Reports: Mr. Li will submit monthly written progress reports to the City of Rancho Palos Verdes. These reports will summarize activities conducted during the previous calendar month and bring up any potential issues with respect to technical and contractual items. Reports can be discussed in joint teleconference and/or face-to-face meetings with the City of Rancho Palos Verdes -the forum of which will be at the discretion of the City of Rancho Palos Verdes Project Manager. Project Quality Assurance I Quality Control fQNQC): lteris' ability to implement high-quality deliverables is a result of an adherence to a quality assurance program that ensures accuracy, product usability, and an overall commitment to product excellence and user satisfaction. The lteris Project Manager ensures the team commitment to these objectives by identifying goals at the outset of the project and monitoring the product implementation and delivery process. lteris strives to improve the processes and tools used to provide high-quality products and services. Task 1. Inventory of Existing Conditions The framework for a viable and efficient design begins with a solid field investigation effort. The new comprehensive field investigation approach adapted by lteris at the outset of the project will greatly influence the quality of design package prepared in the office, thus eliminating costly design delays and construction change orders in the future. With this key understanding in mind, lteris is committed to utilize the years of accumulated knowledge of the company and its highly experienced staff in the accumulation and assimilation of pertinent field data for this project. All information gathered for the project will go through a comprehensive field verification process and upon arrival to the office will go through rigorous quality control process prior to design application. Prior to commencement of plan preparation, the field investigation will be conducted at the corridor proposed for fiber optic installation, including the seven signalized intersections within the project corridor. The purpose of the field investigation will be to verify and/or collect data on existing field conditions to facilitate plan preparation and identify potential utility conflicts prior to start of design activities. In addition, the field investigation will enable lteris to identify early on, at the start of the design process, all physical constraints, existing substandard and non-compliant street features which if not identified early on, will present design challenges as the project moves forward. In fact, as detailed in lteris' proposal, lteris staff have already initiated some preliminary field investigate of the project elements. The field investigation will include a thorough reconnaissance of the locations to familiarize the design team with the characteristics unique to each location. To facilitate the investigation, field engineers will follow a thorough field reconnaissance guidelines established by lteris. In addition, the field investigation checklist (Table 4) devised by lteris and tailored to meet the project's needs, will be completed during the course of the investigation and filed with other project documentation. Information may include topographic surveys, aerials, GIS files, traffic signal as-builts, signing and striping as-builts, timing charts, City-owned utility plans, proposed signal, geometric and fiber optic plans within the project limits. The information represented on the survey will be verified for accuracy and include discrepancies noted during the field investigation. A photo log of each location and line segment will be taken which will include photos on all approaches and at the intersection. This information will be extremely useful during the design process and will significantly reduce and in some cases eliminate unnecessary revisits to the site. In addition to the thorough field investigations conducted by lteris, we will also retain the services of KDM Meridian to perform surveying and prepare aerial base map along Hawthorne Boulevard between Highridge Road and Crest Drive. The surveyed base map for the segment between Crest Drive and PVDW will be obtained from the City through a recent sidewalk improvement project. Task 2. Detailed Design -Plans, Specifications and Estimates The detailed Plans, Specifications and Estimates (PS&E) design will commence immediately after the field work is completed and the base maps are created. lteris will complete the PS&E at 90% and 100% and final submittals. The design will conform to: State of California Department of Transportation Standard Plans and Specifications (latest edition); the 2012 California Manual on Uniform Traffic Control Devices (MUTCD); the Federal Americans with Disabilities Act (ADA), as well as State of California Access Page I 16 lTERis· 4-41 Proposal to Provide Engineering Design Services Hawthorne Boulevard Signal Synchronization Project Exhibit "B" Compliance Manual. At each progress level, lteris will submit the PS&E package to the City for review and comments. lteris will incorporate client comments into the documents and together with a matrix indicating the comments and responses, will submit to the City for the next round of reviews. Technical specifications of all items, infrastructure, fiber optic cables, hardware, devices and equipment will be prepared in accordance with the City of Rancho Palos Verdes general specification requirements. Engineering estimates for the construction of the project will be prepared using the most recent unit cost data including the most recent construction bid items. Final PS&E will be submitted in an electronic format in addition to the hard copy. Design plans will be prepared and submitted in English units with AutoCAD software. Specifications will be prepared and submitted in Microsoft Word. Engineering estimates will be prepared and submitted in Microsoft Excel. The following subtasks summarize the proposed improvements and detail the activities required for the Detailed Design task. TASK 2.1: INTERSECTION IMPROVEMENTS Intersection Improvements -Design Elements: Detailed design activities for the project intersections will be based on the following design elements as approved during Conceptual design: • Upgrades of 24 pedestrian signal heads. Existing pedestrian signal heads will be upgraded with new "countdown" ped heads at the intersections of Hawthorne/Highridge; Hawthorne/Crest; and Hawthorne/PVDW. • The individual cabinet upgrades at each intersection will be shown as 10-scale blowups on the 40-scale communication plans. • Optional task: Upgrades of 2 controller cabinets. Cabinets will be upgraded with new 332 cabinets and foundations at the intersections of Hawthorne/Eddinghill and Hawthorne/Dupre. TASK 2.2: COMMUNICATION SYSTEM IMPROVEMENTS Communication Improvements -Design Elements: Detailed design activities for the communication system improvements will be based on the following requirements and design elements: • New 3" conduit (preliminary recommendation) along the entire corridor • 48-strand trunk fiber optic cable along the entire corridor • 6-strand drop cable (preliminary recommendation) to each signal controller cabinet within the project limits • Splice vaults at each signalized intersections, and at the entrance of the two parks for future connections to the park's administration buildings. The two parks are: Fred Hesse Community Park and Robert E. Ryan Community Park • Fiber patch panels, Ethernet cards and switches in all 7 controller cabinets The detailed design of the communication improvements will be developed at 40-scale using 10-scale blowups for the individual cabinet upgrades. All conduits containing fiber optic cable will include a trace wire that can also serve as future pull wire. The final PS&E for communications improvements will be included in the total PS&E package of the project. The design will provide fiber assignment schematics showing the fiber strand assignments by color/strand number and their routing. Since the communication architecture will be Ethernet/IP on fiber, the same strand of fiber will also be used for other devices deployed at the signalized intersection, including future CCTV cameras or any other ITS devices along the corridor. A sample of the fiber assignment plan prepared by lteris for the detailed design of ATMS 4a/b project in the City of Santa Monica is shown in Figure 3. Li, EE, TE, PTOE Associate Vice President EXPERIENCE SUMMARY Mr. Bernard Li has over 24 years of experience in providing professional services in planning, design and implementation of electrical and traffic engineering. He has served as Project Manager or Principal-in-Charge on numerous traffic and Intelligent Transportation Systems (ITS) design/construction projects, traffic signal timing and synchronization, operational analysis, feasibility studies and municipal traffic engineering. His traffic engineering design expertise includes traffic signal installation, signal modification, roadway signagelstriping, street lighting, worksite traffic control and neighborhood traffic management (i.e. traffic calming). Mr. Li's ITS experience comprises fiber optic communications, closed-circuit television (CCTV), video-detection system (VOS), dynamic message signs (OMS) and highway advisory radio (HAR). PROJECT EXPERIENCE Project Name and Location: Jamboree Road Regional Traffic Signal Synchronization Project -Irvine, Tustin, Newport Beach, CA Project Role: Mr. Li is the Project Manager to provide traffic signal synchronization and equipment upgrade along Jamboree Road from Portola Parkway to MacArthur Boulevard, spanning across the Cities of Tustin, Irvine, Newport Beach, as well as freeway on/off ramps at 1-5 and 1-405 within Caltrans jurisdiction. The project includes the development, implementation and fine-tuning of the AM, PM,· mid-day, off-peak and weekend traffic signal coordination timing plans for all 27 intersections along the corridor. Traffic signal controllers and GPS time-based units will also be upgraded at the Caltrans freeway ramps. Also as part of the project, lteris assisted the City of Irvine in evaluating and recommending operational improvements for the intersection of Jamboree Road and Barranca Parkway. Upon completion of the project, lteris will continue to provide operations and maintenance support for two years. Project Name and Location: Bastanchury Road Two New Traffic Signals, Traffic Signal Interconnect and a New Equestrian Trail Design Project-City of Yorba Linda, CA Project Role: Mr. Li was the Project Manager for the design of the installation of two new traffic signals at the intersections of Bastanchury Road I Secretariat Way and Bastanchury Road I Clysedale Way, removal of an existing mid-block equestrian crossing signal, installation of two miles of new signal interconnect cables, and construction of a new equestrian trail on Bastanchury Road in the City of Yorba Linda. Mr. Li managed a team of both in-house traffic engineering staff, and civil engineering subconsultant to complete the PS&E package. Design elements also included new ADA ramps for both intersections, median modification with landscape and irrigation, relocation of an existing "signal ahead" flashing unit, and signing & striping. The project also required close coordination with all the utility companies, including Edison for the new service feed to the two new signals. Project Name and Location: Citywide Traffic Signal Timing and Synchronization Project - City of Lancaster, CA Project Role: Mr. Li was the Project Manager for the signal timing upgrade and 4-53 Exhibit "B" Bernard K. Li, PE, PTOE -continued synchronization of over 130 traffic signals within the City of Lancaster. Signal synchronization plans were developed for AM, mid-day, PM peak periods, as well as weekend. Besides assisting the City in implementing the new signal timing and coordination parameters, Mr. Li also personally fine-tuned the traffic signal timings in the field and at the City Hall via the City's QuicNet Pro traffic signal system. The "before/after'' travel time studies indicated the benefit/cost ratio was as high as 50:1 within the first year of implementation. The City has since received compliments from local residents. Project Name and Location: Traffic Signal System/ITS Upgrade and Signal Synchronization Projects for Fourteen (14) Major Corridors -City of Irvine, CA Project Role: Mr. Li was the Project Manager for the traffic signal system/ITS upgrade and signal synchronization along 14 major corridors of over 190 intersections within the City of Irvine. Signal system/ITS upgrades include CCTV camera design; fiber optic communications design that tied into the City's Gigabit Ethernet network; advanced loop detectors; emergency vehicle preemption devices; GPS antenna system at Caltrans freeway ramps; 2070 controllers and dual-332 controller cabinets upgrade. Signal synchronization tasks included SYNCHRO evaluation and optimization; new signal timing implementation at the City's ITRAC (Irvine Traffic Research And Control) Center; fine tuning, "before/after" studies and preparatio~ of final report. Project Name and Location: Traffic Circulation Analysis for a Car Wash -City of Pomona, CA Project Role: Mr. Li was the Project Manager and Traffic Engineer for a proposed car wash located on Mission Boulevard in the City of Pomona. There were two 30-foot wide two-way driveways serving the site where the proposed car wash was going to be constructed. Mr. Li prepared a report to evaluate the best alternative for on-site circulation, taking into account the arrival of customers at the vacuuming bay, to the car wash building, to the drying area and finally exiting the car wash. The final recommendation was to narrow each driveway to make them one-way only (one for ingress, one for egress). Mr. Li also attended the City Council Meeting to present his findings and to answer questions, and the project was unanimously approved by the City Council. Project Name and Location: Traffic and Parking Analysis for a Senior Day Care Center-City of Montebello, CA Project Role: Mr. Li was the Project Manager for the traffic and parking analysis of a proposed Senior Day Care Center located on Beverly Boulevard at Taylor Street in the City of Montebello. The study addressed different traffic issues related to the proposed project, including: on-site parking requirements, on-site circulation evaluation, passenger loading and unloading recommendations, and traffic impact analysis. Project Name and Location: Traffic and Parking Study for Bernards Bros. Headquarters -City of San Fernando, CA Project Role: Mr. Li was the Project Manager and Traffic Engineer to prepare a traffic impact and parking study for a proposed multi-story headquarters building of Bernards Bros. construction company in the City of San Fernando. The project also involved vacating llex Street at Fox Street to accommodate the new parking lot. Closure of llex Street would result in loss of several on-street parking spaces. Besides evaluating the traffic impacts as a result of the project and street closure, the study also addressed the effect of the loss of parking spaces to the surrounding businesses. Mr. Li attended the Planning Commission and the City Council meetings to present the study results and to answer questions from the Commission/Council Members and from local businesses within the project area. The project was subsequently approved by the City Council. Project Name and Location: Traffic Study for South Center Street PSSR-City of Westmorland, CA Project Role: Mr. Li was the Project Manager for the preparation of a traffic study along South Center Street from Highway 86 to Baughman Road in the City of Westmorland. The City of Westmorland is in a strategic location on the northwestern portion of Imperial County and serves as the gateway into the Imperial Valley from Los Angeles and Riverside Counties. Hwy 86, which traverses in an east-west direction through the City, is the primary surface transportation corridor into the County. With the implementation of the North American Fair Trade Agreement (NAFTA), the region has experienced a dramatic increase in surface transportation, especially 18-wheel truck traffic. The purpose of the study was to forecast the future traffic demands, including truck traffic, in 5-, 10-and 20-year horizon, and to propose improvements at key intersections that would alleviate any future traffic problems. This was a design-build contract with an aggressive schedule to design and build the replacement to the bridge that collapsed in Minneapolis on August 1, 2007. Project Name and Location: Corona ATMS Phase 2 Project for Integration Services -City of Corona, CA Project Role: Mr. Carlson was the Project Manager for the design-build of the Corona ATMS Phase 2 project that includes 29 CCTV cameras, over 110 traffic signal controller upgrades, over 10 miles of fiber optic cable and the expansion of the City's Gigabit-Ethernet backbone communication system to include an additional six Gigabit Ethernet hubs. The project represented a multijurisdictional ITS deployment in partnership with the City of Corona, Caltrans District 8, Riverside County and the City of Norco. Design of the project began in December 2008 and was completed in April 2009. Construction began in late 2009 and was completed in late 2010.
