Award a contract for professional services to Harris and Associates, in an amount not to exceed $192,220. 2. Authorize the Mayor and City Clerk to execute an agreement with Harris and Associates. BACKGROUND/DISCUSSION The City's sanitary sewer system is essential for City operations, yet it has not required significant expenditures in past years due to an inter-local agreement with Los Angeles County for maintenance activities. The City owns the system and the County has the primary responsibility for maintenance and preventative maintenance including pipeline replacement due to age. The County collects a sewer fee from the City's property owners which it uses to maintain the system. The County performs video inspections, cleans the system and created a maintenance program to address defects. The County has indicated that some of the system defects such as breaks or holes in lines, cracks and minor misalignments could be corrected by inserting liners into the pipes (similar to the lining that has been performed in storm drains in the City). The County anticipates the Board of Supervisors will authorize projects in the near future to address this work. Although the County maintains the City's sewer system, the City retains responsibility for its operation, public safety and welfare. The City, not the County, maintains legal G-1 and regulatory responsibility (i.e. state or federal fines resulting from overflows). The City conducted a survey of the system, and in 2004 the Sanitary Sewer Master Plan was created to help in the management of this asset which was updated in 2009. Rancho Palos Verdes is responsible for correcting issues associated with the capacity of the system. Through the Master Plan some segments of the system were identified to be deficient in capacity and accordingly the City Council budgeted for the needed projects in the FY 2013114 budget. ANALYSIS Specialized design firms with expertise in pipeline design specific to capacity related projects were identified and asked to provide information through the Request for Qualifications (RFQ) process. An RFQ for sewer design services was prepared and sent to KOA Corporation ICBM Consulting, Harris and Associates, PSOMAS, and BKF Engineering. Three of the four design firms responded. They were KOA Corporation ICBM Consulting, Harris and Associates, and BKF Engineering. The proposals were reviewed· and Harris and Associates was determined to be the best fit for this project. The final scope and cost of services were then negotiated. The RFQ, revised proposal, and cost of services are attached to the Agreement (Attachment A). As part of the work performed through this contract, five line segments that were identified in the Sanitary Sewer Master Plan as having capacity issues will be analyzed to verify capacity issues exist. If the analysis is conclusive and it is confirmed that that there is a need to provide additional capacity in the line segment the construction design will continue. The design approach for segments may include innovative solution such as trenchless technology -pipe bursting, or the installation of a parallel main line to provide additional capacity. A map indicating the anticipated project locations has been included as Attachment B. The design and development of the project construction specifications are anticipated to be completed in approximately four months. Following design, the projects will be advertised and the bidding results will be presented to the City Council with a possible recommendation to award a construction contract this summer with construction completion expected by the fall. CONCLUSIONS Approving the recommendations will award a Design Professional Service Agreement to Harris and Associates for the sanitary sewer system design. FISCAL IMPACT The recommended action will result in the expenditure of up to $192,220 for the design of up to five capacity increasing segments of the sanitary sewer system. Funds are available and budgeted for this work through the City's Capital Improvement Program. Attachment: A) Design Professional Services Agreement B) Anticipated Project Location Map G-2 ATTACHMENT A G-3 CITY OF RANCHO PALOS VERDES DESIGN PROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT ("Agreement") is made and entered into this 15th day of April, 2014, by and between the City of Rancho Palos Verdes (hereinafter referred to as the "CITY") and Harris & Associates, Inc. (hereafter referred to as "CONSUL TANT"). IN CONSIDERATION of the covenants hereinafter set forth, the parties hereto agree as follows: ARTICLE 1 SCOPE OF SERVICES 1 .1 Project Description The Project is described as providing sanitary sewer design services including but not limited to: confirming the need to replace the five sections of the City's system that have been identified as under-capacity in the Master Plan Update; coordinating design plans and construction procedures with the County of Los Angeles; producing full designs for the replacement sewer pipe system; and providing a detailed engineer's estimate. 1.2 Description of Services CONSULT ANT shall confirm capacity requirements as a check prior to beginning sanitary sewer system design, design and produce plans in accordance with Los Angeles County requirements, produce plans specifications and estimates for each section of the system that is under-capacity, and develop constructability methods for by-pass during construction, as described in the CITY's Request For Qualifications, which is attached hereto as Exhibit "A" and incorporated herein by this reference, and in CONSUL TANT's Proposal, which is attached hereto as Exhibit "B" and incorporated herein by this reference. In the event of any conflict between the terms of this Agreement and incorporated documents, the terms of this Agreement shall control. In the event of any conflict between Exhibits "A" and "B," the terms of Exhibit "A" shall control. 1.3 Schedule of Work Upon receipt of written Notice to Proceed from the CITY, CONSULT ANT shall perform with due diligence the services requested by the CITY. Time is of the essence in this Agreement. CONSUL TANT shall not be responsible for delay, nor shall CONSULT ANT be responsible for damages or be in default or deemed to be in default by reason of strikes, lockouts, accidents, or acts of God, or the failure of CITY to furnish timely information or to approve or disapprove CONSUL TANT's work promptly, or delay or faulty Page 1 of 12 R6876-0001\1683788v3.doc Agreement for Design Professional Services G-4 performance by CITY, other consultants/contractors, or governmental agencies, or any other delays beyond CONSULT ANT's control or without CONSULT ANT's fault. 2.1 Fee ARTICLE 2 COMPENSATION CITY agrees to compensate CONSULT ANT an amount not to exceed One Hundred Ninety-two Thousand Two Hundred Twenty Dollars ($192,220.00) for services as described in Article 1. 2.2 Terms of Compensation CONSULT ANT shall submit monthly invoices for the percentage of work completed in the previous month. CITY agrees to authorize payment for all undisputed invoice amounts within thirty (30) days of receipt of each invoice. CITY agrees to use its best efforts to notify CONSUL TANT of any disputed invoice amounts or claimed completion percentages within ten (10) days of the receipt of each invoice. However, CITY's failure to timely notify CONSULT ANT of a disputed amount or claimed completion percentage shall not be deemed a waiver of CITY's right to challenge such amount or percentage. Additionally, in the event CITY fails to pay any undisputed amounts due CONSUL TANT within forty-five (45) days after invoices are received by CITY then CITY agrees that CONSULT ANT shall have the right to consider said default a total breach of this Agreement and be terminated by CONSUL TANT without liability to CONSUL TANT upon ten (10) working days advance written notice. 2.3 Prevailing Wages CITY and CONSUL TANT acknowledge that this project is a public work to which prevailing wages apply. The Terms for Compliance with California Labor Law Requirements is attached hereto as Exhibit "C" and incorporated herein by this reference. 2.4 Additional Services CITY may request additional specified work under this Agreement. All such work must be authorized in writing by the CITY's Director of Public Works prior to commencement. CONSUL TANT shall perform such services, and CITY shall pay for such additional services in accordance with CONSUL TANT's Schedule of Hourly Rates within Exhibit "B," which in any case shall meet or exceed prevailing wage rates. The rates in Exhibit "B" shall be in effect through the end of this Agreement. Page 2of12 R6876-0001\1683788v3.doc Agreement for Design Professional Services G-5 2.5 Term of Agreement This Agreement shall commence on April 17, 2014, and shall terminate on June 30, 2015, unless sooner terminated pursuant to Article 4 of this Agreement. ARTICLE 3 INDEMNIFICATION AND INSURANCE 3.1 Indemnification, Hold Harmless, and Duty to Defend (a) Indemnity for Design Professional Services. In connection with its design professional services and to the maximum extent permitted by law, CONSUL TANT shall hold harmless and indemnify CITY, and its officials, officers, employees, agents and independent contractors serving in the role of CITY officials, and designated volunteers (collectively, "lndemnitees"), with respect to any and all claims, demands, causes of action, damages, injuries, liabilities, losses, costs or expenses, including reimbursement of attorneys' fees and costs of defense (collectively, "Claims" hereinafter), including but not limited to Claims relating to death or injury to any person and injury to any property, which arise out of, pertain to, or relate to in whole or in part to the negligence, recklessness, or willful misconduct of CONSUL TANT or any of its officers, employees, subcontractors, or agents in the performance of its design professional services under this Agreement. (b) Other Indemnities. In connection with any and all claims, demands, causes of action, damages, injuries, liabilities, losses, costs or expenses, including attorneys' fees and costs of defense (collectively, "Damages" hereinafter) not covered by Section 3.1(a), and to the maximum extent permitted by law, CONSUL TANT shall defend, hold harmless and indemnify the lndemnitees with respect to any and all Damages, including but not limited to, Damages relating to death or injury to any person and injury to any property, which arise out of, pertain to, or relate to the acts or omissions of CONSUL TANT or any of its officers, employees, subcontractors, or agents in the performance of this Agreement, except for such loss or damage arising froni the sole negligence or willful misconduct of the CITY, as determined by final arbitration or court decision or by the agreement of the parties. CONSUL TANT shall defend lndemnitees in any action or actions filed in connection with any such Damages with counsel of CITY's choice, and shall pay all costs and expenses, including all attorneys' fees and experts' costs actually incurred in connection with such defense. Consultant's duty to defend pursuant to this Section 3.1 (b) shall apply independent of any prior, concurrent or subsequent misconduct, negligent acts, errors or omissions of lndemnitees. ( c) All duties of CONSUL TANT under Section 3.1 shall survive termination of this Agreement. Pag~ 3of12 R6876-0001\1683788v3.doc Agreement for Design Professional Services G-6 3.2 General Liability CONSUL TANT shall at all times during the term of the Agreement carry, maintain, and keep in full force and effect, a policy or policies of Commercial General Liability Insurance, with minimum limits of one million dollars ($1,000,000) for each occurrence and two million dollars ($2,000,000) general aggregate for bodily injury, death, loss or property damage for products or completed operations and any and all other activities undertaken by CONSUL TANT in the performance of this Agreement. Said policy or policies shall be issued by an insurer admitted or authorized to do business in the State of California and rated in A.M. Best's Insurance Guide with a rating of A:Vll or better. 3.3 Professional Liability CONSUL TANT shall at all times during the term of this Agreement, carry, maintain, and keep in full force and effect a policy or policies of professional liability insurance with a minimum limit of one million dollars ($1,000,000) per claim and aggregate for errors and/or omissions of CONSULT ANT in the performance of this Agreement. Said policy or policies shall be issued by an insurer admitted or authorized to do business in the State of California and rated in Best's Insurance Guide with a rating of A:Vll or better. If a "claims made" policy is provided, such policy shall be maintained in effect from the date of performance of work or services on the CITY's behalf until three (3) years after the date of work or services are accepted as completed. Coverage for the post-completion period may be provided by renewal or replacement of the policy for each of the three (3) years or by a three-year extended reporting period endorsement, which reinstates all limits for the extended reporting period. If any such policy and/or policies have a retroactive date, that date shall be no later than the date of first performance of work or services on behalf of the CITY. Renewal or replacement policies shall not allow for any advancement of such retroactive date. 3.4 Automobile Liability CONSUL TANT shall at all times during the term of this Agreement obtain, maintain, and keep in full force and effect, a policy or policies of Automobile Liability Insurance, with minimum of one million dollars ($1,000,000) per claim and occurrence and two million dollars ($2,000,000) in the aggregate for bodily injuries or death of one person and five hundred thousand dollars ($500,000) for property damage arising from one incident. Said policy or policies shall be issued by an insurer admitted or authorized to do business in the State of California and rated in A.M. Best's Insurance Guide with a rating of A:Vll or better. Page 4of12 R6876-0001\1683788v3.doc Agreement for Design Professional Services G-7 3.5 Worker's Compensation CONSULT ANT agrees to maintain in force at all times during the performance of work under this Agreement worker's compensation insurance as required by the law. CONSUL TANT shall require any subcontractor similarly to provide such compensation insurance for their respective employees. 3.6 Notice of Cancellation (a) All insurance policies shall provide that the insurance coverage shall not be cancelled or modified by the insurance carrier without thirty (30) days prior written notice to CITY, or ten (10) days notice if cancellation is due to nonpayment of premium. Additionally, CONSUL TANT shall provide immediate notice to the CITY if CONSUL TANT receives a cancellation or policy revision notice from the insurer. (b) CONSULT ANT agrees that it will not cancel or reduce any required insurance coverage. CONSUL TANT agrees that if it does not keep the aforesaid insurance in full force and effect, CITY may either immediately terminate this Agreement or, if insurance is available at a reasonable cost, CITY may take out the necessary insurance and pay, at CONSUL TANT's expense, the premium thereon. 3. 7 Entire Policy and Certificate of Insurance At all times during the term of this Agreement, CONSUL TANT shall maintain on file with the CITY Clerk both a copy of the entire policy and a certificate of insurance showing that the aforesaid policies are in effect in the required amounts. The commercial general liability policy shall contain endorsements naming the CITY, its officers, agents and employees as additional insureds. 3.8 Primary Coverage The insurance provided by CONSULT ANT shall be primary to any coverage available to CITY. The insurance policies (other than workers compensation and professional liability) shall include provisions for waiver of subrogation. ARTICLE 4 TERMINATION 4.1 Termination of Agreement (a) This Agreement may be terminated at any time, with or without cause, Pag~ 5of12 R6876-0001\1683788v3.doc Agreement for Design Professional Services G-8 by the CITY upon thirty (30) days prior written notice or by CONSUL TANT upon ninety (90) days prior written notice. Notice shall be deemed served if completed in compliance with Section 6.15. (b) In the event of termination or cancellation of this Agreement by CONSULTANT or CITY, due to no fault or failure of performance by CONSULTANT, CONSULTANT shall be paid compensation for all services performed by CONSULTANT, in an amount to be determined as follows: for work satisfactorily done in accordance with all of the terms and provisions of this Agreement as determined by the CITY, CONSULT ANT shall be paid an amount equal to the percentage of services performed prior to the effective date of termination or cancellation in accordance with the work items; provided, in no event shall the amount of money paid under the foregoing provisions of this paragraph exceed the amount which would have been paid to CONSUL TANT for the full performance of the services described in this Agreement. ARTICLE 5 OWNERSHIP OF DOCUMENTS 5.1 Ownership of Documents and Work Product All final documents, plans, specifications, reports, information, data, exhibits, photographs, images, video files and media created or developed by CONSUL TANT pursuant to this Agreement ("Written Products") shall be and remain the property of the CITY without restriction or limitation upon its use, duplication or dissemination by the CITY. All Written Products shalt be considered "works made for hire," and all Written Products and any and all intellectual property rights arising from their creation, including, but not limited to, all copyrights and other proprietary rights, shall be and remain the property of the CITY without restriction or limitation upon their use, duplication or dissemination by the CITY. CONSULT ANT shall not obtain or attempt to obtain copyright protection as to any Written Products. CONSULT ANT hereby assigns to the CITY all ownership and any and all intellectual property rights to the Written Products that are not otherwise vested in the CITY pursuant to the paragraph directly above this one. CONSULT ANT warrants and represents that it has secured all necessary licenses, consents or approvals to use any instrumentality, thing or component as to which any intellectual property right exists, including computer software, used in the rendering of the services and the production of all Written Products produced under this Agreement, and that the CITY has full legal title to and the right to reproduce the Written Products. CONSUL TANT shall defend, indemnify and hold the CITY, and its elected officials, officers, employees, servants, attorneys, designated volunteers, and agents serving as independent contractors in the role of CITY officials, harmless from any loss, claim or liability in any way Page 6of12 R6876-0001\1683788v3.doc Agreement for Design Professional Services G-9 related to a claim that CITY's use of any of the Written Products is violating federal, state or local laws, or any contractual provisions, or any laws relating to trade names, licenses, franchises, copyrights, patents or other means of protecting intellectual property rights and/or interests in products or inventions. CONSULT ANT shall bear all costs arising from the use of patented, copyrighted, trade secret or trademarked documents, materials, equipment, devices or processes in connection with its provision of the services and Written Products produced under this Agreement. In the event the use of any of the Written Products or other deliverables hereunder by the CITY is held to constitute an infringement and the use of any of the same is enjoined, CONSUL TANT, at its expense, shall: (a) secure for CITY the right to continue using the Written Products and other deliverables by suspension of any injunction, or by procuring a license or licenses for CITY; or (b) modify the Written Products and other deliverables so that they become non- infringing while remaining in compliance with the requirements of this Agreement. This covenant shall survive the termination of this Agreement. Upon termination, abandonment or suspension of the Project, the CONSUL TANT shall deliver to the CITY all Written Products and other deliverables related to the Project without additional cost or expense to the CITY. If CONSUL TANT prepares a document on a computer, CONSULTANT shall provide CITY with said document both in a printed format and in an electronic format that is acceptable to the CITY. 6.1 Representation ARTICLE 6 GENERAL PROVISIONS The CITY representative shall be the Director of Public Works or his or her designee, and CONSUL TANT shall notify CITY of CONSUL TANT's designated representative. These individuals shall be the primary contact persons for the parties regarding performance of this Agreement. 6.2 Fair Employment Practices/Equal Opportunity Acts In the performance of this Agreement, CONSUL TANT shall comply with all applicable provisions of the California Fair Employment Practices Act (California Government Code Sections 12940-48), the applicable equal employment provisions of the Civil Rights Act of 1964 (42 U.S.C. 200e-217), and the Americans with Disabilities Act of 1992 (42 U.S.C. § 11200, et seq.). 6.3 Audit The CITY or its representative shall have the option of inspecting, auditing, or inspecting and auditing all records and other written materials used by CONSUL TANT in Page 7of12 R6876-0001\1683788v3.doc Agreement for Design Professional Services G-10 preparing its billings to the CITY as a condition precedent to any payment to CONSUL TANT. CONSUL TANT will promptly furnish documents requested by the CITY. Additionally, CONSUL TANT shall be subject to State Auditor examination and audit at the request of the CITY or as part of any audit of the CITY, for a period of three (3) years after final payment under this Agreement. 6.4 Personnel CONSULT ANT represents that it has, or shall secure at its own expense, all personnel required to perform CONSUL TANT's services under this Agreement. Any person who performs engineering services pursuant to this Agreement shall be licensed as a Civil Engineer by the State of California and in good standing. CONSUL TANT shall make reasonable efforts to maintain the continuity of CONSUL TANT's staff who are assigned to perform the services hereunder and shall obtain the approval of the Director of Public Works of all proposed staff members who will perform such services. CONSUL TANT may associate with or employ associates or subcontractors in the performance of its services under this Agreement, but at all times shall CONSUL TANT be responsible for its associates and subcontractors' services. 6.5 CONSUL TANT's Representations CONSULT ANT represents, covenants and agrees that: a) CONSUL TANT is licensed, qualified, and capable offurnishing the labor, materials, and expertise necessary to perform the services in accordance with the terms and conditions set forth in this Agreement; b) there are no obligations, commitments, or impediments of any kind that will limit or prevent CONSUL TANT's full performance under this Agreement; c) to the extent required by the standard of practice, CONSULT ANT has investigated and considered the scope of services performed, has carefully considered how the services should be performed, and understands the facilities, difficulties and restrictions attending performance of the services under this Agreement. 6.6 Conflicts of Interest CONSUL TANT agrees not to accept any employment or representation during the term of this Agreement or within twelve ( 12) months after completion of the work under this Agreement which is or may likely make CONSUL TANT "financially interested" (as provided in California Government Code Sections 1090 and 87100) in any decisions made by CITY on any matter in connection with which CONSULT ANT has been retained pursuant to this Agreement. 6. 7 Legal Action (a) Should either party to this Agreement bring legal action against the Page 8of12 R6876-0001\1683788v3.doc Agreement for Design Professional Services G-11 other, the validity, interpretation, and performance of this Agreement shall be controlled by and construed under the laws of the State of California, excluding California's choice of law rules. Venue for any such action relating to this Agreement shall be in the Los Angeles County Superior Court. (b) If any legal action or other proceeding, including action for declaratory relief, is brought for the enforcement of this Agreement or because of an alleged dispute, breach, default or misrepresentation in connection with this Agreement, the prevailing party shall be entitled to recover reasonable attorneys' fees, experts' fees, and other costs, in addition to any other relief to which the party may be entitled. (c) Should any legal action about a project between CITY and a party other than CONSULT ANT require the testimony of CONSULT ANT when there is no allegation that CONSUL TANT was negligent, CITY shall compensate CONSUL TANT for its testimony and preparation to testify at the hourly rates in effect at the time of such testimony. 6.8 Assignment Neither this Agreement nor any part thereof shall be assigned by CONSUL TANT without the prior written consent of the CITY. Any such purported assignment without written consent shall be null and void, and CONSUL TANT shall hold harmless, defend and indemnify the CITY and its officers, officials, employees, agents and representatives with respect to any claim, demand or action arising from any unauthorized assignment. Notwithstanding the above, CONSUL TANT may use the services of persons and entities not in CONSUL TANT's direct employ, when it is appropriate and customary to do so. Such persons and entities include, but are not necessarily limited to, surveyors, specialized consultants, and testing laboratories. CONSULT ANT's use of subcontractors for additional services shall not be unreasonably restricted by the CITY provided CONSUL TANT notifies the CITY in advance. 6.9 Independent Contractor CONSUL TANT is and shall at all times remain, as to the CITY, a wholly independent contractor. Neither the CITY nor any of its agents shall have control over the conduct of CONSUL TANT or any of the CONSUL TANT's employees, except as herein set forth, and CONSUL TANT is free to dispose of all portions of its time and activities which it is not obligated to devote to the CITY in such a manner and to such persons, firms, or corporations as the CONSUL TANT wishes except as expressly provided in this Agreement. CONSUL TANT shall have no power to incur any debt, obligation, or liability on behalf of the CITY or otherwise act on behalf of the CITY as an agent. CONSULT ANT shall not, at any Page 9of12 R6876-0001\1683788v3.doc Agreement for Design Professional Services G-12 time or in any manner, represent that it or any of its agents, servants or employees, are in any manner agents, servants or employees of CITY. CONSUL TANT agrees to pay all required taxes on amounts paid to CONSULT ANT under this Agreement, and to indemnify and hold the CITY harmless from any and all taxes, assessments, penalties, and interest asserted against the CITY by reason of the independent contractor relationship created by this Agreement. CONSUL TANT shall fully comply with the workers' compensation law regarding CONSUL TANT and its employees. CONSUL TANT further agrees to indemnify and hold the CITY harmless from any failure of CONSULT ANT to comply with applicable workers' compensation laws. The CITY shall have the right to offset against the amount of any fees due to CONSULT ANT under this Agreement any amount due to the CITY from CONSULT ANT as a result of its failure to promptly pay to the CITY any reimbursement or indemnification arising under this Article. 6.10 Titles The titles used in this Agreement are for general reference only and are not part of the Agreement. 6.11 Entire Agreement This Agreement, including any other documents incorporated herein by specific reference, represents the entire and integrated agreement between CITY and CONSULT ANT and supersedes all prior negotiations, representations or agreements, either written or oral. This Agreement may be modified or amended, or provisions or breach may be waived, only by subsequent written agreement signed by both parties. 6.12 Construction In the event of any asserted ambiguity in, or dispute regarding the interpretation of any matter herein, the interpretation of this Agreement shall not be resolved by any rules of interpretation providing for interpretation against the party who causes the uncertainty to exist or against the party who drafted the Agreement or who drafted that portion of the Agreement. · 6.13 Non-Waiver of Terms, Rights and Remedies Waiver by either party of any one or more of the conditions of performance under this Agreement shall not be a waiver of any other condition of performance under this Agreement. In no event shall the making by the CITY of any payment to CONSULT ANT constitute or be construed as a waiver by the CITY of any breach of covenant, or any default which may then exist on the part of CONSUL TANT, and the making of any such payment by the CITY shall in no way impair or prejudice any right or remedy available to the CITY with regard to such breach or default. The sewer lines are part of active systems in different locations in the City. The Designer will be required to consult with the County of Los Angeles Department of Public Works, including obtaining their approval of the plans. The designer will be required to produce full designs for the replacement sewer pipe systems, the provision of a detailed engineer's estimate, the preparation of bid documents including plans and specifications and engineering support. A good working relationship with the County is essential and prior personal experience with them would be preferred. To be considered for this project, four (4) copies of your qualifications/proposal must be received by the Public Works Department, 30940 Hawthorne Boulevard, Rancho Palos Verdes, CA 90275, attention: Ron Dragoo, Senior Engineer, no later than 2 p.m., Thursday, February 20, 2014. Faxed copies or electronic submission is not acceptable. The proposals shall be delivered by hand or by mail post marked no later than Thursday, February 20, 2014 at 2:00 p.m. G-17 Sewer System Improvements 2014 Request for Proposal for Professional Engineering Services Page 2 of 5 1. Project Background and Description The City of Rancho Palos Verdes owns the sewer lines, and the lines are maintained by the County of Los Angeles Public Works, who repairs, but does not replace under-capacity sewer lines. The sewer lines are believed to be under-capacity. The City of Rancho Palos Verdes, through its Sanitary Sewer Master Plan Update (an electronic copy of the Update is included with this RFQ), has identified sections of pipe in five separate sewer lines that are believed to be under capacity and will be replaced with larger diameter vitrified clay or SOR 35 pipes as appropriate. The locations and size of the lines are as follows: 1. A 560-foot section on West General between Bernice Drive and West Crestwood. The existing 8-inch will be replaced with a 12-inch V.C. pipe 2. A 564-foot section on Basswood between Mossbank and Shorewood. The existing 8-inch will be replaced with a 12-inch V.C. pipe 3. A 930-foot section in the Silver Spur easement from Ironwood. The existing 8-inch will be replaced with a 15-inch V.C. pipe 4. A 2,377-foot section on Palos Verdes Drive South between Conqueror and Schooner Drive. The existing 8-inch and 10-inch will be replaced with a 18-inch V.C. pipe 5. A 7 48-foot section on Palos Verdes Drive South between Sea Cove Drive and Abalone Cove Shoreline Park. The existing 8-inch will be replaced with a 15-inch V.C. pipe 2. Scope of Services The Consultant shall be responsible for providing the design services for the replacement of the pipes to complete the following tasks: Task A: Review the existing information for the design criteria to ensure that the upsized pipe is required and will be adequate. Task B: Locate all existing utilities by field mapping and obtaining records directly from the utility companies. Task C: Pothole roadway pavement to establish paving and base thickness. Task D: Undertake a detailed survey of all improvements, including, but not limited to hardscape, landscaping, striping, pavement, storm drains and appurtenances, sewer connections, utilities, street furniture etc. Task D: Coordinate/consult with the County of Los Angeles, Public Works to ensure compliance. Task E: Submit a 70% design to the City for review, which at a minimum, shall show locations of all manholes, sewer connections, replacement of hardscape and all potential conflicts with existing utilities and a logical constructability plan to allow for the continuous flow of sewage during construction operations. January 2014 G-18 Sewer System Improvements 2014 Request for Proposal for Professional Engineering Services Page 3 of 5 Task F: Complete plans with all required details, write specifications using City boilerplate for the applicable sections. Task G: Provide complete stamped/signed traffic control plans for each section of the work. Task H: Generate a detailed Engineer's estimate that will be used to provide information for the allocation of budget and to decide on the scope for each phase. 3. Deliverables Reproducible, stamped, signed final plans shall be provided to the City. Plans shall also be submitted on CD or other acceptable electronic media in a format acceptable to the City of Rancho Palos Verdes, such as Microsoft Word 2013 and AutoCAD 2000. Techr:iical specifications and special provisions shall be prepared. Specifications shall be delivered in both printed format and on CD. All documents shall be prepared in Microsoft Word format. Spreadsheets shall be prepared in Microsoft Excel. The Contract Documents for construction of each sewer segment shall be prepared, incorporating the City's boilerplate and the specific technical and special specifications and bid sheet and appendices that have been developed. The Contract Documents and the plans are the documents contractors will base their proposals on when submitting bids for the projects. Engineer's Estimate. 4. Consultant's Representative The Consultant shall assign a primary representative and an alternate to perform the services described in the scope of work. Both shall be identified in the proposal. The Consultant's representative shall remain in responsible charge of all duties from contract negotiations through the completion of the design project. If the primary representative is unable to continue with the design project, then the alternate representative shall become the primary representative. 5. Additional Consultant Responsibilities The successful Consultant shall be required to enter into a written contract with the City of Rancho Palos Verdes and shall be responsible for completing the specified services in Accordance with the City's standard "Professional Services Agreement" which shall be prepared by the City. A copy of this standard agreement is attached. This Request for Proposals and any subsequent correspondence, or any part thereof, may be incorporated into and made a part of the final contract; however, the City reserves the right to further negotiate the terms and conditions of the agreement with the successful consultant. The primary components and provisions of the agreement shall include errors and omissions insurance coverage in the minimum amount of one million dollars ($1,000,000). 6. City Responsibilities The City shall provide the following to assist the Consultant with the project and its completion: Existing record information as available. Sample contract specification package. Existing hydrology study. 7. Submission of Statement of Qualifications The proposal shall be presented in letter format, and include at a minimum the following information: Introduction and understanding of the project and scope of work. Identification of any sub consultants. Identification of the project team. Consultants experience with at least three recent projects of similar scope, including references with contact person and telephone number. Project schedule, including task start and completion dates. 8. Selection Procedure A review committee comprised of City staff will review the technical proposals. Proposals will be evaluated based on the following criteria: Experience of the firm in providing similar services. Understanding of the project. Relevant experience of individual team members assigned to the project. References from clients for whom similar services were provided. Appropriateness of project schedule. All questions must be received no later than 5 p.m., February 17, 2014. January 2014 G-20 Sewer System Improvements 2014 Request for Proposal for Professional Engineering Services Page 5 of 5 9. General Information January 2014 This Request for qualifications does not commit the City of Rancho Palos Verdes to pay costs incurred in the preparation of a response to this request. No work may begin until a "Professional Services Agreement" is executed and the City issues a Notice to Proceed. Not withstanding any other provisions of this Request for Qualifications, the City of Rancho Palos Verdes reserves the right to reject any and all proposals and to waive any informality in a proposal. Submission of a statement of qualifications shall constitute acknowledgement of all terms and conditions set forth in the Request for Qualifications unless otherwise expressly stated in the proposal. All data, documents, and other products used or developed for this project shall remain in the public domain upon completion of the project. Similarly, all responses to this Request for Qualifications shall become the property of the City of Rancho Palos Verdes. The method of payment upon negotiation of a contract shall be monthly payments based upon satisfactory progress and the submission of invoices for payment. All correspondence during the reply period shall be by e-mail. The City reserves the right to conduct personal interviews of any or all consultants. The City reserves the right to request clarification of information submitted and to request additional information that it may reasonably require, which shall be furnished by the Consultant. Statements may not be modified or withdrawn prior to the selection of consultants. The City will require the selected consultant to enter into a standard professional services agreement prepared by the City. G-21 CITY OF RANCHO PALOS VERDES DESIGN PROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT ("Agreement") is made and entered into this day of _______ , 2014, by and between the City of Rancho Palos Verdes (hereinafter referred to as the "CITY") and (hereafter referred to as "CONSUL TANT"). IN CONSIDERATION of the covenants hereinafter set forth, the parties hereto agree as follows: ARTICLE 1 SCOPE OF SERVICES 1 .1 Project Description The Project is described as providing sanitary sewer design services including but not limited to: confirming the need to replace the five sections of the City's system that have been identified as under-capacity in the Master Plan Update; coordinating design plans and construction procedures with the County of Los Angeles; producing full designs for the replacement sewer pipe system; and providing a detailed engineer's estimate. 1.2 Description of Services CONSUL TANT shall confirm capacity requirements as a check prior to beginning sanitary sewer system design, design and produce plans in accordance with Los Angeles County requirements, produce plans specifications and estimates for each section of the system that is under-capacity, and develop constructability methods for by-pass during construction, as described in the CITY's Request For Proposals, which is attached hereto as Exhibit "A" and incorporated herein by this reference, and in CONSUL TANT's Proposal, which is attached hereto as Exhibit "B" and incorporated herein by this reference. In the event of any conflict between the terms of this Agreement and incorporated documents, the terms of this Agreement shall control. In the event of any conflict between Exhibits "A" and "B," the terms of Exhibit "A" shall control. 1.3 Schedule of Work Upon receipt of written Notice to Proceed from the CITY, CONSUL TANT shall perform with due diligence the services requested by the CITY. Time is of the essence in this Agreement. CONSUL TANT shall not be responsible for delay, nor shall CONSUL TANT be responsible for damages or be in default or deemed to be in default by reason of strikes, lockouts, accidents, or acts of God, or the failure of CITY to furnish timely Page 1 of 12 R6876-0001\1683788v2.doc Agreement for Design Professional Services G-22 information or to approve or disapprove CONSUL TANT's work promptly, or delay or faulty performance by CITY, other consultants/contractors, or governmental agencies, or any other delays beyond CONSUL TANT's control or without CONSUL TANT's fault. 2.1 Fee ARTICLE 2 COMPENSATION CITY agrees to compensate CONSUL TANT an amount not to exceed ----------dollars ($ ) for services as described in Article 1. 2.2 Terms of Compensation CONSUL TANT shall submit monthly invoices for the percentage of work completed in the previous month. CITY agrees to authorize payment for all undisputed invoice amounts within thirty (30) days of receipt of each invoice. CITY agrees to use its best efforts to notify CONSUL TANT of any disputed invoice amounts or claimed completion percentages within ten (10) days of the receipt of each invoice. However, CITY's failure to timely notify CONSUL TANT of a disputed amount or claimed completion percentage shall not be deemed a waiver of CITY's right to challenge such amount or percentage. Additionally, in the event CITY fails to pay any undisputed amounts due CONSULTANT within forty-five (45) days after invoices are received by CITY then CITY agrees that CONSUL TANT shall have the right to consider said default a total breach of this Agreement and be terminated by CONSUL TANT without liability to CONSUL TANT upon ten (10) working days advance written notice. 2.3 Additional Services CITY may request additional specified work under this Agreement. All such work must be authorized in writing by the CITY's Director of Public Works prior to commencement. CONSUL TANT shall perform such services, and CITY shall pay for such additional services in accordance with CONSUL TANT's Schedule of Hourly Rates, which is within Exhibit "B." The rates in Exhibit "B" shall be in effect through the end of this Agreement. 2.4 Term of Agreement This Agreement shall commence on and shall terminate on December 31, 2014 unless sooner terminated pursuant to Article 4 of this Agreement. Page 2of12 R6876-0001\1683788v2.doc Agreement for Design Professional Services G-23 ARTICLE 3 INDEMNIFICATION AND INSURANCE 3.1 Indemnification, Hold Harmless, and Duty to Defend (a) Indemnity for Design Professional Services. In connection with its design professional services and to the maximum extent permitted by law, CONSULTANT shall hold harmless and indemnify CITY, and its officials, officers, employees, agents and independent contractors serving in the role of CITY officials, and designated volunteers (collectively, "lndemnitees"), with respect to any and all claims, demands, causes of action, damages, injuries, liabilities, losses, costs or expenses, including reimbursement of attorneys' fees and costs of defense (collectively, "Claims" hereinafter), including but not limited to Claims relating to death or injury to any person and injury to any property, which arise out of, pertain to, or relate to in whole or in part to the negligence, recklessness, or willful misconduct of CONSUL TANT or any of its officers, employees, subcontractors, or agents in the performance of its design professional services under this Agreement. (b) Other Indemnities. In connection with any and all claims, demands, causes of action, damages, injuries, liabilities, losses, costs or expenses, including attorneys' fees and costs of defense (collectively, "Damages" hereinafter) not covered by Section 3.1 (a), and to the maximum extent permitted by law, CONSUL TANT shall defend, hold harmless and indemnify the lndemnitees with respect to any and all Damages, including but not limited to, Damages relating to death or injury to any person and injury to any property, which arise out of, pertain to, or relate to the acts or omissions of CONSULTANT or any of its officers, employees, subcontractors, or agents in the performance of this Agreement, except for such loss or damage arising from the sole negligence or willful misconduct of the CITY, as determined by final arbitration or court decision or by the agreement of the parties. CONSUL TANT shall defend lndemnitees in any action or actions filed in connection with any such Damages with counsel of CITY's choice, and shall pay all costs and expenses, including all attorneys' fees and experts' costs actually incurred in connection with such defense. Consultant's duty to defend pursuant to this Section 3.1 (b) shall apply independent of any prior, concurrent or subsequent misconduct, negligent acts, errors or omissions of lndemnitees. (c) All duties of CONSULTANT under Section 3.1 shall survive termination of this Agreement. 3.2 General Liability CONSUL TANT shall at all times during the term of the Agreement carry, maintain, and keep in full force and effect, a policy or policies of Commercial General Liability Insurance, with minimum limits of one million dollars ($1,000,000) for each occurrence and two million dollars ($2,000,000) g'eneral aggregate for bodily injury, death, Page 3 of 12 R6876-0001\1683788v2.doc Agreement for Design Professional Services G-24 loss or property damage for products or completed operations and any and all other activities undertaken by CONSUL TANT in the performance of this Agreement. Said policy or policies shall be issued by an insurer admitted or authorized to do business in the State of California and rated in A.M. Best's Insurance Guide with a rating of A:Vll or better. 3.3 Professional Liability CONSUL TANT shall at all times during the term of this Agreement, carry, maintain, and keep in full force and effect a policy or policies of professional liability insurance with a minimum limit of one million dollars ($1,000,000) per claim and aggregate for errors and/or omissions of CONSUL TANT in the performance of this Agreement. Said policy or policies shall be issued by an insurer admitted or authorized to do business in the State of California and rated in Best's Insurance Guide with a rating of A:Vll or better. If a "claims made" policy is provided, such policy shall be maintained in effect from the date of performance of work or services on the CITY's behalf until three (3) years after the date of work or services are accepted as completed. Coverage for the post-completion period may be provided by renewal or replacement of the policy for each of the three (3) years or by a three-year extended reporting period endorsement, which reinstates all limits for the extended reporting period. If any such policy and/or policies have a retroactive date, that date shall be no later than the date of first performance of work or services on behalf of the CITY. Renewal or replacement policies shall not allow for any advancement of such retroactive date. 3.4 Automobile Liability CONSUL TANT shall at all times during the term of this Agreement obtain, maintain, and keep in full force and effect, a policy or policies of Automobile Liability Insurance, with minimum of one million dollars ($1,000,000) per claim and occurrence and two million dollars ($2,000,000) in the aggregate for bodily injuries or death of one person and five hundred thousand dollars ($500,000) for property damage arising from one incident. Said policy or policies shall be issued by an insurer admitted or authorized to do business in the State of California and rated in A.M. Best's Insurance Guide with a rating of A:Vll or better. · 3.5 Worker's Compensation CONSUL TANT agrees to maintain in force at all times during the performance of work under this Agreement worker's compensation insurance as required by the law. CONSUL TANT shall require any subcontractor similarly to provide such compensation insurance for their respective employees. 3.6 Notice of Cancellation Page 4of12 R6876-0001\1683788v2.doc Agreement for Design Professional Services G-25 (a) All insurance policies shall provide that the insurance coverage shall not be cancelled or modified by the insurance carrier without thirty (30) days prior written notice to CITY, or ten (10) days notice if cancellation is due to nonpayment of premium. Additionally, CONSUL TANT shall provide immediate notice to the City if it receives a cancellation or policy revision notice from the insurer. (b) CONSUL TANT agrees that it will not cancel or reduce any required insurance coverage. CONSUL TANT agrees that if it does not keep the aforesaid insurance in full force and effect, CITY may either immediately terminate this Agreement or, if insurance is available at a reasonable cost, CITY may take out the necessary insurance and pay, at CONSUL TANT's expense, the premium thereon. 3.7 Entire Policy and Certificate of Insurance At all times during the term of this Agreement, CONSUL TANT shall maintain on file with the CITY Clerk both a copy of the entire policy and a certificate of insurance showing that the aforesaid policies are in effect in the required amounts. The commercial general liability policy shall contain endorsements naming the CITY, its officers, agents and employees as additional insureds. 3.8 Primary Coverage The insurance provided by CONSUL TANT shall be primary to any coverage available to CITY. The insurance policies (other than workers compensation and professional liability) shall include provisions for waiver of subrogation. ARTICLE 4 TERMINATION 4.1 Termination of Agreement (a) This Agreement may be terminated at any time, with or withoat cause, by the CITY upon thirty (30) days prior written notice or by CONSUL TANT upon ninety (90) days prior written notice. Notice shall be deemed served if completed in compliance with Section 6.15. (b) In the event of termination or cancellation of this Agreement by CONSULTANT or CITY, due to no fault or failure of performance by CONSULTANT, CONSULTANT shall be paid compensation for all services performed by CONSULTANT, in an amount to be determined as follows: for work satisfactorily done in accordance with all of the terms and provisions of this Agreement as determined by the CITY, CONSUL TANT shall be paid an amount equal to the percentage of services performed Page 5of12 R6876-0001\1683788v2.doc Agreement for Design Professional Services G-26 prior to the effective date of termination or cancellation in accordance with the work items; provided, in no event shall the amount of money paid under the foregoing provisions of this paragraph exceed the amount which would have been paid to CONSULT ANT for the full performance of the services described in this Agreement. ARTICLE 5 OWNERSHIP OF DOCUMENTS 5.1 Ownership of Documents and Work Product All final documents, plans, specifications, reports, information, data, exhibits, photographs, images, video files and media created or developed by CONSUL TANT pursuant to this Agreement ("Written Products") shall be and remain the property of the CITY without restriction or limitation upon its use, duplication or dissemination by the CITY. All Written Products shall be considered "works made for hire," and all Written Products and any and all intellectual property rights arising from their creation, including, but not limited to, all copyrights and other proprietary rights, shall be and remain the property of the CITY without restriction or limitation upon their use, duplication or dissemination by the CITY. CONSUL TANT shall not obtain or attempt to obtain copyright protection as to any Written Products. CONSUL TANT hereby assigns to the CITY all ownership and any and all intellectual property rights to the Written Products that are not otherwise vested in the CITY pursuant to the paragraph directly above this one. CONSUL TANT warrants and represents that it has secured all necessary licenses, consents or approvals to use any instrumentality, thing or component as to which any intellectual property right exists, including computer software, used in the rendering of the services and the production of all Written Products produced under this Agreement, and that the CITY has full legal title to and the right to reproduce the Written Products. CONSUL TANT shall defend, indemnify and hold the CITY, and its elected officials, officers, employees, servants, attorneys, designated volunteers, and agents serving as independent contractors in the role of CITY officials, harmless from any loss, claim or liability in· any way related to a claim that CITY's use of any of the Written Products is violating federal, state or local laws, or any contractual provisions, or any laws relating to trade names, licenses, franchises, copyrights, patents or other means of protecting intellectual property rights and/or interests in products or inventions. CONSUL TANT shall bear all costs arising from the use of patented, copyrighted, trade secret or trademarked documents, materials, equipment, devices or processes in connection with its provision of the services and Written Products produced under this Agreement. In the event the use of any of the Written Products or other deliverables hereunder by the CITY is held to constitute an infringement and the use of any of the same is enjoined, CONSUL TANT, at its expense, shall: (a) secure for CITY the right to continue using the Written Products and other Page 6of12 R6876-0001\1683788v2.doc Agreement for Design Professional Services G-27 deliverables by suspension of any injunction, or by procuring a license or licenses for CITY; or (b) modify the Written Products and other deliverables so that they become non- infringing while remaining in compliance with the requirements of this Agreement. This covenant shall survive the termination of this Agreement. Upon termination, abandonment or suspension of the Project, the CONSUL TANT shall deliver to the CITY all Written Products and other deliverables related to the Project without additional cost or expense to the CITY. If CONSUL TANT prepares a document on a computer, CONSUL TANT shall provide CITY with said document both in a printed format and in an electronic format that is acceptable to the CITY. 6.1 Representation ARTICLE 6 GENERAL PROVISIONS The CITY representative shall be the Director of Public Works or his or her designee, and CONSUL TANT shall notify CITY of CONSUL TANT's designated representative. These individuals shall be the primary contact persons for the parties regarding performance of this Agreement. 6.2 Fair Employment Practices/Equal Opportunity Acts In the performance of this Agreement, CONSUL TANT shall comply with all applicable provisions of the California Fair Employment Practices Act (California Government Code Sections 12940-48 ), the applicable equal employment provisions of the Civil Rights Act of 1964 (42 U.S.C. 200e-217), and the Americans with Disabilities Act of 1992 (42 U.S.C. § 11200, et seq.). 6.3 Audit The City or its representative shall have the option of inspecting and/or auditing all records and other written materials used by Contractor in preparing its billings to the City as a condition precedent to any payment to Contractor. Contractor will promptly furnish documents requested by the City. Additionally, Contractor shall be subject to State Auditor examination and audit at the request of the City or as part of any audit of the City, for a period of three (3) years after final payment under this Agreement. 6.4 Personnel CONSUL TANT represents that it has, or shall secure at its own expense, all personnel required to perform CONSUL TANT's services under this Agreement. Any person who performs engineering services pursuant to this Agreement shall be licensed as Page 7 of 12 R6876-0001\1683788v2.doc Agreement for Design Professional Services G-28 a Civil Engineer by the State of California and in good standing. CONSULTANT shall make reasonable efforts to maintain the continuity of CONSUL TANT's staff who are assigned to perform the services hereunder and shall obtain the approval of the Director of Public Works of all proposed staff members who will perform such services. CONSUL TANT may associate with or employ associates or subcontractors in the performance of its services under this Agreement, but at all times shall CONSUL TANT be responsible for its associates and subcontractors' services. 6.5 CONSUL TANT's Representations CONSUL TANT represents, covenants and agrees that: a) CONSUL TANT is licensed, qualified, and capable of furnishing the labor, materials, and expertise necessary to perform the services in accordance with the terms and conditions set forth in this Agreement; b) there are no obligations, commitments, or impediments of any kind that will limit or prevent CONSUL TANT's full performance under this Agreement; c) to the extent required by the standard of practice, CONSUL TANT has investigated and considered the scope of services performed, has carefully considered how the services should be performed, and understands the facilities, difficulties and restrictions attending performance of the services under this Agreement. 6.6 Conflicts of Interest CONSUL TANT agrees not to accept any employment or representation during the term of this Agreement or within twelve ( 12) months after completion of the work under this Agreement which is or may likely make CONSULTANT "financially interested" (as provided in California Government Code Sections 1090 and 87100) in any decisions made by CITY on any matter in connection with which CONSUL TANT has been retained pursuant to this Agreement. 6.7 Legal Action (a) Should either party to this Agreement bring legal action against the other, the validity, interpretation, and performance of this Agreement shall be controlled by and construed under the laws of the State of California, excluding California's choice of law rules. Venue for any such action relating to this Agreement shall be in the Los Angeles County Superior Court. (b) If any legal action or other proceeding, including action for declaratory relief, is brought for the enforcement of this Agreement or because of an alleged dispute, breach, default or misrepresentation in connection with this Agreement, the prevailing party shall be entitled to recover reasonable attorneys' fees, experts' fees, and other costs, in addition to any other relief to which the party may be entitled. Page 8of12 R6876-0001\1683788v2.doc Agreement for Design Professional Services G-29 (c) Should any legal action about a project between CITY and a party other than CONSUL TANT require the testimony of CONSUL TANT when there is no allegation that CONSULT ANT was negligent, CITY shall compensate CONSULT ANT for its testimony and preparation to testify at the hourly rates in effect at the time of such testimony. 6.8 Assignment Neither this Agreement nor any part thereof shall be assigned by CONSUL TANT without the prior written consent of the CITY. Any such purported assignment without written consent shall be null and void, and CONSUL TANT shall hold harmless, defend and indemnify the CITY and its officers, officials, employees, agents and representatives with respect to any claim, demand or action arising from any unauthorized assignment. Notwithstanding the above, CONSUL TANT may use the services of persons and entities not in CONSUL TANT's direct employ, when it is appropriate and customary to do so. Such persons and entities include, but are not necessarily limited to, surveyors, specialized consultants, and testing laboratories. CONSUL TANT's use of subcontractors for additional services shall not be unreasonably restricted by the CITY provided CONSUL TANT notifies the CITY in advance. 6.9 Independent Contractor CONSULTANT is and shall at all times remain, as to the CITY, a wholly independent contractor. Neither the CITY nor any of its agents shall have control over the conduct of CONSUL TANT or any of the CONSUL TANT's employees, except as herein set forth, and CONSUL TANT is free to dispose of all portions of its time and activities which it is not obligated to devote to the CITY in such a manner and to such persons, firms, or corporations as the CONSULT ANT wishes except as expressly provided in this Agreement. CONSUL TANT shall have no power to incur any debt, obligation, or liability on behalf of the CITY or otherwise act on behalf of the CITY as an agent. CONSUL TANT shall not, at any time or in any manner, represent that it or any of its agents, servants or employees, are in any manner agents, servants or employees of CITY. CONSUL TANT agrees to pay all required taxes on amounts paid to CONSUL TANT under this Agreement, and to indemnify and hold the CITY harmless from any and all taxes, assessments, penalties, and interest asserted against the CITY by reason of the independent contractor relationship created by this Agreement. CONSULTANT shall fully comply with the workers' compensation law regarding CONSUL TANT and its employees. CONSUL TANT further agrees to indemnify and hold the CITY harmless from any failure of CONSUL TANT to comply with applicable workers' compensation laws. The CITY shall have the right to offset against the amount of any fees due to CONSUL TANT under this Agreement any amount due to the CITY from CONSUL TANT as a result of its failure to promptly pay to the CITY any reimbursement or Page 9 of 12 R6876-0001\1683788v2.doc Agreement for Design Professional Services G-30 indemnification arising under this Article. 6.10 Titles The titles used in this Agreement are for general reference only and are not part of the Agreement. 6.11 Entire Agreement This Agreement, including any other documents incorporated herein by specific reference, represents the entire and integrated agreement between CITY and CONSULTANT and supersedes all prior negotiations, representations or agreements, either written or oral. This Agreement may be modified or amended, or provisions or breach may be waived, only by subsequent written agreement signed by both parties. 6.12 Construction In the event of any asserted ambiguity in, or dispute regarding the interpretation of any matter herein, the interpretation of this Agreement shall not be resolved by any rules of interpretation providing for interpretation against the party who causes the uncertainty to exist or against the party who drafted the Agreement or who drafted that portion of the Agreement. 6.13 Non-Waiver of Terms. Rights and Remedies Waiver by either party of any one or more of the conditions of performance under this Agreement shall not be a waiver of any other condition of performance under this Agreement. The City of Rancho Palos Verdes owns the sewer lines, however they are maintained by the County of Los Angeles Department of Public Works, who repairs and maintain the City's sewer lines, but does not replace under- capacity sewer lines. The five project location limits and proposed improvements are shown in the summary chart below. The ultimate goal is to prepare construction documents for the approved sewer improvements to add the required additional capacity to the system where deficiencies are identified. Adjacent reaches upstream and downstream of the subject improvement areas have the same size sewer pipe but have steeper profile grades and have not been similarly identified as being deficient. This appears to be a sign that (at least in many of the cases) the flat grade is contributing to the depth over diameter (d/D) deficiency. From Harris &Associates' extensive sewer design experience it is understood that it is not a typical best practice to upsize a segment of sewer line while leaving the downstream segment at the original diameter. In these Photo 1: Proposed sewer improve111ents location along West General Street at Bernice Drive adjacent to Crestwood School, where the existing 8" sewer is flat (S = 0.403). cases the deficiency does not fall into the typical deficiency situation whereby generated flows have seen an increase over time due to an increase of development upstream, which presents a much greater threat potential for sewage spills. In the cases presented for our proposed project improvements, the more likely scenario would be a temporary surcharge in the sewer mainline line where the d/D rises above the ideal design limits, which although not desirable, does not present the same type of threat potential for a sewage spill as does a truly deficient system that requires upsizing all the way downstream to a larger diameter receiving system. Consequently, as a first priority alternative design, the Harris team will investigate the opportunity to improve the mainline sewer profile slope where upstream and downstream constraints (profile slopes) and lateral connection profiles are favorable to this option. In doing so we will confirm whether there is a steep pipe downstream (and/or upstream) that could be taken advantage of and perhaps be joined further downstream Ho1ris & /\ssociates I Project Approach G-39 3 (and/or upstream) to increase the mainline profile grade. A simultaneous verification will also be required to confirm that all of the sewer lateral connections in any of the re-profiled mainline sewer segment are compatible to allow the lateral to be re-profiled, as required, to maintain a positive grade (gravity fl.ow) to each mainline connection point. Finally, every existing utility that crosses perpendicular to the sewer mainlines that are being considered for re-profiling will also have to be closely analyzed to maintain clearances and avoid conflicts. As an added precaution we have allotted an optional budget for utility potholing of the up to ten (10) utility crossings. As long as the d/D deficiency is resolved by reprofiling the 8" sewer mainlines then this alternative would also be considered advantageous, over simply upsizing the mainline, because it will save the city the cost of installing a larger diameter pipe. In addition to saving money, this Photo 2: Proposed sewer improvements location along Basswood Avenue at Shorewood Road, again where the existing 8" sewer is flat (S = 0.363). re-profiled pipe alternative would avoid the undesirable effects of a "bottleneck" in the pipe diameter at the downstream connection of these improved mainline reaches. Finally, if the mainlines are upsized in the fl.at reaches while simply maintaining the fl.at existing profile grades there is an increased risk of not achieving self-cleansing velocities (2 FPS minimum) in the sewer mainlines and thus the apparent existing d/D deficiency issue could simply be traded for a potential clogging issue. The clogging could occur due to the settling out of solids due to a lack of self-cleansing velocities, which could actually require more attention (regular maintenance/jetting similar to siphon locations) than just allowing for an occasional surcharging in these sewer mains. Parallel Sewer Alignment Alternative: Again a review of the existing sewer record drawings revealed that one out of the five Master Plan upsizing locations appear to be driven, at least in part, by a true over capacity issue (not just a fl.at slope). This appears to apply at Location 4, Palos Verdes Drive South from Schooner Drive to Conqueror Drive, where an existing 8" sewer from Conqueror Drive confluences with an existing 10" sewer from Palos Verdes Drive South. Since the existing 8" mainline profile in this reach has profile grades in the S = 2.64% to 5.5% range, there is an increased likelihood that this 8" sewer would be adequate if the 10" sewer was not being confluence into it at Conqueror Drive. This suggests that the investigation is warranted to determine the feasibility of a parallel sewer in the frontage road adjacent to Palos Verdes Drive South from Schooner Drive to Conqueror Drive. Harris has successfully utilized this parallel sewer installation approach Photo 3: Proposed sewer improvements (shown in red) location along Easement behind / south of Silver Spur Road adjacent to the natural creek. Note that the green portion of this alignment appears to have adequate capacity due to having a steeper profile grade. on many similar sewer capacity improvement projects, most recently on separate City of Anaheim projects along La Palma Avenue and along Ball Road. Hotris £, 1\ssociotes I Projec1 /',pprooch G-40 4 The advantages of considering the installation of a parallel sewer line instead of simply upsizing the existing sewer main include: Reduces construction costs by avoiding the removal of the existing 8" VCP sewer and having to reconnect 20 existing sewer laterals. Reduces construction costs by allowing the reduction in size of the new parallel sewer line reducing it to say a 12" diameter rather than the 15" or 18"upsizing suggested in the Master Plan (note both sizes are actually recommended in various charts in the master plan I RFP). Eliminates the need for a temporary sewer bypass system, since the existing sewer main remains in service while the parallel is being constructed, and thus saves on related bypass system costs, reduces public inconvenience and eliminates the risks associated with bypass operations. Note adequate room exists to fit a parallel new sewer in the frontage road if this alternative is found feasible/desirable. Minimizes traffic control impacts since there will be no sewer lateral trench cuts or slowing of the mainline pipe installation to make lateral connections. The new parallel line can ideally be placed in a location closest to the frontage road median curb where it would least affect access to residential driveways while allowing a through-lane of travel at all times. Trenchless Sewer Upsizing Installation Alternative: Consideration will also be given to the feasibility of utilizing trenchless sewer upsizing methods, such as pipe bursting of the existing VCP sewer mainlines (see Exhibit A). Harris &Associates is ranked 22nd in Trenchless Technology magazine's Top 50 Design Firms for 2013. Harris has been a leader in trenchless technology since 1990. Pipe bursting is a proven trenchless method for upsizing existing sewer pipelines in the diameter ranges this project requires (upsizing from an 8" to 15" diameter pipe is successfully achieved on a regular basis). The advantages of utilizing a trenchless installation method such as pipe bursting instead of traditional open trench installation include: Reduces construction costs (approximately 30% to 50% less per linear foot) Reduces traffic control impacts (less open trench in the street) Reduces negative impacts to existing AC pavement (keeps more AC pavement intact, Exhibit A: Trenchless Pipeline Upsizing via "Pipe Bursting" which was noted to be in very good shape at all of the project locations, see previous photos 1 - 6 that illustrate the existing good roadway pavement conditions) Pipe Bursting could be especially attractive at location # 3 in the easement behind Silver Spur where access adjacent to the natural canyon could be limited and there are apparently (per record plans) no lateral connections to reinstate Horris & Msociates I Project Approach G-41 Directional drilling or other trenchless new pipe installation method could be especially attractive at location # 4 if a parallel sewer is to be constructed in the frontage road adjacent to Palos Verdes Drive South from Schooner Drive to Conqueror Drive since there will be no lateral connections to reinstate and thus a minimal amount of trenching limited to only the launching and receiving pits Note: Reinstating sewer lateral service connections, as part of the pipe bursting upsizing method, is not a limiting factor and is done with ease via open trenching of a localized access pit at each lateral connection location. These access pits are excavated at each lateral in advance of the pipe bursting installation so that temporary bypass lines can be installed and temporary lateral connections can be reinstated immediately the same day and then followed up with permanent lateral connections shortly thereafter. Further, the pipe bursting technology has improved significantly in recent years such that pneumatic air driven cracking cones are now used, instead of expandable/retractable claws, which results in a less explosive, less impactful installation that is safer for adjacent utilities, suitable for a wider range of soil conditions and is more flexible for use in shallower installation applications than the older now outdated pipe bursting methodologies. County of Los Angeles Department of Public Works (LADPW) Approval: The design criteria, material specifications, applicable general notes and plan preparation formatting must all be prepared in accordance with LADPW's standards since LAD PW must approve the plans. This is the case so that LADPW can ultimately maintain the sewer lines for the City in the future. Harris has recently gone through this process when we prepared sewer plans for the City of Rancho Palos Verdes in the shoulder adjacent to the Palos Verdes Drive East switchbacks as part of the San Ramon Canyon Drainage Improvement process. These plans also required LADPW's approval and were generally prepared to LADPW's standards. Consideration will be given to ways to reduce impacts to traffic (vehicles, bicycles and pedestrians) including: • PVDS -adjacent to Abalone Cove Shoreline Park (see photo 6): this is the location worst traffic control conditions (besides the 10" line work in PVDS· at Conqueror Drive, see photo 5), however with a raised median divider and the sewer line being mostly in the curbside lane the southeast bound traffic in PVDS 5 Harris & Associotes I Project Approach G-42 6 can effectively be contained within the median- side lane with minimum impacts anticipated given the relatively low number of vehicles that use this roadway. • Bicycle Detour and Pedestrian Emphasis: Special emphasis will be given to bicycle detour and pedestrian detours where applicable, especially where there is heavy bike and pedestrian usage as along PVDS (see photo 6). • Abalone Cove Shoreline Park Access: Access will be maintained at all times to Abalone Cove Shoreline Park (see photo 7). • Fire Station# 53 Emergency Access: Emergency access to the existing Fire Station #53 will be maintained at all times (see photo 8). Photo 7: Access will be maintained at all times to Abalone Cove Shoreline Park. • Crestwood School Impacts: Impacts to Crestwood School adjacent to West General Street will be minimized by setting allowable working hours that are most compatible with the school's pick up and drop off times (see previous photo 1). • Impacts to Residential Access: Impacts to residential access will be minimized via detailed requirements in the special provisions (see previous photos 1, 2 & 4) and potentially through innovative construction methods such as trenchless installation and/or parallel line installation and by working in the easement behind the residences. Additional Design Considerations: Some additional design considerations that were noted when reviewing the record plans and visiting the project sites include: • Addressing Existing Perpendicular Storm Drain Crossings: It was noted on the record plans that there are numerous existing perpendicular storm drain crossings that must be addressed to make sure adequate clearances are maintained when upsizing (and potentially re-profiling) the sewer mainlines that are in conformance with the Health Department requirements. This also includes addressing existing concrete bedding/blankets that were installed between the existing sewer and storm drain pipes so that the contractor has no grounds to claim extra compensation for "unforeseen" conditions during construction. • Addressing Existing Pipe "Cradle" under the General Street Sewer: It was noted on the record plans that the existing sewer line installation in West General Street was made in canyon fill and a pipe "cradle" was installed under the existing 8" sewer to avoid future settlement. The existence of this cradle will be noted on the plans to make the contractor aware of any potential related additional efforts that may be required. Also as part of the geotechnical report, the Harris team will investigate whether a cradle should continue to be considered for the upsized Photo 8: Emergency access to the existing Fire Station # 53 will be maintained at all times. sewer line as well, or whether the potential for foture settlement is no longer an issue due to the time elapsed since the canyon was filled. This is primarily because the proposed sewer alignments will not vary significantly from the existing alignments or vary from their original functional purpose and will remain in previously disturbed roadway and sewer easement areas. Thus it is assumed that Harris will assist City staff with the required environmental forms and check lists that would be required for the anticipated Categorical Exemption finding. 7 Horris & Associates I Project Approach G-44 8 SCOPE OF SERVICES AND SCHEDULE The Harris &Associates team Scope of Services for the City of Rancho Palos Verdes Five Sewer Design Project is divided into three phases incorporating several specific sub-tasks. The first phase of work consists of data gathering via research and field investigation. The second phase of work includes the development of preliminary design recommendations and the preparation of construction documents for the identified improvements. The final phase includes engineering support during bidding and construction. Not shown in each work task, but included in the project scope, are project management and coordination of the work with the City and other affected parties. Scope of Services The proposed scope of services is detailed as follows: Phase 1 ·Research and hrncstigation A. Kick·Dff Meeting The project will commence with a kick-off meeting with City staff. The purpose of the project, desired objectives and potential alternatives will be discussed. The project schedule will be reviewed and lines of communication will be established. B. Review Existing Documents The existing Master Plan, video inspections, and record plans will be thoroughly reviewed and documented as appropriate. C. Utility Coordination As-built plans and/or atlas sheets for all the utilities in the vicinity will be obtained. Field reviews will also be conducted to confirm locations of existing utilities. D. Field Surveys (KDM Meridian) Harris will utilize subconsultant KDM Meridian to obtain a field survey, consisting of curb-to-curb topography, manhole rim and invert elevations, (including the sewer manholes one segment beyond each terminal point of the repair reach) and additional finished surface shots along the center line of the existing pipe. F~om these we will produce 1"=20'base sheets and show underground utility lines as necessary in the project area. Right-of-way lines will be shown :from the City records and AP maps. E. CCTV Review & Optional Additional CCTV Inspection (Downstream Services) Harris will conduct detailed reviews of available City-provided existing CCTV reports and videos to verify the condition of existing sewer facilities and the location of all laterals. This review will also be used to confirm the identified condition of the existing sewer locations where a potential parallel sewer might be contemplated to confirm whether any rehabilitation to the existing line might be required. The City's Sewer Master Plan indicates that existing CCTV inspections were not available for locations 1, 4 & 5, (L = 3,685' +/-)thus if the City staff opts to include this service, then DownStream Services, Inc., Harris' sub- consultant, may perform CCTV inspection at the selected locations and provide written summaries and DVD of their findings. Cleaning (3 passes) has also been provided as a separate optional line item in case the City has recently cleaned the sewer lines and thus does not require them to be cleaned. Geotechnical Investigation (LOR Geotechnical) LOR Geotechnical, Harris' sub-consultant, will perform eleven (11) coring I borings to 15' depth,+/-5' below the existing sewer inverts, lab testing, and analysis. A report will confirm the suitability of the proposed construction methods, groundwater, shoring requirements (soil parameters for contractor's use in designing the open trench shoring) and other soil parameters for the sewer design as required. Note no pavement replacement sections are included since it is assumed that the proposed pavement sections will likely be 1-inch thicker than the existing section noted in LO R's cores. Preliminary Design A preliminary design will be prepared to identify the proposed approach for completing the design of each sewer improvement location. The preliminary design investigation will include the following: A summary of each project location defining current deficiencies, and recommended alternatives for resolving the deficiencies of the existing sewers. Analysis of potential alternatives including feasibility, construction impacts, and costs. 50% preliminary drawings of the recommended improvements. Once the preliminary engineering and recommended approaches are approved by City staff, the :final engineering will advance and refine the concepts developed in the preliminary design phase, to completion of the :final construction documents. The work will include detailed construction plans, specifications, and cost estimates for the project, suitable for bidding purposes. B. Optional Utility Potholing (C-Below) C-Below, Harris' sub-consultant, will perform up to ten (10) utility potholes at critical utility crossing locations where either the upsizing of the sewer pipe or the re-profiling of the sewer pipe comes close to the existing utility and/or its concrete back:fill/bedding. Cold patch AC will be used to resurface the core holes. C. Construction Drawings Construction drawings will be developed to the 90% and 100% levels for City and LACDPW's review. The plans will be prepared using LACDPW's standard title block in AutoCAD format. The anticipated list of drawings is as follows: 1. One (1) Title Sheet with Project Index Map, sheet index, etc. 2. One (1) General Notes, LACDPW Notes, Symbols and Abbreviations Sheet, if required 3. One (1) typical sections & details sheet (combine with notes sheet, if possible) 4. Up to ten (10) sewer improvement plan and profile sheets (1" = 20' scale) 5. Up to six (6) traffic control plan sheets (1" = 40' scale) Total= up to nineteen (19) sheets D. Technical Specifications Special provisions, in "Green Book format," in conformance with LACDPW requirements, describing the project related issues and the technical requirements., including bypass pumping requirements, will be prepared. A bid schedule will also be prepared which will be broken out into sufficiently detailed tasks to assist in evaluating the bids and preparing progress payments. City furnished front end contract and insurance documents, as well as a reduced set of drawings will be included to complete the specification package. The work will be submitted on a CD in Microsoft Word format. E. Engineer's Opinion of Probable Construction Costs A detailed engineer's opinion of probable construction costs will be developed for each plan submittal to the City and LACDPW. The estimates will incorporate price quotes from equipment vendors, will reflect the most recent trends in construction pricing and will also include a bypass pumping bid item. F. Deliverables Harris will prepare the previously detailed contract documents, including bid proposals, specifications, special provisions, and :final engineer's construction cost estimate. All drawings will be provided in AutoCAD format upon completion of the project. Harris will also provide to the City complete signed and sealed plans plotted in ink, on Mylar film, on the City's approved standard size sheets, with the City's standard title block. Relevant Experience City of Rancho Palos Verdes, Palos Verdes Drive East (PVDE) Switchback Sewer Relocation Project. Project Manager. Harris prepared PS&E for the relocation of approximately 620 lineal feel of 8" sewer adjacent to the lower PVD E switchback and the westerly San Ramon Canyon slope. This included grading and interim storm drain energy dissipation improvements (rip rap placement and erosion backfill) to address the erosion within the adjacent area to the PVDE lower switchback from the drainage system that outlets above the upper switchback. The realigned sewer was constructed as close to the lower switchback roadway as feasible in a shallow vertical alignment that was compatible with the potential future stabilization measures consisting of a caisson wall with a grade beam and tieback anchors. The sewer relocation also cleared the path for the ultimate San Ramon Canyon Drainage Improvements and Tarapaca landslide stabilization. Garden Grove Sanitary District, Sewer Improvements -Projects 20, 21, 22 & 23. Project Manager. Prepared PS&E construction documents for the master plan facilities CIP Projects 20, 21, 22 and 23. The project included sewer upsizing to 15-inch and 12-inch VCP sewer mains. Harris proposed an innovative alignment through an apartment alley to reduce the total pipe length required and increase the pipe slope, which also required a permanent sewer easement. A utility detection survey was utilized to avoid utility conflicts in advance and the new sewer was strategically placed to increase the separation from a parallel 33-inch high pressure gas line to maximize both short-term and long-term safety. Additionally two large storm drain crossings created the need for special sewer crossing details and permission from the Orange County Flood Control District. City of Anaheim, Group 3 Sanitary Sewer Improvements -Project 2 (Model 7). Project Manager. Solutions included removal and replacement and a parallel sewer. One major highlight worth noting is Harris' innovative designs for the Phase I sewer improvements on La Palma Avenue resulted in EDUCATION BS, Civil Engineering REGISTRATION Professional Engineer, CA Harris E, /1ssocia1es I Projec1 Team G-51 approximately $1 million savings in construction costs compared with the original master plan recommendation. Specifically, an existing 24" VCP trunk sewer, which needed to be upsized to a 30" VCP, was found to be in good condition in the CCTV video and through the innovative combination of two upstream diversions and the construction of 1,000' of parallel 12" VCP sewer, the necessary capacity was added. This approach avoided removal of as much as 2,800' of 24" VCP, the costly construction of 2,800' of 30" VCP, and the related expensive temporary trunk sewer bypass and traffic control. City of Fullerton, Riverside Avenue/Raymond Avenue Sewer Rehabilitation. Project Manager. Prepared PS&E construction documents to upgrade the existing 6" VCP sewer mains to 8" PVC lines. Also included in the rehabilitation was upgrade of the existing 8"VCP sewer mains to 10"VCP sewer mains. The street (and alley) rehabilitation design included a "component analysis" pavement evaluation by a subconsultant, which produced an AC pavement "dig-out" replacement section. City of Fullerton, Sewer Improvements at Carhart, Valley View, Johnson, Stephen and Fern Drives. Project Manager. Harris prepared PS&E construction documents to upgrade the existing 6" VCP sewer mains to 8" PVC lines in five project streets. The construction cost is estimated at $1 million. City of Anaheim, Citywide Sanitary Sewer Improvement Project (CS SIP )-Group 4 -Project# 2 -Cerritos Ave. Project Manager. Scope included preparation of PS&E construction documents using the sewer master plan recommendations as a starting point to address deficiencies and add needed additional capacity to the system for both existing and future built-out conditions. Scope also included removal and replacement and a significant diversion from an outside sewer model area as an "added value" with no change in the total project fee to the City. City of Pomona, Ganesha Hills Sewer Rehabilitation Study, Phase IL Project Director. The area included over 50 residential streets and the existing sewer Horr is & Associates I Project 1 eom system consisted of approximately 45,000 LF of mainlines, with diameters ranging from 6-inches to 12-inches, and approximately 800 service laterals, 150 manholes and 50 mainline cleanouts. Although a host of other possible "trenchless" repair methods were considered, such as pipe bursting, pipe reaming, deformed/reformed pipe, chemical grouting they were deemed as not applicable given the encountered conditions. City of Bakersfield, Goiford Road Sewer Rehabilitation -Preliminary Study Phase and Final Design. Project Manager. In the study phase Harris provided video inspection, two fl.ow meter measurements and prepared a detailed project report for the rehabilitation of 2.2 miles of 42- inch concrete sanitary sewer. Harris ultimately recommended a cured-in-place liner rehabilitation along with manhole lining and new manhole construction. The design phase consisted of the preparation of plans, specifications, and estimates for the subject Gosford Road Sewer Rehabilitation, from McCutchen Road to District Boulevard. The construction documents detailed the lining of the pipe with a cured-in-place pipe liner and air placed lining the manholes, as well as providing details to address the significant temporary traffic control and sewer bypass system. City of Bakersfield, Brundage Lane Sewer Rehabilitation -Preliminary Study. Project Manager. Completed the preliminary engineering services and project report for the rehabilitation of the Brundage Lane sanitary sewer, from the upstream intersection of Brundage Lane and Cottonwood Roa~, easterly for approximately one mile, to the intersection of Brundage Lane and Mount Vernon Avenue. The existing sewer line was a 42-inch diameter cast- in-place reinforced concrete pipe constructed in 1912. The purpose of the study was to determine the structural integrity and physical condition of the existing sewer line and provide appropriate alternatives for the rehabilitation or replacement of the pipeline. The investigation also included a review of city supplied reference documents, field investigation of the site and a detailed CCTV inspection of the entire pipeline reach performed by Video Inspection Specialists (VIS). The re- construction recommendation that was ultimately decided upon resulted in a construction cost estimate of $3.3 million 15 G-52 16 Ehab Gerges, PE, QSD Prniect Director ' Mr. Gerges has over 24 years of professional consulting experience in public works. He has managed and designed a wide variety of public infrastructure projects throughout Southern California including transportation, waste water and water resource. He has also been responsible for the preparation of studies and master plan reports for sewer, water, and drainage infrastructures. His experience encompassed several project delivery methods including design-bid-build and design-build. City of Palm Springs, T13257 Sewer Replacement Project. Project Director. The project involved the design of approximately 3,200 feet of new eight-inch VCP sewer main, laterals, and 72 building sewer connections within a recently annexed existing residential subdivision on septic. The project includes abandonment of septic disposal systems that were contributing to groundwater contamination. One of the challenges that faced the project was the budget. Community Development Block Grant (CDBG) Construction funding fell substantially short of the estimated cost presented in the project's alignment study prepared by the City. The Harris approach recognized that an alternate to the predesign alignment was required to overcome underground conflicts identified by Harris, and to overcome the identified budget constraints. Harris was selected based on the approach, and the design was approved within the CDBG funding deadlines with minimal city comments using the proposed alignment alternative developed in the Harris proposal. The bid on Phases 1 and 2 of this 4 phase project came within 1 % of the cost estimate. Construction is nearly complete on these phases with no change orders. EDUCATION BS, Civil Engineering REGISTRATION Professional Engineer, CA CERTIFICATIDtJ Qualified SWPPP Developer /Practitioner, California Stormwater Quality Association Horr is & Associates I Projeci 1 eom G-53 City of Arvin, Sanitary Sewer Management Plan (SSMP) Services. Project Director. The Harris team responsible for the City's Sanitary Sewer Management Plan which included directing the metering and inspection subconsultants, sewer model development and system analysis, directing in-house technical staff, and quality control of the deliverables. Based on analyzed trends, the current population of 16,675 is expected to grow to 26,332 in 2030. The project entailed the inspection and assessment of a sanitary sewer lift station and the preparation of a System Evaluation and Capacity Assurance Plan (SECAP). The SECAP included sanitary sewer flow metering at seven locations, creation of a system model using Sewer GEMS, software, assessment of the 35 miles of existing pipelines between six and 18-inches in diameter, and preparation of a $38,000,000 CIP Capital Improvement Program spread over 20 years to expand and address system deficiencies. City of Coronado, Margarita Avenue Sewer and Roadway Rehabilitation. Project Manager. The street was lined with mature large canary island pine trees which the residents love. The project replaced 1200 L.F. ofVCP sewer with PVC sewer main. The project was designed with gutter plates and root barriers to slow future root growth. The root intrusion contributed to the severe sewer main damage, pavement alligator and transverse cracking. Harris consulted with experts in the arborist field and found a chance to save trees by doing the work when the trees are dormant and employing a program of selective pruning and root training. Harris prepared construction documents that required the contractor to have an arborist on staff and to cover the exposed roots with wet soil overnight. Our services included conducting a geotechnical investigation, field survey field review arborist review and community meetings. We also prepared PS&E for the pavement rehabilitation and sewer replacement. City of Cathedral City, Dream Homes Sanitary Sewer/Water Improvements Assessment District. Project Manager. Preparation of a sewer study and construction documents. This project included Horris &, Associates I P1 ojec1 l eom the construction of a sanitary sewer system, approximately 26,280 linear feet oflocal gravity 8-inch to 12-inch trunk sewer, manholes, related facilities, and laterals connecting individual parcels to the sewer system. The sewer study included review and analysis of the City of Palm Springs Sewer Master Plan. The study determined the sewage flows generated by the assessment district and evaluated the existing capacity of the existing sewer trunk down stream to the treatment plant. Harris also assisted the City in developing and implementing a public outreach campaign during the design. The total construction cost was approximately $9 million. Vallecitos Water District, Linda Vista East Sewer Project. Project Director. This project consisted of the upsizing and realignment of approximately 3,400 feet of surcharging 8" VCP sewer main and 14 manholes with 12"to 15"PVC trunk sewer. Harris services included preparation of PS&E, environmental permitting, Caltrans permitting, preparation of easements, and coordination with adjacent development project, Grand Avenue drainage improvement project, and local businesses impacted by the project. The Harris team isolated the myriad of project challenges into six independent reaches where decisions could be made on each, creating one holistic solution. Challenges included high volume traffic through multiple intersections, congested utility corridors, multiple storm drain crossings, major state highway crossing, requiring Caltrans permitting, easement acquisition, sewer flow bypassing, lateral reconnections, and high groundwater through transmissive s9ils, all while maintaining sewer service. The project team prepared an alternative analysis to address the above challenges. Solutions included four trenchless trunk sewer crossings and multiple trenchless lateral crossings, with the longest across the SR78 Freeway. Based on Harris' internal constructability review, tunneling was specified for the shorter crossings, with Bore and Jack methods for the more challenging crossings. The water line provides reclaimed water to several power substations along its alignment, which saves the community approximately 30-40% in overall water spending, as potable water is not being used. Working within a narrow corridor. Harris was granted a very narrow corridor to work with. Harris successfully overcame this project challenge by locating existing underground utilities by way of electronic detection, a method which provides accuracy within 10%. The Harris team worked closely with City staff in order to work around several high-pressure and fiber optic utility lines, as relocating these utilities would have been very costly for the City. Innovative problem solving. One of the challenges on this project was installing the water line through a substation with an electrical power grid located in the ground. Our solution involved placing the water line inside a HDPE sleeve with fused joints, thus making the sleeve essentially seamless to avoid any fire hazard as a result of water leakage. Accommodating budget constraints. With the very limited project budget the City was granted, Harris designed the shortest possible alignment in order to keep costs to a minimum. Consultant acknowledges that the project as defined in this Agreement between Consultant and the City, to which this Terms for Compliance with California Labor Law Requirements is attached and incorporated by reference, is a "public work" as defined in Division 2, Part 7, Chapter 1 (commencing with Section 1720) of the California Labor Code ("Chapter 1 "). Further, Consultant acknowledges that this Agreement is subject to (a) Chapter 1, including without limitation Labor Code Section 1771 and (b) the rules and regulations established by the Director of Industrial Relations ("DIR") implementing such statutes. Consultant shall perform all work on the project as a public work. Consultant shall comply with and be bound by all the terms, rules and regulations described in 1(a) and 1(b) as though set forth in full herein. 2. California law requires the inclusion of specific Labor Code provisions in certain contracts. The inclusion of such specific provisions below, whether or not required by California law, does not alter the meaning or scope of Section 1 above. 3. Pursuant to Labor Code Section 1773.2, copies of the prevailing rate of per diem wages for each craft, classification, or type of worker needed to perform the Agreement are on file at City Hall and will be made available to any interested party on request. Consultant acknowledges receipt of a copy of the DIR determination of such prevailing rate of per diem wages, and Consultant shall post such rates at each job site covered by this Agreement. 4. Consultant shall comply with and be bound by the provisions of Labor Code Sections 177 4 and 1775 concerning the payment of prevailing rates of wages to workers and the penalties for failure to pay prevailing wages. The Consultant shall, as a penalty to the City, forfeit two hundred dollars ($200) for each calendar day, or portion thereof, for each worker paid less than the prevailing rates as determined by the DIR for the work or craft in which the worker is employed for any public work done pursuant to this Agreement by Consultant or by any subcontractor. 5. Consultant shall comply with and be bound by the provisions of Labor Code Section 1776, which requires Consultant and each subcontractor to: keep accurate payroll records and verify such records in writing under penalty of perjury, as specified in Section 1776; certify and make such payroll records available for inspection as provided by Section 1776; and inform the City of the location of the records. 6. Consultant shall comply with and be bound by the provisions of Labor Code Sections 1777.5, 1777.6 and 1777.7 and California Administrative Code title 8, section 200 et seq. concerning the employment of apprentices on public works projects. Consultant shall be responsible for compliance with these aforementioned Sections for all apprenticeable occupations. Prior to commencing work under this Agreement, Consultant shall provide City with a copy of the information submitted to any applicable apprenticeship program. Within sixty (60) days after concluding work pursuant to this Agreement, Consultant and each of its subcontractors shall submit to the City a verified statement of the journeyman and apprentice hours performed under this Agreement. 7. Consultant acknowledges that eight (8) hours labor constitutes a legal day's work. Consultant shall comply with and be bound by Labor Code Section 1810. Consultant shall comply with and be bound by the provisions of Labor Code Section 1813 concerning penalties for workers who work excess hours. The Consultant shall, as a penalty to the City, forfeit twenty-five dollars ($25) for each worker employed in the Exhibit "C" R6876-0001\1683788v3.doc Agreement for Design Professional Services G-68 performance of this Agreement by the Consultant or by any subcontractor for each calendar day during which such worker is required or permitted to work more than eight (8) hours in any one (1) calendar day and forty (40) hours in any one calendar week in violation of the provisions of Division 2, Part 7, Chapter 1, Article 3 of the Labor Code. Pursuant to Labor Code section 1815, work performed by employees of Consultant in excess of 8 hours per day, and 40 hours during any one week shall be permitted upon public work upon compensation for all hours worked in excess of 8 hours per day at not less than 11/2 times the basic rate of pay. 8. California Labor Code Sections 1860 and 3700 provide that every employer will be required to secure the payment of compensation to its employees. In accordance with the provisions of California Labor Code Section 1861, Consultant hereby certifies as follows: "I am aware of the provisions of Section 3700 of the Labor Code which require every employer to be insured against liability for workers' compensation or to undertake self-insurance in accordance with the provisions of that code, and I will comply with such provisions before commencing the performance of the work of this contract." 9. For every subcontractor who will perform work on the project, Consultant shall be responsible for such subcontractor's compliance with Chapter 1 and Labor Code Sections 1860 and 3700, and Consultant shall include in the written contract between it and each subcontractor a copy of those statutory provisions and a requirement that each subcontractor shall comply with those statutory provisions. Consultant shall be required to take all actions necessary to enforce such contractual provisions and ensure subcontractor's compliance, including without limitation, conducting a periodic review of the certified payroll records of the subcontractor and upon becoming aware of the failure of the subcontractor to pay his or her workers the specified prevailing rate of wages. Consultant shall diligently take corrective action to halt or rectify any failure. 10. To the maximum extent permitted by law, Consultant shall indemnify, hold harmless and defend (at Consultant's expense with counsel reasonably acceptable to the City) the City, its officials, officers, employees, agents and independent contractors serving in the role of City officials, and volunteers from and against any demand or claim for damages, compensation, fines, penalties or other amounts arising out of or incidental to any acts or omissions listed above by any person or entity (including Consultant, its subcontractors, and each of their officials, officers, employees and agents) in connection with any work undertaken or in connection with the Agreement, including without limitation the payment of all consequential damages, attorneys' fees, and other related costs and expenses. All duties of Consultant under this Section shall survive termination of the Agreement.
