Attachment FATTACHMENT F 503 MEMORANDUM TO: HONORABLE MAYOR AND CITY COUNCIL MEMBERS FROM: MICHAEL THRONE, P.E., DIRECTOR OF PUBLIC WORKS/," k) DATE: NOVEMBER 18, 2014 SUBJECT: AWARD ENGINEERING DESIGN AND CONSTRUCTION MANAGEMENT CONTRACT FOR SUNNYSIDE RIDGE TRAIL IMPROVEMENT PROJECT (SUPPORTS 2014 CITY COUNCIL GOAL, CITY TRAIL SYSTEM ENHANCEMENT) REVIEWED: CAROLYNN PETRO, ACTING CITY MANAGER® Project Manager: Siamak Motahari RECOMMENDATION Award a Professional Services Agreement for the Sunnyside Ridge Trail Improvement project to KOA Corporation to provide design development services, public outreach; geotechnical, structural, and civil engineering; landscape architecture and design; and construction management and oversight for an amount not to exceed $140,450. BACKGROUND The Sunnyside Ridge Trail is a segment of the Palos Verdes Loop Trail that serves as a point-to-point trail for pedestrians and equestrians. This trail provides a sought out connection within an existing recorded, but unimproved, trail easement between Sunnyside Ridge Road and the Conestoga Trail (A-29) on Palos Verdes Drive East, which connects to recreational facilities in the City of Rolling Hills Estates (as shown on the attached map). On May 20, 2014 (and affirmed on July 15, 2014), the City Council directed that the Public Works and Community Development Departments should ensure that the neighborhood residents and interested groups are included in the development and design of the trail. Given this, public outreach during design development has been considered a significant element of this project from the beginning and City staff intends to engage the neighborhood residents (including the two property owners adjacent to the trail easement) and interested parties to participate and give their input to the design consultant during the 504 Sunnyside Ridge Trail Project November 18, 2014 development and design phase. DISCUSSION Sunnyside Trail segment is situated in a location where several engineering challenges exist. The first portion of the trail that starts at Sunnyside Ridge Road is within a 10 -foot easement that slopes between the two adjacent properties and will require some form of retaining structures both at the downhill and uphill sides. This necessitates a geotechnical engineering investigation to provide soil parameters for a safe structural design. The structure may need deep footings to support the walls. Railings and fences will be installed to create a screen and safety railing for the adjacent properties. Additionally, the retaining wall and screening will be landscaped to create a softer aesthetic appearance. The 10 -foot easement widens behind the uphill parcel and covers a portion of a steep sloped canyon. In this area the trail will be constructed as switchbacks for safe passage of pedestrians and equestrians. This area requires a civil engineering design for drainage and short retaining walls (landscape timbers where possible) to support the trail. At the bottom of the canyon, installation of a bridge is necessary for safe passage of pedestrians and equestrians, which in turn requires a soil investigation to provide parameters for the design of the bridge footings and abutments. After the bridge, the switchbacks will continue uphill to reach to Palos Verdes Drive East (PVDE) and connect to the Conestoga roadside trail, which is in the preliminary design phase (as part of the PVDE roadway improvement project and anticipated to be completed prior to completion of this project). Consultants' Proposals In order to expedite the consultant selection process, proposals were requested from two highly qualified firms whom the City has approved `On-call' contracts with. The two firms (Willdan Engineering and KOA Corporation) are both qualified to provide the engineering services in the fields of geotechnical, civil and structural, in addition to landscape architecture design and construction management through in-house staff and sub - consultants. The project site's limited access, combined with a steep topography, create a challenge for constructing the retaining walls, the bridge, and other elements of this trail project. The various design aspects of geotechnical, structural, civil engineering and landscape architecture included in this multifaceted project will need daily oversight and inspections for safety and best management practices during construction. Therefore, construction management and oversight services were added to the consultant's scope of work. Willdan Engineering proposed a fee of $321,643 to provide these professional services and KOA Corporation proposed a fee of $140,540 (please see the attached proposals with fee breakdowns). Since both firms are qualified to do this work, KOA Corporation is recommended based on the proposal they submitted, as described below, and their successful involvement in the recently completed San Ramon Storm Drain, Abalone Cove Shoreline Park projects, and the Ryan Park Southern Entrance Realignment and Parking 505 Sunnyside Ridge Trail Project November 18, 2014 Lot Expansion project, which is near completion. KOA Corporation's Specific Experience Applicable to the Sunnyside Trail Project KOA Corporation is currently completing the development of a project study report (PSR) for design of a County of Los Angeles project to construct a new bike trail along the Los Angeles River. KOA is responsible for the design of the preferred and alternative alignment of the trail, including river crossings and box -culvert tunnels. This project includes two bridges to be designed across the Los Angeles River with 40 and 150 feet lengths, for which KOA has proposed single span pre -fabricated lattice type bridges. On a separate project, KOA has also recently completed the construction management and oversight of the Jessen Drive Bridge across a canyon in La Canada Flintridge. It was these projects that lead to the recommendation to select KOA as our Sunnyside Trail consultant. Summary of the Consultant's Services KOA Corporation will provide the following services: • Design Development in Collaboration with the Neighborhood and Interested Parties • Geotechnical Investigation • Structural Design • Civil Engineering and Drainage Design • Landscape Architecture Design • Preparation of Final Construction Plans, Specifications and Cost Estimate • Assist the City with Public Bidding • Construction Management, Oversight and Inspection Proiect Work Schedule • Public Outreach and Design Development: ...........................3 Months • Construction Plans and Specifications: .................................. 4 Months • Public Bidding Process and Award: .......................................2 Months • Construction: .......................................................................... 4 Months • Grant Closeout Documentation Submittal and Approval: ....... 4 Months Should the Council award the contract tonight, the trail is expected to be opened in December 2015. ALTERNATIVES The Council may direct staff to go through another round of selections through the Request for Qualifications (RFQ) process involving additional consultants. Staff does not recommend this alternative because the `on-call' consultants recommended for this project is highly qualified to do all aspects of this work and the lower proposed fee is reasonable and within industry standards. Processing another round of selections will delay the 506 Sunnyside Ridge Trail Project November 18, 2014 schedule by several months and may not necessarily yield better results. Public Correspondence On November 5t", 2014 Staff sent an email to the Sunnyside HOA and other interested groups advising them that the Staff Report requesting the award of contract to the project design consultant will be presented to the City Council tonight (please see attachment 3). Some members of the public responded to that email requesting the Council not to award the contract to the consultant and use volunteers to design the project (please see attachment 4). Staff believes that inviting these volunteers to the design development meetings and obtaining their input is appropriate and beneficial to the project as this approach was successfully used for the Abalone Cove Shoreline Park project. However, due to the liabilities inherent in the structural, geotechnical and civil engineering design elements of this public infrastructure, Staff recommends using experienced firms with adequate insurance policies and registered professional engineers for the preparation of construction plans and specifications for public bidding. FISCAL IMPACT On March 4, 2014, the Los Angeles County Board of Supervisors awarded the City a grant in the amount of $300,000 for the construction of the Sunnyside Ridge Trail Improvement project. This grant was accepted by the City Council on May 20th. The total project cost, which includes design and construction, is estimated at $465,000 with the balance of $165,000 to be funded with a General Fund contribution included in the FY 2014/15 CIP budget (Account No. 330-3033-461-73-00). The grant awarded to the City is on a cost reimbursement basis and expires on December 31, 2016. CONCLUSION The Council's action tonight will move this project forward to provide a pedestrian and equestrian connection between Sunnyside Ridge Road and the Conestoga Trail (A-29) on Palos Verdes Drive East, which connects to recreational facilities in the City of Rolling Hills Estates. E-mails received in response to Staff's e-mail. 507 ATTACHMENT 1 M: Sunnyside Ridge Trail Project November 18, 2014 PROJECT SITE MAP 509 ATTACHMENT 2 510 CITY OF RANCHO PALOS VERDES DESIGN PROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT ("Agreement") is made and entered into this 18th day of November 2014, by and between the City of Rancho Palos Verdes (hereinafter referred to as the "CITY") and KOA Corporation (hereafter referred to as "CONSULTANT"). IN CONSIDERATION of the covenants hereinafter set forth, the parties hereto agree as follows: ARTICLE 1 SCOPE OF SERVICES 1.1 Project Description The Project is described as follows: Sunnyside Trail Improvement Project. 1.2 Description of Services CONSULTANT shall provide professional services as described in the Consultant's proposal, which is attached hereto as Exhibit "A" and incorporated herein by this reference, and those services shall include but not be limited to: design development, including public outreach therefor; geotechnical, structural and civil engineering design; landscape architecture design; preparation of plans, specifications and cost estimate; assistance with the public bidding process; and construction management and oversight. In the event of any conflict between the terms of this Agreement and Exhibit "A," the terms of this Agreement shall control. CONSULTANT shall ensure that any and all landscaping on the Project uses drip irrigation systems and drought -resistant or xerophytic trees, plants, lawn and sod, unless CONSULTANT can show, and the CITY and the Los Angeles County Regional Park and Open Space District (the "District") both agree, that it is infeasible to do so. 1.3 Project in Accordance with Grant Application The City submitted an application (the "Application"), which is attached hereto as Exhibit "B" and incorporated herein by this reference, to the District. The Application was for the District's grant for the 2013 Competitive Trails Grant Program through Supervisor Don Knabe (the "Grant"). The Grant was approved pursuant to that Application, and thus the Grant is contingent on the Project being completed as stated in the Application. CONSULTANT shall at all times adhere to the Application. Should CONSULTANT require any modification or alteration of the Project from that which is written in Exhibit "B," CONSULTANT shall prepare a written submission to the CITY and the District for approval. Until both the CITY and the District approve such modifications or alterations, CONSULTANT shall continue to act in accordance with Exhibit "B." If and when CONSULTANT's modifications or alterations are approved by the CITY and the District, CONSULTANT shall continue to act in accordance with Exhibit "B," except as expressly modified or altered by that approval. In the event of any conflict between the terms of this Agreement and Exhibit "B," the terms of Exhibit "B" shall control. 511 1.4 Schedule of Work CONSULTANT shall adhere to the schedule included within Exhibit "A" unless both the CITY and CONSULTANT mutually agree upon extensions, and in any case, CONSULTANT shall comply with any schedule required by the Grant. Upon receipt of written Notice to Proceed from the CITY, CONSULTANT shall perform with due diligence the services requested by the CITY. Time is of the essence in this Agreement. CONSULTANT shall not be responsible for delay, nor shall CONSULTANT be responsible for damages or be in default or deemed to be in default by reason of strikes, lockouts, accidents, or acts of God, or the failure of CITY to furnish timely information or to approve or disapprove CONSULTANT's work promptly, or delay or faulty performance by CITY, other consultants or contractors not reporting to CONSULTANT, or governmental agencies, or any other delays beyond CONSULTANT's control or without CONSULTANT's fault. ARTICLE 2 COMPENSATION 2.1 Fee CITY agrees to compensate CONSULTANT an amount not to exceed One Hundred Forty Thousand Four Hundred Fifty dollars ($140,450) for services as described in Article 1. This Project is partially funded by the Grant. 2.2 Terms of Comaensation CONSULTANT shall submit monthly invoices for the percentage of work completed in the previous month. CITY agrees to authorize payment for all undisputed invoice amounts within thirty (30) days of receipt of each invoice. CITY agrees to use its best efforts to notify CONSULTANT of any disputed invoice amounts or claimed completion percentages within ten (10) days of the receipt of each invoice. However, CITY's failure to timely notify CONSULTANT of a disputed amount or claimed completion percentage shall not be deemed a waiver of CITY's right to challenge such amount or percentage. Additionally, in the event CITY fails to pay any undisputed amounts due CONSULTANT within forty-five (45) days after invoices are received by CITY then CITY agrees that CONSULTANT shall have the right to consider said default a total breach of this Agreement and be terminated by CONSULTANT without liability to CONSULTANT upon ten (10) working days advance written notice. 2.3 Disputed Expenditures The District may withhold a portion of the amount of reimbursement to the CITY, and in turn the CITY may withhold that same portion of the amount of compensation to the CONSULTANT, if, in the opinion of the District, an expenditure is not eligible under the terms and conditions of this Agreement, the Propositions, the Page 2 of 14 R6876-0001 \1 765734v2.doc Agreement for Design Professional Services 512 Application or the Procedural Guide. In such cases the District shall notify the CITY, and the CITY shall notify the CONSULTANT, of the amount of expenditures declared ineligible and the reason(s) for the ineligibility. CONSULTANT, within thirty (30) days of notification, may dispute the District's decision, in writing, to both the CITY and the District and provide records, documentation, or both to support its claim. The District shall review the information, documentation, or both provided and will notify the CITY, and the CITY will notify the CONSULTANT, of the District's final determination. If CONSULTANT fails to dispute the findings, in writing, within the thirty day period, then the CONSULTANT shall have waived its right to dispute the findings. If the CITY wishes to dispute the District's decision and requires records, documentation, or both from CONSULTANT therefor, CONSULTANT shall immediately produce such records, documentation, or both to the CITY. 2.4 Prevailing Wages CITY and CONSULTANT acknowledge that this project is a public work to which prevailing wages apply. The Terms for Compliance with California Labor Law Requirements is attached hereto as Exhibit "C" and incorporated herein by this reference. 2.5 Additional Services CITY may request additional specified work under this Agreement. All such work must be authorized in writing by the CITY's Director of Public Works prior to commencement. CONSULTANT shall perform such services, and CITY shall pay for such additional services in accordance with CONSULTANT's Hourly Billing Rates for Additional Work within Exhibit 'A," which in any case shall meet or exceed prevailing wage rates. The rates in Exhibit "A" shall be in effect through the end of this Agreement. 2.6 Term of Aareement This Agreement shall commence on November 18, 2014, and shall terminate on November 17, 2016, unless sooner terminated pursuant to Article 4 of this Agreement. ARTICLE 3 INDEMNIFICATION AND INSURANCE 3.1 Indemnification, Hold Harmless, and Duty to Defend (a) Indemnity for Design Professional Services. In connection with its design professional services and to the maximum extent permitted by law, CONSULTANT shall hold harmless and indemnify CITY, the District, and both of their officials, officers, employees, agents and independent contractors serving in the role of CITY or District officials, and designated volunteers (collectively, "Indemnitees"), with Page 3 of 14 R6876-0001 \1 765734v2.doc Agreement for Design Professional Services 513 respect to any and all claims, demands, causes of action, damages, injuries, liabilities, losses, costs or expenses, including reimbursement of attorneys' fees and costs of defense (collectively, "Claims" hereinafter), including but not limited to Claims relating to death or injury to any person and loss or damage to any property, which arise out of, are incident to, pertain to, or relate to in whole or in part to the negligence, recklessness, or willful misconduct of CONSULTANT or any of its officers, employees, subcontractors, subconsultants or agents in the performance of its design professional services under this Agreement. (b) Other Indemnities. In connection with any and all claims, demands, causes of action, damages, injuries, liabilities, losses, costs or expenses, including attorneys' fees and costs of defense (collectively, "Damages" hereinafter) not covered by Section 3.1(a), and to the maximum extent permitted by law, CONSULTANT shall defend, hold harmless and indemnify the Indemnitees with respect to any and all Damages, including but not limited to, Damages relating to death or injury to any person and injury to any property, which arise out of, pertain to, or relate to the acts or omissions of CONSULTANT or any of its officers, employees, subcontractors, subconsultants or agents in the performance of this Agreement, except for such loss or damage arising from the sole negligence or willful misconduct of the CITY or District, as determined by final arbitration or court decision or by the agreement of the parties. CONSULTANT shall defend Indemnitees in any action or actions filed in connection with any such Damages with counsel of CITY choice (if defending the CITY or Indemnitees from the CITY), District's choice (if defending Indemnitees from the District), and with counsel mutually chosen by the CITY and the District (if defending Indemnitees from both the CITY and the District), and shall pay all costs and expenses, including all attorneys' fees and experts' costs actually incurred in connection with such defense. Consultant's duty to defend pursuant to this Section 3.1(b) shall apply independent of any prior, concurrent or subsequent misconduct, negligent acts, errors or omissions of Indemnitees. (c) All duties of CONSULTANT under Section 3.1 shall survive termination of this Agreement. 3.2 General Liability CONSULTANT shall at all times during the term of the Agreement carry, maintain, and keep in full force and effect, a policy or policies of Commercial General Liability Insurance, with minimum limits of one million dollars ($1,000,000) for each occurrence and two million dollars ($2,000,000) general aggregate for bodily injury, death, loss or property damage for products or completed operations and any and all other activities undertaken by CONSULTANT in the performance of this Agreement. Said policy or policies shall be issued by an insurer admitted or authorized to do business in the State of California and rated in A.M. Best's Insurance Guide with a rating of A:VII or better. Page 4 of 14 R6876-0001 \1 765734v2.doc Agreement for Design Professional Services 514 3.3 Professional Liability CONSULTANT shall at all times during the term of this Agreement, carry, maintain, and keep in full force and effect a policy or policies of professional liability insurance with a minimum limit of one million dollars ($1,000,000) per claim and aggregate for errors and/or omissions of CONSULTANT in the performance of this Agreement. Said policy or policies shall be issued by an insurer admitted or authorized to do business in the State of California and rated in Best's Insurance Guide with a rating of A:VII or better. If a "claims made" policy is provided, such policy shall be maintained in effect from the date of performance of work or services on the CITY's behalf until three (3) years after the date of work or services are accepted as completed. Coverage for the post -completion period may be provided by renewal or replacement of the policy for each of the three (3) years or by a three-year extended reporting period endorsement, which reinstates all limits for the extended reporting period. If any such policy and/or policies have a retroactive date, that date shall be no later than the date of first performance of work or services on behalf of the CITY. Renewal or replacement policies shall not allow for any advancement of such retroactive date. 3A Automobile Liability CONSULTANT shall at all times during the term of this Agreement obtain, maintain, and keep in full force and effect, a policy or policies of Automobile Liability Insurance, with minimum of one million dollars ($1,000,000) per claim and occurrence and two million dollars ($2,000,000) in the aggregate for bodily injuries or death of one person and five hundred thousand dollars ($500,000) for property damage arising from one incident. Said policy or policies shall be issued by an insurer admitted or authorized to do business in the State of California and rated in A.M. Best's Insurance Guide with a rating of A:VII or better. 3.5 Worker's Compensation CONSULTANT agrees to maintain in force at all times during the performance of work under this Agreement worker's compensation insurance as required by the law. CONSULTANT shall require any subcontractor and subconsultant similarly to provide such compensation insurance for their respective employees. 3.6 Notice of Cancellation (a) All insurance policies shall provide that the insurance coverage shall not be cancelled or modified by the insurance carrier without thirty (30) days prior written notice to CITY and District, which shall be sent to the addresses listed in Section 6.16 of this Agreement. Additionally, CONSULTANT shall provide immediate notice to the CITY and the District if CONSULTANT receives a cancellation or policy revision notice from the insurer. (b) CONSULTANT agrees that it will not cancel or reduce any required insurance coverage. CONSULTANT agrees that if it does not keep the aforesaid Page 5 of 14 R6876-0001 \1 765734v2.doc Agreement for Design Professional Services 515 insurance in full force and effect, the CITY may either immediately terminate this Agreement or, if insurance is available at a reasonable cost, the CITY may take out the necessary insurance and pay, at CONSULTANT's expense, the premium thereon. 3.7 Entire Policy and Certificate of Insurance At all times during the term of this Agreement, CONSULTANT shall maintain on file with the CITY Clerk both a copy of the entire policy and a certificate of insurance showing that the aforesaid policies are in effect in the required amounts. Additionally, the CONSULTANT shall instruct each insurance company to mail a copy of the insurance endorsement to the District at the address listed in Section 6.16 of this Agreement. The commercial general liability policy shall contain an endorsement naming the CITY, the District, and both of their officers, agents and employees as additional insureds. 3.8 Primary Coverage The insurance provided by CONSULTANT shall be primary to any coverage available to the CITY or the District. The insurance policies (other than workers compensation and professional liability) shall include provisions for waiver of subrogation. ARTICLE 4 TERMINATION 4.1 Termination of Agreement (a) The CITY may terminate this Agreement at any time, with or without cause, upon thirty (30) days prior written notice. Notice shall be deemed served if completed in compliance with Section 6.16. (b) If Grant funding for this Agreement is reduced or terminated and no other funding is available for continuation of this project, the City will not be obligated to continue funding for the services contained in this Agreement and may terminate the Agreement. (c) In the event of termination or cancellation of this Agreement by CONSULTANT or CITY due to no fault or failure of performance by CONSULTANT, CONSULTANT shall be paid compensation for all services performed by CONSULTANT, in an amount to be determined as follows: for work satisfactorily done in accordance with all of the terms and provisions of this Agreement as determined by the CITY, CONSULTANT shall be paid an amount equal to the percentage of services performed prior to the effective date of termination or cancellation in accordance with the work items; provided, in no event shall the amount of money paid under the foregoing provisions of this paragraph exceed the amount which would have been paid to CONSULTANT for the full performance of the services described in this Agreement. Page 6 of 14 R6876-0001 \1 765734v2.doc Agreement for Design Professional Services 516 ARTICLE 5 OWNERSHIP OF DOCUMENTS 5.1 Ownership of Documents and Work Product All final documents, plans, specifications, reports, information, data, exhibits, photographs, images, video files and media created or developed by CONSULTANT pursuant to this Agreement ("Written Products") shall be and remain the property of the CITY without restriction or limitation upon its use, duplication or dissemination by the CITY. All Written Products shall be considered "works made for hire," and all Written Products and any and all intellectual property rights arising from their creation, including, but not limited to, all copyrights and other proprietary rights, shall be and remain the property of the CITY without restriction or limitation upon their use, duplication or dissemination by the CITY. CONSULTANT shall not obtain or attempt to obtain copyright protection as to any Written Products. CONSULTANT hereby assigns to the CITY all ownership and any and all intellectual property rights to the Written Products that are not otherwise vested in the CITY pursuant to the paragraph directly above this one. CONSULTANT warrants and represents that it has secured all necessary licenses, consents or approvals to use any instrumentality, thing or component as to which any intellectual property right exists, including computer software, used in the rendering of the services and the production of all Written Products produced under this Agreement, and that the CITY has full legal title to and the right to reproduce the Written Products. CONSULTANT shall defend, indemnify and hold the CITY, and its elected officials, officers, employees, servants, attorneys, designated volunteers, and agents serving as independent contractors in the role of CITY officials, harmless from any loss, claim or liability in any way related to a claim that CITY's use of any of the Written Products is violating federal, state or local laws, or any contractual provisions, or any laws relating to trade names, licenses, franchises, copyrights, patents or other means of protecting intellectual property rights and/or interests in products or inventions. CONSULTANT shall bear all costs arising from the use of patented, copyrighted, trade secret or trademarked documents, materials, equipment, devices or processes in connection with its provision of the services and Written Products produced under this Agreement. In the event the use of any of the Written Products or other deliverables hereunder by the CITY is held to constitute an infringement and the use of any of the same is enjoined, CONSULTANT, at its expense, shall: (a) secure for CITY the right to continue using the Written Products and other deliverables by suspension of any injunction, or by procuring a license or licenses for CITY; or (b) modify the Written Products and other deliverables so that they become non -infringing while remaining in compliance with the requirements of this Agreement. This covenant shall survive the termination of this Agreement. Upon termination, abandonment or suspension of the Project, the CONSULTANT shall deliver to the CITY all Written Products and other deliverables Page 7 of 14 R6876-0001 \1 765734v2.doc Agreement for Design Professional Services 517 related to the Project without additional cost or expense to the CITY. If CONSULTANT prepares a document on a computer, CONSULTANT shall provide CITY with said document both in a printed format and in an electronic format that is acceptable to the CITY. ARTICLE 6 GENERAL PROVISIONS 6.1 Representation The CITY representative shall be the Director of Public Works or his or her designee, and CONSULTANT shall notify CITY of CONSULTANT's designated representative. These individuals shall be the primary contact persons for the parties regarding performance of this Agreement. 6.2 Fair Employment Practices/Equal Opportunity Acts In the performance of this Agreement, CONSULTANT shall comply with all applicable provisions of the California Fair Employment Practices Act (California Government Code Sections 12940-48), the applicable equal employment provisions of the Civil Rights Act of 1964 (42 U.S.C. 200e-217), and the Americans with Disabilities Act of 1990 (42 U.S.C. § 11200, et seg.). 6.3 Audit; Reports (a) The CITY, the District, or either of their duly authorized representatives shall have the option of inspecting, auditing, and/or copying all books, records, reports and other written materials of the CONSULTANT pertaining to this Agreement or matters related thereto. The CITY and its duly authorized representative shall have the option of inspecting, auditing, and/or copying all books, records, reports and other written materials used by CONSULTANT in preparing its billings to the CITY as a condition precedent to any payment to CONSULTANT. CONSULTANT will promptly furnish documents requested by the CITY or the District. CONSULTANT agrees to maintain and make available for CITY or District inspection all books, records, reports and other written materials pertaining to this Agreement or matters related thereto for a period of five (5) years after final payment under this Agreement. (b) CONSULTANT shall be subject to State Auditor examination and audit at the request of the CITY or as part of any audit of the CITY, for a period of three (3) years after final payment under this Agreement. (c) CONSULTANT agrees to maintain satisfactory financial accounts, documents and records for the Project and to make them available to the CITY or the District for auditing at reasonable times. CONSULTANT also agrees to retain such financial accounts, documents and records for a period of five (5) years after final payment under this Agreement. CONSULTANT agrees to use an accounting system that complies with generally accepted accounting principles. CONSULTANT shall submit to the CITY any information or documents it may need to prepare such reports, and CONSULTANT shall be prepared to assist in the drafting of such reports. (e) At any time during the term of this Agreement or at any time period of five (5) years after final payment under this Agreement, authorized representatives of the District may conduct an audit of the CITY for the purpose of verifying appropriateness and validity of expenditures that the CITY has submitted to the District for reimbursement. If said audit reveals expenditures that cannot be verified or that were paid in violation of the terms of the Grant, the Propositions or the Procedural Guide, the District may, at its discretion, reduce the Grant amount by an amount equal to these expenditures. If such expenditures that cannot be verified or that were paid in violation of the terms of the Grant were related to CONSULTANT's expenditures, the CITY may, at its discretion, reduce the compensation amount by an amount equal to these expenditures. CONSULTANT, within thirty (30) days of notification to the CITY by the District that an audit has resulted in the exception of expenditures, may dispute the audit findings in writing to the CITY and the District and provide both entities with records and/or documentation to support the expenditure claims. The CITY and the District shall review this documentation and make a final determination as to the validity of the expenditures. If CONSULTANT has received all compensation under this Agreement before the audit, or if remaining compensation monies are insufficient, and if said audit reveals expenditures that cannot be verified or that were paid in violation of the terms of this Agreement, the Propositions or the Procedural Guide, CONSULTANT shall pay the CITY or the District, whichever entity submits written notice, an amount equal to these expenditures within thirty (30) days after receiving written notification of the expenditures disallowed and the reason for the disallowance. 6.4 Public Records Act The CITY and the District must comply with the California Public Records Act (Government Code section 6250 et seq.), and CONSULTANT shall cooperate should its assistance be needed in this regard. In the event that the CITY, the District, or both are required to defend an action on a Public Records Act request for any of the contents of CONSULTANT's submission under the terms and conditions of the Agreement, CONSULTANT agrees to defend and indemnify that defending party from all costs and expenses, including attorneys' fees, in any action or liability arising under, or related to, the Public Records Act. 6.5 Personnel CONSULTANT represents that it has, or shall secure at its own expense, all personnel required to perform CONSULTANT's services under this Agreement. Any person who performs engineering services pursuant to this Agreement shall be licensed as a Civil Engineer by the State of California and in good standing. CONSULTANT shall make reasonable efforts to maintain the continuity of CONSULTANT's staff who Page 9 of 14 R6876-0001\1765734v2.doc Agreement for Design Professional Services 519 are assigned to perform the services hereunder and shall obtain the approval of the Director of Public Works of all proposed staff members who will perform such services. CONSULTANT may associate with or employ associates, subcontractors or subconsultants in the performance of its services under this Agreement, but at all times shall CONSULTANT be responsible for its associates, subcontractors and subconsultants' services. CONSULTANT shall not enter into any contract, agreement or similar arrangement, or agree to any amendment or modification to an existing contract, agreement or similar arrangement, that, in the District's opinion, violates federal regulations restricting the use of funds from tax-exempt bonds. 6.6 CONSULTANT's Representations CONSULTANT represents, covenants and agrees that: a) CONSULTANT is licensed, qualified, and capable of furnishing the labor, materials, and expertise necessary to perform the services in accordance with the terms and conditions set forth in this Agreement; b) there are no obligations, commitments, or impediments of any kind that will limit or prevent CONSULTANT's full performance under this Agreement; c) to the extent required by the standard of practice, CONSULTANT has investigated and considered the scope of services performed, has carefully considered how the services should be performed, and understands the facilities, difficulties and restrictions attending performance of the services under this Agreement. 6.7 Conflicts of Interest; County Lobbyist Ordinance (a) CONSULTANT agrees not to accept any employment or representation during the term of this Agreement or within twelve (12) months after completion of the work under this Agreement which is or may likely make CONSULTANT "financially interested" (as provided in California Government Code Sections 1090 and 87100) in any decisions made by CITY on any matter in connection with which CONSULTANT has been retained pursuant to this Agreement. (b) CONSULTANT and each of its subconsultants and subcontractors shall fully comply with the Los Angeles County Lobbyist Ordinance, Los Angeles County Code Chapter 2.160. Failure on the part of CONSULTANT and each of its subconsultants and subcontractors to fully comply with the County Lobbyist Ordinance shall constitute a material breach of this Agreement, upon which the CITY may terminate or suspend this Agreement. 6.8 Legal Action (a) Should either party to this Agreement bring legal action against the other, the validity, interpretation, and performance of this Agreement shall be controlled by and construed under the laws of the State of California, excluding California's choice of law rules. Venue for any such action relating to this Agreement shall be in the Los Angeles County Superior Court. Page 10 of 14 R6876-0001 \1 765734v2.doc Agreement for Design Professional Services 520 (b) If any legal action or other proceeding, including action for declaratory relief, is brought for the enforcement of this Agreement or because of an alleged dispute, breach, default or misrepresentation in connection with this Agreement, the prevailing party shall be entitled to recover reasonable attorneys' fees, experts' fees, and other costs, in addition to any other relief to which the party may be entitled. (c) Should any legal action about a project between CITY and a party other than CONSULTANT require the testimony of CONSULTANT when there is no allegation that CONSULTANT was negligent, CITY shall compensate CONSULTANT for its testimony and preparation to testify at the hourly rates in effect at the time of such testimony. 6.9 Assignment Neither this Agreement nor any part thereof shall be assigned by CONSULTANT without the prior written consent of the CITY. Any such purported assignment without written consent shall be null and void, and CONSULTANT shall hold harmless, defend and indemnify the CITY and its officers, officials, employees, agents and representatives with respect to any claim, demand or action arising from any unauthorized assignment. Notwithstanding the above, CONSULTANT may use the services of persons and entities not in CONSULTANT's direct employ, when it is appropriate and customary to do so. Such persons and entities include, but are not necessarily limited to, surveyors, specialized consultants, and testing laboratories. CONSULTANT's use of subcontractors and subconsultants for additional services shall not be unreasonably restricted by the CITY provided CONSULTANT notifies the CITY in advance. 6.10 Independent Contractor CONSULTANT is and shall at all times remain, as to the CITY, a wholly independent contractor. Neither the CITY nor any of its agents shall have control over the conduct of CONSULTANT or any of the CONSULTANT's employees, except as herein set forth, and CONSULTANT is free to dispose of all portions of its time and activities which it is not obligated to devote to the CITY in such a manner and to such persons, firms, or corporations as the CONSULTANT wishes except as expressly provided in this Agreement. CONSULTANT shall have no power to incur any debt, obligation, or liability on behalf of the CITY or otherwise act on behalf of the CITY as an agent. CONSULTANT shall not, at any time or in any manner, represent that it or any of its agents, servants or employees, are in any manner agents, servants or employees of CITY. CONSULTANT agrees to pay all required taxes on amounts paid to CONSULTANT under this Agreement, and to indemnify and hold the CITY harmless from any and all taxes, assessments, penalties, and interest asserted against the CITY by reason of the independent contractor relationship created by this Agreement. CONSULTANT shall fully comply with the workers' compensation law regarding CONSULTANT and its employees. The CITY shall have the right to offset against the amount of any fees due to CONSULTANT under this Agreement any amount due to the CITY from CONSULTANT as a result of its failure to promptly pay to the CITY any reimbursement or indemnification arising under this Article. 6.11 Titles The titles used in this Agreement are for general reference only and are not part of the Agreement. 6.12 Entire Agreement This Agreement, including any other documents incorporated herein by specific reference, represents the entire and integrated agreement between CITY and CONSULTANT and supersedes all prior negotiations, representations or agreements, either written or oral. This Agreement may be modified or amended, or provisions or breach may be waived, only by subsequent written agreement signed by both parties. 6.13 Construction In the event of any asserted ambiguity in, or dispute regarding the interpretation of any matter herein, the interpretation of this Agreement shall not be resolved by any rules of interpretation providing for interpretation against the party who causes the uncertainty to exist or against the party who drafted the Agreement or who drafted that portion of the Agreement. 6.14 Non -Waiver of Terms. Riahts and Remedies Waiver by either party of any one or more of the conditions of performance under this Agreement shall not be a waiver of any other condition of performance under this Agreement. Consultant shall comply with and be bound by the provisions of Labor Code Section 1776, which requires Consultant and each subcontractor and subconsultant to: keep accurate payroll records and verify such records in writing under penalty of perjury, as specified in Section 1776; certify and make such payroll records available for inspection as provided by Section 1776; and inform the City of the location of the records. 7. Consultant shall comply with and be bound by the provisions of Labor Code Sections 1777.5, 1777.6 and 1777.7 and California Administrative Code title 8, section 200 et seq. concerning the employment of apprentices on public works projects. Consultant shall be responsible for compliance with these aforementioned Sections for all apprenticeable occupations. Prior to commencing work under this Agreement, Consultant shall provide City with a copy of the information submitted to any applicable apprenticeship program. Within sixty (60) days after concluding work pursuant to this Agreement, Consultant and each of its subcontractors and subconsultants shall submit to the City a verified statement of the journeyman and apprentice hours performed under this Agreement. 8. Consultant acknowledges that eight (8) hours labor constitutes a legal day's work. Consultant shall comply with and be bound by Labor Code Section 1810. Consultant shall comply with and be bound by the provisions of Labor Code Section 1813 concerning penalties for workers who work excess hours. Labor Code Sections 1860 and 3700 provide that every employer will be required to secure the payment of compensation to its employees. In accordance with the provisions of Labor Code Section 1861, Consultant hereby certifies as follows: "I am aware of the provisions of Section 3700 of the Labor Code which require every employer to be insured against liability for workers' compensation or to undertake self- insurance in accordance with the provisions of that code, and I will comply with such provisions before commencing the performance of the work of this contract." 10. For every subcontractor or subconsultant who will perform work on the project, Consultant shall be responsible for such subcontractor or subconsultant's compliance with Chapter 1 and Labor Code Sections 1860 and 3700, and Consultant shall include in the written contract between it and each subcontractor or subconsultant a copy of those statutory provisions and a requirement that each subcontractor and subconsultant shall comply with those statutory provisions. Please do not employ an outside consultant for this project, taking tens of thousands of dollars away from the grant funds that should and could be used to renovate the most precarious portion of the trailhead - the first 40'. This could easily be designed in house by 'employing' the very volunteers who have over the last several decades been involved with the maintenance of this trail and many others throughout the City. I do not believe there could be a better 'consultant' to the public or City than these dedicated volunteers, and let me reiterate - these men/women are licensed contractors, trail -building consultants and experts with over 75 years of experience between them. Why not give the people who have dedicated thousands of volunteer hours to our trails, alleviating many costly hours to Public Works maintenance crews, a chance to work with City Staff in producing a viable, workable design, keeping aethestics and being sensitive to property owners on either side in mind. We are expecting that these meetings will commence toward the end of this calendar year and we are planning on hosting 3 meetings (one each to collect input, review a conceptual design, and confirm the final design refinements — more information about the schedule will be available later this winter). After completion of the community input, the consultant will proceed with preparing construction plans and specifications for public bidding and award by the City Council, which is tentatively scheduled for the upcoming spring season.
