AGENDA DESCRIPTION:
Consideration and possible action to enter into a Professional Services Agreement with
DUDEK to prepare environmental documentation associated with the preparation of the
City's Final Natural Communities Conservation Plan (NCCP).
RECOMMENDED COUNCIL ACTION:
(1) Approve a Professional Services Agreement with DUDEK to prepare
environmental documentation associated with the preparation of the City's Final
NCCP, in an amount not to exceed $24,780.
FISCAL IMPACT: Costs for the preparation of the NCCP's environmental document
were funded the FY16-17 budget, and will be carried over for the FY17-18 budget.

BACKGROUND AND DISCUSSION:
The purpose of a Natural Communities Conservation Plan (NCCP) is to identify and
provide for the area -wide protection of natural wildlife diversity, while allowing for
compatible and appropriate development and growth, particularly City projects. In 2004,
the City Council adopted the Final Draft of the NCCP and certified the related
Environmental Impact Report (EIR). The impacts to habitat resulting from capital
improvement projects is for the most part mitigated with the formation of the City -
owned' Palos Verdes Nature Preserve (Preserve), in tandem with habitat restoration,
biological monitoring and invasive plant control.
The City does not own Lunada Canyon; it is owned by the Palos Verdes Peninsula Land
Conservancy (PVPLC).

The Draft NCCP has not been finalized since 2004 because, over the years, the
configuration of the Preserve boundary limits has changed by removing and adding
property. In addition, modifications have been made to the scope and impacts of City -
covered projects and activities.
As the Final NCCP approaches completion, to identify any additional environmental
review needed pursuant to the California Environmental Quality Act (CEQA), the City
issued a Request for Proposals (RFP) to the following three environmental firms:
• DUDEK
• AECOM
• Tierra Data
Specifically, the City's RFP sought an environmental consultant to determine whether
an Addendum or a Supplement to the Certified Final EIR is needed, based on the
differences in estimated impacts and mitigation measures between the 2004 Draft
NCCP and the Final NCCP, which is pending City Council adoption. Based on this
determination, the environmental consultant would then prepare the appropriate
environmental document.
In response to the City's RFP, the City only received a proposal from DUDEK. After
reviewing DUDEK's proposal, and factoring the schedule and cost, Staff finds that
DUDEK is qualified to provide the City with requested environmental services based on
the scope and fee schedule attached to the Agreement (Attachment A).
The City Attorney and DUDEK have reviewed and approved the attached Professional
Service Agreement. It should be noted that in the event the consultant determines a
supplement to the City Council -certified Final EIR is warranted, due to the scope of work
and associated costs would increase, the City will issue a new RFP for this specific task
that will delay the completion of the Final NCCP.
ADDITIONAL INFORMATION:
Pursuant to City Council direction at the July 18, 2017, City Council meeting, Staff is
scheduling a joint workshop on the NCCP and Preserve -related issues in early October
2017. The workshop will include the participation of PVPLC, State and Federal wildlife
agencies, and Staff.
ALTERNATIVES:
In addition to the Staff recommendation, the following alternative actions are available
for the City Council's consideration:
Direct Staff to solicit additional bids for NCCP-related CEQA consulting
services.

Identify any issues of concern that may require further study and direct
Staff to provide additional information at a subsequent meeting.

CONTRACT SERVICES AGREEMENT FOR ANALYZING AND PREPARING AN
ENVIRONMENTAL DOCUMENT PURSUANT TO THE CALIFORNIA
ENVIRONMENTAL QUALITY ACT (CEQA) IN ASSOCIATION WITH THE CITY'S
PREPARATION OF THE FINAL NATURAL COMMUNITIES CONSERVATION
PLAN (NCCP)
THIS PROFESSIONAL SERVICES AGREEMENT (herein "Agreement") is made and
entered into this 15th day of August, 2017, by and between the CITY OF RANCHO PALOS
VERDES, a California municipal corporation ("City") and DUDEK (herein "Consultant").
NOW, THEREFORE, the parties hereto agree as follows:
1. SERVICES OF CONSULTANT
1.1 Scope of Services. In compliance with all of the terms and conditions of
this Agreement, the Consultant shall perform the work or services set forth in the "Scope of
Services" attached hereto as Exhibit "A" and incorporated herein by reference. Consultant
warrants that it has the experience and ability to perform all work and services required
hereunder and that it shall diligently perform such work and services in a professional and
satisfactory manner.
1.2 Compliance With Law. All work and services rendered hereunder shall
be provided in accordance with all ordinances, resolutions, statutes, rules, and regulations of the
City and any Federal, State or local governmental agency of competent jurisdiction.
1.3 Licenses, Permits, Fees and Assessments. Consultant shall obtain at its
sole cost and expense such licenses, permits, and approvals as may be required by law for the
performance of the services required by the Agreement.
1.4 Special Requirements. Additional terms and conditions of this
Agreement, if any, which are made a part hereof are set forth in the "Special Requirements"
attached hereto as Exhibit "B" and incorporated herein by this reference. In the event of a
conflict between the provisions of Exhibit `B" and any other provisions of this Agreement, the
provisions of Exhibit `B" shall govern.
2. COMPENSATION
2.1 Contract Sum. For the services rendered pursuant to this Agreement,
Consultant shall be compensated in accordance with the "Schedule of Compensation" attached
hereto as Exhibit "C" and incorporated herein by this reference, but not exceeding the maximum
contract amount of twenty-four thousand seven hundred eighty Dollars ($24,780) ("Contract
Sum").
2.2 Invoices. Each month Consultant shall furnish to City an original invoice
for all work performed and expenses incurred during the preceding month in a form approved by
City's Director of Finance. By submitting an invoice for payment under this Agreement,
Consultant is certifying compliance with all provisions of the Agreement. The invoice shall
detail charges for all necessary and actual expenses by the following categories: labor (by sub -

category), travel, materials, equipment, supplies, and sub -contractor contracts. Sub -contractor
charges shall also be detailed by such categories. Consultant shall not invoice City for any
duplicate services performed by more than one person.
City shall independently review each invoice submitted by the Consultant to determine
whether the work performed and expenses incurred are in compliance with the provisions of this
Agreement. Except as to any charges for work performed or expenses incurred by Consultant
which are disputed by City, City will use its best efforts to cause Consultant to be paid within
forty five (45) days of receipt of Consultant's correct and undisputed invoice; however,
Consultant acknowledges and agrees that due to City warrant run procedures, the City cannot
guarantee that payment will occur within this time period. In the event any charges or expenses
are disputed by City, the original invoice shall be returned by City to Consultant for correction
and resubmission. Review and payment by the City of any invoice provided by the Consultant
shall not constitute a waiver of any rights or remedies provided herein or any applicable law.
2.3 Additional Services. City shall have the right at any time during the
performance of the services, without invalidating this Agreement, to order extra work beyond
that specified in the Scope of Services or make changes by altering, adding to or deducting from
said work. No such extra work may be undertaken unless a written order is first given by the
Contract Officer to the Consultant, incorporating therein any adjustment in (i) the Contract Sum
for the actual cost of the extra work, and/or (ii) the time to perform this Agreement, which said
adjustments are subject to the written approval of the Consultant. Any increase in compensation
of up to ten percent (10%) of the Contract Sum but not exceeding a total contract amount of Five
Thousand Dollars ($5,000) or in the time to perform of up to ninety (90) days may be approved
by the Contract Officer. Any greater increases, taken either separately or cumulatively, must be
approved by the City Council. No claim for an increase in the Contract Sum or time for
performance shall be valid unless the procedures established in this Section are followed.
3. PERFORMANCE SCHEDULE
Agreement.
3.1 Time of Essence. Time is of the essence in the performance of this

pursuant to this Agreement upon receipt of a written notice to proceed and shall perform all
services within the time period(s) established in the "Schedule of Performance" attached hereto
as Exhibit "D" and incorporated herein by this reference. When requested by the Consultant,
extensions to the time period(s) specified in the Schedule of Performance may be approved in
writing by the Contract Officer but not exceeding thirty (30) days cumulatively.
3.3 Force Majeure. The time period(s) specified in the Schedule of
Performance for performance of the services rendered pursuant to this Agreement shall be
extended because of any delays due to unforeseeable causes beyond the control and without the
fault or negligence of the Consultant, including, but not restricted to, acts of God or of the public
enemy, unusually severe weather, fires, earthquakes, floods, epidemics, quarantine restrictions,
riots, strikes, freight embargoes, wars, litigation, and/or acts of any governmental agency,
including the City, if the Consultant shall within ten (10) days of the commencement of such
delay notify the Contract Officer in writing of the causes of the delay. The Contract Officer shall
ascertain the facts and the extent of delay, and extend the time for performing the services for the

period of the enforced delay when and if in the judgment of the Contract Officer such delay is
justified. The Contract Officer's determination shall be final and conclusive upon the parties to
this Agreement. In no event shall Consultant be entitled to recover damages against the City for
any delay in the performance of this Agreement, however caused, Consultant's sole remedy
being extension of the Agreement pursuant to this Section.
3.4 Term. Unless earlier terminated in accordance with Article 7 of this
Agreement, this Agreement shall continue in full force and effect until completion of the services
but not exceeding one (1) year from the date hereof, except as otherwise provided in the
Schedule of Performance (Exhibit "D" ).
4. COORDINATION OF WORK
4.1 Representative of Consultant. Sarah Lozano or Mike Howard are hereby
designated as being the representative of Consultant authorized to act on its behalf with respect
to the work and services specified herein and make all decisions in connection therewith. All
personnel of Consultant and any authorized agents shall be under the exclusive direction of the
representative of Consultant. Consultant shall utilize only competent personnel to perform
services pursuant to this Agreement. Consultant shall make every reasonable effort to maintain
the stability and continuity of Consultant's staff and subcontractors, and shall keep City informed
of any changes.
4.2 Contract Officer. Ara Mihranian [or such person as may be designated
by the City Manager] is hereby designated as being the representative the City authorized to act
in its behalf with respect to the work and services specified herein and to make all decisions in
connection therewith ("Contract Officer").
4.3 Prohibition Against Subcontracting or Assignment. Consultant shall not
contract with any entity to perform in whole or in part the work or services required hereunder
without the express written approval of the City. Neither this Agreement nor any interest herein
may be assigned or transferred, voluntarily or by operation of law, without the prior written
approval of City. Any such prohibited assignment or transfer shall be void.
4.4 Independent Consultant. Neither the City nor any of its employees shall
have any control over the manner, mode or means by which Consultant, its agents or employees,
perform the services required herein, except as otherwise set forth. Consultant shall perform all
services required herein as an independent contractor of City with only such obligations as are
consistent with that role. Consultant shall not at any time or in any manner represent that it or
any of its agents or employees are agents or employees of City, or that it is a member of a joint
enterprise with City.
5. INSURANCE AND INDEMNIFICATION
5.1 Insurance Coverages. The Consultant shall procure and maintain, at its
sole cost and expense, in a form and content satisfactory to City, during the entire term of this
Agreement including any extension thereof, the following policies of insurance which shall
cover all elected and appointed officers, employees and agents of City:

(a) Commercial General Liability Insurance (Occurrence Form CG0001 or
equivalent). A policy of comprehensive general liability insurance written on a per occurrence
basis for bodily injury, personal injury and property damage. The policy of insurance shall be in
an amount not less than $1,000,000.00 per occurrence or if a general aggregate limit is used,
either the general aggregate limit shall apply separately to this contract/location, or the general
aggregate limit shall be twice the occurrence limit.
(b) Worker's Compensation Insurance. A policy of worker's compensation
insurance in such amount as will fully comply with the laws of the State of California and which
shall indemnify, insure and provide legal defense for the Consultant against any loss, claim or
damage arising from any injuries or occupational diseases occurring to any worker employed by
or any persons retained by the Consultant in the course of carrying out the work or services
contemplated in this Agreement.
(c) Automotive Insurance (Form CA 0001 (Ed 1/87) including "any auto" and
endorsement CA 0025 or equivalent). A policy of comprehensive automobile liability insurance
written on a per occurrence for bodily injury and property damage in an amount not less than
either (i) bodily injury liability limits of $100,000 per person and $300,000 per occurrence and
property damage liability limits of $150,000 per occurrence or (ii) combined single limit liability
of $1,000,000. Said policy shall include coverage for owned, non -owned, leased, hired cars, and
any other automobile.
(d) Professional Liability. Professional liability insurance appropriate to the
Consultant's profession. This coverage may be written on a "claims made" basis, and must
include coverage for contractual liability. The professional liability insurance required by this
Agreement must be endorsed to be applicable to claims based upon, arising out of or related to
services performed under this Agreement. The insurance must be maintained for at least 5
consecutive years following the completion of Consultant's services or the termination of this
Agreement. During this additional 5 -year period, Consultant shall annually and upon request of
the City submit written evidence of this continuous coverage.
(e) Additional Insurance. Policies of such other insurance, as may be required
in the Special Requirements in Exhibit `B".
(f) Subcontractors. Consultant shall include all subcontractors as insureds
under its policies or shall furnish separate certificates and certified endorsements for each
subcontractor. All coverages for subcontractors shall be subject to all of the requirements stated
herein.
5.2 General Insurance Requirements.
All of the above policies of insurance shall be primary insurance and shall name the City,
its elected and appointed officers, employees and agents as additional insureds and any insurance
maintained by City or its officers, employees or agents may apply in excess of, and not
contribute with Consultant's insurance. The insurer is deemed hereof to waive all rights of
subrogation and contribution it may have against the City, its officers, employees and agents and
their respective insurers. The insurance policy must specify that where the primary insured does
not satisfy the self-insured retention, any additional insured may satisfy the self-insured
retention. All of said policies of insurance shall provide that said insurance may not be amended

or cancelled by the insurer or any party hereto without providing thirty (30) days prior written
notice by certified mail return receipt requested to the City. In the event any of said policies of
insurance are cancelled, the Consultant shall, prior to the cancellation date, submit new evidence
of insurance in conformance with Section 5.1 to the Contract Officer. No work or services under
this Agreement shall commence until the Consultant has provided the City with Certificates of
Insurance, additional insured endorsement forms or appropriate insurance binders evidencing the
above insurance coverages and said Certificates of Insurance or binders are approved by the
City. City reserves the right to inspect complete, certified copies of and endorsement to all
required insurance policies at any time. Any failure to comply with the reporting or other
provisions of the policies including breaches or warranties shall not affect coverage provided to
City.
The insurance required by this Agreement shall be satisfactory only if issued by
companies qualified to do business in California, rated "A" or better in the most recent edition of
Best Rating Guide, The Key Rating Guide or in the Federal Register, and only if they are of a
financial category Class VII or better, unless such requirements are waived by the City's Risk
Manager or other designee of the City due to unique circumstances.
5.3 Indemnification. To the full extent permitted by law, Consultant agrees to
indemnify, defend and hold harmless the City, its officers, employees and agents ("Indemnified
Parties") against, and will hold and save them and each of them harmless from, any and all
actions, either judicial, administrative, arbitration or regulatory claims, damages to persons or
property, losses, costs, penalties, obligations, errors, omissions or liabilities whether actual or
threatened (herein "claims or liabilities") that may be asserted or claimed by any person, firm or
entity arising out of or in connection with the negligent performance of the work, operations or
activities provided herein of Consultant, its officers, employees, agents, subcontractors, invitees,
or any individual or entity for which Consultant is legally liable ("indemnitors"), or arising from
Consultant's or indemnitors' reckless or willful misconduct, or arising from Consultant's or
indemnitors' negligent performance of or failure to perform any term, provision, covenant or
condition of this Agreement, except claims or liabilities occurring as a result of City's sole
negligence or willful acts or omissions. The indemnity obligation shall be binding on successors
and assigns of Consultant and shall survive termination of this Agreement.
6. RECORDS, REPORTS, AND RELEASE OF INFORMATION
6.1 Records. Consultant shall keep, and require subcontractors to keep, such
ledgers, books of accounts, invoices, vouchers, canceled checks, reports, studies or other
documents relating to the disbursements charged to City and services performed hereunder (the
"books and records"), as shall be necessary to perform the services required by this Agreement
and enable the Contract Officer to evaluate the performance of such services and shall keep such
records for a period of three years following completion of the services hereunder. The Contract
Officer shall have full and free access to such books and records at all times during normal
business hours of City, including the right to inspect, copy, audit and make records and
transcripts from such records.
6.2 Reports. Consultant shall periodically prepare and submit to the Contract
Officer such reports concerning the performance of the services required by this Agreement or as
the Contract Officer shall require.

6.3 Confidentialitv and Release of Information.
(a) All information gained or work product produced by Consultant in
performance of this Agreement shall be considered confidential, unless such information is in the
public domain or already known to Consultant. Consultant shall not release or disclose any such
information or work product to persons or entities other than the City without prior written
authorization from the Contract Officer.
(b) Consultant shall not, without prior written authorization from the Contract
Officer or unless requested by the City Attorney, voluntarily provide documents, declarations,
letters of support, testimony at depositions, response to interrogatories or other information
concerning the work performed under this Agreement. Response to a subpoena or court order
shall not be considered "voluntary" provided Consultant gives the City notice of such court order
or subpoena.
(c) If Consultant provides any information or work product in violation of this
Agreement, then the City shall have the right to reimbursement and indemnity from Consultant
for any damages, costs and fees, including attorney's fees, caused by or incurred as a result of
Consultant's conduct.
(d) Consultant shall promptly notify the City should Consultant be served
with any summons, complaint, subpoena, notice of deposition, request for documents,
interrogatories, request for admissions or other discovery request, court order or subpoena from
any party regarding this Agreement and the work performed thereunder. The City retains the
right, but has no obligation, to represent Consultant or be present at any deposition, hearing or
similar proceeding. Consultant agrees to cooperate fully with the City and to provide the City
with the opportunity to review any response to discovery requests provided by Consultant.
6.4 Ownership of Documents. All studies, surveys, data, notes, computer
files, reports, records, drawings, specifications, maps, designs, photographs, documents and other
materials (the "documents and materials") prepared by Consultant in the performance of this
Agreement shall be the property of the City and shall be delivered to the City upon request of the
Contract Officer or upon the termination of this Agreement, and Consultant shall have no claim
for further employment or additional compensation as a result of the exercise by the City of its
full rights of ownership use, reuse, or assignment of the documents and materials hereunder.
Moreover, Consultant with respect to any documents and materials that may qualify as "works
made for hire" as defined in 17 U.S.C. § 101, such documents and materials are hereby deemed
"works made for hire" for the City.
7. ENFORCEMENT OF AGREEMENT AND TERMINATION
7.1 California Law. This Agreement shall be interpreted, construed and
governed both as to validity and to performance of the parties in accordance with the laws of the
State of California. Legal actions concerning any dispute, claim or matter arising out of or in
relation to this Agreement shall be instituted in the Superior Court of the County of Los Angeles,
State of California. In the event of litigation in a U.S. District Court, venue shall lie exclusively
in the Central District of California, in the County of Los Angeles, State of California.

7.2 Disputes; Default. In the event that Consultant is in default under the
terms of this Agreement, the City shall not have any obligation or duty to continue compensating
Consultant for any work performed after the date of default. Instead, the City may give notice to
Consultant of the default and the reasons for the default. The notice shall include the timeframe
in which Consultant may cure the default. This timeframe is presumptively thirty (30) days, but
may be extended, if circumstances warrant. During the period of time that Consultant is in
default, the City shall hold all invoices and shall, when the default is cured, proceed with
payment on the invoices. If Consultant does not cure the default, the City may take necessary
steps to terminate this Agreement under this Article.
7.3 Legal Action. In addition to any other rights or remedies, either party
may take legal action, in law or in equity, to cure, correct or remedy any default, to recover
damages for any default, to compel specific performance of this Agreement, to obtain
declaratory or injunctive relief, or to obtain any other remedy consistent with the purposes of this
Agreement. Notwithstanding any contrary provision herein, Consultant shall file a statutory
claim pursuant to Government Code Sections 905 et. seq. and 910 et. seq., in order to pursue any
legal action under this Agreement.
Except with respect to rights and remedies expressly declared to be exclusive in this
Agreement, the rights and remedies of the parties are cumulative and the exercise by either party
of one or more of such rights or remedies shall not preclude the exercise by it, at the same or
different times, of any other rights or remedies for the same default or any other default by the
other party.
7.4 Termination Prior to Expiration of Term. This Section shall govern any
termination of this Contract except as specifically provided in the following Section for
termination for cause. The City reserves the right to terminate this Contract at any time, with or
without cause, upon thirty (30) days' written notice to Consultant, except that where termination
is due to the fault of the Consultant, the period of notice may be such shorter time as may be
determined by the Contract Officer. In addition, the Consultant reserves the right to terminate
this Contract at any time, with or without cause, upon sixty (60) days' written notice to City,
except that where termination is due to the fault of the City, the period of notice may be such
shorter time as the Consultant may determine. Upon receipt of any notice of termination,
Consultant shall immediately cease all services hereunder except such as may be specifically
approved by the Contract Officer. Except where the Consultant has initiated termination, the
Consultant shall be entitled to compensation for all services rendered prior to the effective date
of the notice of termination and for any services authorized by the Contract Officer thereafter in
accordance with the Schedule of Compensation or such as may be approved by the Contract
Officer. In the event the Consultant has initiated termination, the Consultant shall be entitled to
compensation only for the reasonable value of the work product actually produced hereunder, but
not exceeding the compensation provided therefore in the Schedule of Compensation Exhibit
"C". In the event of termination without cause pursuant to this Section, the terminating party
need not provide the non -terminating party with the opportunity to cure pursuant to Section 7.2.
7.5 Termination for Default of Consultant. If termination is due to the
failure of the Consultant to fulfill its obligations under this Agreement, City may, after
compliance with the provisions of Section 7.2, take over the work and prosecute the same to
completion by contract or otherwise, and the Consultant shall be liable to the extent that the total

cost for completion of the services required hereunder exceeds the compensation herein
stipulated (provided that the City shall use reasonable efforts to mitigate such damages), and City
may withhold any payments to the Consultant for the purpose of set-off or partial payment of the
amounts owed the City as previously stated.
8. MISCELLANEOUS
8.1 Covenant Against Discrimination. Consultant covenants that, by and for
itself, its heirs, executors, assigns and all persons claiming under or through them, that there shall
be no discrimination against or segregation of, any person or group of persons on account of
race, color, creed, religion, sex, gender, sexual orientation, marital status, national origin,
ancestry, or other protected class in the performance of this Agreement. Consultant shall take
affirmative action to ensure that applicants are employed and that employees are treated during
employment without regard to their race, color, creed, religion, sex, gender, sexual orientation,
marital status, national origin, ancestry, or other protected class
8.2 Non -liability. of Officers and Employ. No officer or employee of
the City shall be personally liable to the Consultant, or any successor in interest, in the event of
any default or breach by the City or for any amount, which may become due to the Consultant or
to its successor, or for breach of any obligation of the terms of this Agreement.
8.3 Notice. Any notice, demand, request, document, consent, approval, or
communication either party desires or is required to give to the other party or any other person
shall be in writing and either served personally or sent by prepaid, first-class mail, in the case of
the City, to the City Manager and to the attention of the Contract Officer (with her/his name and
City title), City of Rancho Palos Verdes, 30940 Hawthorne Blvd., California 90275 and in the
case of the Consultant, to the person(s) at the address designated on the execution page of this
Agreement. Either party may change its address by notifying the other party of the change of
address in writing. Notice shall be deemed communicated at the time personally delivered or in
seventy-two (72) hours from the time of mailing if mailed as provided in this Section.
8.4 Integration; Amendment. It is understood that there are no oral
agreements between the parties hereto affecting this Agreement and this Agreement supersedes
and cancels any and all previous negotiations, arrangements, agreements and understandings, if
any, between the parties, and none shall be used to interpret this Agreement. This Agreement
may be amended at any time by the mutual consent of the parties by an instrument in writing.
8.5 Severability. In the event that part of this Agreement shall be declared
invalid or unenforceable by a valid judgment or decree of a court of competent jurisdiction, such
invalidity or unenforceability shall not affect any of the remaining portions of this Agreement
which are hereby declared as severable and shall be interpreted to carry out the intent of the
parties hereunder unless the invalid provision is so material that its invalidity deprives either
party of the basic benefit of their bargain or renders this Agreement meaningless.
8.6 Waiver. No delay or omission in the exercise of any right or remedy by
non -defaulting party on any default shall impair such right or remedy or be construed as a
waiver. A parry's consent to or approval of any act by the other party requiring the party's
consent or approval shall not be deemed to waive or render unnecessary the other party's consent
to or approval of any subsequent act. Any waiver by either party of any default must be in

writing and shall not be a waiver of any other default concerning the same or any other provision
of this Agreement.
8.7 Attorneys' Fees. If either party to this Agreement is required to initiate
or defend or made a party to any action or proceeding in any way connected with this
Agreement, the prevailing party in such action or proceeding, in addition to any other relief
which any be granted, whether legal or equitable, shall be entitled to reasonable attorney's fees,
whether or not the matter proceeds to judgment.
8.8 Interpretation.
The terms of this Agreement shall be construed in accordance with the meaning of the
language used and shall not be construed for or against either party by reason of the authorship
of this Agreement or any other rule of construction which might otherwise apply.
8.9 Counterparts.
This Agreement may be executed in counterparts, each of which shall be deemed to be an
original, and such counterparts shall constitute one and the same instrument.
8.10 Warranty & Representation of Non -Collusion. No official, officer, or
employee of City has any financial interest, direct or indirect, in this Agreement, nor shall any
official, officer, or employee of City participate in any decision relating to this Agreement which
may affect his/her financial interest or the financial interest of any corporation, partnership, or
association in which (s)he is directly or indirectly interested, or in violation of any corporation,
partnership, or association in which (s)he is directly or indirectly interested, or in violation of any
State or municipal statute or regulation. The determination of "financial interest" shall be
consistent with State law and shall not include interests found to be "remote" or "noninterests"
pursuant to Government Code Sections 1091 or 1091.5. Consultant warrants and represents that
it has not paid or given, and will not pay or give, to any third party including, but not limited to,
any City official, officer, or employee, any money, consideration, or other thing of value as a
result or consequence of obtaining or being awarded any agreement. Consultant further warrants
and represents that (s)he/it has not engaged in any act(s), omission(s), or other conduct or
collusion that would result in the payment of any money, consideration, or other thing of value to
any third party including, but not limited to, any City official, officer, or employee, as a result of
consequence of obtaining or being awarded any agreement. Consultant is aware of and
understands that any such act(s), omission(s) or other conduct resulting in such payment of
money, consideration, or other thing of value will render this Agreement void and of no force or
effect.

B. Preparation of Environmental Document for the NCCP
Based on the document review conducted in Task A, Consultant will prepare an
EIR Addendum to address the revisions to the City's NCCP, since the Final EIR
was prepared in 2004. For the purposes of this scope of work, Consultant assumes
that NCCP revisions can be addressed through an EIR addendum. An amendment
to this contract will be needed if a Supplement to the EIR or a new EIR is
required.
B.1 Screencheck Draft Addendum

Consultant will prepare an addendum to the Final EIR for the 2004 Rancho
Palos Verdes Natural Communities Conservation Planning Subarea Plan
pursuant to CEQA Guidelines Section 15164 in order to satisfy CEQA
environmental review requirements. Section 15164 states that a lead agency
shall prepare an addendum to a previously certified EIR if some changes or
additions are necessary, but where there are no substantial changes or new
information of substantial importance (as described in Section 15162). The
addendum will describe changes to the project description and environmental
impacts described in the 2004 EIR.

Consultant will prepare a Screencheck Draft of the addendum for City
review. Consultant will incorporate all comments received from the City into
the final addendum and will be responsible for making all revisions requested
by the City. The Screencheck Draft will be delivered to the City in
accordance with the City's policies regarding the number and format for
submitting such copies.
B.2 Final Addendum
Consultant will finalize the addendum and address revisions and comments
that the City has regarding the document. Consultant will provide a legally
sufficient CEQA document, which must be reviewed and approved by the
City Attorney's Office. Consultant will make any changes requested by the
City Attorney's Office or City staff to ensure the legal sufficiency of the
document.
C. Project Mana eg ment
Consultant will perform the following project management tasks:
• Attend meetings requested by the City
• Provide the City with status reports
• Document preparation
• Ensure completeness of administrative record
• Preparation of administrative record, as requested by City
II. As part of the Services, Consultant will prepare and deliver the following tangible

Rancho Palos Verdes NCCP HMP
Client: Palos Verdes Peninsula Land Conservancy
Dudek prepared the Preserve Habitat Management Plan (HMP) for the Portuguese Bend Nature Preserve.
The HMP included four main components, including an Initial Management and Monitoring Report, a
Predator Control Plan, a Habitat Restoration Plan, and a Targeted Exotic Removal Program for Plants. For the
HMP, Dudek conducted focused surveys and developed monitoring protocols for seven special -status plant
species within the Palos Verdes Nature Preserve, including south coast saltscale (Atripiex pacifica), island
green dudleya (Dud/eya uirens ssp. insu/aris, sea dahlia (Coreopsis maritima), aphanisma (Aphanisma
biitoido, woolly seablite (Sueda taxifoiia), Catalina crossosoma (Crossosoma caiifornicum) and Santa
Catalina Island desert -thorn (Lycium brevipes var. hassei). Dudek also mapped host plants for the federally
endangered EI Segundo blue butterfly (Euphiiotes battoides a/6ln4 and the federally endangered Palos
Verdes blue butterfly (Euphiiotes battoides a//yn�. Additionally, Dudek conducted wildlife surveys throughout
the preserve, which included focused surveys for coastal California gnatcatcher (Po/iopti/a ca/ifornica
caiifornica) and cactus wren (Campy/orhynchus brunneicapi//us). While conducting the surveys, Dudek trained
staff from the Palos Verdes Peninsula Land Conservancy so that future survey work could be conducted by its
staff. Dudek analyzed and summarized all survey data, prepared maps of the preserve areas, and prepared
the Initial Management and Monitoring Report.
The Habitat Management Plan included detailed guidelines for implementation of a 15 -acre restoration area for
coastal scrub, cactus scrub, and butterfly habitat within the Portuguese Bend Nature Preserve. Prior to
developing the plan, Dudek conducted a site suitability analysis wherein we evaluated six potential sites within
the preserve for habitat restoration that would meet the goals of the Palos Verdes Peninsula Land Conservancy.
The Habitat Restoration Plan included detailed planting palettes, installation guidelines, a maintenance and
monitoring plan, irrigation designs, and performance criteria. The Habitat Restoration Plan was successfully
implemented by the Palos Verdes Peninsula Land Conservancy, and the site now provides habitat for coastal
California gnatcatcher and cactus wren.
Lunada Bay Restoration Plan
Client: Palos Verdes Peninsula Land Conservancy
Dudek prepared a habitat restoration plan for the Lunada Bay Homeowner's Association in coordination with
the Palos Verdes Peninsula Land Conservancy. The restoration plan focused on establishing a native plant
garden as a community amenity in a disturbed area within the community. The plants designed for the native
garden were intended to not only provide aesthetic value to the open space, but also provide ecologically
appropriate species to function as wildlife habitat for the area. The restoration plan was prepared to enable
assistance from community volunteer groups for implementation and care. Dudek prepared planting and
irrigation plans and specifications for installation of the native plant garden.

RELEVANT EXPERIENCE
Ocean Trails Golf Course
Client: Trump National Golf Club
Trump National Gold Course is an 18 -hole golf course and 75 homes on 261 acres situated on the sea bluffs
of Palos Verdes Peninsula, Los Angeles County, California. Dudek and Habitat Restoration Sciences, Inc.,
(HRS) designed, installed, maintained, and monitored restoration of 10 acres of coastal sage scrub as part of
the landslide repair project. The project involved erosion control, irrigation system installation, and container
plant and seed installation. A temporary irrigation system was installed that provided sufficient water to
establish plants. Detailed construction plans, installation details, and written project specifications prepared by
Dudek guided HRS through the construction phase of this restoration effort. Timely construction monitoring
allowed for detailed refinements to construction techniques to reduce the construction cost of the project.
Special issues addressed in the project design included creation of California gnatcatcher habitat, weed
control methods, slope stabilization, utility access, and public access. Soil salinity issues were addressed
through the incorporation of soil amendments and leaching the soil with the irrigation system. HRS
performed the project installation and one year of maintenance. Trump National assumed maintenance
responsibilities using internal staff in 2005. Dudek is currently monitoring the project, now in its second year
after installation. Erosion was minimal during the significant rainfall of the 2004-2005 EI Nino winter. Overall,
the Trump National Golf Club project currently supports 17 pairs of California gnatcatchers on 125 acres of
restored and enhanced coastal sage scrub habitat, including three breeding pairs within the golf course. The
U.S. Fish and Wildlife Service (USFWS) was quoted as giving the Trump National Mitigation Program an A+
for habitat restoration (Golf Week Magazine, November 2005).

HCP and HCP CEQA/NEPA Experience
Orange County Southern Subregion HCP and Joint EIS/EIR
Client: Rancho Mission Viejo Company
Based on a biological database assembled by the County of Orange
and augmented by Dudek biologists, Dudek prepared an HCP, NCCP,
and Joint EIS/EIR for the 130,000 -acre Southern Subregion NCCP in
Southern Orange County. Dudek completed a variety of geographic
information system (GIS) analyses, including preparation and analysis of
alternative reserve design scenarios. Key features of the planning
process included compliance with reserve design goals and objectives
established by the state NCCP conservation guidelines and the
relationship of the proposed reserve design to the Foothill
Transportation Corridor South, contemplated by the Orange County
Transportation Corridors Agency.
The HCP/NCCP focuses on the California gnatcatcher but also addresses the habitat requirements of more than
100 other special -status species. Actions addressed in the EIS/EIR include issuance of a section 10(a)(1)(B) permit
by the USFWS; state issuance of a management authorization under the NCCP Act; and local approvals of the
NCCP by the affected jurisdictions, including the County of Orange and the cities of San Clemente, San Juan
Capistrano, and Mission Viejo.
Work performed by Dudek includes endangered species surveys, vegetation mapping, resource agency
coordination, an EIS/EIR, biological resource surveys, and endangered species permitting. Major issues
addressed in the EIS/EIR include land use, biological resources, traffic circulation, public services and facilities,
and population and housing.
San Bernardino Countywide Plan, Program EIR, and Habitat Preservation/
Conservation Framework
Client: County of San Bernardino and SANBAG
Dudek is part of the team preparing the Countywide Plan and Program
EIR for the County of San Bernardino. Dudek is responsible for the
biological resources, infrastructure (stormwater, hydrology, and water
quality), and fire hazards portions of the Countywide Plan, including
preparing the existing conditions reports, developing goals and policies,
and preparing the Program EIR sections.
As part of the conservation element, Dudek is producing a conservation
map identifying priority areas for development and conservation.
Conservation priorities will be those areas supporting focal species or CountyCritica/Habitat Map
resources that lack existing protection/management and that have been
identified as a priority in the biological goals and objectives. To identify conservation priorities, Dudek is
conducting a focal species analysis to develop criteria for evaluating which special -status wildlife and plant
species will be the focus of the habitat conservation elements of the planning effort. Dudek prepared vegetation
mapping and a biological resources technical report to support this analysis.

RELEVANT EXPERIENCE
In association with the countywide Vision, Dudek developed a countywide habitat preservation/conservation
framework. Dudek conducted outreach to gather and synthesize information on conservation lands,
conservation priorities, and existing and planned land uses from all of the jurisdictions in the County of San
Bernardino. Dudek developed an initial conservation lands inventory, conducted a preliminary conservation
analysis, established conservation principles for the planning process, and identified next steps for the integrated
countywide planning process. Dudek led and facilitated stakeholder group meetings related to the conservation
framework and prepared the Phase I framework study report used by the County of San Bernardino, San
Bernardino Associated Governments (SANBAG), and the other stakeholders. As part of Phase II of this project,
Dudek is working closely with SANBAG, the County of San Bernardino, the 24 incorporated cities, and
stakeholder groups to develop core elements of the conservation strategy for this region, including an analysis
of conservation gaps, biological goals and objectives, and a countywide reserve design. Additionally, our
information technology experts are developing an inventory and tracking system application with integrated
map viewer and reporting functionality for SANBAG to manage all spatial and non -spatial data related to
conserved lands in the County of San Bernardino.
Western Riverside County MSHCP
Client: County of Riverside
Dudek was a key team member of the Riverside County Integrated Plan (RCIP), a three -component integrated
planning process. Faced with substantial projected population growth and jobs/housing balance issues that
contribute to significant traffic congestion, concern over environmental resources and community and
infrastructure development issues, local officials recognized that without a well-defined and sustainable plan for
the 21st century, the County of Riverside would face a very tenuous future.
The purpose of the RCIP was to integrate land use, transportation, and conservation planning and
implementation in order to provide a clear roadmap for future land use and public infrastructure decisions. The
RCIP involves a countywide General Plan update, a transportation plan referred to as the Community and
Environmental Transportation Acceptability Process, and the Western Riverside County Multiple Species Habitat
Conservation Plan (MSHCP). These three plans have been integrated into a single planning effort to provide a
coordinated approach to policy development. The environmental review of each element of the coordinated
planning process is also integrated, although separate environmental documents have been prepared. Strategic
decisions regarding the integrated environmental review process have been important components of the
planning effort, including addressing such issues as use of common baseline and forecast data so that
cumulative effects analyses are consistent and addressing programmatic and project -level alternatives.
Dudek had key roles in various plan integration and community outreach efforts, as well as in preparation of
the environmental documents. Dudek was a key participant in the early RCIP visioning process, which
involved over 50 community meetings in the unincorporated county and cities in Riverside County (14 cities
in Western Riverside County alone). Dudek was the primary consultant to the Riverside County Board—
appointed MSHCP Advisory Committee and provided key consultant support and direction to joint Policy
and Integration Subcommittees.
The RCIP's focus on sustainability was applied throughout the decision-making process to support the region's
economic viability through informed land use decisions and economic and public infrastructure investment,
while at the same time conserving the biological diversity that characterizes Riverside County's natural heritage.

RELEVANT EXPERIENCE
This extensive experience readily transitioned into full-time extension -of -staff for the Western Riverside County
Regional Conservation Authority, the entity responsible for implementation of the MSHCP. As contract staff to
the Western Riverside County Regional Conservation Authority, Dudek provides ongoing reviews of projects'
consistency with the MSHCP and consultation on all implementation policies and procedures. Dudek prepared
the agency's policy and procedures manual; provides specific project review, oversight, and approval; provides
ongoing policy and guidance support not only to the Western Riverside County Regional Conservation
Authority, but to all Permittees, including 17 cities, the County of Riverside, the California Department of
Transportation, and Riverside County Flood Control; and provides conservation land tracking and monitoring,
special project assistance, and habitat restoration guidance and strategy. This unique role has provided Dudek
an in-depth understanding of how to navigate the complexities of biological issues and regional HCPs, manage
intensive and productive coordination with the regulatory agencies, and anticipate issues before they arise.
South Sacramento HCP and ARP EIS/EIR
Client: County of Sacramento
Dudek is preparing an EIS/EIR for the South Sacramento Habitat
Conservation Plan (SSHCP) and Aquatic Resources Plan (ARP). The
SSHCP will provide a regional approach, balancing development with
the conservation and protection of covered species, open space, and
agricultural lands in Southern and Southeastern Sacramento County.
The ARP provides a companion regional wetlands permitting strategy
for vernal pools, streams, and other aquatic resources in accordance
with the SSHCP. Because of the ARP and EIS/EIR approach, the Plan
Permittees, Plan Participants, and Implementing Agency can take
advantage of regional approaches for securing authorizations from the
U.S. Army Corps of Engineers (ACOE), the Central Valley Regional
Water Quality Control Board (RWQCB), and the CDFW.
The SSHCP covers 30 plant and wildlife species, including 10 threatened
or endangered under the federal Endangered Species Act (ESA)
and/or the California Endangered Species Act. The SSHCP and ARP also cover vernal pool, wetland, and stream
habitats subject to Sections 401 and 404 of the federal Clean Water Act, California's Porter—Cologne Water
Quality Control Act, and CDFW Code Section 1600. The SSHCP and ARP will become effective through an
Implementation Agreement between the Resource Agencies, Plan Permittees, and Partners, which include
Sacramento County; the Cities of Galt and Rancho Cordova; the Sacramento County Water Agency; the
Sacramento Regional Sanitation District, the Sacramento Area Sewer District, and the Capital Southeast
Connector Joint Powers Agency.

Feather River HCP EIR/EIS
Client: California Department of Water Resources
The Feather River HCP is a component of the larger Feather River Regional Permitting Program. This is the
first project under the Central Valley Flood Protection Plan to use the HCP process to obtain region -wide
permits to implement flood management projects more efficiently. The Plan Area includes the parts of Sutter,
Yuba, Butte, and Placer Counties that protect natural communities, conserve species, and contribute to the
recovery of listed species, while allowing for appropriate flood management activities that are compatible
with local policies and regulations. The HCP generally encompasses aquatic ecosystems and natural
communities, such as riparian, floodplain, grassland, and wetland communities adjacent to flood control
facilities. Covered species include Valley elderberry longhorn beetle (Desmocerus caiifornicus dimorphusj,
giant garter snake (Thamnophisgigas), Swainson's hawk (Buteo swainson�, and several fish species under the
jurisdiction of the National Marine Fisheries Service. Although Dudek was selected to prepare the EIR/EIS in
2015, reorganization within the California Department of Water Resources led to project delays, and Dudek
commenced work on the EIS/EIR in January 2017.
Yuba Sutter Regional Conservation Plan EIS/EIR
Client: Sutter County
Dudek is preparing an EIS/EIR for the Yuba—Sutter Regional
Conservation Plan, which will serve as an HCP/NCCP for the Counties of
Yuba and Sutter and Cities of Wheatland, Yuba City, and Live Oak. The
plan includes natural communities, such as flooded herbaceous
cropland, woody cropland, rice land, and wildland communities,
including river and stream systems, vernal pool complexes, grasslands,
and oak savanna -woodland. Covered species include vernal pool fairy
shrimp (Branchinecta /ynch�, vernal pool tadpole shrimp (Lepidurus
packard�, Valley elderberry longhorn beetle, giant garter snake,
Swainson's hawk, several additional birds, western spadefoot (Spec hammondi�, western pond turtle (Actinemys
marmorata), Bogg's Lake hedge -hyssop (Gratin/a heterosepa/a), and several additional plant species. The plan
will provide endangered species coverage for commercial, residential, industrial, and associated development;
public and private infrastructure; water supply and delivery facilities; waste management facilities; and
HCP/NCCP management activities. Covered activities will also include operation and maintenance of public
service; public and private infrastructure; recreational, transportation, flood control and other stream -related
and waste management facilities; and HCP/NCCP management activities.

Chula Vista Multiple Species Conservation Program Subarea Plan and
Subsequent Environmental Assessment/EIR
Client: City of Chula Vista
Dudek provided technical support services and performed In 2004, this project won
CEQA/NEPA review of the City of Chula Vista's Subarea Plan to the
San Diego Multiple Species Conservation Program. Chula Vista is the the State Association
second largest city in San Diego County and includes lands of critical of Environmental
importance to the regional conservation effort of the Multiple Species Professionals Award as an
Conservation Program. Dudek provided biological technical support Outstanding Environmental
and review of the Subarea Plan and was specifically responsible for Resource Document.
analyzing species coverage and identifying conditions for each of the
86 species for which the City of Chula Vista sought coverage. Dudek was also responsible for preparing all
CEQA/NEPA documents needed for the City of Chula Vista to adopt the Subarea Plan and for the USFWS to
issue incidental take authorizations.
Salton Sea Species Conservation Habitat EIS/EIR
Client: Department of Water Resources, CDFW, ACOE, USFWS
The Department of Water Resources along with the CDFW, the ACOE
and the USFWS, teamed with other partners to prepare the planning,
design, and permitting of this wildlife habitat restoration project. The
project alternatives evaluated the development of approximately 4,000
acres of new saline pond habitat near the confluence of the New and
Alamo Rivers and the Salton Sea. The project is under construction with
the goal of establishing approximately 3,370 acres of new shallow
habitat ponds contained within low berms for fish and fish -eating bird
species that are dependent on the Salton Sea. The ponds would be
provided with supplies of both brackish and saline water. Dudek staff
led the project, and prepared the aesthetics, transportation, geology/soils, land use/planning, public services,
utilities, population, housing, and terrestrial biological resource sections of the EIS/EIR.
Dudek staff also assisted with the alternatives screening process, eliminating several alternatives from further
detailed analysis. Finally, Dudek obtained all resource agency permits to allow for construction of the first phase
of shallow habitat ponds and water conveyance infrastructure. Focused protocol -level surveys were conducted
for the federally listed endangered least Bell's vireo (Vlreo bel pusillu. and southwestern willow flycatcher
(Empldonax trail/ii extimus at the mouths of the New and Alamo Rivers.

Coachella Valley MSHCP and EIS/EIR
Client: County of Riverside
Dudek developed the MSHCP/NCCP and associated recirculated
EIS/EIR for this 1.2 -million -acre study area. Tasks included
restructuring the MSHCP to exclude a previously participating city
(Desert Hot Springs), while including provisions to retain coverage
for key species located within the "white -holed" area. This effort also
involved revisions to the MSHCP to address significant concerns
from the local recreational and hiking community. This task required
significant coordination and negotiation with USFWS and CDFW staff
to complete within the initially negotiated timeframe. After the
Recirculated EIS/EIR was certified, the City of Desert Hot Springs requested its addition to the permit, which
necessitated a subsequent CEQA document that was prepared in 2010.

Project Management Approach and Philosophy
Sarah Lozano's project management philosophy is based on lessons and preferences learned from preparing
over two dozen previous HCP/NCCP CEQA and/or NEPA documents. Dudek's project managers are
empowered to make decisions that enable continuous forward project momentum, and our flat reporting
structure allows nimble and responsive action by the entire team. Our proven project management approach
involves the following:
Defined Lines of Communication
Effective project management requires constant and careful
attention to the daily demand for communication among project
participants and with the client. Dudek believes that the most
effective project manager is the one maintains a continuous flow
of information, data, instructions, and guidance continues on a
regular basis.
Ms. Lozano, working as a team with Mike Howard, will keep on
the project on schedule and within budget and will maintain the
highest level of quality for all deliverables. Ms. Lozano will
communicate project status, issues, and concerns with the City by:
• Serving as the single point of contact,
• Establishing regular meetings with the City project
manager to discuss project milestones, activities,
and issues;
• Holding regular project management meetings with key
project staff (including our subconsultants) to coordinate
work efforts, check on task completion, and review
budget conformance;
• Updating the project description, schedule, work progress
reports, and inventories of available data , as necessary so
that all team members are aware of information that may
affect their work products and schedules; and
• Coordinating with the City at strategic junctures for
public input.

TEAM QUALIFICATIONS
Project Management Tools
The management team will work together to meet these communication goals and keep the project on
schedule and budget using the following tools:
• Project Kickoff Meeting. The management team will attend a project kickoff meeting with the key
project team members. This meeting will be critical to the ultimate success of the project, as it provides
an opportunity for all parties to discuss and review the scope of the project and formalize key project
assumptions. This meeting will also offer an opportunity to confirm document format requirements,
points of contact, status report details, and any other logistical, technical, or procedural concerns. We
approach every project with the understanding that attention on the front end of a project can save
substantial time and costs in the long run.
• Dedicated Lines of Communication. After the kickoff meeting, Ms. Lozano will distribute a key
contact list to all team members, identifying the communication protocols and contact information for
the team.
• Master Deliverables List. Dudek will prepare a master deliverables list with key document
development milestones, such as draft deliverables for review, review periods, and possible meeting
dates with the City to resolve comments, if needed. Dudek uses online meeting tools for collaborative
document revisions with City staff and efficient resolution of comments, if needed. Using this tool,
Dudek will provide the City project manager with up-to-date status reports either monthly or more
frequently, as requested.
• Schedule and Budget Tracking. The management team will use a schedule -tracking tool to track
important milestones for task orders issued under this contract. Dudek recommends a simple table
format in Microsoft Word.
• Progress Reports. Ms. Lozano will prepare monthly progress reports that will include a list of tasks
completed during the period, a list of tasks anticipated during the coming period, an update on the
schedule, a summary of the project schedule, and any outstanding scope of work or information
request issues.
Virtual Collaboration
If necessary given the project turnaround time, Dudek offers a number of tools to facilitate efficient, productive
virtual collaboration with the City, including:
• File Sharing/Storage via ShareFile, allowing Dudek to store, share, and exchange files with the City.
• Document Co-authoring simultaneously through SharePoint, via setup of a client portal.
• Client Web Portals custom-built for access via dudek.com and set up according to client and/or
project specifications.
• Virtual Deliverables produced and uploaded online to the client's portal and/or another website as
specified by the City.
• Mobile Data Collection and Reporting allowing in -field data capture and quantification solutions
that bring results and analysis directly to the City.

Quality Control
Document Quality Assurance and Quality Control
Ms. Lozano will verify that the highest standards of quality is applied to all deliverables. For a typical Dudek work
product, the following process will be used:
• Develop Style Guide. During the start-up phase of the
project, the Dudek technical editing team will create a
project -specific style guide to maintain consistency in the
presentation of terms and nomenclature used in the
project environmental documents. This style guide will be
in accordance with the City's standard formatting
requirements and will be shared with the City before the
preparation of project documents.
• Technical Review. An appropriate third -party technical
reviewer will be assigned to all written work products. This
step in the review process is focused on the legal
adequacy and technical accuracy of all deliverables, so
multiple reviewers may be used depending on the
complexity of the document.
• Editorial Review. Once the technical review is complete,
Dudek editors will conduct an editorial review of
deliverables following the agreed-upon style guide. Prior
to submittal to the City, each document will be formatted
by Dudek's publications staff.
• Document Production. Dudek's publications production
team verifies the quality of each formatted document
before publication. Dudek's editorial team, in
collaboration with the publications and information
technology staffs, will produce and publish the Web
versions of project deliverables.
Administrative Record
CEM
As a best practice, Dudek builds a thorough administrative record over the course of project development.
During the writing process, the editor will work closely with the writing team to catalogue references cited in an
index and collect and compile all source material. The editor, along with the writing team, will verify that each
reference cited is collected during the writing process and that the relevant page range is included in the
citation. The writer and/or editor will locate the reference cited, track its status in the index, and compile PDFs of
each document cited, saved in the author—date format. Additionally, Dudek has a Library Services division that
researches difficult references and reviews the references cited matrix against the compiled source materials,
verifying that each reference cited has been provided, contains the appropriate page range, and is from a
reputable source.

TEAM QUALIFICATIONS
If desired by the City, and if necessary to document important project decisions and communications, an
administrative record email address can be set up, which project team members and City staff can email to
document important communications, studies, and technical reports that pertain to the environmental analysis
and conclusions. When an email is received at this address, a member of the editorial staff will review,
compile/save the email and/or document, and catalog each entry in a searchable index that can be provided to
the City at any point during the life of the project.
Data Management
All data received by Dudek are cataloged in a master data intake
database that is stored in a commonly accessible network location with
other spatially related files and metadata files for management/control
according to Dudek's Policy for GIS Project Data Organization. All spatial
data received will be reviewed for metadata and verified visually in
Environmental Systems Research Institute's ArcCatalog and ArcMap

Sarah Lozano, AICP
Sarah Lozano is an environmental project manager with over 17 EDUCATION
years' experience in environmental document preparation and Cornell University
resource conservation planning. Ms. Lozano prepares MRP, Regional Planning
environmental documents per CEQA/NEPA, and has participated Willamette University
in and led interagency coordination and public outreach efforts. BA, Environmental Science and History
Her career has focused on developing HCPs, and she has served CERTIFICATION
as project manager for a diverse client base. She is currently AICP
managing the EIR/EISs for the Feather River HCP, Yuba/Sutter
HCP, and South Sacramento HCP. Her previous experience includes managing the Coachella Valley MSHCP
and MSHCP EIS/EIR and Western Riverside County MSHCP and MSHCP EIS/EIR. Ms. Lozano serves as the
contract manager for the CDFW As -Needed CEQA Consulting contract for Southern California, where
Dudek serves as the Department's CEQA expert and provides preparation support for all CDFW and
projects initiated by third parties in the southern half of the state. This contract has allowed Ms.
Lozano to gain valuable insights into helping formulate policies and processes for CEQA compliance
with this key HCP/NCCP collaborator.

Mike Howard is a senior biologist with 18 years' experience
and a diverse background in regional conservation planning,

4 Scope of Work
Dudek understands that the City is seeking consultant support to finalize the NCCP approval process and
obtain the associated incidental take authorization under the ESA and California Endangered Species Act from
the wildlife agencies (i.e., USFWS and CDFW). In the late 1990s and early 2000s, the City worked with the wildlife
agencies, major landowners, local governmental agencies, and environmental stakeholders to craft the City's
NCCP1. In 2004, the City approved the NCCP with its associated EIR. Although the City adopted the plan and
has been implementing it ever since, the wildlife agencies have not given final approval of the plan or issued
incidental take authorization pursuant to the plan. The following scope of work details Dudek's approach to
supporting the City with preparing CEQA documentation for finalization of the NCCP.
Task 1 Document Review
Dudek will review all relevant documentation related to the City's NCCP, including:
• Rancho Palos Verdes Natural Communities Conservation Planning Subarea Plan (2004)
• Draft Implementing Agreement for Natural Communities Conservation Planning Subarea Plan (2004)

Dudek will use our review of these relevant documents to gain a detailed understanding of: (1) the differences
between the previously approved NCCP document and the current, revised version of the NCCP and (2) the
updates necessary to the CEQA documentation to reflect the current, revised NCCP.
Assumptions
• Dudek assumes that the current, revised version of the NCCP has been prepared and the final version
would be provided by the City.
• Dudek understands that the USFWS will be preparing and processing a NEPA document, and
assistance with that process is not being requested from Dudek at this time.
• Deliverables: One memorandum summarizing findings and recommendations based on the
document review, including a determination of the appropriate CEQA documentation necessary to
finalize the NCCP.

Task 2 Prepare Environmental Documentation for the NCCP
The approval and adoption of NCCPs and HCPs are actions subject to CEQA and NEPA respectively. Based
on the document review conducted in Task 1, Dudek will work with the City to determine the appropriate
CEQA documentation necessary to address the revisions to the City's NCCP, since the Final EIR was prepared
in 2004. For the purposes of this scope of work, Dudek assumes that NCCP revisions can be addressed
through an EIR addendum.
Task 2.1 Screencheck Draft Addendum
Dudek will prepare an addendum to the Final EIR for the Rancho Palos Verdes Natural Communities
Conservation Planning Subarea Plan (2004) pursuant to California Government Code section 15164 in order to
satisfy CEQA environmental review requirements. Section 15164 states that a lead agency shall prepare an
addendum to a previously certified EIR if some changes or additions are necessary, but where there are no
substantial changes or new information of substantial importance (as described in Section 15162). The
addendum would describe changes to the project description and environmental impacts described in the EIR.
Dudek will prepare a Screencheck Draft of the addendum for City review. Dudek will incorporate all comments
received from the City into the final addendum and will be responsible for making all revisions requested by the
City. The screencheck will be delivered to the City in accordance with the City's policies regarding the number
and format for submitting such copies.
Task 2.2 Final Addendum
Dudek will finalize the addendum and address revisions and comments that the City has regarding
the document.
Assumptions
• For the purposes of preparing this scope of work and cost, Dudek assumes that an EIR addendum
will be the appropriate CEQA documentation to address the NCCP revisions.
• Dudek assumes that the USFWS is the NEPA lead agency and will prepare/has prepared the
appropriate NEPA documentation for the HCP component of the City's plan.
• Deliverables: One Screencheck Draft EIR Addendum document and the Final EIR Addendum document.

Sarah Lozano will be the dedicated project manager for this project, and she is excited about the opportunity to

5 Cost Estimate
The total cost estimate to complete this scope of work is $24,780. Dudek anticipates that this scope of work
would be completed within approximately 2 months. Assuming that the project is underway by approximately
July 1, 2017, Dudek would complete the scope of work by approximately September 1, 2017. Table 1 presents
Dudek's cost estimate for this project by task, including the hourly rates of key staff to perform the requested
services.
