Consideration and possible action to approve a Use Restriction and Covenant against
certain Palos Verdes Nature Preserve properties that were fully or partially acquired
utilizing Proposition A grant funds.
RECOMMENDED COUNCIL ACTION:
1) Authorize the Director of Public Works to execute and deliver to the Los Angeles
Regional Park and Open Space District for recordation a deed restriction in the
form of a Use Restriction and Covenant on open space properties within the
Palos Verdes Nature Preserve that were fully or partially acquired utilizing
Proposition A Grant Funds, as required by the grant conditions and as approved
by the District's legal counsel and the City Attorney.
FISCAL IMPACT: Per Government Code Section 27383, the recordation of certain
use restrictions will incur no cost to the City.

BACKGROUND AND DISCUSSION:
Grant Fund Expenditures: The 1996 Proposition A specifically earmarked a portion of
its funds for the City's acquisition of open space for habitat and wildlife preservation in
the general vicinity of the Portuguese Bend area (Attachment A). In 2001, the City used
$3,844,087 in Grant Funds to acquire 98 acres of undeveloped open space land
commonly referred to as the Barkentine (formerly "3 Sisters") property ("Barkentine

Property"). Subsequently, the City Council approved using the remaining $155,913 of
Grant Funds to offset the acquisition and related administration costs (such as survey,
legal, environmental and/or appraisal fees) related to the following four (4) other open
space properties in the City ("Additional Properties"): Portuguese Bend, Upper Filiorum,
and Malaga Canyon North and South. The property acquisitions, which spanned a
period of 13 years, involved a variety of properties from different buyers. However, the
District considers all five (5) properties (the Barkentine Property and the Additional
Properties) as part of the same Grant and will not close the Barkentine Property
acquisition without also closing out the acquisition of the Additional Properties. The

*No payment has been received to date. This amount is held by the District and will be released when
the deed restriction is approved by the City Council for the District's recordation.
Additionally, through the 1992 and 1996 Bond Acts, the City receives Maintenance and
Servicing (M & S) funds for Measure A -funded acquisitions to help offset maintenance
costs ("Maintenance Funds"). The Maintenance Funds help to offset the City's General
Fund expenditures for the Preserve Properties. The Maintenance Funds have been
specifically spread among the Barkentine Property and the Additional Properties to
assure that all of them could be eligible for future Maintenance Funds.
Grant Closeout: Staff has been working closely with the District to close out the Grant
Agreement, including gathering various documents for the recently -acquired Malaga
Canyon properties. However, during a visit and review/informal audit of the City's Grant
files, it was determined that the earlier acquisitions were missing recorded deed
restrictions and, therefore, the requirements of Grant Agreement had not been fully
satisfied.
NCCP and Conservation Deed Restrictions: All the aforementioned open space
acquisitions were approved by the City Council for the purpose of open space
preservation and are part of the City's 1,400 -acre NCCP Palos Verdes Nature Preserve
("Preserve"). Currently, four (4) of the five (5) properties listed above have recorded
deed restrictions that are as or more restrictive than the proposed Covenant Agreement.

These previous deed restrictions have been imposed for open space, public access and
habitat protection by the various agencies that have provided the bulk of the funds used
for funding the acquisitions. The Barkentine Property is the only parcel that currently is
not subject to any deed restriction, but since it is part of the City's NCCP Preserve, it will
eventually have a conservation easement placed upon it once the final NCCP is
adopted by the City Council which is anticipated to occur late this summer. As noted
above, the Grant Agreement requires the Covenant Agreement be recorded against the
Barkentine Property.
Donation Properties/Parcels: At a City Council meeting in late 2015, a question arose
regarding public donations used for the Hon (Portuguese Bend Reserve) property
acquisition (Attachment C). The City Council directed Staff to investigate the acreage,
obtain clarification and report back. In response, the following information has been
provided by the Community Development Department:
In 2004, the City Council approved the City's Draft NCCP which proposed
Preserve design that excluded an approximate 25 -acre 'Active Recreation Area"
from the Preserve. In 2005, the City acquired the 424 -acre Portuguese Bend
property from Barry Hon which included the site of the 25 -acre 'Active Recreation
Area". Because the 25 -acre 'Active Recreation Area" identified in the NCCP was
part of the Portuguese Bend parcel, a question arose of how to legally define and
separate the 25 -acre parcel from the rest of the Preserve for Palos Verdes
Peninsula Land Conservancy (PVPLC) management purposes. The 25 -acre
'Active Recreation Area" identified in the NCCP eventually began to be referred
to as "Gateway Park" and was subsequently reduced in size to 17 acres in 2014.
The 17 -acre area is no longer referred to as "Gateway Park" as it is now simply
city -owned open space similar to the City's Archery Range property on the other
side of Palos Verdes Dr. S.
The Resource Agencies agreed that the last step in finalizing the NCCP will be to
record updated and consistent NCCP related Conservation Easements on all of
the Preserve properties. Meanwhile to meet the Measure A grant closure
requirements, the "Active Recreation Area" noted in the NCCP has now been
identified through a legal description so it could be excluded from the current
conservation easement that has been recorded on the greater 424 -acre property.
The legal description of the 17 -acre area was prepared in January 2017 and this
area will be excluded from the eventual NCCP Conservation Easement that will
continue to encumber the remainder of the Portuguese Bend property.
Additionally, while preparing the documents for this report, Staff noted that the Upper
Filiorum property also includes a 29.4 -acre donation parcel by Jim York (Attachment D).
This donation parcel will be included in the eventual NCCP Conservation Easement
since it will be part of the Preserve. However, both the York and Hon donation parcels
have been identified by the City's surveyor and since no grant funds were used for
these donated parcels they will be excluded from the Measure A Covenant Agreement.

Thus neither of the two donation property descriptions are included in the attached draft
Covenant Agreement documents.
The Director of Public Works is the City's authorized representative for the Grant.
Based on the foregoing discussion, Staff recommends that the City Council authorize
the Director of Public Works to execute the Use Restriction and Covenant (Attachment
E) and deliver it to the District for their execution and its recordation in the Official
Records of Los Angeles County. The proposed Covenant Agreement has been
reviewed and approved by both the District's legal counsel and the City Attorney.
ALTERNATIVES:
In addition to the Staff recommendation, the following alternative actions are available
for the City Council's consideration:
1. Do not approve the Covenant Agreement for the Barkentine Property.
Staff does not recommend this alternative as the Grant specifically was for
the acquisition of the Barkentine Property which was, in fact, acquired
using the Grant Funds.
2. Require the Covenant Agreement for only the Barkentine Property. By
excluding the other four (4) Preservation Properties, the City would forego
the remaining $155,913 in Grant Funds. Staff does not recommend this
alternative. These four (4) properties already are subject to recorded
deed restrictions required by other grant agencies so the Covenant
Agreement is simply another layer of similar restrictions.
3. Do not approve the Covenant Agreement for the two (2) Malaga Canyon
properties since no Grant Funds have been received to date with respect
to those two (2) properties, and direct Staff to request closeout of the
Grant and forego the remaining $5,000 in Grant Funds. However, the two
(2) Malaga Canyon properties are already subject to recorded deed
restrictions.
4. Take other action as deemed appropriate by the City Council.

USE COVENANT AND RESTRICTION RUNNING WITH THE LAND
This Use Covenant and Restriction Running with the Land ("Covenant
Agreement") is made this day of , 2017 ("Agreement Date") by
and between the City of Rancho Palos Verdes, a municipal corporation ("City") and the
Los Angeles County Regional Park and Open Space District, a public agency of the
County of Los Angeles created and existing under the authority of Section 5506.9 et seq.
of the California Public Resources Code ("District").
RECITALS:
A. City owns that certain unimproved real property generally located on the southern
slope of Palos Verdes Hill in the City of Rancho Palos Verdes, County of Los
Angeles, State of California and legally described in Exhibit A attached and
incorporated herein by reference ("Preservation Properties").
B. City applied to District for grant funds available pursuant to Los Angeles County
Proposition A, Safe Neighborhood Parks Gang Prevention, Tree -Planting, Senior
and Youth Recreation, Beaches and Wildlife Protection, approved by the voters on
November 3, 1992 ("1992 Proposition A") and Los Angeles County Proposition
A, Safe Neighborhood Parks, approved by the voters on November 5, 1996 (1996
Proposition A"). The 1992 Proposition A and 1996 Proposition A may be referred
to collectively as the "Grant Program".
C. On April 17, 2001, District approved Grant No. 58H4-01-1284 in the amount of
Four Million Dollars ($4,000,000) for the acquisition of approximately ninety-eight
(98) acres of land constituting the Preservation Properties ("Grant") for open space

purposes. The Grant and its amendments (collectively referred to as the "Grant
Agreement") are incorporated herein by reference. A copy of the Grant Agreement
is available upon request at both the City's offices and the District's offices.
D. As a condition for providing funds, the Grant Program requires certain restrictions
be imposed on the Preservation Properties pursuant to this Covenant Agreement.
But for the imposition of the restrictions in this Covenant Agreement, the Grant
would not be consistent with the public purposes of the Grant Program, and the
Grant funds could not have been granted.
E. City has elected to enter into this Covenant Agreement consistent with its
obligations under the Grant Agreement and to be able to receive the Grant and
acquire the Preservation Properties.
NOW, THEREFORE, in inconsideration of the award of the Grant by District, City
irrevocably covenants with District to use the Preservation Properties in compliance with
the terms of this Covenant Agreement which shall constituted covenants, conditions, and
restrictions which shall run with the land.
1. GRANT. City has and shall use the Grant funds to acquire the Preservation
Properties in accordance with the Grant Agreement.
2. USE. City covenants and agrees to use and maintain the Preservation Properties
solely as open space for the period specified in Section 3.
3. DURATION. This Covenant Agreement shall remain in full force and effect and
shall bind City, its assigns, and successors -in -interest in perpetuity except as
otherwise provided by the Grant Program and the Grant Agreement.
4. TAXES AND ASSESSMENTS. This Covenant Agreement is irrevocable and shall
constitute an enforceable restriction within the meaning of (a) Article XIII, Section
8 of the California Constitution, and (b) Section 402(1) of the California Revenue
and Taxation Code or successor statute. Furthermore, this Covenant Agreement
shall be deemed to constitute a servitude upon and burden to the Preservation
Properties within the meaning of Section 3712(d) of the California Revenue and
Taxation Code, or successor statute, which survives a sale of tax -deeded property.
5. RIGHT OF ENTRY. Employees or agents of District may enter onto the Property
at reasonable times after written notice to City to ascertain compliance with this
Covenant Agreement.
6. REMEDIES. Any act, conveyance, contract, or authorization by City whether
written or oral which uses or would cause to be used or would permit use of the
Preservation Properties contrary to the terms of this Covenant Agreement will be
deemed a violation and a breach of this Covenant Agreement. District may pursue
any and all available legal and/or equitable remedies to enforce the terms and
conditions of this Covenant Agreement. In the event of a breach, any forbearance

on the part of District to enforce the terms and provisions hereof shall not be
deemed a waiver of enforcement rights regarding any subsequent breach.
7. SEVERABILITY. If any covenant in this Covenant Agreement is held to be invalid,
or for any reason becomes unenforceable, no other provision shall be affected or
impaired.
8. INTERPRETATION; GOVERNING LAW. This Covenant Agreement shall be
construed according to its fair meaning and as if prepared by both parties. This
Covenant Agreement shall be construed in accordance with the laws of the State
of California in effect at the time of the Agreement Date.
IN WITNESS WHEREOF, the parties have caused this Covenant Agreement to be
executed on its behalf by its officers as of the Agreement Date.
