URS Corporation is pleased to submit this proposal to amend our consulting services contract for the subject
project. The following is submitted for your consideration.
Scope
The NCCP CEQA process has taken much longer to get to the Public Review stage of the program than was
originally anticipated. The original EIR process assumed two agency review cylces, however, five review
cycles were required due to substantial policy changes (e.g., grassland mitigation requirement) and
modifications to the proposed reserve design resulting from each review cycle. Consequently, the scope of
work that URS agreed to has been exceeded due to the iterative nature of the process that exceeded our
costing assumptions. The cost of out-of-scope CEQA-related activities is estimated at$23,940.
In addition, The City request Dr. Mock review and comment on the proposed York Weed Abatement on the
Point View project site. Several comment letters and detailed memos were prepared during this review
process. The consulting activity is an out-of-scope work item with an estimated cost of$3,364.
The current cost estimate for the
CEQA/NEPA process is $67,509. Our original budget for the CEQA
Q
Process was $46,892 (estimated in late 1999). About $3,800 of the CEQA/NEPA budget has been expended
for the NOP/IS document. Given the extra effort required to complete the CEQA process and provide
technical assistance with the York Weed Abatement project, a budget amendment of$27,304 is needed to
complete Phase III of the NCCP project, which includes the CEQA process, review of the implementing
agreement, Phase III meetings, and final edits to the NCCP plan.
Schedule
The scope of work of this amendment has been initiated. The revised EIR schedule has been provided to the
City.

THIS AGREEMENT is executed this 28th day of September, 2000 by and
between the City of Rancho Palos Verdes (hereinafter called "CITY"), and URS
Corporation, a Nevada Corporation doing business as URS Corporation Americas,
hereinafter called ("CONSULTANT").
RECITALS
WHEREAS, on February 20, 1996 the CITY entered into an NCCP Planning
Agreement with the California Department of Fish and Game (CDFG) and the U.S. Fish
and Wildlife Service (USFWS), thereby formalizing the CITY'S intent to participate and
serve as lead agency in the preparation of a subregion NCCP for those portions of the
CITY located within the Palos Verdes Peninsula Subarea.
WHEREAS, on May 29, 1998, the CITY entered into an agreement with Ogden
Environmental and Energy Services Co. Inc. (Ogden) to complete Phase II of the Palos
Verdes Subarea NCCP.
WHEREAS, on July 21, 1998, the CITY granted approval for Ogden to pursue a
subconsultant agreement with Dames and Moore for the services of Dr. Patrick Mock
for the remainder of the Phase II scope of work, after receiving notification from Ogden
that NCCP Project Manager, Dr. Patrick Mock, would be leaving Ogden to assume a
position with Dames & Moore.
WHEREAS, on May 4, 1999, the City agreed to enter into an agreement with
Dames and Moore to complete Phase III of the Palos Verdes Subarea NCCP.
WHEREAS, on May 4, 1999, Ogden terminated the Phase II Agreement with the
CITY and agreed to assume the role as subcontractor under a new Dames & Moore
Agreement with the CITY.

WHEREAS, on July 27, 1999, the CITY authorized Dames & Moore to initiate
work on the remaining Phase II scope of work until a formal agreement could be
finalized.
WHEREAS, in September 1999, Dames & Moore's work was placed on hold
while the CITY worked to address concerns identified by the NCCP Working Group
participants and Resource Agencies on the CITY's Draft Preferred Preserve Alternative.
WHEREAS, in August 2000, the CITY informed Dames & Moore that work on a
new Draft Preserve Alternative was going to be re-initiated and Dames & Moore notified
the CITY that Dames & Moore are now known as URS Corporation.
WHEREAS CONSULTANT represents that it is qualified and able to complete
the necessary Phase II and prepare the necessary Phase III of the NCCP in compliance
with the applicable state laws and state and local guidelines;
NOW, THEREFORE, the parties agree as follows:
Section 1. CONSULTANT'S Services.
(a) Consultant shall perform professional services in connection with completion
of the uncompleted Phase II tasks of the Palos Verdes Peninsula NCCP, as set forth in
the "NCCP Subarea Plan Phase II Scope of Work" presented to and approved by the
Rancho Palos Verdes City Council on April 7, 1998, and completion of the proposed
Phase III tasks of the Palos Verdes Peninsula NCCP, as set forth in the "NCCP
Subarea Plan Phase III Scope of Work" presented to and approved by the Rancho
Palos Verdes City Council on May 4, 1999, which are summarized and attached hereto
as Exhibit "A", and made part hereof by reference, including the following tasks:
(1) Preparation of the subarea plan document.
(2) GIS Services in support of plan development and document
preparation.
(3) Preparation of the Financing Plan
(4) Assistance in the preparation of the NCCP Implementing Agreement.

(5) The negotiation of the necessary wildlife permits.
(6) The preparation of the NEPA/CEQA documentation for the subarea
plan.
(7) The coordination of the technical peer review process.
(8) Attendance at all appropriate meetings.
(b) Phases II and III of the NCCP project shall be completed in compliance with,
and shall contain all items required by, the "scope of services" attached as Exhibit "A"
and the State NCCP Process Guidelines.
(c) When requested, CONSULTANT shall attend and participate in meetings
with CITY staff, the Palos Verdes NCCP Planning Group, and/ or State and Federal
Resource Agencies, which are necessary for completion of Phases II and III of the
Palos Verdes NCCP. For additional meetings which CONSULTANT is requested to
attend by CITY beyond those allocated for in the attached scope of work,
CONSULTANT shall be compensated at the rate set forth in the "Budget" contained in
attached Exhibit "A" and incorporated herein by reference.
(d) CONSULTANT shall supply CITY with the deliverables described in the
"Scope of Services" attached as Exhibit "A", including the following documents for the
proposed project:
(1) A subarea plan document;
(2) A financing plan document
(2) An EIS/E I R.
(e) All reports, information, data and exhibits prepared or assembled by
CONSULTANT in connection with the performance of its services pursuant to this
Agreement are confidential until released by CITY to the public and CONSULTANT
agrees that they shall not be made available to any individual or organization without
prior written consent of the CITY prior to such release. All such reports, information,
data and exhibits shall be delivered to CITY upon demand without additional cost or
expense to CITY. The documents listed above in section (c) shall be provided to CITY
in hard copy reproducible form. All charts, tables, figures, and maps which are

prepared with computer-based mapping or spread-sheet programs shall be also be
provided to CITY on computer diskette or other format acceptable to CITY.
CONSULTANT shall retain unlimited rights to the future use of reports and data
produced as a result of this agreement.
(f) When draft reports, maps or other materials are submitted to the CITY for
review, the CITY shall review such materials within the time frames specified in the
attached "Scope of Services" as Exhibit "A". When comments on such draft documents
are submitted by the CITY back to the CONSULTANT, the CONSULTANT shall
respond to comments raised by CITY'S staff within the time frames specified in the
"Scope of Services" attached as Exhibit "A". If no time frames are mentioned in the
attached "Scope of Services", the CITY and CONSULTANT shall respond to comments
or draft documents within ten (10) working days.
(g) This agreement and the scope of work to be performed by CONSULTANT
may only be amended in a written document executed by both of the parties to this
agreement.
Section 2. Time of Performance. CONSULTANT shall timely perform the
services described above and in attached Exhibit "A" in the time frame described in the
Project Schedule contained in Exhibit "A". The time schedule may be modified by the
mutual written consent of the parties hereto.
Section 3. Compensation. CITY agrees to compensate CONSULTANT,
and CONSULTANT agrees to accept in full satisfaction for the services provided for
hereunder, a fixed fee not to exceed $164,438 ($86,875 for completion of Phase II and
$77,563 for Phase III) which includes all labor and subconsultant costs, as described in
the "Budget" contained in attached Exhibit "A". In addition, this fixed fee shall include all
expenses for printing, word processing, delivery, fax, phones, mileage, etc.
Not included in this fixed fee are expenses incurred for attending meetings
beyond those specified in Section 1(c) of this contract; analysis of key issues in addition

to those identified in attached Exhibit "A", changes in the project description, plans, or
scope of work requiring additional work; time spent responding to comments beyond
that specified in attached Exhibit "A"; and printing additional copies of any document
specified in Exhibit "A".
The actual costs of CONSULTANT'S services and expenses shall
be itemized on the Invoice form and CITY shall pay CONSULTANT for said services
and expenses completed on a monthly basis.
If CONSULTANT is requested by CITY to revise or supplement the Phases II and
III Report with additional data, information or analysis solely as a result of the
CONSULTANT'S failure to complete the scope of services requested in the attached
Scope of Work (Attached Exhibit "A"), CONSULTANT shall provide such revision or
supplement at no additional cost to the CITY.
If changes to existing laws, rules, regulations or policies of any state, federal or
local governmental authority having jurisdiction over the project occur during the term of
this Agreement that require modification of the Phase II and III Reports, CONSULTANT
will perform such additional services on a time-and-materials basis.
The CITY and CONSULTANT hereby acknowledge and agree that the terms of
CONSULTANT'S compensation are not dependent upon the CITY'S final action on the
NCCP Program.
Section 4. Independent Contractor. CONSULTANT will act hereunder as an
independent contractor. This Agreement shall not and is not intended to constitute
CONSULTANT as an agent, servant, or employee of the CITY and shall not and is not
intended to create the relationship of partnership, joint venture or association between
the CITY and CONSULTANT.
Section 5. ASSIGNMENT. This agreement may not be assigned in whole
or in part, without the prior written consent of CITY.

Section 6. CONSULTANT. Responsible Principal and Project Manager.
The CONSULTANT shall have and maintain Dr. Patrick Mock as the Project Manager
for the NCCP Phases II and III project until such project is completed by
CONSULTANT. The CONSULTANT'S Project Manager shall be principally responsible
for the CONSULTANT'S obligations under this Agreement and shall serve as principal
liaison between CITY and CONSULTANT. Designation of another Responsible Project
Manager by CONSULTANT shall not be made.
Section 7. Personnel. CONSULTANT represents that it has, or shall secure
at its own expense, all personnel required to perform CONSULTANT'S services under
this Agreement. CONSULTANT may associate with or employ associates or
subconsultants in the performance of its services under this Agreement, but at all times
shall be responsible for their services.
The following subconsultants are approved by CITY for tasks associated with
preparation of the Phase III NCCP:

CONSULTANT may not employ additional or substitute subconsultants without
prior written approval of CITY.
Section 8. City: Liaison. CONSULTANT shall perform under the
general supervision of the Planning, Building and Code Enforcement Director of CITY or
his or her designee, and all communications, instructions and directions on the part of
the CITY shall be communicated exclusively through the Planning Director or his or her
designee.
Section 9. Data and Services to be Furnished by CITY. All information,
data, records, reports and maps as are in possession of CITY and necessary for the
carrying out of this work shall be available to CONSULTANT without charge.
Section 10. Interests of CONSULTANT. The CONSULTANT affirms that it
presently has no interest and shall not have any interest, direct or indirect, which would
conflict in any manner with the performance of the services contemplated by this
Agreement. No person having any such interest shall be employed by or be associated
with the CONSULTANT. The terms of the CONSULTANT'S compensation are not
dependent upon the CITY'S final action on the NCCP project.
The parties agree:
(a) CITY has sole discretion to direct the work and evaluate the
performance of CONSULTANT and CITY retains the right to fire or replace
CONSULTANT or subconsultants at any time.
(b) CITY has sole discretion to determine the amount of
compensation paid to CONSULTANT.
(c) CITY shall pay CONSULTANT from a CITY account under
the exclusive control of CITY.

Section 11. Insurance. CONSULTANT shall submit to CITY certificates
indicating compliance with the following minimum insurance requirements, to be
maintained during the term of this agreement, not less than one (1) day prior to the
beginning of performance under this Agreement.
1. Worker's Compensation Insurance to cover its employees as required by
the California Labor Code.
The CONSULTANT shall require all subcontractors similarly to provide such
compensation insurance for their respective employees.
2. General liability protecting CONSULTANT in an amount no less than
$1,000,000 per occurrence, $1,000,000 aggregate, for bodily injury, personal injury and
property damage. Automobile liability protecting CONSULTANT in an amount not less
than $500,000 per accident for bodily injury and property damage. Employer's liability
protecting CONSULTANT in an amount no less than $1,000,000 per accident, bodily
injury or disease. Such policies of insurance shall:
(a) Be issued by an insurance company which is admitted to business
in the State of California and which is rated in Best's Insurance Guide with a rating of B+
or better.
(b) Except for Worker's Compensation and Employer's Liability, name
and list as additional insured the CITY, its officers and employees.
(c) Except for Worker's Compensation and Employer's Liability, be
primary to any other similar insurance and shall name the CITY, its officers, agents and
employees, as additional insureds. The insurance policy shall contain a provision that
prohibits cancellation, without thirty (30) days prior written notice to the CITY. The
insurance certificate evidencing such insurance shall be submitted to the CITY for
review and thereafter the CITY shall have the right to approve or disapprove any
insurance procured by CONSULTANT under the standards of this section. Further,
CONSULTANT agrees to maintain in full force and effect during the term of this
Agreement professional errors and omissions insurance in an amount not less than
$1,000,000 per claim, and in the aggregate.

Procurement of insurance by CONSULTANT shall not be construed as a
limitation of CONSULTANT'S liability or as full performance of CONSULTANT'S duties
to indemnify, hold harmless, and defend under this Agreement.
(d) Except for Worker's Compensation and Employer's Liability,
indemnify the CITY from liability from loss, damage or injury to persons or to property
arising from CONSULTANT'S negligent acts in connection with the performance of
services under this Agreement.
(e) Except for Worker's Compensation and Employer's Liability, include
a severability of interests clause substantially similar to the following: "The insurance
afforded by this policy applies separately to each insured against whom a claim or suit
is made or suit it brought, except with respect to the limit of the insurer's liability."
(f) Contain a clause substantially in the following words: "It is hereby
understood and agreed that this policy shall not be canceled nor materially changed
except upon thirty (30) days prior written notice to the CITY of such cancellation.
(g) Cover the operations of CONSULTANT pursuant to the terms of
this Agreement.
3. Unless waived by the CITY, CONSULTANT shall not commence the
performance of its services under this contract until the above insurance has been
obtained and Certificate of Insurance have been filed with CITY.
CONSULTANT further agrees that a clause substantially similar to this
Section 11 will be included in any subcontract executed under this contract, except for
individual subconsultants (Dr. Atwood, Dr. Arnold, Dr. Onaka), whose liability limits will
be $100,000 per claim, and in the aggregate.
Section 12. Indemnification. CONSULTANT agrees to defend and
indemnify the CITY, its officers, employees, and agents against, and will hold and save
them and each of them harmless from damages to persons or property, penalties,
obligations, liabilities, and costs, including but not limited to reasonable cost of defense,
that may be claimed by any person, firm, entity, corporation, political subdivision or

other organization to the extent caused by the negligent acts or intentional tortious acts,
errors or omission of CONSULTANT or those for whom CONSULTANT is legally
responsible. However, if any information or data prepared or provided by consultant is
misused by an agent of the CITY, consultant shall not be responsible for such misuse of
data.
Section 13. Termination. The executory provisions of this Agreement
may be terminated by CITY upon ten (10) days written notice to the CONSULTANT
without further action by CITY. The executory provisions of this agreement may be
terminated by the CONSULTANT upon thirty (30) days written notice to the CITY. In
the event of such termination by the CITY, the CITY shall pay the CONSULTANT for
work satisfactorily completed to date of such termination, but in no event to exceed
the compensation described in Section 3 of this agreement, based on the percentage of
completion of CONSULTANT'S work on the date of termination, provided such work is
in a form usable by CITY.
Section 14. Notice. Any notice or materials required to be given to the
CONSULTANT shall be deemed duly and properly given upon delivery, if sent to
CONSULTANT postage prepaid to:

Section 15. Entire Agreement. This agreement represents the entire
integrated agreement between CITY and CONSULTANT, and supersedes all prior
negotiations, representations or agreements, either written or oral relating to Phase II of
the CITY'S NCCP Program. This Agreement may be amended only by a written
instrument signed by both CITY and CONSULTANT.
Section 16. Litigation Costs. Should any dispute under this Agreement lead
to litigation, the prevailing party shall be entitled to reasonable attorneys' fees for the
prosecution of the action.
Section 17. This Agreement and any dispute arising hereunder shall be
governed and interpreted in accordance with the laws of the State of California.

Phase II Tasks
1. Prepare subarea plan document. In concert with City staff, the URS team will prepare
a document describing the plan, its effects, and its implementation mechanisms.
Implementation process and mechanisms would need to be provided by the City. The
subarea plan would serve as an Natural Communities Conservation Planning (NCCP)
document as well as a Habitat Conservation Plan (HCP) under Section 10(a) of the
federal Endangered Species Act (ESA).. This task includes one draft and one final
subarea plan documents. URS team assumes the City will be responsible for
preparing relevant sections of the subarea plan pertaining to land use planning, local
ordinances, and project-specific permit procedures. This task includes the
participation of Drs. Atwood and Arnold as technical advisors. Cost: $34,305.
2. Provide GIS services in support of plan development and document preparation.
Ogden's GIS group will provide database management and analyses in support of the
plan. One final alternative (5th alternative)will be assessed. Report format figures of
map products will be provided for plan. Cost: $23,471.
3. Prepare financing plan. In concert with City staff and URS team, Dr. Jun Onaka of
Onaka Planning and Economics (OP/E) will prepare a financing plan as required by
the HCP process under Section 10(a) of the federal ESA. The plan will include: (1) a
cost analysis of HCP implementation, including estimate economic and land use
impacts of plan; (2) recommended sources of funding; (3) a cash flow analysis of
program costs and funding, as necessary. This task includes one draft and one final
financing plan documents. A total of 16 hours of meetings involving Dr. Onaka are
included in this task. Cost: $23,579.
4. Attend Phase II meetings. URS team assumes that two meeting days per month will
be required. A total of 48 hours are budgeted at Dr. Mock's rate. Cost: $5,520.
Current Total Phase II Budget: $86,875. This total is less $19,872 expended under a
letter of authorization provided during the fourth quarter of 1999, prior to the program
going on hold in December 1999. Approved Phase II budget allocation is 106,747
(86,875 + 19,872).
Phase III Tasks
1. Assist in the preparation of NCCP implementing agreement. URS will assist Rancho
Palos Verdes' legal counsel to create the implementing agreement (IA) that identifies
the responsibilities of the City of Rancho Palos Verdes, U.S. Fish and Wildlife
Service (USFWS), California Department of Fish and Game (CDFG), and other

appropriate parties, in implementing the subarea plan. The City will have the primary
responsibility in developing the IA. URS will serve in an advisory and review
capacity only and will not be responsible for drafting language for the IA. URS will
provide the City with IAs developed for previous NCCP subarea plans.
Cost: $8,324.
2. Negotiate wildlife permits. URS will meet with City Staff, USFWS, and CDFG to
assist in negotiating plan components, the list of covered species, and other aspects of
the requested permits and authorizations. A total of 12 person-days are budgeted at
senior staff rates. Cost: $8,119.
3. Prepare NEPA/CEQA documentation for subarea plan. URS will prepare an EIR/EA
to satisfy the NEPA and CEQA requirements for the Rancho Palos Verdes Subarea
HCP. The EIR/EA will be written in accordance with USFWS NEPA requirements,
City of Rancho Palos Verdes CEQA guidelines, and state CEQA
regulations/guidelines. The EIR/EA will evaluate the potential environmental
impacts associated with two actions of the Rancho Palos Verdes Subarea HCP: 1)the
impacts to sensitive plant and animal species from the issuance of a master 10(a)
permit for the expected take of species covered under the permit; and 2) the impacts
associated with the adoption of the Subarea HCP. It is anticipated that the EIR/EA
analysis will focus on land use, biology, public services, and housing/population.
URS anticipates that the EIR/EA will support a combined certified EIR / Finding of
No Significant Impact (FONSI), if mitigation measures are incorporated into the
project description prior to public distribution of the EIR/EA. URS will also prepare
a Mitigation Monitoring Reporting Program (MMRP) in accordance with CEQA
Guidelines. This task includes one round of revisions on the screencheck draft
EIR/EA, a public review draft EIR/EA and a final EIR. Cost: $46,892.
URS assumes the following for Task 3 of Phase III:
• The USFWS and the City of Rancho Palos Verdes will be joint lead agencies for
the CEQA/NEPA document.
• The CDFG will act as trustee agency for the 2081 permit and pre-listing
agreement.
• City of Rancho Palos Verdes will prepare and distribute the Notice of Preparation
for the EIR/EA.
• The USFWS will be responsible for all NEPA scoping requirements.
• A separate Initial Study will not be prepared.
• URS will work closely with City of Rancho Palos Verdes, USFWS, and CDFG
staff in preparing the EIR/EA.

• A screencheck draft EIR/EA will be prepared for review by the City, USFWS,
and CDFG. URS will make revisions to the EIR/EA for public review.
• The City will distribute the EIR/EA for public review. URS will provide a
camera-ready copy and 40 copies each of the public review draft and final
EIR/EA documents. Any additional reproduction of the EIR/EA will be charged
as an additional T&M task.
• The USFWS will be responsible for preparing and filing with the Federal Register
the FONSI based on the public draft EIR/EA and Rancho Palos Verdes will be
responsible for filing the certified EIR.
• The EIR/EA will include a socioeconomic analysis that will be limited to
summarizing the conclusions of the Onaka economic analysis and its effects on
housing/population.
• The final EIR/EA response to comments effort will be on a time and materials
basis since the number and complexity of comments is unknown at this time. A
total of 24 hours at senior staff rates is assumed for the purposes of costing.
4. Phase III meetings. URS assumes that two meeting days per month will be required.
A total of 12 person-days are budgeted at senior staff rates. Cost: $11,444.
5. Coordinate Technical Peer Review Process. This task includes contacting potential
peer reviewers to determine their availability, distributing the appropriate materials to
the reviewers, and summarizing the results of the peer review. A total of 28 staff
hours is assumed for this task. Cost: $2,785.
Total Cost of the Phase III program: $77,563.
Total Contract Value: $184,310 (106,747+77,563). This total budget includes
$19,872 expended under letter of authorization in the fourth quarter of 1999.
