DESIGN PROFESSIONAL SERVICES AGREEMENT
THIS AGREEMENT ("Agreement") is made and entered into this 14th day of May,
2014, by and between the City of Rancho Palos Verdes (hereinafter referred to as the
"CITY") and Harris and Associates (hereafter referred to as "CONSULTANT").
IN CONSIDERATION of the covenants hereinafter set forth,the parties hereto agree
as follows:
ARTICLE 1
SCOPE OF SERVICES
1.1 Project Description
The Project is described as providing sanitary sewer design services
including but not limited to: confirming the need to replace the five sections of the City's
system that have been identified as under-capacity in the Master Plan Update; coordinating
design plans and construction procedures with the County of Los Angeles; producing full
designs, for the line segments that have been verified to have capacity related issues, to
facilitate replacement of the sewer pipe segments within the system that require
replacement; and providing a detailed engineer's estimate.
1.2 Description of Services
CONSULTANT shall confirm capacity requirements as a check prior to
beginning sanitary sewer system design, design and produce plans in accordance with Los
Angeles County requirements, produce plans specifications and estimates for each section
of the system that is under-capacity, and develop constructability methods for by-pass
during construction, as described in the CITY's Request For Qualifications, which is
attached hereto as Exhibit "A" and incorporated herein by this reference, and in
CONSULTANT's Proposal, which is attached hereto as Exhibit"B"and incorporated herein
by this reference. In the event of any conflict between the terms of this Agreement and
incorporated documents, the terms of this Agreement shall control. In the event of any
conflict between Exhibits "A" and "B," the terms of Exhibit "A” shall control.
1.3 Schedule of Work
Upon receipt of written Notice to Proceed from the CITY, CONSULTANT
shall perform with due diligence the services requested by the CITY. Time is of the
essence in this Agreement. CONSULTANT shall not be responsible for delay, nor shall
CONSULTANT be responsible for damages or be in default or deemed to be in default by

reason of strikes, lockouts, accidents, or acts of God, or the failure of CITY to furnish timely
information or to approve or disapprove CONSULTANT's work promptly, or delay or faulty
performance by CITY, other consultants/contractors, or governmental agencies, or any
other delays beyond CONSULTANT's control or without CONSULTANT's fault.
ARTICLE 2
COMPENSATION
2.1 Fee
CITY agrees to compensate CONSULTANT an amount not to exceed One
Hundred Ninety-six Thousand One Hundred Ninety dollars ($196,190.00)for services as
described in Article 1.
2.2 Terms of Compensation
CONSULTANT shall submit monthly invoices for the percentage of work
completed in the previous month. CITY agrees to authorize payment for all undisputed
invoice amounts within thirty(30) days of receipt of each invoice. CITY agrees to use its
best efforts to notify CONSULTANT of any disputed invoice amounts or claimed
completion percentages within ten (10) days of the receipt of each invoice. However,
CITY's failure to timely notify CONSULTANT of a disputed amount or claimed completion
percentage shall not be deemed a waiver of CITY's right to challenge such amount or
percentage.
Additionally, in the event CITY fails to pay any undisputed amounts due
CONSULTANT within forty-five (45) days after invoices are received by CITY then CITY
agrees that CONSULTANT shall have the right to consider said default a total breach of
this Agreement and be terminated by CONSULTANT without liability to CONSULTANT
upon ten (10) working days advance written notice.
2.3 Additional Services
CITY may request additional specified work under this Agreement. All such
work must be authorized in writing by the CITY's Director of Public Works prior to
commencement. CONSULTANT shall perform such services, and CITY shall pay for such
additional services in accordance with CONSULTANT's Schedule of Hourly Rates,which is
within Exhibit "B." The rates in Exhibit "B" shall be in effect through the end of this
Agreement.

2.4 Term of Agreement
This Agreement shall commence on May 14, 2014 and shall terminate on
June 30, 2015 unless sooner terminated pursuant to Article 4 of this Agreement.
ARTICLE 3
INDEMNIFICATION AND INSURANCE
3.1 Indemnification, Hold Harmless, and Duty to Defend
(a) Indemnity for Design Professional Services. In connection with its
design professional services and to the maximum extent permitted by law, CONSULTANT
shall hold harmless and indemnify CITY, and its officials, officers, employees, agents and
independent contractors serving in the role of CITY officials, and designated volunteers
(collectively, "Indemnitees"), with respect to any and all claims, demands, causes of action,
damages, injuries, liabilities, losses, costs or expenses, including reimbursement of
attorneys' fees and costs of defense (collectively, "Claims" hereinafter), including but not
limited to Claims relating to death or injury to any person and injury to any property, which
arise out of, pertain to, or relate to in whole or in part to the negligence, recklessness, or
willful misconduct of CONSULTANT or any of its officers, employees, subcontractors, or
agents in the performance of its design professional services under this Agreement.
(b) Other Indemnities. In connection with any and all claims, demands,
causes of action, damages, injuries, liabilities, losses, costs or expenses, including
attorneys' fees and costs of defense (collectively, "Damages" hereinafter) not covered by
Section 3.1(a), and to the maximum extent permitted by law, CONSULTANT shall defend,
hold harmless and indemnify the Indemnitees with respect to any and all Damages,
including but not limited to, Damages relating to death or injury to any person and injury to
any property, which arise out of, pertain to, or relate to the acts or omissions of
CONSULTANT or any of its officers, employees, subcontractors, or agents in the
performance of this Agreement, except for such loss or damage arising from the sole
negligence or willful misconduct of the CITY, as determined by final arbitration or court
decision or by the agreement of the parties. CONSULTANT shall defend Indemnitees in
any action or actions filed in connection with any such Damages with counsel of CITY's
choice, and shall pay all costs and expenses, including all attorneys' fees and experts'
costs actually incurred in connection with such defense. Consultant's duty to defend
pursuant to this Section 3.1(b) shall apply independent of any prior, concurrent or
subsequent misconduct, negligent acts, errors or omissions of Indemnitees.
(c) All duties of CONSULTANT under Section 3.1 shall survive termination
of this Agreement.

3.2 General Liability
CONSULTANT shall at all times during the term of the Agreement carry,
maintain, and keep in full force and effect, a policy or policies of Commercial General
Liability Insurance, with minimum limits of one million dollars ($1,000,000) for each
occurrence and two million dollars($2,000,000)general aggregate for bodily injury, death,
loss or property damage for products or completed operations and any and all other
activities undertaken by CONSULTANT in the performance of this Agreement. Said policy
or policies shall be issued by an insurer admitted or authorized to do business in the State
of California and rated in A.M. Best's Insurance Guide with a rating of A:VII or better.
3.3 Professional Liability
CONSULTANT shall at all times during the term of this Agreement, carry,
maintain, and keep in full force and effect a policy or policies of professional liability
insurance with a minimum limit of one million dollars($1,000,000)per claim and aggregate
for errors and/or omissions of CONSULTANT in the performance of this Agreement. Said
policy or policies shall be issued by an insurer admitted or authorized to do business in the
State of California and rated in Best's Insurance Guide with a rating of A:VII or better. If a
"claims made" policy is provided, such policy shall be maintained in effect from the date of
performance of work or services on the CITY's behalf until three (3)years after the date of
work or services are accepted as completed. Coverage for the post-completion period may
be provided by renewal or replacement of the policy for each of the three (3)years or by a
three-year extended reporting period endorsement, which reinstates all limits for the
extended reporting period. If any such policy and/or policies have a retroactive date, that
date shall be no later than the date of first performance of work or services on behalf of the
CITY. Renewal or replacement policies shall not allow for any advancement of such
retroactive date.
3.4 Automobile Liability
CONSULTANT shall at all times during the term of this Agreement obtain,
maintain, and keep in full force and effect, a policy or policies of Automobile Liability
Insurance,with minimum of one million dollars($1,000,000) per claim and occurrence and
two million dollars ($2,000,000) in the aggregate for bodily injuries or death of one person
and five hundred thousand dollars ($500,000) for property damage arising from one
incident. Said policy or policies shall be issued by an insurer admitted or authorized to do
business in the State of California and rated in A.M. Best's Insurance Guide with a rating of
A:VII or better.
3.5 Worker's Compensation
CONSULTANT agrees to maintain in force at all times during the

performance of work under this Agreement worker's compensation insurance as required
by the law. CONSULTANT shall require any subcontractor similarly to provide such
compensation insurance for their respective employees.
3.6 Notice of Cancellation
(a) All insurance policies shall provide that the insurance coverage shall
not be cancelled or modified by the insurance carrier without thirty(30) days prior written
notice to CITY, or ten (10) days notice if cancellation is due to nonpayment of premium.
Additionally, CONSULTANT shall provide immediate notice to the City if it receives a
cancellation or policy revision notice from the insurer.
(b) CONSULTANT agrees that it will not cancel or reduce any required
insurance coverage. CONSULTANT agrees that if it does not keep the aforesaid
insurance in full force and effect, CITY may either immediately terminate this Agreement
or, if insurance is available at a reasonable cost, CITY may take out the necessary
insurance and pay, at CONSULTANT's expense, the premium thereon.
3.7 Entire Policy and Certificate of Insurance
At all times during the term of this Agreement, CONSULTANT shall maintain
on file with the CITY Clerk both a copy of the entire policy and a certificate of insurance
showing that the aforesaid policies are in effect in the required amounts. The commercial
general liability policy shall contain endorsements naming the CITY, its officers, agents and
employees as additional insureds.
3.8 Primary Coverage
The insurance provided by CONSULTANT shall be primary to any coverage
available to CITY. The insurance policies (other than workers compensation and
professional liability) shall include provisions for waiver of subrogation.
ARTICLE 4
TERMINATION
4.1 Termination of Agreement
(a) This Agreement may be terminated at any time,with or without cause,
by the CITY upon thirty(30)days prior written notice or by CONSULTANT upon ninety(90)
days prior written notice. Notice shall be deemed served if completed in compliance with
Section 6.15.

(b) In the event of termination or cancellation of this Agreement by
CONSULTANT or CITY, due to no fault or failure of performance by CONSULTANT,
CONSULTANT shall be paid compensation for all services performed by CONSULTANT,
in an amount to be determined as follows: for work satisfactorily done in accordance with
all of the terms and provisions of this Agreement as determined by the CITY,
CONSULTANT shall be paid an amount equal to the percentage of services performed
prior to the effective date of termination or cancellation in accordance with the work items;
provided, in no event shall the amount of money paid under the foregoing provisions of this
paragraph exceed the amount which would have been paid to CONSULTANT for the full
performance of the services described in this Agreement.
ARTICLE 5
OWNERSHIP OF DOCUMENTS
5.1 Ownership of Documents and Work Product
All final documents, plans, specifications, reports, information, data, exhibits,
photographs, images, video files and media created or developed by CONSULTANT
pursuant to this Agreement ("Written Products") shall be and remain the property of the
CITY without restriction or limitation upon its use, duplication or dissemination by the CITY.
All Written Products shall be considered "works made for hire," and all Written Products
and any and all intellectual property rights arising from their creation, including, but not
limited to, all copyrights and other proprietary rights, shall be and remain the property of the
CITY without restriction or limitation upon their use, duplication or dissemination by the
CITY. CONSULTANT shall not obtain or attempt to obtain copyright protection as to any
Written Products.
CONSULTANT hereby assigns to the CITY all ownership and any and all
intellectual property rights to the Written Products that are not otherwise vested in the CITY
pursuant to the paragraph directly above this one.
CONSULTANT warrants and represents that it has secured all necessary
licenses, consents or approvals to use any instrumentality, thing or component as to which
any intellectual property right exists, including computer software, used in the rendering of
the services and the production of all Written Products produced under this Agreement,
and that the CITY has full legal title to and the right to reproduce the Written Products.
CONSULTANT shall defend, indemnify and hold the CITY, and its elected officials, officers,
employees, servants, attorneys,designated volunteers, and agents serving as independent
contractors in the role of CITY officials, harmless from any loss, claim or liability in any way
related to a claim that CITY's use of any of the Written Products is violating federal, state
or local laws, or any contractual provisions, or any laws relating to trade names, licenses,

franchises, copyrights, patents or other means of protecting intellectual property rights
and/or interests in products or inventions. CONSULTANT shall bear all costs arising from
the use of patented, copyrighted, trade secret or trademarked documents, materials,
equipment, devices or processes in connection with its provision of the services and
Written Products produced under this Agreement. In the event the use of any of the
Written Products or other deliverables hereunder by the CITY is held to constitute an
infringement and the use of any of the same is enjoined, CONSULTANT, at its expense,
shall: (a) secure for CITY the right to continue using the Written Products and other
deliverables by suspension of any injunction, or by procuring a license or licenses for CITY;
or (b) modify the Written Products and other deliverables so that they become non-
infringing while remaining in compliance with the requirements of this Agreement. This
covenant shall survive the termination of this Agreement.
Upon termination, abandonment or suspension of the Project, the
CONSULTANT shall deliver to the CITY all Written Products and other deliverables related
to the Project without additional cost or expense to the CITY. If CONSULTANT prepares a
document on a computer, CONSULTANT shall provide CITY with said document both in a
printed format and in an electronic format that is acceptable to the CITY.
ARTICLE 6
GENERAL PROVISIONS
6.1 Representation
The CITY representative shall be the Director of Public Works or his or her
designee, and CONSULTANT shall notify CITY of CONSULTANT's designated
representative. These individuals shall be the primary contact persons for the parties
regarding performance of this Agreement.
6.2 Fair Employment Practices/Equal Opportunity Acts
In the performance of this Agreement, CONSULTANT shall comply with all
applicable provisions of the California Fair Employment Practices Act (California
Government Code Sections 12940-48), the applicable equal employment provisions of the
Civil Rights Act of 1964 (42 U.S.C. 200e-217), and the Americans with Disabilities Act of
1992 (42 U.S.C. § 11200, et seq.).
6.3 Audit
The City or its representative shall have the option of inspecting and/or
auditing all records and other written materials used by Contractor in preparing its billings
to the City as a condition precedent to any payment to Contractor. Contractor will promptly

furnish documents requested by the City. Additionally, Contractor shall be subject to State
Auditor examination and audit at the request of the City or as part of any audit of the City,
for a period of three (3) years after final payment under this Agreement.
6.4 Personnel
CONSULTANT represents that it has, or shall secure at its own expense, all
personnel required to perform CONSULTANT's services under this Agreement. Any
person who performs engineering services pursuant to this Agreement shall be licensed as
a Civil Engineer by the State of California and in good standing. CONSULTANT shall
make reasonable efforts to maintain the continuity of CONSULTANT's staff who are
assigned to perform the services hereunder and shall obtain the approval of the Director of
Public Works of all proposed staff members who will perform such services.
CONSULTANT may associate with or employ associates or subcontractors in the
performance of its services under this Agreement, but at all times shall CONSULTANT be
responsible for its associates and subcontractors' services.
6.5 CONSULTANT's Representations
CONSULTANT represents, covenants and agrees that: a)CONSULTANT is
licensed, qualified, and capable of furnishing the labor, materials, and expertise necessary
to perform the services in accordance with the terms and conditions set forth in this
Agreement; b)there are no obligations, commitments, or impediments of any kind that will
limit or prevent CONSULTANT's full performance under this Agreement; c) to the extent
required by the standard of practice, CONSULTANT has investigated and considered the
scope of services performed, has carefully considered how the services should be
performed, and understands the facilities, difficulties and restrictions attending
performance of the services under this Agreement.
6.6 Conflicts of Interest
CONSULTANT agrees not to accept any employment or representation
during the term of this Agreement or within twelve(12) months after completion of the work
under this Agreement which is or may likely make CONSULTANT "financially interested"
(as provided in California Government Code Sections 1090 and 87100) in any decisions
made by CITY on any matter in connection with which CONSULTANT has been retained
pursuant to this Agreement.
6.7 Legal Action
(a) Should either party to this Agreement bring legal action against the
other, the validity, interpretation, and performance of this Agreement shall be controlled by
and construed under the laws of the State of California, excluding California's choice of law

rules. Venue for any such action relating to this Agreement shall be in the Los Angeles
County Superior Court.
(b) If any legal action or other proceeding, including action for declaratory
relief, is brought for the enforcement of this Agreement or because of an alleged dispute,
breach, default or misrepresentation in connection with this Agreement,the prevailing party
shall be entitled to recover reasonable attorneys' fees, experts' fees, and other costs, in
addition to any other relief to which the party may be entitled.
(c) Should any legal action about a project between CITY and a party
other than CONSULTANT require the testimony of CONSULTANT when there is no
allegation that CONSULTANT was negligent, CITY shall compensate CONSULTANT for its
testimony and preparation to testify at the hourly rates in effect at the time of such
testimony.
6.8 Assignment
Neither this Agreement nor any part thereof shall be assigned by
CONSULTANT without the prior written consent of the CITY. Any such purported
assignment without written consent shall be null and void, and CONSULTANT shall hold
harmless, defend and indemnify the CITY and its officers, officials, employees, agents and
representatives with respect to any claim, demand or action arising from any unauthorized
assignment.
Notwithstanding the above, CONSULTANT may use the services of persons
and entities not in CONSULTANT's direct employ,when it is appropriate and customary to
do so. Such persons and entities include, but are not necessarily limited to, surveyors,
specialized consultants, and testing laboratories. CONSULTANT's use of subcontractors
for additional services shall not be unreasonably restricted by the CITY provided
CONSULTANT notifies the CITY in advance.
6.9 Independent Contractor
CONSULTANT is and shall at all times remain, as to the CITY, a wholly
independent contractor. Neither the CITY nor any of its agents shall have control over the
conduct of CONSULTANT or any of the CONSULTANT's employees, except as herein set
forth, and CONSULTANT is free to dispose of all portions of its time and activities which it
is not obligated to devote to the CITY in such a manner and to such persons, firms, or
corporations as the CONSULTANT wishes except as expressly provided in this Agreement.
CONSULTANT shall have no power to incur any debt, obligation,or liability on behalf of the
CITY or otherwise act on behalf of the CITY as an agent. CONSULTANT shall not, at any
time or in any manner, represent that it or any of its agents, servants or employees, are in
any manner agents, servants or employees of CITY. CONSULTANT agrees to pay all

required taxes on amounts paid to CONSULTANT under this Agreement, and to indemnify
and hold the CITY harmless from any and all taxes, assessments, penalties, and interest
asserted against the CITY by reason of the independent contractor relationship created by
this Agreement. CONSULTANT shall fully comply with the workers' compensation law
regarding CONSULTANT and its employees. CONSULTANT further agrees to indemnify
and hold the CITY harmless from any failure of CONSULTANT to comply with applicable
workers' compensation laws. The CITY shall have the right to offset against the amount of
any fees due to CONSULTANT under this Agreement any amount due to the CITY from
CONSULTANT as a result of its failure to promptly pay to the CITY any reimbursement or
indemnification arising under this Article.
6.10 Titles
The titles used in this Agreement are for general reference only and are not
part of the Agreement.
6.11 Entire Agreement
This Agreement, including any other documents incorporated herein by
specific reference, represents the entire and integrated agreement between CITY and
CONSULTANT and supersedes all prior negotiations, representations or agreements,
either written or oral. This Agreement may be modified or amended, or provisions or
breach may be waived, only by subsequent written agreement signed by both parties.
6.12 Construction
In the event of any asserted ambiguity in, or dispute regarding the
interpretation of any matter herein, the interpretation of this Agreement shall not be
resolved by any rules of interpretation providing for interpretation against the party who
causes the uncertainty to exist or against the party who drafted the Agreement or who
drafted that portion of the Agreement.
6.13 Non-Waiver of Terms, Rights and Remedies
Waiver by either party of any one or more of the conditions of performance
under this Agreement shall not be a waiver of any other condition of performance under
this Agreement. In no event shall the making by the CITY of any payment to
CONSULTANT constitute or be construed as a waiver by the CITY of any breach of
covenant, or any default which may then exist on the part of CONSULTANT, and the
making of any such payment by the CITY shall in no way impair or prejudice any right or
remedy available to the CITY with regard to such breach or default.

6.14 Severability
If any term or portion of this Agreement is held to be invalid, illegal, or
otherwise unenforceable by a court of competent jurisdiction, the remaining provisions of
this Agreement shall continue in full force and effect.
6.15 Notice
Except as otherwise required by law, any payment, notice or other
communication authorized or required by this Agreement shall be in writing and shall be
deemed received on(a)the day of delivery if delivered by hand or overnight courier service
during CONSULTANT's or CITY's regular business hours or(b) on the third business day
following deposit in the United States mail, postage prepaid, to the addresses listed below,
or at such other address as one party may notify the other:

The City of Rancho Palos Verdes is inviting selected consulting engineering firms to
submit their firm's qualifications and this proposal to provide professional design
services for the improvement to sections of five existing sewer lines. The sewer lines are
part of active systems in different locations in the City.
The Designer will be required to consult with the County of Los Angeles Department of
Public Works, including obtaining their approval of the plans. The designer will be
required to produce full designs for the replacement sewer pipe systems, the provision of
a detailed engineer's estimate, the preparation of bid documents including plans and
specifications and engineering support. A good working relationship with the County is
essential and prior personal experience with them would be preferred.
To be considered for this project, four (4) copies of your qualifications/proposal must be
received by the Public Works Department, 30940 Hawthorne Boulevard, Rancho Palos
Verdes, CA 90275, attention: Ron Dragoo, Senior Engineer, no later than 2 p.m.,
Thursday, February 20, 2014. Faxed copies or electronic submission is not acceptable.
The proposals shall be delivered by hand or by mail post marked no later than Thursday,
February 20, 2014 at 2:00 p.m.

1. Project Background and Description
The City of Rancho Palos Verdes owns the sewer lines, and the lines are
maintained by the County of Los Angeles Public Works, who repairs, but does
not replace under-capacity sewer lines. The sewer lines are believed to be
under-capacity.
The City of Rancho Palos Verdes, through its Sanitary Sewer Master Plan
Update (an electronic copy of the Update is included with this RFQ), has
identified sections of pipe in five separate sewer lines that are believed to be
under capacity and will be replaced with larger diameter vitrified clay or SDR 35
pipes as appropriate. The locations and size of the lines are as follows:
1. A 560-foot section on West General between Bernice Drive and West
Crestwood. The existing 8-inch will be replaced with a 12-inch V.C. pipe
2. A 564-foot section on Basswood between Mossbank and Shorewood.
The existing 8-inch will be replaced with a 12-inch V.C. pipe
3. A 930-foot section in the Silver Spur easement from Ironwood. The
existing 8-inch will be replaced with a 15-inch V.C. pipe
4. A 2,377-foot section on Palos Verdes Drive South between Conqueror
and Schooner Drive. The existing 8-inch and 10-inch will be replaced with
a 18-inch V.C. pipe
5. A 748-foot section on Palos Verdes Drive South between Sea Cove Drive
and Abalone Cove Shoreline Park. The existing 8-inch will be replaced
with a 15-inch V.C. pipe
2. Scope of Services
The Consultant shall be responsible for providing the design services for the
replacement of the pipes to complete the following tasks:
Task A: Review the existing information for the design criteria to ensure that the
upsized pipe is required and will be adequate.
Task B: Locate all existing utilities by field mapping and obtaining records
directly from the utility companies.
Task C: Pothole roadway pavement to establish paving and base thickness.
Task D: Undertake a detailed survey of all improvements, including, but not
limited to hardscape, landscaping, striping, pavement, storm drains and
appurtenances, sewer connections, utilities, street furniture etc.
Task D: Coordinate/consult with the County of Los Angeles, Public Works to
ensure compliance.
Task E: Submit a 70% design to the City for review, which at a minimum, shall
show locations of all manholes, sewer connections, replacement of hardscape
and all potential conflicts with existing utilities and a logical constructability plan
to allow for the continuous flow of sewage during construction operations.

Task F: Complete plans with all required details, write specifications using City
boilerplate for the applicable sections.
Task G: Provide complete stamped/signed traffic control plans for each section
of the work.
Task H: Generate a detailed Engineer's estimate that will be used to provide
information for the allocation of budget and to decide on the scope for each
phase.
3. Deliverables
Reproducible, stamped, signed final plans shall be provided to the City. Plans
shall also be submitted on CD or other acceptable electronic media in a format
acceptable to the City of Rancho Palos Verdes, such as Microsoft Word 2013
and AutoCAD 2000.
Technical specifications and special provisions shall be prepared. Specifications
shall be delivered in both printed format and on CD. All documents shall be
prepared in Microsoft Word format. Spreadsheets shall be prepared in Microsoft
Excel.
The Contract Documents for construction of each sewer segment shall be
prepared, incorporating the City's boilerplate and the specific technical and
special specifications and bid sheet and appendices that have been developed.
The Contract Documents and the plans are the documents contractors will base
their proposals on when submitting bids for the projects.
Engineer's Estimate.
4. Consultant's Representative
The Consultant shall assign a primary representative and an alternate to perform
the services described in the scope of work. Both shall be identified in the
proposal. The Consultant's representative shall remain in responsible charge of
all duties from contract negotiations through the completion of the design project.
If the primary representative is unable to continue with the design project, then
the alternate representative shall become the primary representative.
5. Additional Consultant Responsibilities
The successful Consultant shall be required to enter into a written contract with
the City of Rancho Palos Verdes and shall be responsible for completing the
specified services in Accordance with the City's standard "Professional Services
Agreement" which shall be prepared by the City. A copy of this standard
agreement is attached.
This Request for Proposals and any subsequent correspondence, or any part
thereof, may be incorporated into and made a part of the final contract; however,
the City reserves the right to further negotiate the terms and conditions of the
agreement with the successful consultant. At a minimum, the agreement shall

include a maximum "not to exceed" cost to the City of Rancho Palos Verdes.
The primary components and provisions of the agreement shall include errors
and omissions insurance coverage in the minimum amount of one million dollars
($1,000,000).
6. City Responsibilities
The City shall provide the following to assist the Consultant with the project and
its completion:
— Existing record information as available.
— Sample contract specification package.
— Existing hydrology study.
7. Submission of Statement of Qualifications
The proposal shall be presented in letter format, and include at a minimum the
following information:
— Introduction and understanding of the project and scope of work.
— Identification of any sub consultants.
— Identification of the project team.
— Consultants experience with at least three recent projects of similar
scope, including references with contact person and telephone number.
— Project schedule, including task start and completion dates.
8. Selection Procedure
A review committee comprised of City staff will review the technical proposals.
Proposals will be evaluated based on the following criteria:
— Experience of the firm in providing similar services.
— Understanding of the project.
— Relevant experience of individual team members assigned to the project.
— References from clients for whom similar services were provided.
— Appropriateness of project schedule.

9. General Information
— This Request for qualifications does not commit the City of Rancho Palos
Verdes to pay costs incurred in the preparation of a response to this
request. No work may begin until a "Professional Services Agreement" is
executed and the City issues a Notice to Proceed.
— Not withstanding any other provisions of this Request for Qualifications,
the City of Rancho Palos Verdes reserves the right to reject any and all
proposals and to waive any informality in a proposal.
— Submission of a statement of qualifications shall constitute
acknowledgement of all terms and conditions set forth in the Request for
Qualifications unless otherwise expressly stated in the proposal.
— All data, documents, and other products used or developed for this
project shall remain in the public domain upon completion of the project.
Similarly, all responses to this Request for Qualifications shall become
the property of the City of Rancho Palos Verdes.
— The method of payment upon negotiation of a contract shall be monthly
payments based upon satisfactory progress and the submission of
invoices for payment.
— All correspondence during the reply period shall be by e-mail.
— The City reserves the right to conduct personal interviews of any or all

Subject: Harris Team Provides Innovative Alternatives City's Sewer Design
Dear Ron:
The City's plan to increase sewer capacity at deficient locations identified in the Sewer Master Plan throughout the City presents
an excellent opportunity for the Harris team to provide alternative solutions and innovative ideas to create more than just a well-
designed and functioning sewer.In our Project Approach we will present several ideas in detail that we feel will achieve the City's
goals.We will provide ways to reduce construction costs,improve function and reducing future maintenance efforts,rather than
simply implementing the Master Plan-recommended upsizing.Mr.Randall Berry,PE,will lead the charge and will guide his
experienced team to refine several potential solutions including:
Potential Sewer Re-profiling Alternative:Whereby the apparent sewer d/D flow deficiencies are remedied via extending the
impacted limits downstream (and/or upstream)while ideally maintaining the same size mainline sewer,with the goal to:
• Reduce construction costs by installing a smaller line
• Avoid downstream"bottleneck"issues
• Avoid potential lack of self-cleaning velocities associated with upsizing the lines mid-reach,which would avoid future
maintenance issues
Potential Trenchless Sewer Alternative:Whereby the required sewer upsizing will be considered via trenchless methods such as
pipe bursting,with the goal to:
• Reduce construction costs (approximately 30%to 50%less per linear foot)
• Reduce traffic control impacts(less open trench in the street)
• Reduce negative impacts to existing AC pavement(which was noted to be in very good shape)
• Pipe bursting could be especially attractive at location#3 in the easement behind Silver Spur where access adjacent to the
natural canyon could be limited and there are apparently no lateral connections to reinstate
• Directional drilling or other trenchless new pipe installation method could be especially attractive at location#4 if a parallel
sewer is to be constructed since there will be no lateral connections and thus a minimal trenching
Potential Parallel Sewer Alternative:Whereby a new VCP sewer will be considered for constructed at location 4,on PVDS,from
Conqueror Drive to Schooner Drive,with the goal to:
• Reduce construction costs by avoiding the removal of the existing 8"VCP sewer
• Reduce construction costs by avoiding having to reconnect 20 existing sewer laterals
• Reduce construction costs by allowing the reduction in size of the new parallel sewer line reducing it to say a 12"diameter
rather than the 15"or 18"upsizing suggested in the Master Plan
• Eliminate the need for a temporary sewer bypass system thus reducing related costs,inconvenience and risk
• Minimize traffic control impacts- no sewer lateral trench cuts and flexibility for less impactful new line location
LACDPW's Approvals:We have successfully obtained a similar Los Angeles County Department of Public Works approval when
we prepared sewer plans for the City of Rancho Palos Verdes in the shoulder adjacent to the Palos Verdes Drive East switchbacks
as part of the San Ramon Canyon Drainage Improvement project.This translates to peace-of-mind for City staff because the
Harris team has developed good working relationships with these agencies and is aware of all of the latest requirements,application
forms and format preferences.
The entire Harris team is ready to start immediately and the level of detail in this proposal is indicative of the level of care we will
maintain from the kick-off meeting,until the project is constructed and ready to serve the community!

PROJECT APPROACH
The City of Rancho Palos Verdes sewer improvement project consists of a detailed confirmation of the sewer
improvement upsizing strategy proposed in the City's Sewer Master Plan Update (dated June 2009).The City
of Rancho Palos Verdes owns the sewer lines,however they are maintained by the County of Los Angeles
Department of Public Works,who repairs and maintain the City's sewer lines,but does not replace under-
capacity sewer lines.The five project location limits and proposed improvements are shown in the summary
chart below.The ultimate goal is to prepare construction documents for the approved sewer improvements to
add the required additional capacity to the system where deficiencies are identified. Some potential alternative
solutions,which would save the City money without compromising quality,are also shown in the far right
column in the table below.

the Master Plan upsizing locations appears to be driven by the flatness of the existing pipeline profiles (pipe
profile slope S = 0.40% or 0.36%).Adjacent reaches upstream and downstream of the subject improvement areas
have the same size sewer pipe but have steeper profile grades and have not been similarly identified as being
deficient.This appears to be a sign that(at least in many of the cases) the flat grade is contributing to the depth
over diameter(d/D) deficiency.
From Harris &Associates'extensive sewer design experience it is understood that it is not a typical best

these cases the deficiency does not fall into the typical
deficiency situation whereby generated flows have seen i, a, ` ,

for sewage spills.In the cases presented for our proposed
project improvements,the more likely scenario would
be a temporary surcharge in the sewer mainline line
where the d/D rises above the ideal design limits,which ‹ -u
although not desirable,does not present the same type of
threat potential for a sewage spill as does a truly deficient
system that requires upsizing all the way downstream to 1
a larger diameter receiving system.

Consequently,as a first priority alternative design,the along Basswood Avenue at Shorewood Road,
Harris team will investigate the opportunity to improve again where the existing 8" sewer is flat(S =
the mainline sewer profile slope where upstream and 0.36%).

downstream (and/or upstream) that could be taken advantage of and perhaps be joined further downstream
(and/or upstream) to increase the mainline profile grade.A simultaneous verification will also be required to
confirm that all of the sewer lateral connections in any of the re-profiled mainline sewer segment are compatible
to allow the lateral to be re-profiled,as required,to maintain a positive grade (gravity flow) to each mainline
connection point.Finally,every existing utility that crosses perpendicular to the sewer mainlines that are being
considered for re-profiling will also have to be closely analyzed to maintain clearances and avoid conflicts.As an

determine that given the type of improvements and the timeframe of the construction of the project there
appears to be no pressing need for a water quality plan (SUSMP/LID/Green Street).However,the project
specifications should discuss the need for SWPPP measures,including sediment/erosion control by the
contractor.
• Environmental Clearances: Consistent with similar sewer projects,no significant environmental
permitting issues are anticipated.This is primarily because the proposed sewer alignments will not vary
significantly from the existing alignments or vary from their original functional purpose and will remain
in previously disturbed roadway and sewer easement areas.Thus it is assumed that Harris will assist City
staff with the required environmental forms and check lists that would be required for the anticipated
Categorical Exemption finding.

SCOPE OF SERVICES AND SCHEDULE
The Harris &Associates team Scope of Services for the City of Rancho Palos Verdes Five Sewer Design Project
is divided into three phases incorporating several specific sub-tasks. The first phase of work consists of data
gathering via research and field investigation.The second phase of work includes the development of preliminary
design recommendations and the preparation of construction documents for the identified improvements. The
final phase includes engineering support during bidding and construction. Not shown in each work task,but
included in the project scope,are project management and coordination of the work with the City and other
affected parties.
Scope of S
The proposed scope of services is detailed as follows:
Phase 1 - Research and Investigation
A. Kick-Off Meeting
The project will commence with a kick-off meeting with City staff. The purpose of the project,desired
objectives and potential alternatives will be discussed. The project schedule will be reviewed and lines of
communication will be established.
B. Review Existing Documents
The existing Master Plan,video inspections,and record plans will be thoroughly reviewed and documented as
appropriate.
C. Sewer Flow Monitoring to Confirm Deficiencies:
In order to confirm the deficiencies identified in the Master Plan of Sewers,Harris will utilize a flow monitoring
and modeling sub-consultant ID Modeling (IDM).IDM will oversee the installation of five (5) temporary flow
monitoring devices,namely one strategically located at each of the five deficient sewer locations.
Task Cl—Sewer Flow Monitoring: This task includes the installation of up to five (5) temporary flow
monitoring devices within the Rancho Palos Verdes collection system at predefined manholes,as approved by
the City and Harris and Associates. The final flow monitoring locations will be determined based upon access
and manhole depth. IDM will oversee the installation and retrieval of the flow monitoring devices. IDM staff
will be onsite to ensure the flow monitoring devices are installed in the correct manhole for each sewer reach.
It is anticipated that up to 3 weeks of flow monitoring will be adequate for this analysis. Flow data for each
pipeline reach will be provided in 5-minute increments in spreadsheet format for processing.
Task C2—Data Processing: IDM will oversee the processing of the flow data to develop average flow,peak
flow,diurnal patterns,and identify any wet-weather flows due to storm events occurring during the flow
monitoring period. The processed flow data will be reviewed to determine the range of flow depth to pipe
diameter (d/D) occurring in the pipe over the flow monitoring period. This will give a good indication of
the available pipe capacity under dry-weather(and potentially wet-weather) flows over an extended period of
time. Assuming that a storm event is not captured during the flow monitoring period,IDM will apply wet-
weather peaking factors to estimate the peak wet-weather flow occurring within each sewer reach. This will be
determined based upon several factors,including the age of the system,pipe material,land use,and number of
customers upstream of each reach. It is assumed that the City's GIS sewer system and land base data will be
available.

Task C3—Summary Technical Memorandum: IDM will develop a brief summary Technical Memorandum
(TM) detailing the flow monitoring procedures,data processing,observed dry-weather flows,estimated peak
wet-weather flows,and available pipeline capacity for each sewer reach analyzed. The summary TM will include
detailed figures identifying each sewer reach and include pipe profiles showing water levels under varying flow
conditions,including the magnitude of surcharging (if any) identified under peak flows.
Task C4—City Meeting on Sewer Flow Monitoring: Harris will meet with City staff to review the finding of
the sewer flow monitoring and analysis results.It is anticipated that one of three scenarios could be encountered
upon the receipt of the sewer flow monitoring and analysis results,namely:
1. The flow monitoring data confirms the deficiencies identified in the Master Plan of Sewer and any one of or
all of the five sewer locations and it is decided by City staff that the remaining project scope should continue
for any one of or all of the five sewer locations.
2. The flow monitoring data does not confirm the deficiencies identified in the Master Plan of Sewer and
any one of or all of the five sewer locations and it is decided by City staff that the remaining project scope
should NOT continue for any one of or all of the five sewer locations.
3. Some combination of items 1 and 2 above.
Upon a written notice to proceed from City staff the Harris Team would proceed with any combination of
full scope or reduced scope as it is determined to be required.Work would not proceed on the remaining field
investigation and design scope of services without specific approval by City staff.
D. Utility Coordination
As-built plans and/or atlas sheets for all the utilities in the vicinity will be obtained.Field reviews will also be
conducted to confirm locations of existing utilities.
E. Field Surveys(KDM Meridian)
Harris will utilize subconsultant KDM Meridian to obtain a field survey,consisting of curb-to-curb topography,
manhole rim and invert elevations,(including the sewer manholes one segment beyond each terminal point of
the repair reach) and additional finished surface shots along the center line of the existing pipe.From these we
will produce 1"=20'base sheets and show underground utility lines as necessary in the project area. Right-of-way
lines will be shown from the City records and AP maps.
F. CCTV Review& Inspection0 tional Additional CCTV (DownStream Services)

Harris will conduct detailed reviews of available City-provided existing CCTV reports and videos to verify the
condition of existing sewer facilities and the location of all laterals. This review will also be used to confirm the
identified condition of the existing sewer locations where a potential parallel sewer might be contemplated to
confirm whether any rehabilitation to the existing line might be required.
The City's Sewer Master Plan indicates that existing CCTV inspections were not available for locations 1,4&
5,(L = 3,685'+/-) thus if the City staff opts to include this service,then DownStream Services,Inc.,Harris'sub-
consultant,may perform CCTV inspection at the selected locations and provide written summaries and DVD
of their findings.Cleaning(3 passes) has also been provided as a separate optional line item in case the City has
recently cleaned the sewer lines and thus does not require them to be cleaned.
G. Geotechnical Investigation (LOR Geotechnical)
LOR Geotechnical,Harris'sub-consultant,will perform eleven(11)coring/borings to 15'depth,+/- 5'
below the existing sewer inverts,lab testing,and analysis.A report will confirm the suitability of the proposed
construction methods,groundwater,shoring requirements (soil parameters for contractor's use in designing the
open trench shoring) and other soil parameters for the sewer design as required.Note no pavement replacement

sections are included since it is assumed that the proposed pavement sections will likely be 1-inch thicker than
the existing section noted in LOR's cores.Cold patch AC will be used to resurface the core holes.
Phase 2 - PreliminaryDesign and PS&E Construction Document Preparation
A. Preliminary Design
A preliminary design will be prepared to identify the proposed approach for completing the design of each sewer
improvement location. The preliminary design investigation will include the following:
• A summary of each project location defining current deficiencies,and recommended alternatives for
resolving the deficiencies of the existing sewers.
• Analysis of potential alternatives including feasibility,construction impacts,and costs.
• 50%preliminary drawings of the recommended improvements.
Once the preliminary engineering and recommended approaches are approved by City staff,the final
engineering will advance and refine the concepts developed in the preliminary design phase,to completion of
the final construction documents.The work will include detailed construction plans,specifications,and cost
estimates for the project,suitable for bidding purposes.
B. Optional UPotholing(C-Below)
C-Below,Harris'sub-consultant,will perform up to ten(10)utility potholes at critical utility crossing locations
where either the upsizing of the sewer pipe or the re-profiling of the sewer pipe comes close to the existing
utility and/or its concrete backfill/bedding.Cold patch AC will be used to resurface the core holes.
C. Construction Drawings
Construction drawings will be developed to the 90% and 100%levels for City and LACDPW's review.The
plans will be prepared using LACDPW's standard title block in AutoCAD format.
The anticipated list of drawings is as follows:
1. One (1)Title Sheet with Project Index Map,sheet index,etc.
2. One (1) General Notes,LACDPW Notes,Symbols and Abbreviations Sheet,if required
3. One (1) typical sections &details sheet (combine with notes sheet,if possible)
4. Up to ten (10) sewer improvement plan and profile sheets (1"= 20'scale)
5. Up to six (6) traffic control plan sheets (1"= 40'scale)
Total=up to nineteen(19)sheets
D. Technical Specifications
Special provisions,in"Green Book format,"in conformance with LACDPW requirements,describing the
project related issues and the technical requirements,including bypass pumping requirements,will be prepared.
The special provisions will describe special design and coordination features of the project as well as provide
requirements for materials,equipment,installation and workmanship.A bid schedule will also be prepared
which will be broken out into sufficiently detailed tasks to assist in evaluating the bids and preparing progress
payments.City furnished front end contract and insurance documents,as well as a reduced set of drawings will
be included to complete the specification package.The work will be submitted on a CD in Microsoft Word
format.
