AMENDMENT NO. 1 TO AGREEMENT FOR CONTRACTUAL SERVICES THIS AMENDMENT TO THE AGREEMENT FOR CONTRACTUAL SERVICES ("Amendment No. 1") by and between the CITY OF RANCHO PALOS VERDES ("City") and INTERWEST CONSULTING GROUP INC., a Colorado corporation ("Consultant"), is effective as of the 31st day of July, 2018. RECITALS A. City and Consultant entered into that certain Agreement for Contractual Services dated August 18, 2015 through June 30, 2021 ("Agreement") whereby Consultant agreed to provide on-call civil engineering, construction management, construction inspection, traffic engineering, and transportation program management service (the "Services"), for an annual amount not to exceed $60,000. B. In FY 2017-18, the City experienced an unforeseen increase in the Services needed, in the amount of$213,864. C. City anticipates to need additional Services from Consultant during FY 2018-19, for an annual not-to-exceed sum of$210,000. D. City and Consultant now desire to amend the Agreement to memorialize the additional Services provided in FY 2017-18, as well as the expanded Scope of Services anticipated for FY 2019-19. TERMS 1. Contract Changes. The Agreement is amended as provided herein. (a) Section 2.1.1 is amended as follows (deleted text is indicated in strilethreugh and added text in bold italics): "2.1.1 CITY agrees to compensate CONSULTANT in accordance with CONSULTANT's Schedule of Hourly Rates, which is within Exhibit A and shall meet or exceed prevailing wage rates, and in any case an amount not to exceed: $213,864 for FY 2017-18; $210,000 for FY 2018-19; and Sixty Thousand Dollars ($60,000) per each remaining fiscal year, for services as described in Article 1. On-call services that are reimbursed by a trust deposit shall not count towards the maximum amount CONSULTANT shall be paid for such services. The rates in Exhibit A shall be in effect through the end of the term of this Agreement." (b) Exhibit"A-1,"Additional Services for FY 2017-18, is added as follows: EXHIBIT A-1 01203.0006/494609.4 ADDITIONAL SERVICES FOR FY 2017-18 Consultant provided the following additional Services for FY-2017-18 at the following cost: AMOUNT ITEM DESCRIPTION $79,812 Interim PW Maintenance The Public Works Department required an Superintendent Interim Maintenance Supervisor while a permanent replacement was found. $25,000 CIP Advisory and Additional services from the previous Deposition Deputy Director of PW were required to provide continuity in CIP execution and representing the City in depositions. $24,595 Various Projects Engineering services were requested for various projects including landslide plans, SCE street light acquisition, the PVDS bike lane project, and construction management services for the ADA transition project at Hesse Park. $24,457 Storm Drain Deficiency The SDDIP had additional scope of work Improvement Project due to unforeseen site conditions that was (SDDIP) brought to Council for review and approval in February 2018. Additional services were required for construction management due to the schedule delays that was not captured in the first report to Council regarding the additional scope of work. (c) Exhibit "A-2," Additional Services,FY 2018-19,is added as follows: Consultant shall provide additional Construction Management and Inspection Services for Area 8 Residential Street Rehabilitation Project, Phase I and Phase II for FY 2018-19 at the following cost. These Services shall be in addition to the anticipated annual on-call Services. (1) Scope of Work Construction Phase Project Schedule I Submittal Review: A realistic schedule that meets the requirements of the contract documents is critical to the success of the project. Consultant's team will constantly monitor the schedule, noting and making the City aware of any critical path slips, as well as any opportunities to compress 01203.0006/494609.4 -2- the schedule that may arise. Further, timely and thorough submittal review is critical to a project. Examples of activities include: o Coordinate, review& approve the Contractor's proposed schedule for completion of project. o Review contractor's schedule, update submittals for conformance to master schedule and contract documents. Document Control: Consultant shall use the proven method of controlling documents through the system developed and used by Caltrans. Consultant will apply consistent procedures to track all documentation, regardless of project size and location. Doing so will result in a standard documentation and filing system across the board for capital projects. As a result, records retrieval will be quick and efficient. Work activities include: o Maintain all project documents, drawings, contract change orders, contractor submittals, shop drawing and correspondence in electronic form and hard copy. o Maintain at the project site an up-to-date copy of all contracts, drawings, specifications, addenda, change orders & other modifications, in good order & marked to record all changes made during construction. Consultant will track documents, including all correspondence. o Ensure an office engineer is available for projects with significant document control needs, and all files will be set up by Consultant's office engineer, regardless of size. o Maintain a digital photographic library & significant activities. o Maintain RFI, submittal and change order logs. Ensure consultants and engineers respond within contract time frames. Consultant will track the number of days submittals are outstanding and with a particular party on a weekly basis and report this information to the appropriate staff. o Monitor Contractor and the sub-contractors regarding compliance with prevailing wage rates and affirmative action requirements applicable to the project including a Labor Compliance Program in accordance with AB 1506 and the Davis-Bacon Act. Consultant's inspectors and office engineers are trained on the appropriate forms and techniques necessary to conduct these compliance activities. o Collect and review, for compliance with all State and Federal regulations, certified payroll records requirements. Weekly I Monthly Construction Meetings: Consultant shall attend and chair weekly or monthly project meetings with the contractors and stakeholders. Consultant can prepare the agenda and discuss schedule, budget, changes, safety issues, etc. This has proven to be an important step to getting the project on schedule early. 01203.0006/494609.4 -3- Change Order Review/Dispute Resolution: Consultant's team will review any requests for contract change orders to verify the work is necessary and outside of the contract, and Consultant will negotiate the best way from the City perspective to pay for the work, whether that is time and materials, unit prices, or a negotiated amount. Consultant will advise City as to their effect on the contract time and cost. Consultant shall perform independent estimates of proposed change order work when necessary or when directed by the City. The Construction Manager will then make a recommendation for approval, which according to the City policy, will ultimately need approval by the Public Works Director. Materials Testing Management: Consultant will coordinate and schedule the materials testing services to acquire the necessary services, and reports, in the most efficient manner. Compaction Control: Consultant will coordinate compaction testing with the soil engineering firm to verify all compaction conducted meets all requirements and specifications. Progress Payment Processing: Consultant will review progress payments and verify quantities/unit prices, amount due, certified payroll, appropriate rates, etc. If the review shows the progress payment is accurate, Consultant will then recommend payment and circulate it to Project Manager for additional review, signature and approval. Agency Coordination: Consultant will coordinate any work with other agencies to maximize contractor efficiency and keep the project on schedule. Project Close-Out Phase Punch List Completion: Consultant's Inspector will generate and make the contractor aware of deficiencies as they occur in the field. Consultant will encourage the contractor to repair or replace work that does not meet the specifications when it is identified. Consultant will oversee the complete performance of all punch list items and final clean-up before contractor moves off-site. Each punch list item is personally signed off by a member of Consultant's team, and all items must be signed off before the construction manager signs the list as complete. Record Drawings and Other Documents: Consultant's Construction Manager will review the record drawings with the Inspector for accuracy & completeness prior to acceptance of the project. This is monitored weekly. At the end of the project, Consultant will obtain from contractor all record (as-built) drawings: O&M materials, attic stock, contract required documents, lien releases, & written warrantees. 01203.0006/494609.4 -4- Geotechnical Report: Consultant's Construction Manager will obtain a complete geotechnical report with all test results, logs, and correspondence from the soils testing subconsultant prior to releasing their final payment. Final Report: Consultant's team will prepare a final report for the project that recaps the costs, schedule, successes, and lessons learned to the City and the Project Manager for use in preparing the City Council Notice of Acceptance Staff Report. An inventory of the "wrap up" tasks for construction management activities include: o Administer post-construction training of custodial, maintenance, operations and grounds staff for all new equipment, systems and finish materials. Consultant will invite the appropriate City maintenance personnel to the final walk-through of the project so they may ask questions and review the work. Consultant understands that the project is built for the end-user, which is usually the maintenance department on behalf of the citizens. o Coordinate final testing, documentation and regulatory inspections. Consultant shall require all materials testing and special inspection documentation to be in a final report in chronological order. o Advise on substantial and final completion and liquidated damages. o Evaluate any contractor claim, negotiate and resolve claim issues. Recommend approval or denial by the City. o Establish a warranty process and schedule six months and eleven months warranty walks. o Oversee the complete performance of all warranty repair items. Document Archive: Once the project is complete, Consultant will turn over all project documents in archive form to the City. Construction Inspection Services Standardization & Maintenance of Project Documentation — Consultant's Construction Manager and Inspector will follow uniform standard to ensure that potentially volatile issues are dealt with in a timely, accurate, and consistent manner. Monitoring Quality & Objectiveness of Field Personnel — Consultant's construction supervisors shall routinely check the files and performance of Consultant's construction inspectors. Regular training meetings shall be conducted at which changes in rules and regulations are discussed. Of critical importance are the storm water compliance rules and the requirements of the general construction permit on City projects. Public Relations — Public works projects that impact residents and businesses present unique, non-technical challenges which must be addressed throughout 01203.0006/494609.4 -5- the life of a project. Consultant staff will work closely with these stakeholders to make them aware of the project, its status and any changes that are made. Construction Inspections (Including SWPP Compliance) — Consultant's Inspector, as well as any other field personnel performing services will document all work, quantities, contractor and subcontractor personnel and equipment, visitors, and field orders on a daily basis. Some specific duties include: o Oversee Quality Assurance of the construction activities to conform to plans and specifications. o Monitor contractor work performance for deficiencies and recommend any special testing needed. o Perform all special inspection required for project. o Maintain daily onsite project log and as-built schedule report. Prepare daily reports of observations and activities. Secure the general contractor's daily log reports. Consultant's reports will be based on the Caltrans daily report forms. o Perform periodic digital video and still photography of the progress of the project. Said photography will show date of the events and conditions being recorded. All non-compliance issues as well as any other site conditions requested by the City shall be photographed. Consultant's inspectors will take photographs of work on a daily basis as part of Consultant's inspection protocol. o Maintain a daily log containing a record of weather, contractors, work onsite, number of workers, work accomplished, problems encountered, solutions agreed upon, and other similar relevant data as the City may require. o Monitor and endeavor to ensure the establishment and implementation of appropriate safety programs by the Contractor. o Ensure compliance to reporting requirements of the State Water Resources Control Board as it relates to SWPP reporting. (2) Phase I Schedules of Compensation and Performance: Construction management and inspection services on the Area 8 Residential Street Rehabilitation Project, Phase I. Consultant will furnish all necessary labor, materials, equipment and other incidental and appurtenant work necessary to remove and replace sidewalk, ramps, driveway aprons, curb & gutter, crack routing and sealing, and AC repairs at various locations throughout the City. Consultant will ensure that all work is performed in strict conformance with the Contract Documents (Plans & Specifications for Area 8 Residential Street Rehabilitation Project, Phase I, found 01203.0006/494609.4 -6- here: http://www.rpvca.gov/documentcenter/view/11815), permits from regulatory agencies with jurisdiction, and applicable regulations. Consultant will be partnering with a geotechnical subconsultant, Converse Consultants,to provide materials and soils testing services. Schedule Of Hourly Billing Rates The rates displayed in the fee schedule below reflect Consultant's current fees. Hourly rates are typically reviewed yearly on July 1 and may be subject to revision unless under specific contract obligations. In addition, there is no charge for shipping, supply, or material costs. (3) Phase II Schedules of Compensation and Performance: Construction management and inspection services on the Area 8 Residential Street Rehabilitation Project, Phase II. Consultant will furnish all necessary labor, materials, equipment and other incidental and appurtenant work necessary to install slurry seal, micro-surface, striping, signing and markings and a combination thereof at various locations throughout the City. Consultant will ensure that all work is performed in strict conformance with the Contract Documents (Plans & Specifications for Area 8 Residential Street Rehabilitation Project, Phase II, found here: http://www.rpvca.gov/documentcenter/view/12027), permits from regulatory agencies with jurisdiction, and applicable regulations. Consultant will be partnering with a geotechnical subconsultant, Twining, Inc., to provide materials and soils testing services. Hourly rates are typically reviewed yearly on July 1 and may be subject to revision unless under specific contract obligations. Except as amended by this Amendment No. 1, all provisions of the Agreement shall remain unchanged and in full force and effect. From and after the date of this Amendment No. 1, whenever the term "Agreement" appears in the Agreement, it shall mean the Agreement, as amended by this Amendment No. 1 to the Agreement. 3. Affirmation of Agreement; Warranty Re Absence of Defaults. City and Consultant each ratify and reaffirm each and every one of the respective rights and obligations arising under the Agreement. Each party represents and warrants to the other that there have been no written or oral modifications to the Agreement other than as provided herein. Each party represents and warrants to the other that the Agreement is currently an effective, valid, and binding obligation. Consultant represents and warrants to City that, as of the date of this Amendment No. 1, City is not in default of any material term of the Agreement and that there have been no events that, with the passing of time or the giving of notice, or both, would constitute a material default under the Agreement. City represents and warrants to Consultant that, as of the date of this Amendment No. 1, Consultant is not in default of any material term of the Agreement and that there have been no events that, with the passing of time or the giving of notice, or both, would constitute a material default under the Agreement. 4. Adequate Consideration. The parties hereto irrevocably stipulate and agree that they have each received adequate and independent consideration for the performance of the obligations they have undertaken pursuant to this Amendment No. 1. 5. Authority. IN CONSIDERATION of the covenants hereinafter set forth, the parties hereto agree as follows: ARTICLE 1 SCOPE OF SERVICES 1.1 Proiect Description The Project is described as on-call services as follows: Public Works Civil Engineering services. 1.2 Description of Services CONSULTANT shall provide such on-call traffic engineering consulting services as may be requested by CITY. CONSULTANT acknowledges that this Agreement is for on-call services, and there is no certainty that CONSULTANT will be asked to perform any services pursuant to this Agreement. CONSULTANT's Statement of Qualifications is attached hereto as Exhibit A and incorporated herein by this reference. In the event of any conflict between the terms of this Agreement and incorporated documents, the terms of this Agreement shall control. 1.3 Schedule of Work Upon receipt of written Notice to Proceed from CITY, CONSULTANT shall perform with due diligence the services requested by CITY. Time is of the essence in this Agreement. CONSULTANT shall not be responsible for delay, nor shall CONSULTANT be responsible for damages or be in default or deemed to be in default by reason of strikes, lockouts, accidents, or acts of God, or the failure of CITY to furnish timely information or to approve or disapprove CONSULTANT's work promptly, or delay or faulty performance by CITY, other consultants/contractors, or governmental agencies, or any other delays beyond CONSULTANT's control or without CONSULTANT's fault. 1.4 Term of Agreement This Agreement shall commence on August 18, 2015 and shall terminate on June 30, 2021 unless sooner terminated pursuant to Article 4 of this Agreement. R6876-0504\1859632v2.doc ARTICLE 2 COMPENSATION 2.1 Rates; Expense Reimbursement 2.1.1 CITY agrees to compensate CONSULTANT in accordance with CONSULTANT's Schedule of Hourly Rates, which is within Exhibit A and shall meet or exceed prevailing wage rates, and in any case an amount not to exceed Sixty Thousand Dollars ($60,000) per fiscal year for services as described in Article 1. On-call services that are reimbursed by a trust deposit shall not count towards the maximum amount CONSULTANT shall be paid for such services. The rates in Exhibit A shall be in effect through the end of the term of this Agreement. 2.1.2 CITY will not reimburse CONSULTANT for costs and expenses unless such costs and expenses are previously approved by CITY. 2.2 Payment of Compensation CONSULTANT shall submit monthly invoices for the work completed in the previous month. CITY agrees to authorize payment for all undisputed invoice amounts within thirty (30) days of receipt of each invoice. CITY agrees to use its best efforts to notify CONSULTANT of any disputed invoice amounts within ten (10) days of the receipt of each invoice. However, CITY's failure to timely notify CONSULTANT of a disputed amount shall not be deemed a waiver of CITY's right to challenge such amount. Additionally, in the event CITY fails to pay any undisputed amounts due CONSULTANT within forty-five (45) days after invoices are received by CITY then CITY agrees that CONSULTANT shall have the right to consider the default a total breach of this Agreement and be terminated by CONSULTANT without liability to CONSULTANT upon ten (10) working days advance written notice. ARTICLE 3 INDEMNIFICATION AND INSURANCE 3.1 Indemnity 3.1.1 Indemnity for Design Professional Services. To the fullest extent permitted by law, CONSULTANT shall, at its sole cost and expense, protect, indemnify, and hold harmless CITY and its elected officials, officers, attorneys, agents, employees, designated volunteers, successors, assigns and those CITY agents serving as independent contractors in the role of CITY officials (collectively "Indemnitees"), from and against any and all damages, costs, expenses, liabilities, claims, demands, causes of action, proceedings, judgments, penalties, liens, and losses of any nature whatsoever, including fees of accountants, attorneys, or other professionals and all costs associated therewith, and reimbursement of attorney's fees and costs of defense (collectively "Liabilities"), whether actual, alleged or threatened, which arise out of, are claimed to arise out of, pertain to, or relate to, in whole or in part, the negligence, recklessness or willful Page 2 of 12 Agreement for On -Call Professional/Technical Services R6876 -0504\1859632v2. doc misconduct of CONSULTANT, its officers, agents, servants, employees, subcontractors, material men, contractors or their officers, agents, servants or employees (or any entity or individual that CONSULTANT shall bear the legal liability thereof) in the performance of design professional services under this Agreement by a "design professional," as the term is defined under California Civil Code Section 2782.8(c)(2). 3.1.2 Other Indemnities. (a) Other than in the performance of design professional services, and to the fullest extent permitted by law, CONSULTANT shall, at its sole cost and expense, defend, hold harmless and indemnify the Indemnitees from and against any and all damages, costs, expenses, liabilities, claims, demands, causes of action, proceedings, judgments, penalties, liens, and losses of any nature whatsoever, including fees of accountants, attorneys, or other professionals and all costs associated therewith and the payment of all consequential damages (collectively "Claims"), in law or equity, whether actual, alleged or threatened, which arise out of, are claimed to arise out of, pertain to, or relate to the acts or omissions of CONSULTANT, its officers, agents, servants, employees, subcontractors, materialmen, contractors or their officers, agents, servants or employees (or any entity or individual that CONSULTANT shall bear the legal liability thereof) in the performance of this Agreement, including the Indemnitees' active or passive negligence, except for Claims arising from the sole negligence or willful misconduct of the Indemnitees, as determined by final arbitration or court decision or by the agreement of the Parties. CONSULTANT shall defend the Indemnitees in any action or actions filed in connection with any Claim with counsel of the Indemnitees' choice, and shall pay all costs and expenses, including all attorneys' fees and experts' costs actually incurred in connection with such defense. CONSULTANT shall reimburse the Indemnitees for any and all legal expenses and costs incurred by the Indemnitees in connection therewith. (b) CONSULTANT shall pay all required taxes on amounts paid to CONSULTANT under this Agreement, and indemnify and hold CITY harmless from any and all taxes, assessments, penalties, and interest asserted against CITY by reason of the independent contractor relationship created by this Agreement. CONSULTANT shall fully comply with the workers' compensation law regarding CONSULTANT and CONSULTANT's employees. CONSULTANT shall indemnify and hold CITY harmless from any failure of CONSULTANT to comply with applicable workers' compensation laws. CITY may offset against the amount of any fees due to CONSULTANT under this Agreement any amount due to CITY from CONSULTANT as a result of CONSULTANT's failure to promptly pay to CITY any reimbursement or indemnification arising under this subparagraph (b). (c) CONSULTANT shall obtain executed indemnity agreements with provisions identical to those in this Section 3.1 from each and every subcontractor or any other person or entity involved by, for, with or on behalf of CONSULTANT in the performance of this Agreement. If CONSULTANT fails to obtain such indemnities, CONSULTANT shall be fully responsible and indemnify, hold harmless and defend the Indemnitees from and against any and all Claims in law or equity, whether actual, alleged Page 3 of 12 Agreement for On -Call Professional/Technical Services R6876 -0504\1859632v2. doc or threatened, which arise out of, are claimed to arise out of, pertain to, or relate to the acts or omissions of CONSULTANT's subcontractor, its officers, agents, servants, employees, subcontractors, materialmen, contractors or their officers, agents, servants or employees (or any entity or individual that CONSULTANT's subcontractor shall bear the legal liability thereof) in the performance of this Agreement, including the Indemnitees' active or passive negligence, except for Claims arising from the sole negligence or willful misconduct of the Indemnitees, as determined by final arbitration or court decision or by the agreement of the Parties. 3.1.3 Workers' Compensation Acts not Limiting. CONSULTANT's obligations under this Article 3, or any other provision of this Agreement, shall not be limited by the provisions of any workers' compensation act or similar act. CONSULTANT expressly waives its statutory immunity under such statutes or laws as to CITY, its officers, agents, employees and volunteers. 3.1.4 Insurance Requirements not Limiting. CITY does not, and shall not, waive any rights that it may possess against CONSULTANT because of the acceptance by CITY, or the deposit with CITY, of any insurance policy or certificate required pursuant to this Agreement. This hold harmless and indemnification provisions in this Article 3 shall apply regardless of whether or not any insurance policies are determined to be applicable to the Liabilities, Claims, tax, assessment, penalty or interest asserted against CITY. 3.1.5 Survival of Terms. The indemnification in this Article 3 shall survive the expiration or termination of this Agreement. 3.2 Insurance 3.2.1 General Liability Insurance CONSULTANT shall at all times during the term of the Agreement carry, maintain, and keep in full force and effect, a policy or policies of Commercial General Liability Insurance, with minimum limits of one million dollars ($1,000,000) for each occurrence and two million dollars ($2,000,000) general aggregate for bodily injury, death, Toss or property damage for products or completed operations and any and all other activities undertaken by CONSULTANT in the performance of this Agreement. The policy or policies shall be issued by an insurer admitted or authorized to do business in the State of California and rated in A.M. Best's Insurance Guide with a rating of A:VII or better. 3.2.2 Professional Liability Insurance CONSULTANT shall at all times during the term of this Agreement, carry, maintain, and keep in full force and effect a policy or policies of professional liability insurance with a minimum limit of one million dollars ($1,000,000) per claim and aggregate for errors and/or omissions of CONSULTANT in the performance of this Agreement. The policy or policies shall be issued by an insurer admitted or authorized to do business in the State of California and rated in Best's Insurance Guide with a rating of Page 4 of 12 Agreement for On -Call Professional/Technical Services R6876 -0504\1859632v2 . doc A:VII or better. If a "claims made" policy is provided, such policy shall be maintained in effect from the date of performance of work or services on CITY's behalf until three (3) years after the date of work or services are accepted as completed. Coverage for the post -completion period may be provided by renewal or replacement of the policy for each of the three (3) years or by a three-year extended reporting period endorsement, which reinstates all limits for the extended reporting period. If any such policy and/or policies have a retroactive date, that date shall be no later than the date of first performance of work or services on behalf of CITY. Renewal or replacement policies shall not allow for any advancement of such retroactive date. 3.2.3 Automobile Liability Insurance CONSULTANT shall at all times during the term of this Agreement obtain, maintain, and keep in full force and effect, a policy or policies of Automobile Liability Insurance, with minimum of one million dollars ($1,000,000) per claim and occurrence and two million dollars ($2,000,000) in the aggregate for bodily injuries or death of one person and five hundred thousand dollars ($500,000) for property damage arising from one incident. The policy or policies shall be issued by an insurer admitted or authorized to do business in the State of California and rated in A.M. Best's Insurance Guide with a rating of A:VII or better. 3.2.4 Worker's Compensation Insurance CONSULTANT agrees to maintain in force at all times during the performance of work under this Agreement worker's compensation insurance as required by the law. CONSULTANT shall require any subcontractor similarly to provide such compensation insurance for their respective employees. 3.2.5 Notice of Cancellation (a) All insurance policies shall provide that the insurance coverage shall not be cancelled or modified by the insurance carrier without thirty (30) days prior written notice, or ten (10) days notice if cancellation is due to nonpayment of premium. CONSULTANT shall provide immediate notice to CITY, if CONSULTANT receives a cancellation or policy revision notice from the insurer. (b) CONSULTANT agrees that it will not cancel or reduce any required insurance coverage. CONSULTANT agrees that if it does not keep the insurance in full force and effect, CITY may either immediately terminate this Agreement or, if insurance is available at a reasonable cost, CITY may take out the necessary insurance and pay, at CONSULTANT's expense, the premium thereon. 3.2.6 Entire Policy and Certificate of Insurance At all times during the term of this Agreement, CONSULTANT shall maintain on file with the City Clerk both a copy of the entire policy and a certificate of insurance showing that the policies are in effect in the required amounts. The commercial general Page 5 of 12 Agreement for On -Call Professional Technical Services R6876 -0504\1859632v2. doc liability policy shall contain endorsements naming CITY, its officers, agents and employees as additional insureds. 3.2.7 Primary Coverage The insurance provided by CONSULTANT shall be primary to any coverage available to CITY. The insurance policies (other than workers compensation and professional liability) shall include provisions for waiver of subrogation. ARTICLE 4 TERMINATION 4.1 Termination of Agreement (a) This Agreement may be terminated at any time, with or without cause, by CITY upon ten (10) days prior written notice or by CONSULTANT upon ninety (90) days prior written notice. Notice shall be deemed served if completed in compliance with Section 6.15. (b) CONSULTANT shall cease all work under this Agreement on or before the effective date of termination specified in the notice of termination. In the event of termination or cancellation of this Agreement by CONSULTANT or CITY, due to no fault or failure of performance by CONSULTANT, CONSULTANT shall be paid compensation for all services performed by CONSULTANT, in an amount to be determined as follows: for work satisfactorily done in accordance with all of the terms and provisions of this Agreement as determined by CITY, CONSULTANT shall be paid an amount equal to the percentage of services performed prior to the effective date of termination or cancellation in accordance with the work items; provided, in no event shall the amount of money paid under the foregoing provisions of this paragraph exceed the amount which would have been paid to CONSULTANT for the full performance of the services described in this Agreement. ARTICLE 5 OWNERSHIP OF DOCUMENTS 5.1 Ownership of Documents and Work Product All final documents, plans, specifications, reports, information, data, exhibits, photographs, images, video files and media created or developed by CONSULTANT pursuant to this Agreement ("Written Products") shall be and remain the property of CITY without restriction or limitation upon its use, duplication or dissemination by CITY. All Written Products shall be considered "works made for hire," and all Written Products and any and all intellectual property rights arising from their creation, including, but not limited to, all copyrights and other proprietary rights, shall be and remain the property of CITY without restriction or limitation upon their use, duplication or dissemination by CITY. CONSULTANT shall not obtain or attempt to obtain copyright protection as to any Written Products. Page 6 of 12 Agreement for On -Call Professional/Technical Services R6876 -0504\1859632v2 . doc CONSULTANT hereby assigns to CITY all ownership and any and all intellectual property rights to the Written Products that are not otherwise vested in CITY pursuant to the paragraph directly above this one. CONSULTANT warrants and represents that it has secured all necessary licenses, consents or approvals to use any instrumentality, thing or component as to which any intellectual property right exists, including computer software, used in the rendering of the services and the production of all Written Products produced under this Agreement, and that CITY has full legal title to and the right to reproduce the Written Products. CONSULTANT shall defend, indemnify and hold CITY, and its elected officials, officers, employees, servants, attorneys, designated volunteers, and agents serving as independent contractors in the role of CITY officials, harmless from any loss, claim or liability in any way related to a claim that CITY's use of any of the Written Products is violating federal, state or local laws, or any contractual provisions, or any laws relating to trade names, licenses, franchises, copyrights, patents or other means of protecting intellectual property rights and/or interests in products or inventions. CONSULTANT shall bear all costs arising from the use of patented, copyrighted, trade secret or trademarked documents, materials, equipment, devices or processes in connection with its provision of the services and Written Products produced under this Agreement. In the event the use of any of the Written Products or other deliverables hereunder by CITY is held to constitute an infringement and the use of any of the same is enjoined, CONSULTANT, at its expense, shall: (a) secure for CITY the right to continue using the Written Products and other deliverables by suspension of any injunction, or by procuring a license or licenses for CITY; or (b) modify the Written Products and other deliverables so that they become non -infringing while remaining in compliance with the requirements of this Agreement. This covenant shall survive the termination of this Agreement. Upon termination, abandonment or suspension of the Project, the CONSULTANT shall deliver to CITY all Written Products and other deliverables related to the Project without additional cost or expense to CITY. If CONSULTANT prepares a document on a computer, CONSULTANT shall provide CITY with the document both in a printed format and in an electronic format that is acceptable to CITY. ARTICLE 6 GENERAL PROVISIONS 6.1 Representation The CITY representative shall be the Director of Public Works or his or her designee, and CONSULTANT shall notify CITY of CONSULTANT's designated representative. These individuals shall be the primary contact persons for the parties regarding performance of this Agreement. 6.2 Fair Employment Practices/Equal Opportunity Acts In the performance of this Agreement, CONSULTANT shall comply with all applicable provisions of the California Fair Employment Practices Act (California Page 7 of 12 Agreement for On -Call Professional/Technical Services R6876 -0504\1859632v2. doc Government Code Sections 12940-48), the applicable equal employment provisions of the Civil Rights Act of 1964 (42 U.S.C. 200e-217), and the Americans with Disabilities Act of 1990 (42 U.S.C. § 11200, et seq.). 6.3 Audit The CITY or its representative shall have the option of inspecting, auditing or inspecting and auditing all records and other written materials used by CONSULTANT in preparing its billings to CITY as a condition precedent to any payment to CONSULTANT. CONSULTANT will promptly furnish documents requested by CITY. Additionally, CONSULTANT shall be subject to State Auditor examination and audit at the request of CITY or as part of any audit of CITY, for a period of three (3) years after final payment under this Agreement. 6.4 Personnel CONSULTANT represents that it has, or shall secure at its own expense, all personnel required to perform CONSULTANT's services under this Agreement. Any person who performs engineering services pursuant to this Agreement shall be licensed as a Civil Engineer by the State of California and in good standing. CONSULTANT shall make reasonable efforts to maintain the continuity of CONSULTANT's staff who are assigned to perform the services hereunder and shall obtain the approval of the Director of Public Works of all proposed staff members who will perform such services. CONSULTANT may associate with or employ associates or subcontractors in the performance of its services under this Agreement, but at all times shall CONSULTANT be responsible for its associates and subcontractors' services. 6.5 CONSULTANT's Representations CONSULTANT represents, covenants and agrees that: a) CONSULTANT is licensed, qualified, and capable of furnishing the labor, materials, and expertise necessary to perform the services in accordance with the terms and conditions set forth in this Agreement; b) there are no obligations, commitments, or impediments of any kind that will limit or prevent CONSULTANT's full performance under this Agreement; c) to the extent required by the standard of practice, CONSULTANT has investigated and considered the scope of services performed, has carefully considered how the services should be performed, and understands the facilities, difficulties and restrictions attending performance of the services under this Agreement. 6.6 Conflicts of Interest CONSULTANT agrees not to accept any employment or representation during the term of this Agreement or within twelve (12) months after completion of the work under this Agreement which is or may likely make CONSULTANT "financially interested" (as provided in California Government Code Sections 1090 and 87100) in any decisions made by CITY on any matter in connection with which CONSULTANT has been retained pursuant to this Agreement. Page 8 of 12 Agreement for On -Call Professional/Technical Services R6876 -0504\1859632v2. doc 6.7 Legal Action (a) Should either party to this Agreement bring legal action against the other, the validity, interpretation, and performance of this Agreement shall be controlled by and construed under the laws of the State of California, excluding California's choice of law rules. Venue for any such action relating to this Agreement shall be in the Los Angeles County Superior Court. (b) If any legal action or other proceeding, including action for declaratory relief, is brought for the enforcement of this Agreement or because of an alleged dispute, breach, default or misrepresentation in connection with this Agreement, the prevailing party shall be entitled to recover reasonable attorneys' fees, experts' fees, and other costs, in addition to any other relief to which the party may be entitled. (c) Should any legal action about a project between CITY and a party other than CONSULTANT require the testimony of CONSULTANT when there is no allegation that CONSULTANT was negligent, CITY shall compensate CONSULTANT for its testimony and preparation to testify at the hourly rates in effect at the time of such testimony. 6.8 Assignment Neither this Agreement nor any part thereof shall be assigned by CONSULTANT without the prior written consent of CITY. Any such purported assignment without written consent shall be null and void, and CONSULTANT shall hold harmless, defend and indemnify CITY and its officers, officials, employees, agents and representatives with respect to any claim, demand or action arising from any unauthorized assignment. Notwithstanding the above, CONSULTANT may use the services of persons and entities not in CONSULTANT's direct employ, when it is appropriate and customary to do so. Such persons and entities include, but are not necessarily limited to, surveyors, specialized consultants, and testing laboratories. CONSULTANT's use of subcontractors for additional services shall not be unreasonably restricted by CITY provided CONSULTANT notifies CITY in advance. 6.9 Independent Contractor CONSULTANT is and shall at all times remain, as to CITY, a wholly independent contractor. Neither CITY nor any of its agents shall have control over the conduct of CONSULTANT or any of the CONSULTANT's employees, except as herein set forth, and CONSULTANT is free to dispose of all portions of its time and activities which it is not obligated to devote to CITY in such a manner and to such persons, firms, or corporations as the CONSULTANT wishes except as expressly provided in this Agreement. CONSULTANT shall have no power to incur any debt, obligation, or liability on behalf of CITY or otherwise act on behalf of CITY as an agent. CONSULTANT shall not, at any time or in any manner, represent that it or any of its agents, servants or Page 9 of 12 Agreement for On -Call Professional/Technical Services R6876 -0504\1859632v2. doc employees, are in any manner agents, servants or employees of CITY. CONSULTANT agrees to pay all required taxes on amounts paid to CONSULTANT under this Agreement, and to indemnify and hold CITY harmless from any and all taxes, assessments, penalties, and interest asserted against CITY by reason of the independent contractor relationship created by this Agreement. CONSULTANT shall fully comply with the workers' compensation law regarding CONSULTANT and its employees. CONSULTANT further agrees to indemnify and hold CITY harmless from any failure of CONSULTANT to comply with applicable workers' compensation laws. The CITY shall have the right to offset against the amount of any fees due to CONSULTANT under this Agreement any amount due to CITY from CONSULTANT as a result of its failure to promptly pay to CITY any reimbursement or indemnification arising under this Article. 6.10 Titles The titles used in this Agreement are for general reference only and are not part of the Agreement. 6.11 Entire Agreement This Agreement, including any other documents incorporated herein by specific reference, represents the entire and integrated agreement between CITY and CONSULTANT and supersedes all prior negotiations, representations or agreements, either written or oral. This Agreement may be modified or amended, or provisions or breach may be waived, only by subsequent written agreement signed by both parties. 6.12 Construction In the event of any asserted ambiguity in, or dispute regarding the interpretation of any matter herein, the interpretation of this Agreement shall not be resolved by any rules of interpretation providing for interpretation against the party who causes the uncertainty to exist or against the party who drafted the Agreement or who drafted that portion of the Agreement. 6.13 Non -Waiver of Terms, Rights and Remedies Waiver by either party of any one or more of the conditions of performance under this Agreement shall not be a waiver of any other condition of performance under this Agreement. In no event shall the making by CITY of any payment to CONSULTANT constitute or be construed as a waiver by CITY of any breach of covenant, or any default which may then exist on the part of CONSULTANT, and the making of any such payment by CITY shall in no way impair or prejudice any right or remedy available to CITY with regard to such breach or default. The project manager will meet with the design professional and their client if prior comments are not being addressed. We have found this will get the process back on track or provide the project owner/client with a more realistic schedule based on their design professionals' actions. The discussion above describes lnterwest Consulting Group's philosophy and approach of "how'. we do our work. A typical scenario for "what" we do related to the review and processing of final maps. landscape plans, improvement plans. hydrology and hydraulics calculations and plans, and traffic engineering and operations plans and reports, follows: o Provide plan reviews for final maps, improvement and landscape plans. Review includes evaluation of required reports, studies. grading and improvement plans. and design professional's recommendations. Each plan review is assigned to a design plan reviewer with oversight of the project manager. The assigned design plan reviewer will be committed to the project and will furnish all subsequent submittal reviews for the project. This maintains a consistent review and avoids "late hit" comments. o Each plan review will be accompanied with a letter summarizing the red -line comments. This letter will be addressed directly to the applicant's engineer or landscape architect. with a copy to City staff and the applicant. A complete red -lined set of drawings and any reports will be returned to the design professional for use in their corrections. o The Project Manager will meet with the Design Professional and City staff to review comments or to delineate the standards which are not being met to assist in the timely completion of the review and meeting the maximum goal of two plan reviews. If necessary. the third review will confirm that all previous comments have been addressed. This meeting can take place in the Design Engineer's office, if desired so that minor comments/discrepancies can be immediately addressed and the improvement plans and reports can be deemed technically correct and submitted for signature approvals. o We will meet with other City staff and outside agencies, as needed, to review their progress and/or their comments. o lnterwest can provide structural engineers to assist in any structural reviews, for any of the assigned projects. We can provide these reviews concurrently with the improvement plan reviews and within the stated timeframes. o Map checking will overseen by professional engineer's licensed to practice land surveying in the State of California or by licensed Land Surveyors. o Engineering review of grading permit/applications is highly dependent upon the complexity and location of the proposed grading. A single lot entitled commercial grading permit application will be reviewed differently from a hillside lot or subdivision, or a project adjacent to a drainage corridor. o Soils reports will be evaluated and confirmation of recommendations will be included on the plans. Boundary conditions will be evaluated to maintain continuity with surrounding properties and maintain existing drainage patterns. o Construction erosion control and post construction water quality control will be reviewed for compliance with the storm water quality management permit in effect for the City. Interwest Consulting Group 1 www.interwestgrp.com Page 5 Stormwater We cooperate with local agency partners to create and implement storm water quality compliance guidelines as mandated by the Regional Water Quality Control Board National Pollution Discharge Elimination System (NPDES) permit requirements — specifically. the Regional Boards's latest MS4 permit for the City. Our staff provides technical guidance to the Plan Check and entitlement groups and development community by providing interpretation of Regional Water Quality Control Board permit requirements and associated water quality compliance guidelines. We will also conduct public outreach campaigns as required by NDPES permit to make public aware of critical water quality issues. Interwest will assist in providing technical and material support to upper management and in-house staff regarding complex hydraulic and hydrological related issues. We will also review development plans to ensure that plans submitted by private developers are in compliance with drainage and floodplain management policies by conforming to local agency standards. drainage ordinances. and floodplain development policies. Pre -Project Photographs 1 Video: The Construction Inspector will document the condition of the project as well as the adjacent areas prior to the contractor mobilizing. thus minimizing any dispute that may arise regarding existing vs. construction damage. Pre -Construction Meeting: We will organize or attend the pre -construction meetings prior to the Notice to Proceed being issued. Meeting notes and a list of invitees and attendees will be distributed. Plans, Specification & Estimate (PS&E): The PS&E package is essentially the contract document from which the contractor will bid and build the project. The project engineer, in consultation with the construction manager. takes the approved project and begins the formal design process. Every effort must be made to stay within the scope of the approved project, and adhere to the environmental document constraints. Any changes to the scope must be approved by the city; changes to the scope during the PS&E phase will likely increase construction costs.. may require additional environmental studies. and possibly delay the schedule. As the PS&E package develops. a bigger emphasis is made on constructability, traffic handling and staging. All can significantly impact construction costs. Potential Pitfalls: - Having bidding documents which are not consistent with City standards - Inadequate time allotted for PS&E approvals by City Engineer and City Attorney's office - Slow response time to Contractor RFI's and other requests CONSTRUCTION PHASE Resulting in: - Delays in bidding and construction which can lead to higher costs - Misinterpreted contract documents which can lead to CCO's and delay claims Interwest Solutions: - Utilize experience to build realistic project schedules that properly account for all reviews and approvals - Respond expeditiously to Contractor RFI's and other requests to minimize CC0's and delay claims - Utilize constructability and specification reviews by experienced staff to identify the most efficient construction methods and to minimize CC0's Project Schedule 1 Submittal Review: A realistic schedule that meets the requirements of the contract documents is critical to the success of the project. Our team will constantly monitor the schedule, noting and making the City aware of any critical path slips, as well as any opportunities to compress the schedule that may arise. Further. timely and thorough submittal review is critical to a project. Examples of activities include: Coordinatereview and approve the Contractor's proposed CPM schedule for completion of project. Review contractor's schedule, update submittals for conformance to master schedule and contract documents. Document Control: We use the proven method of controlling documents through the system developed and used by Caltrans. We will apply consistent procedures to track all documentation, regardless of project size and location. Doing so will result in a standard documentation and filing system across the board for capital projects. As a result. records retrieval will be quick and efficient. Work activities include: Maintain all project documents, drawings, contract change orders, contractor submittals, shop drawing and correspondence in electronic form and hard copy. Interwest Consulting Group 1 www.interwestgrp.com Page8 Maintain at the project site in an "as current" basis a record copy of all contracts. drawings, specifications, addenda, change orders and other modifications, in good order and marked to record all changes made during construction. We track documents, including all correspondence. ✓ Ensure an office engineer is available for projects with significant document control needs. and all files will be set up by our office engineer, regardless of size. ✓ Maintain a digital photographic library & significant activities. Maintain RFI, submittal and change order logs. Ensure consultants and engineers respond within contract time frames. We track the number of days submittals are outstanding and with a particular party on a weekly basis and report this information to the appropriate staff. ✓ Monitor Contractor and the sub -contractors regarding compliance with prevailing wage rates and affirmative action requirements applicable to the project including a Labor Compliance Program in accordance with AB 1506 and the Davis -Bacon Act. Our inspectors and office engineers are trained on the appropriate forms and techniques necessary to conduct these compliance activities v Collect and review. for compliance with all State and Federal regulations. certified payroll records requirements. Weekly 1 Monthly Construction Meetings: We would attend and chair weekly or monthly project meetings with the contractors and stakeholders. We can prepare the agenda and discuss schedule, budget, changes, safety issues, etc. This has proven to be an important step to getting the project on schedule early. Change Order Review/Dispute Resolution: Our team will review any requests for contract change orders to verify the work is necessary and outside of the contract. and we will negotiate the best way from the City perspective to pay for the work, whether that is time and materials, unit prices, or a negotiated amount. We will advise City as to their effect on the contract time and cost. We can perform independent estimates of proposed change order work when necessary or when directed by the City. The Construction Manager will then make a recommendation for approval, which according to the City policy, will ultimately need approval by the Public Works Director. Materials Testing Management: We will coordinate and schedule the materials testing services to acquire the necessary services, and reports, in the most efficient manner. Compaction Control: We will coordinate compaction testing with the soil engineering firm to verify all compaction conducted meets all requirements and specifications. Progress Payment Processing: We will review progress payments and verify quantities/unit prices. amount due. certified payroll, appropriate rates, etc. If the review shows the progress payment is accurate, we will then recommend payment and circulate it to Project Manager for additional review. signature and approval. Agency Coordination: We will coordinate any work with other agencies to maximize contractor efficiency and keep the project on schedule. Interwest Consulting Group 1 www.interwestgrp.com Page 1 9 PROJECT CLOSE-OUT PHASE Punch List Completion: Our Inspector will generate and make the contractor aware of deficiencies as they occur in the field. We will encourage the contractor to repair or replace work that does not meet the specifications when it is identified. Interwest will oversee the complete performance of all punch list items and final clean-up before contractor moves off- site. Each punch list item is personally signed off by a member of our team. and all items must be signed off before the construction manager signs the list as complete. Record Drawings and Other Documents: Our Construction Manager will review the record drawings with the Inspector for accuracy and completeness prior to acceptance of the project. This is monitored weekly. At the end of the project, we will obtain from contractor all record (as -built) drawings: 0 & M materials, attic stock. contract required documents. lien releases. and written warrantees. Geotechnical Report: Our Construction Manager will obtain a complete geotechnical report with all test results, logs. and correspondence from the geotech prior to releasing their final payment. Final Report: Our team will prepare a final report for the project that recaps the costs, schedule, successes. and lessons learned to the City and the Project Manager for use in preparing the City Council Notice of Acceptance Staff Report. An inventory of the "wrap up" tasks for construction management activities include: ✓ Administer post -construction training of custodial, maintenance, operations and grounds staff for all new equipment, systems and finish materials. We intend to invite the appropriate City maintenance personnel to the final walk-through of the project so they may ask questions and review the work. We understand that the project is built for the end-user, which is usually the maintenance department on behalf of the citizens. ✓ Coordinate final testing, documentation and regulatory inspections. We require all materials testing and special inspection documentation to be in a final report in chronological order. • Advise on substantial and final completion and liquidated damages. ✓ Evaluate any contractor claim, negotiate and resolve claim issues. Recommend approval or denial by the City. Establish a warranty process and schedule six (6) months and eleven (11) months warranty walks. ✓ Oversee the complete performance of all warranty repair items. Monitoring Quality & Objectiveness of Field Personnel — Our construction supervisors routinely check the files and performance of our construction inspectors. Regular training meetings are conducted at which changes in rules and regulations are discussed. Of critical importance are the storm water compliance rules and the requirements of the general construction permit on City projects. After the completion of the review, Interwest prepared comments for the City to submit to the lead agency on the associated environmental, economic and traffic impacts of the project. Energy Efficiency and Conservation Block Grant: The City of Bell was awarded an Energy Efficiency and Conservation Block Grant (EECBG) to replace existing sodium vapor lamps with energy efficient LED lamps on City owned street lighting, which expired on December 31, 2011. Interwest filed the necessary documentation and extensions which were necessary to preserve the City's funding, and completed the implementation of the lighting replacement recording all City owned lighting information in the City's GIS system. The project scope included coordinating project payments using the Federal Government ASAP system and processing payments to the City for the grant. Interwest additionally, prepared and filed the necessary closing documentation and reports with the granting agency. Construction Management 1 Inspection Veterans Memorial Park: Interwest provided pre -construction bid preparation services and managed the bid and award process for the softball field renovation project at Veterans Memorial Park. The project involved removing and replacing all turf in the outfield and survey and laser leveling the infield and outfield. Furthermore, Interwest monitored the project schedule and budget, and provided construction management administration, field inspection and close-out services. Bandini: The project is a single -story tilt up building structure/demolition with groups Si, F1, and B occupancy classifications and Type III -B construction. The total area of the proposed project consists of 484,400 square feet. Interwest provided all public works inspection and on-site building inspection. Our staff conducted full plan review services for specification shell office/warehouse with a detached fire pump house, truck court, screen walls. fences, truck enclosure and light poles. The estimated construction cost for this project is $20 million. Florence Avenue Resurfacing: lnterwest provided pre -construction bid preparation services and managed the bid and award process. During construction, lnterwest provided construction management administration, field inspection, and close-out services. Valuation: $280,000. Interwest's construction manager closely monitored the project schedule and budget, and acted as the City's central point of contact for all project team members. The project also included coordination with the adjacent mobile home park to provide a temporary access drive on Live Oak Avenue. Americans with Disabilities Act (ADA) Improvement: Interwest developed a transition plan that complied with the regulations under 28 CFR Part 35.150(4) that set forth the steps necessary to ensure compliance with the ADA and its implementing regulations. The projects scope included the investigation and identification of barriers to access and to compile an ADA Transition Plan for City owned facilities, public rights-of-way (streets, intersections, ramps and sidewalks, etc.), and program services, in accordance with Americans with Disabilities Accessibility Guidelines (ADAAG) and the California State Accessibility Standards (CSAS). The FairPlex Conference Center is an 85,000 square foot, state-of-the-art building featuring the latest in construction styles and technology features with an eco -friendly balance. Understanding the importance of this project we dedicated seasoned inspectors who collaboratively worked with a half dozen deputy inspectors and maintained a weekly inspection schedule, plus weekend inspections. as needed to keep the project on schedule. The project presented some unique challenges due to the incorporation of the new construction with an existing Depression -era historical building. This required that all adjoining parts of the Exhibit Hall, including electrical and plumbing, conform to rigorous Fire Rating Standards. The Interwest team provided plan review and inspection services on the Mayfair Hotel. Our experienced engineers reviewed the project design, which included both structural and non structural elements. Our inspectors were on the project every week to resolve any potential issues, ensure the project is adhering to current building codes and collaboratively working with the contractor to maintain an aggressive schedule. The five story hotel will deliver four floors of completely new and modern housing. targeting primarily the Western University campus, mixed retail, a restaurant on the ground level and an Irish Pub in the basement. The developer is targeting completion before the end of 2012. Western University Campus Interwest Consulting Group was honored to work on such a premier project for the City. Our staff has provided plan review and inspection services since 2010 on the Western University Campus. As part of a growing campus Interwest provided plan review and inspection for many tenant improvements (TI) which included the 2nd Floor Administration Offices & Testing, Patient Care Center, Health Building, Student Housing Building and a 300,000 square - foot residential, assembly, and offices. Western University's $10 million, 133,000 square foot mixed-use project for student housing and administration offices began construction in the spring of 2013. The university set an aggressive completion date for the contractor to be finished and occupied for the 2014 fall semester. The contractor met with Interwest staff to discuss their dilemma and concerns that such an aggressive time schedule placed by the university in all probability could not be met. The main contributing factor the schedule possibly not be met was due to an extremely congested area where the building was proposed to be built. Logistics in moving material and construction crews was going to be critical. Over the course of about a month of meetings with the general contractor, Interwest began the process of developing an inspection schedule that would help the contractor achieve completion of the project within the deadlines of the owner without compromising fire and life safety of the students that will ultimately reside in the building. The project was completed in July 2014, thirty days ahead of schedule and in time for occupancy of the building for the fall semester. Interwests experience within the fields of Construction Management. One goal of the mixed use concept is to lower the carbon footprint for the community. This project does that through people being able to work from home and being within walking distance to the Pomona MetroLink station; keeping citizens out of their cars and on the commuter rail system. Interwest recognized the overall concept and importance of a pedestrian friendly project. The project management team initially forecasted a project of this scope and magnitude taking 18 to 24 months to complete — at a minimum. To complete a project of this size has its own inherent complexities and challenges to complete in a timely fashion. Interwest, owner and contractor met at the onset to discuss scope and expectations. From this meeting. Interwest and the contractor devised a strategy to complete the project on time. benefiting the owner, without compromising fire and life safety provision of the building code. Interwest provided an on-the-job resident inspector to ensure timely inspections and quality of construction. The collaborative process of all stakeholders working in partnership (the development team, contract and Interwest) the project was completed for occupancy within 12 months! Rancho Camino Project — Included two 3 story new office buildings and 1 Mental Health building that is 400.000 sq ft. Gas Tax and AB2766 funds to program and advance projects consistent with Council direction. The CIP includes resurfacing arterial streets, implementing the pavement management program, preparing applications for SR2S and SB 821 to fund schools safety projects and synchronizing traffic signals along Limonite Avenue. Compliance requirements and task are being coordinated with the County Flood District and other agencies to meet all permit requirements. Bridge Projects - Interwest is an active participant and worked with local, regional and state transportation agencies to plan, design and fund two major bridge widening projects. The first bridge is a new interchange on Limonite at 1-15 ($30 million). The second bridge is a widening project at Hamner at Santa Ana River set to replace four lanes with six lanes ($60 million). Interwest was successful to fund pre -planning work for both bridges using Western Riverside Council of Government (WRCOG) Transportation Uniform Mitigation Fee (TUMP). While the County of Riverside is the lead agency, Interwest staff is involved in reviewing and commenting on the work. Project Management 1 Public Works Inspection The Public Works Inspector is responsible for inspecting all of the streets, sidewalks, curb and gutter. and installation of all traffic control devices that are installed in new subdivisions. We are also responsible for overseeing the construction of utilities in the City's right-of-way to ensure trenches are properly compacted. streets are repaired to the satisfaction of the City, and proper traffic control is provided during construction. Hellman Ave and Schleisman Road — This development project consists of 354 new single family homes. Inspections performed by Interwest will include approximately 3.15 miles of new residential roadway pavement (19 new streets). 6.3 miles of sidewalk, curb and gutter, .85 mile of arterial roadway pavement, .85 mile of sidewalk, curb and gutter on the major roadway and all traffic control devices. Archibald Ave and Schleisman Road — This development project consists of 173 new single family homes. Project includes approximately 1.3 miles of new residential roadway pavement (8 new streets); 2.6 miles of sidewalk, curb and gutter: 1.5 miles of arterial roadway pavement: 1 mile of sidewalk. curb and gutter on the arterial roadway and all traffic control devices associated with the improvements. Limonite Ave and Bellegrave Avenue —Development project with 204 new single family homes. Interwest will inspect approximately 1.5 miles of new residential roadway pavement (16 new streets): 3 miles of sidewalk. curb and gutter; .16 mile of major roadway pavement: .16 mile of sidewalk, curb and gutter on the major roadway and all traffic control devices. River Road West of Archibald Avenue — Project required repairs due to pavement failure at several locations caused by sewer line failure. River Road was excavated on a section and re -compacted to avoid future settlement of the roadway. Interwest provided inspections and oversight of the trench excavation and all traffic control associated with this work. This work was part a total project with 290 homes. Grant Funding The City of Eastvale was successful in receiving SB 821 and SR2S grant funds ($220,000 and $150.000 respectively) to construct sidewalks at two elementary schools to enhance pedestrian safety. Interwest is also designing the sidewalks and will perform construction management in 2013 when construction begins. In the spring of 2013, the City applied for $100,000 in State funds to prepare a Bicycle and Pedestrian Master Plan. Interwest prepared and submitted all the grant application to RCTC and Caltrans. The study involved four major categories of data collection and analysis. The study and recommended speed limits were also reviewed by the Police Department. Interwest Consulting Group I www.interwestgrp.com Page 40 Development Services Interwest Consulting Group analyzes and regulates private development impacts and improvement within the public right-of-way as well as planning, design, and construction of private development improvements including residential developments, commercial. and office/retail projects. Projects involving significant staff effort and coordination include: Eastvale Commerce Center — A 200 acre industrial / commercial development along the west side of 1-15. The project includes 3.1 million square foot of industrial space, 610.000 square feet of Business Park, and 340,000 square feet of commercial retail. The project is surrounded by the Cites of Ontario and Jurupa Valley requiring close coordination for transportation improvements. Interwest prepared the conditions of approval and reviewed the traffic impact analysis of the EIR. Walmart Retail Center — A 175,000 square foot retail store with fast food component. The retail center is adjacent to 220 KV Southern California Edison lines that require the relocation of a tower to widen a major arterial highway. Interwest is coordinating efforts with SCE to shift the centerline of the highway to avoid relocation of the SCE tower. Additionally, preparing the conditions of approval and reviewing the EIR is the responsibility of Interwest. The Enclave — KB Homes - A 90 -acre. gated development planned with five neighborhoods; the largest new home community launched in Riverside and San Bernardino counties since the housing downturn in 2007. Includes 106 homes, Targe recreation center. pools, parks, featuring an array of energy-saving and water -conserving technologies such as tankless water heaters, rooftop solar systems, electric car -charging stations and roof tiles coated with a catalyst that neutralizes nitrogen oxide, a key component of smog. Public Improvements included but not limited to, extensions of water, sewer, and storm drainage to the site and half street improvements of two major arterial (6 -lane) streets. Median improvements have also been installed at the beginning of the project. and parkway landscape Everton Grove - Pulte Homes - A 51 acre residential project made up of 204 units. This project was initiated in the County of Riverside and Pulte Homes stopped the process to have the City and Interwest provide a significantly shorter review and approval process of approximately 3 months from submittal of maps and plans to approval of the maps and subdivision agreements by the City Council. Construction includes over 1500 LF of off-site sewer within a major arterial involving multiple layers of traffic control for safe movement of local and regional traffic. Eastvale Gateway South — 60,000 square -foot mixed use center including Walgreens. McDonalds, Taco Bell and Chevron on 15.3 acres at the entrance into the City. Improvements include major flood control facilities. water upgrades and loop systems, and substantial improvements and signalization of two major arterial (6 -lanes) streets. Speed and Traffic Study Interwest completed an Engineering and Speed Survey in 2013 on 29 street segments where the speed limit was established five years ago or where a street segment was recently opened to traffic. Interwest furnished suggestions to remove those barriers that are readily achievable and suggested a method of providing equivalent facilitation. Interwest also prepared cost estimates for improvements. In cases where the barrier was not proposed for removal. Interwest provided documentation justifying that the barrier is an undue hardship to remove. Improvements included new sidewalks. handicap -accessible ramps, curb and gutter, and roadway widening along selected routes to each school. The projects were funded by bicycle and pedestrian safety grants. The Wildomar Elementary improvements were approximately 1.5 acres in size and the Ronald Reagan improvements consisted of approximately 0.5 acres. This project involved coordination with the police department and School District to bring to fruition and received extensive coverage in news. Interwest provides oversight for the City's participation in the WRCOG Transportation Uniform Mitigation Fee (TUMF) Program and assisted the City in evaluating a regional effort to consider TUMF reductions.. There were multiple unique challenges associated with each site. The Wildomar Elementary improvements had several challenges including maintaining multiple existing driveway access points. meandering the sidewalk to avoid existing trees and utilities, and minor drainage improvements along the affected area. The biggest challenge associated with the Ronald Reagan improvements was acquiring the additional right-of-way required to construct the roadway and the local Interwest Consulting Group 1 www.interwestgrp.com Page 1 43 sidewalk Interwest services provided included Transportation Planning, Capital Project Management. Grant Writing. and Traffic Engineering. The project was made possible by two grants written and secured by Interwest for the City. The City adopted its first CIP in 2009 with the design of an expanded interchange, implementation of a slurry seal program. a traffic signal and trail improvements being the focus of the program the first year. Our team also approached the local water district and have scheduled quarterly meetings which have allowed both agencies to alleviate a strained partnership the water district had prior to City incorporation. City's first Capital Improvement Program, totaling over $8 million in revenue over the next five years. The CIP identified Measure "A'', gas tax, and air quality revenue (AB 2766) to advance projects and programs consistent with Council direction. The CIP included the traffic signal program, the unpaved roadway program, the slurry seal program, and accessibility program which involved Interwest collaboration with Riverside County, City Council, and the public. We also secured and administered over $1 million dollars in grants from the Riverside County Transportation Commission's SB 821 program, Caltrans Safe Routes to School Program, and the Caltrans Highway Safety Improvement Program. These funds leveraged existing Measure "A" revenues to bring in state and federal funds. significantly augmenting the City's Capital Improvement Program budgets. Hoover Ranch: This project consisted of a Tentative Subdivision Map, Zone Change, General Plan Amendment and an Environmental Assessment to evaluate the impacts of the project for a 51 lot subdivision map in a proposed gated community. The site required the extension of street infrastructure to provide access to this parcel. Canyon Plaza: This project consisted of a Conditional Use Permit for a gasoline service station with carwash, three drive-thru restaurants, and two retail buildings totaling approximately 37,000 square feet of floor area. a Tentative Parcel Map to subdivide two existing parcels into 6 commercial parcels and 1 reciprocal access parcel. and an Environmental Assessment to evaluate the impacts of the project. Interwest provided review of the tentative map. commercial site plans and how it interfaced with the surrounding infrastructure and land use, review of the water quality plan, hydrology study. Traffic was evaluated to determine if the project impacted the surrounding area. Study comments were provided to have the Applicant for study revisions to address the various issues. Sand Diego Regional Water Control Board MS4 Permit Negotiation - Interwest represented the City of Wildomar in the negotiation of its new MS4 storm water permit. Battling two different watersheds the City found itself in a unique position relative to the new requirements. Interwest was able to assist the City in these negotiations to be in compliance with 1 watershed set of requirements. Staff participated on the negotiating team which consisted of the County of Riverside, Riverside County Flood Control, and neighboring cities.
