Los Angeles County Sheriff's Department, Lomita Station - FY2023-08001203.0001/893909.1 LICENSE AGREEMENT FOR USE OF CITY PROPERTY FOR CATALYTIC CONVERTER THEFT PREVENTION EVENT This License Agreement for Use of City Property for Catalytic Converter Theft Prevention Event (“Agreement”) is entered into effective June 28, 2023 (the “Effective Date”), by and between the City of Rancho Palos Verdes, a municipal corporation (“Licensor” or “City”), and the Los Angeles County Sheriff’s Department, Lomita Station (“Licensee”). Licensor and Licensee may be referred to, individually or collectively, as a “Party” or the “Parties.” RECITALS A. Licensee seeks to use the parking lot of Licensor’s City Hall located at 30940 Hawthorne Blvd., Rancho Palos Verdes 90275, California (“Property”), to conduct a drive-through event on July 29, 2023, from 9:00 a.m. to 1:00 p.m., for the purpose of preventing catalytic converter theft from vehicles by etching serialized numbers on the catalytic converters of vehicles for the benefit of City’s community (“Event”). B. Licensor is agreeable to granting Licensee a license to use the Property as reasonably necessary to conduct the Event, with no charge for use of the Property, on the terms and conditions set forth herein, and Licensee is also agreeable to such arrangement. NOW, THEREFORE, the Parties agree as follows: OPERATIVE PROVISIONS 1. Recitals. The foregoing recitals are true, and are incorporated herein by reference. 2. Grant of License. Licensor grants Licensee a license to use the Property to conduct the Event. 3. License Fee. Licensor will not charge a license fee for the license granted pursuant to Section 2. The Event will be free of charge to the Event registrants. 4. Term. This Agreement shall be effective from the Effective Date through the conclusion of the Event, allowing for any time needed to remove from the Property all items such as tables, chairs or other equipment that will be needed to conduct the Event (the “Term”). 5. Staffing of Event. a. Registration Licensee will provide its staff to administer Event registration, to the satisfaction of the Contract Officer. Registrants will: (1) be required to bring the vehicle containing the catalytic converter on which they would like the serialized number etched, a valid drivers’ license, and their registration showing the vehicle is registered in their name. Event participants must reside, work, or operate a business in the City of Rancho Palos Verdes, Rolling Hills Estates, or Rolling Hills. Licensee will provide its staff to handle check-in of Event registrants, to the satisfaction of the Contract Officer. c. Traffic Control. Licensee will provide its staff to provide traffic control for the Event, to the satisfaction of the Contract Officer. d. Lifting of Vehicles by Third Party Tow Company. Licensee will arrange for Van Lingen Towing, Inc. (“Van Lingen”), a third-party towing company, to be present at the Event, free of charge to Licensor, to mechanically raise or lift Event participants’ vehicles as necessary to facilitate the etching of serialized numbers on the catalytic converters of the Event registrants’ vehicles, subject to their prior execution of a liability waiver and consent form in the form attached hereto as Exhibit “A” (the “Waiver”). The licensor consents to Van Lingen entering onto the Property for the foregoing purpose. e. Etching of Serialized Numbers. Licensor will provide a contractor to etch the serialized numbers on the catalytic converters of the Event registrants’ vehicles. 6. Publicity. Licensee will publicize the Event, including issuing a press release, preparing flyers, and taking other reasonable measures to notify media outlets and the public of the Event. 7. Event Size Limits. The number of Event participants present at the Property at any given time shall not exceed the maximum occupancy of the Property 8. Set-Up and Take-Down. Licensee is solely responsible for set-up and take-down of the Event and for returning the Property, upon completion of the Event, to the condition it was in prior to the Event having been conducted. 9. Termination. Either Party may terminate this Agreement at any time, for any reason or no reason, upon one (1) business day’s written notice of termination to the other Party (Fridays are not business days for purposes of this section). 10. Representative of Licensee. _____________, __________________, is hereby designated as being the representative of Licensee authorized to act on its behalf with respect to this Agreement and all decisions in connection therewith. All employees or agents of Licensee making use of the Property for the Event (“Personnel”) shall be under the exclusive direction of the representative of Licensee. Licensee shall notify City of the identities of all of its Personnel upon execution of this Agreement, and Licensee shall provide advance notice to City of any changes to its Personnel. 11. Independent Status. a. Licensor and its agents and employees are, for all purposes, an independent party from Licensee and shall not be deemed employees or agents of Licensee. Licensor and its agents and employees, in the performance of this Agreement, shall act in an independent capacity and not as officers, employees or agents of Licensee. Although Licensee may be required by this Agreement to carry Worker's Compensation Insurance, in no event shall Licensor or its employees be entitled to unemployment or workers' compensation benefits from Licensee. b. Licensee is for all purposes an independent party from Licensor, and neither Licensee nor any officer, employee or agent of Licensee, shall be deemed an officer, employee or agent of Licensor. Licensee and its employees and agents shall at all times act in an independent capacity and not as officers, employees or agents of Licensor. Although Licensor may be required by this Agreement to carry Worker's Compensation Insurance, in no event shall Licensee or its employees or agents be entitled to unemployment or workers' compensation benefits from Licensor. 13. Furnishings; Waste; Nuisance. All cones, stands, tables, chairs, trash cans and/or other items needed for the Event shall be furnished by Licensee as reasonably necessary for Licensee to conduct the Event, and Licensee shall be responsible for setting up the same. Licensee shall not commit, suffer, or permit any waste or nuisance by Licensee or the Event participants in or about the Property in connection with Licensee’s use thereof pursuant to this Agreement. 14. Compliance with Laws, Rules and Regulations. Licensee agrees to comply with all applicable federal, state and local law and regulations and all applicable City policies, rules and regulations in connection with its use of the Property. Licensee represents and acknowledges that it has received, read and understands Licensor’s Community Center rules and regulations, and agrees that it will comply with said rules and regulations in connection with its use of the Property. 15. Release. Licensee hereby waives, releases and discharges Licensor, including its offic ers (elected and appointed), agents and employees, from and against any and all claims or liabilities to Licensee or any other person or entit y, including but not limited to claims or liabilities for bodily injury, illness, death (including illness or death arising from or in connection with bodily injury), or property damage, arising from or related in any way to Licensee’s use of the Property or Licensee’s participation in the Event, including those DocuSign Envelope ID: 304F3CF2-D2E2-43BD-81D4-AC95B47A6E03 01203.0001/893909.1 involving negligence of Licensor or Event participant(s), and Licensee, on behalf of itself and its officers, employees, agents and volunteers, agrees to waive its rights to make any such claims through any action or proceeding against Licensor 16. Civil Code Section 1542 Waiver. In giving the release and waiver set forth in Section 16, Licensee expressly waives any and all rights conferred upon it by the provisions of California Civil Code Section 1542, which Licensee understands reads as follows: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” This waiver shall be effective as a bar to any and all actions, fees, damages, losses, claims, liabilities and demands of whatsoever character, nature and kind, that a re known or unknown, or suspected or unsuspected, that may arise from or relate in any way to Licensee’s operation of, presence at, or participation in the Event. ______________ Licensee’s Initials 17. Indemnification. Neither Licensor nor any official (elected or appointed), employee, or agent of Licensor shall be responsible for any damage or liability occurring by reason of any acts or omissions on the part of Licensee or any of its officers, directors, employees, agents, representatives, volunteers or invitees under or in connection with this Agreement. Licensee shall fully indemnify, defend, and hold harmless Licensor and its officers (elected and appointed), employees and agents from any claim, action, proceeding, damage, injury, loss, cost, expense, fee (including litigation expenses and attorneys’ fees), penalty, obligation, forfeiture or liability, of every nature (including but not limited to property damage, bodily injury, illness, death, or failure to prevent theft of property) arising out of or resulting from any act or omission of Licensee or any of its officers, directors, employees, agents, or representatives, or any act or omission of those who attend or participate in the Event, including Van Lingen and any of its officers employees, agents or volunteers, under or in connection with this Agreement. 18. Insurance. Licensee, at its sole cost and expense, shall secure and maintain, throughout the Term of this Agreement, the following policies of insurance (or self-insurance): (1) commercial general liability and property damage insurance with a limit of no less than One Million Dollars ($1,000,000) per occurrence and Two Million Dollars ($2,000,000) in the aggregate; (2) automobile liability insurance at least as broad as Insurance Services Office form CA 00 01 covering bodily injury and property damage for all activities of DocuSign Envelope ID: 304F3CF2-D2E2-43BD-81D4-AC95B47A6E03 01203.0001/893909.1 Licensee arising out of or in connection this Agreement, including coverage for any owned, hired, non-owned or rented vehicles, in an amount not less than $1,000,000 combined single limit for each accident; and (3) worker’s compensation insurance in such amount as will fully comply with the laws of the State of California and which shall indemnify, insure and provide legal defense for Licensee against any loss, claim or damage arising from any injuries or occupational diseases occurring to any worker employed by or any persons retained by Licensee in the course of conducting the Event. Licensee’s insurance shall: (1) name the City of Rancho Palos Verdes as an additional insured ; (2) contain a severability of interest clause and a provision that such policy shall be primary and non-contributing with respect to any policy carried by Licensor and that any coverage carried by Licensor shall be in excess of and non-contributing unless the policy limit of Licensee’s insurance is exceeded; and (3) be written by companies rated “A” or better in the most recent edition of Best’s Insurance Guide and authorized to do business in California, and only if they are of a financial category Class VII or better, unless such requirements are waived by the Risk Manager of the City (“Risk Manager”) due to unique circumstances. The insurer is deemed hereof to waive all rights of subrogation and contribution it may have against Licensor, its officers (elected and appointed), employees and agents and their respective insurers. A Certificate of Insurance and endorsements documenting the above insurance coverage of Licensee, as well as a Certificate of Insurance and endorsements documenting insurance coverage of Van Lingen meeting the foregoing requirements, must be supplied to Licensor by Licensee PRIOR to Licensee’s use of the Property pursuant to this Agreement. 19. Condition of Property. Licensee represents it has inspected the Property and has found the same to be satisfactory and agrees to make use of the Property in its present condition. 20. Transfer; Assignment. Neither Party may transfer or assign its interest in this Agreement, or any part thereof, without the prior written approval of the other Party. Any transfer or assignment without such approval shall be void and unenforceable. 21. Prevailing Party Attorneys’ Fees. The prevailing party in action or proceeding initiated by either Party pursuant to this Agreement, in addition to any other relief which may be granted, shall be entitled to recovery of reasonable attorney’s fees. 22. Notice. Notice shall be deemed communicated at the time personally delivered , in seventy-two (72) hours from the time of mailing if mailed as provided in this Section, or in one business day from the time of emailing if emailed as provided in this Section. 23. Legal Action. In addition to any other rights or remedies, and except as otherwise provided in this Agreement, either Party may take legal action, in law or in equity, to cure, correct or remedy any default, to recover damages for any default, to compel specific performance of this Agreement, to obtain declaratory or injunctive relief, or to obtain any other remedy consistent with the purposes of this Agreement. 24. Covenant Against Discrimination. Licensee covenants that, by and for itself, its heirs, executors, assigns, and all persons claiming under or through them, that there shall be no discrimination against or segregation of, any person or group of persons on account of race, color, creed, religion, sex, gender, sexual orientation, marital status, national origin, ancestry or other protected class in the performance of this Agreement. 25. Conflict of Interest. No official, officer or employee of Licensor has or shall have any financial interest, direct or indirect, in this Agreement , nor shall any such official, officer or employee participate in any decision relating to this Agreement which affects his financial interest or the financial interest of any corporation, partnership or association in which he is, directly or indirectly, interested, in violation of any State statute or regulation. The determination of “financial interest” shall be consistent with Stat e law and shall not include interests found to be “remote” or “noninterests” pursuant to Government Code Sections 1091 or 1091.5. Licensee represents and warrants that it has not paid or given and will not pay or give any third party any money or other consideration for obtaining this Agreement. Licensee further warrants and represents that it has not engaged in any act(s), omission(s), or other conduct or collusion that would result in the payment of any money, consideration, or other thing of value to any third party including, but not limited to, any City official, officer, or employee, as a result or consequence of obtaining any agreement. Licensee is aware of and understands that any such act(s), omission(s) or other conduct resulting in such payment of money, consideration, or other thing of value will render this Agreement void and of no force or effect. The terms of this Agreement shall be construed in accordance with the meaning of the language used and shall not be construed for or against either party by reason of the authorship of this Agreement or any other rule of construction which might otherwise apply. 28. Integration; Amendment. This Agreement is the entire, complete and exclusive expression of the understanding of the Parties related to the subject matter of this Agreement. It is understood that there are no oral agreements between the Pa rties affecting this Agreement and this Agreement supersedes and cancels any and all previous negotiations, arrangements, agreements and understandings, if any, between the Parties pertaining to the subject matter of this Agreement , and no such previous negotiations, arrangements, agreements and understandings shall be used to interpret this Agreement. No amendment to or modification of this Agreement shall be valid unless made in writing and approved by the Parties. The Parties agree that this requirement for written modifications cannot be waived and that any attempted waiver shall be void. 29. Waiver. Waiver by any Party of any term, condition, or covenant of this Agreement shall not constitute a waiver of any other term, condition, or covenant. Waiver by any Party of any breach of the provisions of this Agreement shall not constitute a waiver of any other provision or a waiver of any subsequent breach or violation of any provision of this Agreement. No delay or omission in the exercise of any right or remedy by a non- defaulting Party on any default shall impair such right or remedy or be construed as a waiver. Any waiver by either Party of any default must be in writing and shall not be a waiver of any other default concerning the same or any other provision of this Agreement. 30. Severability. Any term or condition of this Agreement that is deemed invalid or unenforceable by a court of competent jurisdiction shall be severed from the remainder DocuSign Envelope ID: 304F3CF2-D2E2-43BD-81D4-AC95B47A6E03 01203.0001/893909.1 of this Agreement, and the remaining terms and conditions hereof shall nevertheless remain in full force and effect, and shall be construed so as to effectuate the intent of the Parties. 31. Governing Law. This Agreement shall be interpreted, construed and governed both as to validity and to performance of the parties in accor dance with the laws of the State of California. Legal actions concerning any dispute, claim or matter arising out of or in relation to this Agreement shall be instituted in the Superior Court of the County of Los Angeles, State of California. 32. Headings. The headings contained in this Agreement are for reference purposes only and shall not affect in any way the meaning or interpretation of this Agreement. 33. Counterparts; Electronic Signature. This Agreement may be executed in counterparts, each of which shall be deemed to be an original, whether the signatures are originals, facsimiles or electronic. All such counterparts shall constitute one and the same instrument. 34. Authority. The persons executing this Agreement on behalf of the Parties warrant that (i) such Party is duly organized and existing, (ii) they are duly authorized to execute and deliver this Agreement on behalf of said Party, (iii) by so executing this Agreement, such Party is formally bound to the provisions of this Agreement, and (iv) the entering into this Agreement does not violate any provision of any other agreement to which said Party is bound. I request and consent to participate in the City of Rancho Palos Verdes’ (“City”) catalytic converter theft prevention event (“Event”). I am aware of no medical condition or physical or mental impediment that I have that would endanger me when participating in the Event. I understand that the Event involves the risk of accident and bodily injury, death, or property damage to me and my property, and I agree to assume such risks. I understand that my participation in the Event involves the etching, by City and/or its designee, of a serialized number determined by the Los Angeles Sheriff’s Department (“LASD”) on the catalytic converter of my vehicle for the purpose of helping prevent theft of the catalytic converter, and that my vehicle will need to be mechanically raised or lifted to facilitate such etching. I am the owner of the vehicle I bring to the Event, and I consent to the etching of the serialized number by on such vehicle, including the mechanical raising or lifting of my vehicle by Van Lingen Towing, Inc. (“Van Lingen”) for such purpose. I understand that notwithstanding any such etching, my participation in the Event does not guarantee that my vehicle or the catalytic converter will not be stolen, nor does it guarantee that my vehicle or catalytic converter will be recovered if stolen. In consideration for my participation in the Event, I hereby waive, release and discharge the City, LASD and Van Lingen, including but not limited to their employees, subcontractors, representatives, officials, and agents (collectively, the “Event Providers”), from and against any and all claims or liabilities to me or any other person, including but not limited to claims or liabilities for bodily injury, illness, death, property damage, or failure to prevent theft of property, arising from or related in any way to my participation in the Event, including the negligence of the City, LASD, Van Lingen or any other participants in the Event, and I agree to waive my rights to make any such claims through any action or proceeding against the Event Providers. However, I understand that this paragraph is not intended to release any Event Provider from any act or omission of gross negligence. I hereby expressly waive any and all rights conferred upon me by the provisions of California Civil Code Section 1542, which I understand reads as follows: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” This waiver shall be effective as a bar to any and all actions, fees, damages, losses, claims, liabilities and demands of whatsoever character, nature and kind, that are known or unknown, or suspected or unsuspected, that may arise from or relate in any way to my participation in the Event. This obligation shall be binding on my heirs, successors, and assigns and shall not expire. I hereby grant the City and LASD the right to photograph or video-record me or my vehicle during or in connection with the Event, and to use my photographed or video-recorded likeness, and any image, silhouette, or reproduction of me, my voice or appearance, or my vehicle taken during or in connection with the Event (“Likeness”), for any purpose, including publicity and promotion of the City or LASD or their respective events, and creation or production of materials in any form for such purpose, with no claim of entitlement to any license fee or royalty of any kind from the City, LASD or Van Lingen. I hereby waive any right to the intellectual property of my Likeness. The rights granted by me hereunder shall not expire. No oral representations, statements, or inducements, apart from this written form, have been made with regard to the subject matter of this form. If any portion of this form is declared invalid by a court of competent jurisdiction, the remainder shall continue in full force and effect. By signing below, I acknowledge and represent that I have read and understand the above, and that I voluntarily agree to its terms. Described below are the terms and conditions for providing to you such notices and disclosures electronicall y through the DocuSign system. Getting paper copies At any time, you may request from us a paper copy of any record provided or made av ailable electronically to you by us. You will have the ability to download and print documents we send to you through the DocuSign system during and immediately after the signing session and, if you elect to create a DocuSign account, you may access the documents for a limited period of time (usually 30 days) after such documents are first sent to you. After such time, if you wish for us to send you paper copies of any such documents from our office to you, you will be charged a $0.00 per-page fee. To request paper copies from City of Rancho Palos Verdes To request delivery from us of paper copies of the notices and disclosures previously provided by us to you electronically, you must send us an email to terit@rpvca.gov and in the body of such request you must state your email address, full name, mailing address, and telephone number. We will bill you for any fees at that time, if any. To withdraw your consent with City of Rancho Palos Verdes To inform us that you no longer wish to receive future notices and disclosures in electronic format you may: i. decline to sign a document from within your signing session, and on the subsequent page, select the check-box indicating you wish to withdraw your consent, or you may; ii. send us an email to terit@rpvca.gov and in the body of such request you must state your email, full name, mailing address, and telephone number.
