Blais & Associates LLC - FY2021-069CONSENT AGREEMENT
BLAIS & ASSOCIATES, LLC, a Texas limited liability company (formerly Blais &
Associates, Inc., a Texas corporation, "Company'), and the CITY OF RANCHO PALOS
VERDES, a California municipal corporation ("City"), are parties to that certain Contract Services
Agreement, dated as of March 4, 2020, whereby Company agreed to provide grant management
and related services to City through June 30, 2021 for a Contract Sum of $74,425 ("Agreement").
Section 4.5 of the Agreement provides that a transfer to any person or group of persons acting in
concert of more than twenty-five percent (25%) of the ownership or control of [Company] is
restricted and requires the prior written approval of City. The owner of Company intends to
consummate a sale of all of the equity interests of Company to B&A Group, LLC, a Delaware
limited liability company ("Acquiror"), on or about July 16, 2020 ("Transaction'). As a result of
the Transaction, Acquiror will own Company and Company will continue to be a party to
Agreement.
Acquiror hereby acknowledges the Agreement and agrees it will cause Company to
perform all of its duties and obligations thereunder following the consummation of the Transaction.
City hereby acknowledges it has received notice of the Transaction and consents to the
'transfer' with respect to the Agreement (as described in Section 4.5 thereof) in connection with
the Transaction.
