LETTER OF AGREEMENT
BETWEEN
CITY OF RANCHO PALOS VERDES
AND
THE LOS ANGELES COUNTY METROPOLITAN TRANSPORTATION AUTHORITY
This Amendment No. 2 to Letter of Agreement (this "Amendment"), is dated as of February
11, 2016, by and between City of Rancho Palos Verdes ("Project Sponsor"), and the Los
Angeles County Metropolitan Transportation Authority ("LACMTA").
RECITALS:
A. Project Sponsor and LACMTA entered into that certain Letter of
Agreement No. LOA.P000F1506, dated November 24, 2008, which was amended on
November 25, 2013 (as amended, the "Existing LOA"), which Existing LOA provides for the
Bike Compatible Roadway Safety and Linkage on Palos Verdes Drive South, ("the Project");
and
B. Whereas, the LACMTA Board on June 25, 2015, reprogramed the
Funds for Fiscal Year (FY) 2010-11 to FY 2015-16; and
C. Project Sponsor and LACMTA desire to amend the Existing LOA as
provided herein.

AGREEMENT:
NOW, THEREFORE, for good and valuable consideration, the receipt and
adequacy of which are hereby acknowledged, the parties hereby agree as follows:
1. Part 1, Paragraph 2 of the Existing LOA is hereby amended by deleting
it in its entirety and replacing it with the following: "Amount of Funds Programmed (the
"Funds"): LACMTA Board of Directors' action of September 27, 2007, programmed
$630,000 (the "Funds") to Project Sponsor for the Project. The original LACMTA funding
plan reflects the programming of Funds over two years, Fiscal Years (FY) 2008-09 and FY
2010-11. LACMTA Board of Directors' action recertified the Funds for FY 2008-09 only in
the amount of$56,000. The remaining $574,000 in Project Funds was available but required
Project Sponsor to apply to the State Active Transportation Program. The Project Sponsor
applied but was not awarded Funds. On June 25, 2015, the LACMTA Board reprogrammed
the Funds. This LOA provides the Funds to the Project with a new LACMTA funding plan
that reflects the remaining Funds over one year, FY 2015-16. LACMTA Board of Directors'
action will be required annually to approve Funds for each subsequent Fiscal Year prior to
those Funds being obligated by Project Sponsor."
2. Part II, Paragraph 6.1(ii) of the Existing LOA is hereby amended by
deleting it in its entirety and replacing it with the following: "Funds programmed for Fiscal
Year (FY) 2008-09 are no longer available. Funds programmed for FY 2015-16 are subject to
lapse on June 30, 2018. Project Sponsor shall allocate or obligate these Funds by the lapsing
date."
3. Attachment A of the Existing LOA is hereby replaced by Attachment A-
1, attached.
4. Attachment C— Scope of Work, attached to the Existing LOA is hereby
amended by deleting the Milestones for Project Tracking and replacing it with the following

5. Except as expressly amended hereby, the Existing LOA remains in full
force and effect as originally executed. All rights and obligations of the parties under the
Existing LOA that are not expressly amended by this Amendment shall remain unchanged.
