IN CONSIDERATION of the covenants hereinafter set forth, the parties hereto agree as follows: ARTICLE 1 SCOPE OF SERVICES 1.1 Project Description Green Hills Memorial Park is a privately owned cemetery located in the City of Rancho Palos Verdes. Although the cemetery pre-dates annexation of the property into the CITY, development of the site is controlled by the 1991 Conditional Use Permit et.al. approved by the City Council through Resolution No. 91-7, and the 2007 Conditional Use Permit Amendment approved by the Planning Commission through P.C. Resolution No. 2007-33, and referred to collectively as the Green Hills Memorial Park Mater Plan (MASTER PLAN). One of the conditions of P. C. Resolution 2007-33 requires the City to conduct annual compliance reviews of the Conditional Use Permit. Previously, those compliance reviews have been conducted by City Staff. At this time, the City desires to engage an external professional CONSULTANT to conduct a compliance review to determine to what degree the property owner has abided by the provisions required within the terms of the MASTER PLAN, as well as other conditions of approval associated with the implementation of the Master Plan that were subsequently required at the staff level concerning the Pacific Terrace Mausoleum. 1.2 Description of Services CONSULTANT shall perform any and all necessary work in order to provide the CITY with a comprehensive compliance report (REPORT), as further described in CONSULTANT's Proposal, which is attached hereto as Exhibit "A" and incorporated herein by this reference. Time is of the essence in this Agreement. CONSULTANT shall not be responsible for delay, nor shall • CONSULTANT be responsible for damages or be in default or deemed to be in default by reason of strikes, lockouts, accidents, or acts of God, or the failure of CITY to furnish timely information or to approve or disapprove CONSULTANT's work promptly, or delay by CITY, or any other delays beyond CONSULTANT's control or without CONSULTANT's fault. ARTICLE 2 COMPENSATION 2.1 Fee CITY agrees to compensate CONSULTANT for its services, as described in Article 1 based on the hourly rates attached as Exhibit "B", but in an amount not to exceed five thousand, five hundred, twenty dollars and zero one hundredths ($5,520.00). 2.2 Terms of Compensation CONSULTANT shall submit monthly invoices for the percentage of work completed in the previous month. CITY agrees to authorize payment for all undisputed invoice amounts within thirty (30) days of receipt of each invoice. CITY agrees to use its best efforts to notify CONSULTANT of any disputed invoice amounts or claimed completion percentages within ten (10) days of the receipt of each invoice. However, CITY's failure to timely notify CONSULTANT of a disputed amount or claimed completion percentage shall not be deemed a waiver of CITY's right to challenge such amount or percentage. Additionally, in the event CITY fails to pay any undisputed amounts due CONSULTANT within forty-five (45) days after invoices are received by CITY then CITY agrees that CONSULTANT shall have the right to consider said default a total breach of this Agreement and be terminated by CONSULTANT without liability to CONSULTANT upon ten (10)working days advance written notice. 2.3 Additional Services CITY may request additional specified work under this Agreement. All such work must be authorized in writing by the CITY's Acting City Manager prior to commencement. The rates in Exhibit "B" shall be in effect through the end of this Agreement. 2.4 Term of Agreement This Agreement shall commence on September 25, 2014, and shall terminate when the deliverables are presented to the Planning Commission, unless sooner terminated pursuant to Article 4 of this Agreement. PLANNING GROUPi I Page 6 t ' 4110 SCOPE OF SERVICES Overview The City of Rancho Palos Verdes is seeking proposals to conduct compliance review for the Green Hills Memorial Park Master Plan. The project has been embroiled in some controversy lately, which has drawn a lot of media attention and public interest, prompting an independent third party to complete this compliance review. The compliance review concerns the conditions of approval associated with the Conditional Use Permit approved by the Planning Commission in 2007. As part of the review, the consultant will need to conduct site visit(s) to the property; review City records; interview the property owner and City staff, as needed; and, prepare a written report that documents the review and identifies the property owner's compliance/non-compliance with the conditions of approval. We understand the project has a very tight time frame, as the Planning Commission has scheduled the next hearing on the item for Tuesday, October 28, 2014. Therefore, based on an expected start date of Monday, September 22nd, we understand that the draft report will need to be submitted by October 10th, 3 weeks following execution of the contract, with the final report going out in the agenda packet on Wednesday, October 22, 2014.
