Genesis Work Inc - City Council 111, CITY OF RANCHO PALOS VERDES PROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT ("Agreement") is made and entered into this ___ f /9pday o /`i / , 2015 by and between the City of Rancho Palos Verdes (hereinafter referred to as the "CITY") and the Genesis Work, Inc. (hereafter referred to as "CONSULTANT"). IN CONSIDERATION of the covenants hereinafter set forth, the parties hereto agree as follows: ARTICLE 1 SCOPE OF SERVICES 1.1 Project CONSULTANT shall assist CITY by having Romi Boucher conduct a four hour workshop with the CITY'S City Council regarding the CITY' goals, as described in the Scope of Services, which is attached hereto as Exhibit "A" and incorporated herein by this reference (the "Project"). 1.2 Schedule of Work Upon receipt of written Notice to Proceed from the CITY, CONSULTANT shall prepare for and shall conduct the workshop on the date established by the City Manger. ARTICLE 2 COMPENSATION 2.1 Fee CITY agrees to compensate CONSULTANT the sum of two thousand eight hundred fifty dollars and no cents ($2,850.00)for the services as described in Article 1. 2.2 Terms of Compensation Within thirty days of the date of the when CONSULTANT submits its invoice to the CITY following the date of the workshop, CITY shall pay the fee to CONSULTANT. ARTICLE 3 INSURANCE 3.1 Automobile Liability CONSULTANT shall at all times during the term of this Agreement obtain, maintain, and keep in full force and effect, a policy or policies of Automobile Liability Insurance, as required California by law. 1821770 iill ill 3.2 Worker's Compensation CONSULTANT agrees to maintain in force at all times during the performance of work under this Agreement any worker's compensation insurance that may be required by law. ARTICLE 4 TERMINATION 4.1 Termination of Agreement This Agreement may be terminated at any time, with or without cause, by either Party upon thirty (30) days prior written notice. Notice shall be deemed served if completed in compliance with Section 5.8. ARTICLE 5 GENERAL PROVISIONS 5.1 Personnel CONSULTANT represents that it has, or shall secure at its own expense, all personnel required to perform CONSULTANT's services under this Agreement. CONSULTANT shall provide Romi Boucher to conduct the workshop. CONSULTANT may associate with or employ associates or subconsultants in the performance of its services under this Agreement, but at all times shall CONSULTANT be responsible for its associates or subconsultants' services. 5.2 Assignment Neither this Agreement nor any part thereof shall be assigned by CONSULTANT without the prior written consent of the CITY. 5.3 Independent Contractor CONSULTANT is and shall at all times remain, as to the CITY, a wholly independent contractor. 5.4 Titles The titles used in this Agreement are for general reference only and are not part of the Agreement. 5.5 Entire Agreement This Agreement, including any other documents incorporated herein by specific reference, represents the entire and integrated agreement between CITY and CONSULTANT and supersedes all prior negotiations, representations or agreements, either written or oral. This Agreement may be modified or amended, or provisions or breach may be waived, only by subsequent written agreement signed by both parties. 5.6. Construction 1821770 5.6. Construction in the event of any asserted ambiguity in, or dispute regarding the interpretation of any matter herein, the interpretation of this Agreement shall not be resolved by any rules of interpretation providing for interpretation against the party who causes the uncertainty to exist or against the party who drafted the Agreement or who drafted that portion of the Agreement. 5.7 Severability If any term or portion of this Agreement is held to be invalid, illegal, or otherwise unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall continue in full force and effect. 5.8 Notice Except as otherwise required by law, any payment, notice or other communication authorized or required by this Agreement shall be in writing and shall be deemed received on (a) the day of delivery if delivered by hand or overnight courier service during CONSULTANT's or CITY's regular business hours or (b) on the third business day following deposit in the United States mail, postage prepaid,to the addresses listed below, or at such other address as one party may notify the other. The first approach I call the constructive communication approach: People create meaning and action in relationship and in communication. Human organizing, change and futures are conversational realities. When leaders want to maximize the best of a community and culture and also have to demonstrate their responsibility for the direction, productivity, flexibility, adaptiveness and morale of their organizations,they can cause desired futures by the conversations they convene, reiterate and expand. Furthermore,they can begin to shift the mindsets and culture so that an invented future and expanded capacities can be sustained. If people engage in conversations designed to bring forth what is best about the current community and organization as well as the aspirational aspects of what the community or organization could be for the future,then a desired future can be designed as a strategic focus with goals, measures and action plans to realize and implement that created future. People who engage in this reiteratively then begin to practice and demonstrate conversational leadership. The second approach,the SOAR (Strengths, Opportunities, Aspirations, Results), is the specific conversational structure that helps people form an attractive strategic future as well as identify the specific goals that would signify the future has been realized. The SOAR approach grew out of the Appreciative Inquiry (AI) approach. AI is based on the premise that organizations grow in the direction of what they inquire about and where they focus their attention. Research has shown that when people study problems and conflicts,the number and severity of the problems they identify actually increase. But when they study human ideals and achievements, peak experiences, and best practices,these things—not the conflicts—tend to flourish. By encouraging people to engage with certain kinds of questions, make shared meaning of the answers, and act on the responses, Al supports systemic learning and change. New insights and passion are simultaneous with the inquiry. The major outcome of the SOAR approach is a more clearly specific future that calls forth the passion and represents the vision of the group participants. • Through collaborative conversations, people talk about the need for change, explore new possibilities, and contribute to solutions. • Through customized inquiries, conversations focus on moments of high performance and deeply held values, best opportunities, aspirations for the future to generate a collective strategic future vision. • The main areas for realizing the vision are discerned by the group, and then measurable results are generated, committed to and assigned that would signify that the 1821770 110 • vision has been realized by the end of the year's timeframe the Council has set. The SOAR framework has been used in for profit, nonprofit, and governmental settings and in four-hour to three-day planning sessions. Participants learn to identify the positive core of an organization or community (strengths and opportunities), obtain clarity of values, vision, and mission to align with initiatives, strategies, and action plans; plan and design; and identify measurements that drive performance. Usually, participants achieve improved results in productivity and communications, in that communication becomes more continuous and open. It is possible to take this framework and repeat it with various constituencies to achieve greater alignment, and further refinement of input for the tactical workout of the overall strategic vision. Request The City Manager would like to convene the Rancho Palos Verdes City Council and Mayor to invent a compelling strategic future based on the current strengths, perceived opportunities, and best aspirations the elected officials have for next year for Rancho Palos Verdes so they may set meaningful measurable results in terms of major goal areas in a facilitated Workshop for 4 hours that will forward the City and community. He has asked Genesis Work, Inc. (GW) to propose a Workshop facilitation that would further that end.
