Subject: Pole Attachment Agreement between City of Rancho Palos Verdes and Verizon
California Inc. dated 11/17/2005 ("Agreement")
On February 5, 2015, Verizon Communications Inc. ("Verizon"), the ultimate parent corporation
to the Verizon entity that is a party to the Agreement, entered into a Securities Purchase
Agreement with Frontier Communications Corporation ("Frontier"), whereby Verizon agreed to
transfer certain assets, liabilities and contracts, including the Agreement and its ownership
interests in the legal entities operating Verizon's local exchange businesses in California, Texas
and Florida to Frontier(the"Transaction"). Specifically, the Verizon entities included in the
Transaction are Verizon California Inc., Verizon Florida LLC, and GTE Southwest Incorporated
d/b/a Verizon Southwest.
The transfer of the Agreement and subsequent closing of the Transaction is currently expected
to occur approximately at the end of the first quarter of 2016. After closing, your organization
will continue to have a valid and binding contract with a wholly owned subsidiary of Frontier.
