MEMORANDUM OF LEASE
THIS MEMORANDUM OF LEASE is made and entered into as of the
19th day of October, 1994 , by and between the CITY OF RANCHO
PALOS VERDES, a municipal corporation ("Landlord") , and SOUTHERN
CALIFORNIA EDISON COMPANY ("Tenant") :
Landlord hereby leases to Tenant those portions of that
certain real property located at 30940 Hawthorne Boulevard,
Rancho Palos Verdes, County of Los Angeles, State of California,
more P articularly described in Exhibit "A" attached hereto and by
reference incorporated herein. The term of this Lease shall be
for ten (10) years commencing on July 1, 1994, and ending ten
(10) years thereafter. Tenant shall have two (2) options to
extend the term of said Lease for a period of five (5) years
each. This Lease is made upon and is subject to the terms and
conditions set forth in that certain unrecorded Lease by and
between the parties hereto dated July 1, 1994 .

amend, modify, supplement, or explain such unrecorded Lease.
