FIRST AMENDMENT TO THE PROFESSIONAL DESIGN SERVICES AGREEMENT
BETWEEN
MIA LEHRER&ASSOCIATES AND THE CITY OF RANCHO PALOS VERDES
This amendment agreement("First Amendment")is an amendment to the professional
design and services agreement between the City of Rancho Palos Verdes,a municipal ,
corporation("CITY")and Mia Lehrer&Associates("CONSULTANT"), dated September 20,
2011 ("Agreement"). This First Amendment is effective as of November 15,2011 and is being
made to extend the term of the Agreement and to make a minor revision to the section regarding
notice.
RECITALS:
A. On September 20,2011,the City Council of CITY approved an agreement with
Mia Lehrer&Associates to conduct community outreach and perform site analysis of potential
locations on the Peninsula for the placement of a dog park and a skate park.
B. CITY and CONSULTANT now wish to amend the Agreement to extend its term
so that sufficient time is allowed to diligently accomplish the project.
NOW,THEREFORE, for good and valuable consideration,the receipt and sufficiency of
which is hereby acknowledged,the parties hereto agree as follows:
Section 1. Section 2.5 of the Agreement is hereby amended to read as follows:
2.5 Term of Agreement
This Agreement shall commence on September 26,2011,and shall terminate on April 30,2012,
unless sooner terminated pursuant to Article 4 of this Agreement.
Section 2. Section 6.14 of the Agreement is hereby amended to read as follows:
6.14 Notice
Except as otherwise required by law,any notice or other communication
authorized or required by this Agreement shall be in writing and shall be deemed received on(a)
the day of delivery if delivered by hand or overnight courier service during CONSULTANT's or
CITY's regular business hours or(b)on the third business day following deposit in the United
States mail,postage prepaid,to the addresses listed below, or at such other address as one party
may notify the other:

Section 3. Except as expressly amended by this First Amendment,all of the other
provisions of the Agreement shall remain in full force and effect.
